ARTICLE 1: CONTENTS OF THE WORK

1.1 At the request of Party A, Party B will supply Party A with passenger transport by
automobile: Hyundai County, license plate No. 29B 10049 (30 seats), including a
driver, maintenance and repair fees, and fuel costs. Full name of the driver: Do Phu Hai,
year of birth: 1973, ID card No.: 001073002019, address: Area 3, Tram Troi Town,
Hoai Duc District, Hanoi. Level-D driving license No.: 627897 issued by Hanoi
Department of Transport.
Theo yu cu ca Bn A, Bn B cung cp dch v vn chuyn khch cho Bn A bng
mt xe t hiu: Hyundai County bin s 29B 10049 (30 ch ngi). Bao gm c li xe,
ph bo dng, sa cha v chi ph nhin liu. Li xe: Ph Hi, sinh nm 1973,

ARTICLE 2: LEASE FEE
IU 2: CHI PH THU XE
2.1 The monthly lease fee is USD 1,650. This unit price is inclusive of VAT. Accordingly,
Party B uses the automobile for 04 Hanoi-Hai Phong trips. If Party A does not use the
automobile for trips to Hai Phong, it will be entitled to a reduction of 01 trip equivalent
to USD 100.

ARTICLE 3: MODE OF PAYMENT
IU 3: CCH THC THANH TON
3.1 Payment in cash with 2 times per month (in the middle and at the end of the month) on
the basis of the signing date of the automobile lease contract.

3.2 Party B will give an invoice before the 2
nd
payment date at the end of the month.

ARTICLE 4: PARTIES RESPONSIBILITIES
IU 4: TRCH NHIM CA CC BN
4.1 Party Bs responsibilities/Trch nhim ca Bn B:
- To drive the automobile safely and punctually and ensure that the automobile operates
properly to meet Party As requirements.

- Party B takes responsibility for paying petroleum costs and salary for the driver and all
maintenance/repair costs according to the manufacturers schedule. To clean the automobile

- Party B buys civil liability insurance for the automobile according to regulations of the
Socialist Republic of Vietnam and buys insurance for passengers on the automobile in case of
accident with an amount of USD 3,000/passenger.

- In the event that the driver is absent due to illnesses or other reasons, Party B will be
responsible for the temporary use of another driver and Party A will pay no costs for the
temporary driver. If the temporary driver fails to meet Party As requirements, Party A will be
entitled to dismiss the temporary driver and Party B will take responsibility for using another
driver.

- If the automobile does not safely operate due to technical problems, Party B will take
responsibility for repairing it and promptly arranging another automobile of the same quality.
Party A will not pay any costs for another driver and automobile.

nhim m bo sa cha v b tr ngay mt xe khc cht lng cng loi. Bn A khng phi
tr bt c chi ph no i vi li xe v xe khc.
4.2 Party As responsibilities/Trch nhim ca Bn A:
- Party A takes responsibility for paying the monthly rental amount, tolls and car parking (if
any) to Party B on the basis of the actual invoices and toll tickets of the driver sufficiently and
timely as regulated in this contract.

- If Party B monthly fails to pick up Party As people in time causing late working hours and
losses and arising costs to Party A, Party B shall pay to Party A (with an amount of 500,000
VND/trip/month)

VND/chuyn n v a v).
- Party A is not responsible for cases arising in the process of the transportation and traffic
participant such as accidents and violation of road traffic to be arrested by police and the
similar cases.

hnh v tham gia giao thng nh tai nn, vi phm lut giao thng ng b b cnh st bt gi

- It is not allowed to bring illegal and explosive goods on the car. The car should be rented
and used for correct proposes as mentioned in the contract.

ARTICLE 5: RESPONSIBILITY DUE TO BREACH OF THE CONTRACT
IU 5: TRCH NHIM DO VI PHM HP NG
5.1 Both Parties commits to strictly execute the signed terms of the contract. All changes of
the contact must be agreed by both Parties. If one of the parties violates this term, that party
shall bear all responsibility before Laws.

5.2 Any dispute arising from this contract will be firstly settled through negotiation between
the two parties. If the dispute cannot be settled through negotiation, it will be submitted to any
competent court to resolve in accordance with laws and regulations of Vietnam. The final
decision of the court is binding on both parties.

ARTICLE 6: DURATION OF THE CONTRACT

be renewed if Party A wants to continue the car.

ARTICLE 7: OTHER PROVISIONS

7.1 If there is any change in terms of the driver, Party B shall notify Party A at least one (01)
day before.

7.2 Two Parties are obliged to fulfill all signed contents of this contract. During performance
of the contract, any changes related to this contract must be agreed in writing by the parties.

bng vn bn gia hai bn.
In order to confirm the commitments of the Parties, the contract is made into 02 copies with
the same value. Each Party will keep 01 copy.
