AGREEMENT DISCLOSURE POLICIES

EARLY TERMINATION OR BREACH

An EARLY TERMINATION OF CONTRACT or NOTIFICATION OF BREACH OF
CONTRACT must be filed to the following address with a 30 day notice before taking any legal or nonlegal action: True Value Entertainment 415 3rd Ave SE Hampton, IA 5044.
In the event of a breach of contract or early termination, Buyer agrees to not go public with Confidential
Information, related mediums or the violation in its self, doing so could result in legal actions, and/or fines
and fees. All information within is confidential. No information will be disclosed without prior written
consent from each party.
I agree from holding True Value Entertainment, licensees or affiliated third-parties against any and
all indirect claims, damages and liabilities arising out of a breach of contract.
If a dispute arises, both parties agree to resolve the dispute with a mutually agreed-on mediator in the state
of Iowa. Any costs and fees other than attorney fees will be shared equally by the parties.
If a mutually satisfactory solution is unable to be reached within a reasonable time, the dispute is to be
submitted to arbitration, experienced in entertainment industry law, and in the same region. Arbitration will
be conducted on a confidential basis as determined by the Commercial Arbitration Rules of the American
Arbitration Association. Any decision from arbitration will include the assessment of costs, expenses, and
reasonable attorney's fees and a written result from the arbitrators. An award of arbitration is final and
binding, and may be confirmed in a court

GENERAL
Nothing contained in this contract is deemed to commit either licensor or licensee a partner or employee of
the other party. This contract expresses the complete understanding of the parties, and may not be
amended except in a writing signed by both parties. If a court finds any section of this contract invalid or
unenforceable, the remainder of this contract will be interpreted so as best to carry out the intent of the
parties. This contract is governed by and interpreted in accordance with the laws of Iowa. The terms and
conditions of this contract are binding on the successors and assigns of both the Buyer and Company.
