DEFENDANT’S MOTION TO DISMISS THE COMPLAINT

Defendant GXS, Inc., by its attorneys Chadbourne & Parke LLP, hereby moves

this Court (1) to dismiss with prejudice all claims asserted in the Complaint in this action,

pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure, for failure to state a

claim upon which relief can be granted, (2) to dismiss with prejudice the state law claims

asserted in the Complaint in this action, pursuant to Rule 12(b)(1) of the Federal Rules of

Civil Procedure, for lack of subject-matter jurisdiction, and (3) to grant such other relief

as the Court deems just and proper. The grounds for this motion are set forth in the

accompanying Memorandum of Law in Support of Defendant’s Motion to Dismiss the

Complaint, and the motion is supported by the accompanying Declaration of James A.

Stenger and the exhibit attached thereto.
