(the Application) as Counsel for the Official Committee of Unsecured Creditors (the Committee) appointed in the above-captioned Chapter 11 case of Westcliff Medical Laboratories, Inc. (Westcliff, and together with BioLabs, Inc., the Debtors). I. INTRODUCTION In accordance with Sections 330 and 331 of the Bankruptcy Code,1 Federal Rules of Bankruptcy Procedure 2002(a)(6) and 2016, Local Bankruptcy Rule 2016-1, the United States Trustee Guidelines, and the Courts Order Authorizing Employment and Retention of Buchalter Nemer, a Professional Corporation as Counsel for the Committee and establishing procedures for interim and final compensation and reimbursement of costs [Docket No. 182] (the Employment Order), Buchalter respectfully applies to this Court for an order: (a) Granting final approval of compensation and reimbursement to Buchalter for fees and expenses incurred as counsel for the Committee, during the period from December 1, 2011 through April 17, 2012 (the Final Fee Period), in the amount of $36,565.17, comprising legal services provided by Buchalter in the amount of $36,162.00 and expenses incurred in the amount of $403.17; (b) Granting final approval of compensation and reimbursement of fees and expenses awarded by the Court pursuant to its approval of Buchalters four previous interim fee applications, in the amount of $283,828.31, comprising legal services provided by Buchalter in the amount of $270,472.00 and expenses incurred in the amount of $13,356.31; (c) Authorizing the Estate Representative to pay Buchalter all outstanding amounts owing for approved fees and costs; and (d) Granting to Buchalter any other relief as the Court deems necessary and appropriate.2

Pursuant to the Courts Order Confirming First Amended Chapter 11 Plan of Reorganization Proposed by Westcliff Medical Laboratories, Inc. Consistent with the United States Trustees Guidelines on Compensation of Professionals and the Employment/Order, Buchalter has filed Professional Fee Statements (the Fee Statements) regarding the professional fees and expenses it incurred from May 24, 2010, through November 30, 2011. Each Fee Statement attached the relevant invoices for that billing period and provided all parties-in-interest with the required notice to raise any objections to the Fee Statements. Since the commencement of Debtors bankruptcy cases, no party has raised an objection to any of the Fee Statements. Furthermore, no party filed an objection to Buchalters First, Second, Third or Fourth Interim Fee Applications. II. STATUS OF THE CASE Pursuant to the Local Bankruptcy Rule 2016-1(a)(1)(A)(iv), this Application incorporates by reference the narrative history furnished in the final fee application of Levene, Neale, Bender, Yoo & Brill, LLP [Docket No. 885]. III. EMPLOYMENT OF BUCHALTER

On May 19, 2010 (the Petition Date), the Debtor filed its voluntary petition for relief under Chapter 11 of the Bankruptcy Code. On May 24, 2010 the Office of the United States
18 Trustee appointed the Committee and the seven members to serve on same [Docket No. 35]. 19 Pursuant to the Employment Order, Buchalter was authorized to be employed as counsel for the 20 Committee. Buchalter has rendered all services and has incurred all the professional fees and 21 expenses for which it seeks reimbursement in connection with its representation of the 22 Committee. the Confirmation Order, the Reorganized Debtor is required to pay such fees and costs in the ordinary course of business. Buchalter has incurred fees and costs after the Effective Date for, among other things, concluding the Committees duties and obligations and preparing the Application. Buchalter will submit invoices to the Estate Representative for such amounts. Moreover, Buchalter was selected to represent the Post-Confirmation Committee and will seek payments from the Administrative Reserve Fund per the Debtors confirmed plan. To the extent the Court deems it necessary, Buchalter requests approval of its post-Effective Date fees and costs and will submit invoices upon request.

During the Third Interim Period, Buchalter received interim payments from the Debtors in the amount of $22,013.18. Buchalter previously filed and sought approval of fees and expenses in its Fourth Interim Application for Allowance and Payment of Professional Fees and Reimbursement of Expenses as Counsel for the Official Committee of Unsecured Creditors (the Fourth Interim Fee Application) [Docket No. 640]. Pursuant to the Order Regarding outcome of hearing on Interim and Final Applications for Approval of Fees and Reimbursement of Expenses (the Fourth Interim Fee Order) [Docket No. 675] entered on December 30, 2011, this Court allowed Buchalter fees in the amount of $28,157.50 and expenses in the amount of $340.48 for the period of June 1, 2011 through November 30, 2011 (the Fourth Interim Period). A copy of the Fourth Interim Fee Application is attached to the Garfinkle Declaration as Exhibit 9. A copy of the Fourth Interim Fee Order is attached to the Garfinkle Declaration as Exhibit 10. During the Fourth Interim Period, Buchalter received interim payments from the Debtors in the amount of $87,116.02. This is Buchalters final application for compensation. During the Final Fee Period, Buchalter received $28,537.98 in payments for compensation or reimbursement of expenses. No agreement or understanding has been made by any employee of Buchalter either directly or indirectly for a division of fees requested in this Application with any other person or party, except among employees of Buchalter. Buchalter has not entered into any agreement, written or oral, express or implied, with any other party or party in interest in the above entitled case for the purpose of fixing the amount of any fees or compensation to be paid to Buchalter except as set forth herein.

NARRATIVE SUMMARY OF SERVICES Buchalter was retained by the Committee and authorized by the Court, to (i) represent the Committee in any proceeding or hearing in the Bankruptcy Court, (ii) advise the Committee concerning the requirements of the Bankruptcy Code and Bankruptcy Rules and the requirements of the Office of the United States Trustee relating to the discharge of its duties under Section 333 of the Bankruptcy Code; and (iii) perform such other legal services as may be required under the circumstances of this Case in accordance with the Committees powers, and duties as set forth in the Bankruptcy Code. Fee Period are set forth in the computer generated billing statements attached to the Garfinkle Declaration as Exhibit 2. The following descriptions of service and charts summarize the services performed and time expended by Buchalters professionals in each category of service during the Final Fee Period. (a) Case Administration: Through its representation of the Committee, Buchalter
was required to perform a wide variety of tasks relating to the monitoring and administration of the Debtors bankruptcy cases and the completion of the liquidation. Services provided in this category include preparation and handling court hearings on case management issues. Services further include review and analysis of documents exchanged with the United States Trustee related to Debtors cash reports and financial data. Services in this category further include: (1) analyzing all bankruptcy issues, including all pleadings filed in the case, (2) communicating with the Committee and advising its members of case status and pending issues, (3) implementing the necessary procedures to adhere to the Committees obligations under the Bankruptcy Code, (4) communicating with the Debtors counsel regarding ongoing case issues, (5) analyzing and formulating Committee strategies for resolution of the bankruptcy cases, and (6) preparing court pleadings related to case administration. In all, Buchalter spent 6.20 hours on matters included in this category at a cost to the estate of $2,013.50.

Claims and Claims Objections: Services provided in this category include
analyzing claims and claims objections filed in the Debtors estates for a liquidating plan. To avoid duplication of efforts, Buchalter worked collaboratively with Debtors counsel with respect to the evaluation of claims and claim objections. While Buchalter reviewed certain large claims, Buchalter allowed the Debtors and their counsel to handle all claims objections, subject to Buchalter reviewing those claim objections on behalf of the Committee. Buchalter was particularly active in opposing the insider claim of Parthenon Capital Partners (Parthenon) and successfully reducing that claim by over 90% (from roughly $1.7 million to $150,000). Through the Committees efforts (working in conjunction with Debtors counsel and the Estate Representative), unsecured creditors will receive a much larger distribution. In all, Buchalter spent 76.10 hours in this category at a cost to the estate of $29,762.00.

Buchalter has made every effort to limit costs incurred and all costs incurred were reasonable and necessary under the circumstances. As is the business practice of Buchalter with respect to all of its clients, it did not charge the Committee for routine telephone calls, routine copying projects or facsimile transmissions. VII. On a daily basis, employees of Buchalter, whose job it is to do so, input into this software program time entries describing the file name and matter number, task and amount of time recorded to perform the task recorded by all billing personnel on time sheets. Each month preliminary billing reports for this matter are generated by this software program, which I personally review on files where I am the billing attorney (such as this file) for accuracy and completeness. Once appropriate corrections are made (if any), the final monthly invoices for this matter are prepared. The final billing data is stored in the LawTime billing and accounting program, and can be produced for reporting purposes at any time. 7. In preparation of this Application, I requested that Buchalters accounting
department provide the final monthly invoices for the period of December 1, 2011 through April 17, 2012, inclusive (the Final Fee Period). I have reviewed the same and determined that
