Our penstocks are designed for longtime operating periods. Therefore they are equipped with exchangeable seals. That allows a very long application, even under extreme conditions. You can operate the penstocks by means of manual or electric drives. The electrical drives can be controlled locally, remote or automatically. A significant advantage of the PURATOR-penstocks is their wall seal. You can install it very quickly and effectively even under difficult concrete conditions. This unique penstock design with its exchangeable block seals, simple and low price installation combines quality of the product and very economical operation.

Technical desription PURATOR-Penstocks are a self-supporting construction. They consist of the following main components: Frame: Bolted to the wall up to a size of 2000 mm. For bigger dimensions we propose concrete grouting. Doors larger than 450 mm are guided by rollers.They provide an easy opening - even in case of very high operating pressure. Adjustable wedges assure a maximum of tightness. Exchangeable, made of corrosion resistant zincfree bronze. Manual, or by means of electrical actuators.

The heavy and reliable construction of PURATOR-penstocks provides a maximum of resistance against corrosion. That is why they can be installed without any risc to waste water treatment plants and water drains. You can get different designs for the application under conditions of highly aggressive industrial waste water. In case of marine water we have a special edition with components made of high quality marine water resistant stainless steel and plastic. Standard materials are: Frame: Door: cast iron, Type: GG or GGG, with exchangeable block seals made of zincfree bronze, alternatively brass or plastic (if neccessary). Fasteners ofstainless steel according to AISI 316. cast iron, Type: GG or GGG, with exchangeable block seals made of zincfree bronze, alternatively brass or plastic (if neccessary). Fasteners of stainless steel according to AISI 316. oor guided by rollers of stainless steel according to AISI 316 L - beginning with size 500 mm. cast iron, Type: GG or GGG, equipped with adjustable wedges. Drives There are a lot of different drive Typees available according to the kind of operation. You have the choice between manual drives or electric actuators. The manual drives are operated by means of operation keys, handwheels or cranks. Integral controls with programmable switches for intermediate positions are available for the electric actuators. All Typees can be mounted in different ways. You can choose between: Wall- floor- or headstock installation. You find our standard drive models in part D of this catalogue. Special designs are produced and delivered on demand.

Door: Frame and door are casted in one piece and manufactured under DIN / ISO Standard 9001standards. Our standard designs are reinforced by rips. That is why they can withstand a maximum pressure of 6 -10 m WS. We provide special designs for installations up to a maximum pressure of 20 m WS. Both, frame and door, have the same exchangeable block seals. Because of their plane surface we can guarantee a very high tightness of the penstock.

Frame: the frame is a self containing system for bolted purpose. You can easily fasten it to a concrete wall with its very effective butterfly seal. The exchangeable block seals are bolted to the frame. They consist of corrosion resistant zinc free bronze or synthetic material. The plastic version is for intallations under highly aggressive waste water conditions. In this case the fasteners material is Monel or high quality stainless steel.

Function of rollers and wedges: All penstocks are equipped with an adjustable wedging system. Beginning with size 500 mm, all penstocks doors have a roller system additionally. Therefore the operation is very easy. The guides design enables a lifting of the door to reduce the frictional resistance. So you need less power for the opening. You can vary the closing pressure of the door by means of the continously adjustable system of wedges. That is why you are able to adjust the penstock to off-seating pressure without any problems. Guides: The guides are made of cast iron, alike the frame and door. The guides rails are bolted to the frame. You can remove them separately without loosening the frame. Their lenght enables a total opening of the door. The adjusting bolts ensure a higher tightness due to the regulation of the closing pressure. This variable an adjustable wedging system is a positive advantage in case of off-seating pressure. Spindle nut Each door is operated via a spindle nut made of zinc free aluminum-bronze. Its waste-water resistant trapezoidal thread provides an easy operation even under a high concentration of trash. Spindle and Rod The spindles are made of stainless steel AISI 316 L. They have a trapezoidal thread conforming with the spindle nut. Guides are needed in relation to the extention lenght. They prevent a bending of the spindles or rods. The guides are equipped with adjustable range spacers to compensate irragularities of the wall. Operation-Key drives Smaller penstock sizes are often operated by a operation-key. You can have a drive cover with locking device for applications under floors or roads. Bigger sizes are equipped with gears, that can be operated by the a.m. operation-key as well. Headstocks Headstocks are needed in case of manual operation by handwheels or cranks. You can attach electric actuators with appropriate reduction gears, if required. We have calculated the drives for the max. load in accordance to the operating pressure. All electric drives can be operated manually by means of handwheels in case of power failure.

Two different kinds of installation are possible. Normally we use door attached spindle nuts in combination with fixed spindles. That is why this kind is called: Drive for non-rising spindles. Drives for rising spindles are available as well. In that case the spindle is attached to the upper end of the rod. The spindle nut is anchored within the drive. During the operation the spindle climbs through it. Electric actuators: The different penstock sizes can be equipped with electric actuators, that have the following standards: 1. Weather proof, protection class IP 67. 2. Limit switches for end position and torque switch. 3. Local control, on demand. 4. Explosion proof, on demand. 5. Remote control or combined local/remote control, on demand. 6. Handwheel for operation in case of power failure. The electric actuators are designed for three-phase current with 400V-, 50 Hz- supply. There are also versions available for different kinds of current, enclosure protection and insulation classes. Coating and protection against corrosion: Shot blasting according to grade 2.5. One zinc primer followed by polyurethane or epoxy coating, thickness 400 microns. Operating pressure for penstocks: Standard penstock: Special edition: 10 m / WS* static pressure 6 m / WS* operating pressure 15 m / WS* static pressure (max. 20 m WS) 10 m / WS* operating pressure (max. 20 m WS)
We propose the drives in accordance to size and the max. operating pressure. You have the choice between manual wall- or headstock-drives or electric actuators.

Penstocks of series Standard R are formed with rounded bottom threshold and allow installation of channel with plane bottom passage. Penstocks of series Standard Q are formed with plane bottom threshold and allow installation of channel with plane bottom passage for square and rectangular channel profiles. Heavy welded constructions with ribs and mit Verrippungen and fitted wedges made of plastic PA 6. Guided by rollers from size 1400 to guarantee easy operation especially under higher loads. U-steel profile with adjustable wedges made of plastic PA 6 assure a maximum of tightness. Exchangeable, made of neoprene, resistable against wastewater Manual, or by means of electrical or hydraulic actuators.

The manual drives are operated by means of operation keys, handwheels or cranks. Integral controls with programmable switches for intermediate positions are available for the electric actuators. All Typees can be mounted in different ways. You can choose between: Wall- floor- or headstock installation. Special designs are produced and delivered on demand.

Door: Like the frame, the door is a welded construction according to DIN / ISO standard 9001. Our standard designs are reinforced by ribs. That is why they can withstand a maximum pressure of 6 m WS. We provide special designs for installations up to a maximum pressure of 20 m WS Frame: The frame is a heavy welded construction according to DIN / ISO Standard 9001. You can easily fasten it to a concrete wall with its very effective butterfly seal. Function of rollers and wedges: All penstocks are equipped with an adjustable wedging system. Beginning with size 1400 mm, all penstocks doors have a roller system additionally. Therefore the operation is very easy. The guides design enables a lifting of the door to reduce the frictional resistance. So you need less power for the opening. You can vary the closing pressure of the door by means of the continously adjustable system of wedges. That is why you are able to adjust the penstock to off-seating pressure without any problems. Guides: The guides rails are bolted to the frame. You can remove them separately without loosening the frame. Their lenght enables a total opening of the door. The adjusting bolts ensure a higher tightness due to the regulation of the closing pressure. This variable an adjustable wedging system is a positive advantage in case of off-seating pressure. Spindle nut: Each door is operated via a spindle nut made of zinc free aluminum-bronze. Its waste-water resistant trapezoidal thread provides an easy operation even under a high concentration of trash. Spindle and Rod The spindles are made of stainless steel AISI 316 L. They have a trapezoidal thread conforming with the spindle nut. Guides are needed in relation to the extention lenght. They prevent a bending of the spindles or rods. The guides are equipped with adjustable range spacers to compensate irragularities of the wall.

Construction: The stop logs closing consists of the according to components: 1. Stop Log with relief valves 2. Guide (with or wthout top-seal) 3. Lifting beam or elevating chain or ropes Function: Stop logs are needed for shutting off big approach channels. The gates can be put alternately to different channels, i.e. applied to different guides. The lifting is done under pressure balance. That is why the gates have relief valves that open in case of lifting. The valves close automately as soon as the gate is settled.
Material: Guide and gates are made from steel. On demand: stainless steel of 304 or 316 Type. Profile-washer of waste water and sea water resistant Neoprene. Relief valves of stainless steel. Valves housing of cast iron. Accessories: A lifting truck can be offered to lift and handle the gate. But you can do the lifting by chains or ropes as well. Installation - Operating- and Maintenance-Instruction for PURATOR- Penstocks The penstock installation units refer to the following main groups (due to the different drive Typees):

Penstock - Standard model, drive with headstock - bolted design
Penstocks and guides The bolted design provides the fastest installation. That is the reason why it is performed most frequently. Please follow the installation instructions: a) Centralize the penstock (consisting of door and frame) to the wall opening and fix it. Prepare the bore-holes for the anchor and install the anchor bolts properly. You can use the frame as drill pattern.

b) Remove the penstock and adjust the necessary counter nuts to the anchor bolts. Position the counter nuts as far as possible to the the wall. c) After setting up the counter nuts, apply the penstock to the anchor bolts and bolt it up to the wall. The sealing should be adjacent to the wall regularly and under low pressure.

Wall sealing and fastening of the anchor bolts (bolted design)
d) Adjust counter nuts to the frame at a distance of 1.0 cm. Draw the penstock to the counter nuts until the total frame is tighty adjacent to it. Do it in an appropriate way to avoid twisting or bracing. Please note: The distance between the frame and the counter nuts has to be exactly 1.0 cm - everywhere. To assure this, use a range spacer .Well suited for this duty is a piece of wooden panel of 1.0 cm thickness. Guides After adjusting the penstock you have to install the guides and to fasten them at the upper edge with anchor bolts. The installation of the anchor bolts is done as described before. But the distance of the counter nuts has to correspond to the resulting walls parallel. Installation of the drive Bolt the drives brackets or pillars to the wall or ground by means of anchor bolts or heavy duty dowels. In case of difficult concrete conditions, use corresponding equalizing layers. As a matter of principle the drive has to be installed vertically above the spindle.

Spindle extention (Rod) Join the rod to the rod couplings. Screw the spindle into the spindle nut until you reach the right distance to close the couplings. Connect the Rod couplings via the two central connecting bolts. Afterwards install the lateral clamp fasteners. Please note: Dont tighten them too much. Guides The delivered guides have to be devided proportional to the total lenght. The lowest guide is to be placed above the spindle. You can calculate the medium distance between the guides as follows:
Installation depth - dimension of the door - 300 mm ( number of guides + 1)
The positioning is done after installation and adjustment of the rod. Please note: There has to be a minimum distance of 3 mm between guide segments and rod. Wall seal a) The Y-sealing will be absolutely tight if the wall is smoothe and straight. If neccessary you can fill cavities by means of silicon. b) In case of grouting take off the y -sealing. Encase the frame and cast the concrete to fill up the interspace. Adjusting the door Check the adjustment of the penstock and test the installation for leaks. The wedges are preset by our factory and should not be altered. Due to transportation or installation it might be neccessary to readjust them: Close the door totally. Tighten the wedge plugs to their limits. This provides a proportionate contact pressure which is essential for the sealing. Tighten the wedges counter nuts after the adjustment. Check the adjustment by opening and closing the penstock for a second time. Doing this, check the the wedge plugs as well. It might be neccessary to readjust them. Attention: Tightening the wedge plugs too fast, can cause twisting of the frame, blocking or even breaking of the door.

Very important: a) Tighten the penstock in a steady way. Avoid twisting or bracing of frame or door. b) As a matter of principle install the penstock (frame and door) assembled and wedged. The door has to be closed to its limits. c) Build in the spindle in a way, that the door releases the total opening. At its upper limit the door must not open more than 10mm above the aperture. d) Meet the installation depth T (determined by manufacturer) exactly. Arrange the spindle (and its extentions) vertically. e) For installation and maintenance of the electric actuators - please follow the instructions provided by their manifacturers.
Maintenance Instruction for PURATOR - Penstocks a) Penstocks ( frames and doors) Check the wedges after an installation time of one year. Readjust them if neccessary. In case of readjusting take precautions for a propotionate contact pressure, povided by the whole number of wedge plugs. Clean and grease the sealing surfaces during the yearly check-up. We recommend a check-up of the spindle every quarter of a year, cleaning and greasing included. We recommend the spindle check-up more often in case of intallations under difficult weather conditions. Damages of the coating have to be fixed on demand. b) Grease and check the actuators for facility of operation at least once a year. Grease nipples have to be maintained every six months. For the electric actuators follow the instructions provided by their manufacturers.

General sales conditions for technical services

0. APPLICABILITY We sell machines and equipment for industrial use. For the installation and commissioning as well as the maintenance of operability, our trained personnel provide services tailored to individual cases. Specialist personnel can include our own staff, those from other Wallner & Neubert companies or staff specially hired for the job in question. Depending on the nature of the order, either our personnel will carry out the installation, commissioning or maintenance works themselves or merely supervise them where customers provide their own staff. The services will normally only be provided for machines and equipment delivered by us. These general sales conditions (GSCs) apply for the performance of such services. 1. CONCLUSION OF CONTRACT In principle, services will only be performed on the basis of written offers and/ or order confirmations which in turn are based on these GSCs. We are only bound to orders from our customers when we have issued a written order confirmation. The performance of services is always subject of a separate agreement unless this is already expressly included in our sale of machines and equipment. Contract amendments must be made in writing. Members of our specialist personnel are not entitled to undertake such amendments of their own accord. 2. SCOPE OF WORK The nature and scope of the services to be performed are defined in the individual agreements. This definition is normally related to the sending of specific personnel for a specific period of time or for the completion of a specific job. We differentiate between the main types of job such as installation, installation supervision, commissioning, maintenance or training. Additional assignments such as test runs, acceptance tests and the training of operational and service personnel can be included with these main types as the subject of the agreement. 3. STAFF CATEGORIES For the agreed services we will send specifically-trained specialists. These can be divided into the following categories, to be assigned according to agreement and technical background: - Fitters; - Erection foremen/supervisors; - Technicians. These belong to various salary groups for which the respective rates are stated in our offers. 4. DEADLINES We always endeavour to make our specialist personnel available to customers when required. However, in some cases this is not possible; for cost reasons we cannot always justify such a high degree of availability. The sending of specialist personnel requires a certain amount of preparation, from which our customers also benefit. This particularly involves becoming acquainted with the machines and equipment to be installed, commissioned or serviced. Except when other call-up times have been stipulated in stillvalid agreements, we require our customers to request specialist personnel four weeks prior to the date on which the services should commence. On receipt of such a call-up, we will advise our customers in writing as to whether we expect to be able to provide the required specialist personnel on the required date, otherwise when and to what extent this can be expected to take place and, if this can possibly be assessed, how much time the works might take. Confirmations regarding work commencement and duration will be made to the best of our knowledge and belief, but no liabilities or accountability can be derived from this. However, following the setting of a final deadline we concede our customers the right of withdrawal from the order for specialist personnel if we should responsible for a delay in despatch of more than 30 days. Neither we nor our customers are entitled to claim damages on account of such a cancellation of contract. Where possible, we will take customers requests for deadline changes into consideration. In the event of the customer cancelling the call-up of specialist personnel less than two weeks before the schedule commencement of work, we reserve the right to invoice the customer accordingly. In urgent cases, such as the tuning of equipment, we will make every effort to send our customers a member of our specialist staff to remedy the fault which has occurred. 5. PREPARATIONS AND PREREQUISITES FOR THE WORK The confirmation provides information on the expected date for the despatch of our specialist personnel and the prerequisites for the commencement of work on the respective site, unless such information was supplied in the initial offer. This should ensure the immediate commencement of installation work and unimpeded work progress, although prerequisites can vary according to the individual circumstances: - What structural prerequisites must be provided? (Condition of spaces and buildings; foundations, wall lead-throughs, etc.) - What resources must be made available to our specialist personnel? (Electricity, water, steam, etc.) - What support staff must be provided for our specialist personnel? - What auxiliary materials must be present for performance of the service on site? (Cranes, ramps, hoists, etc.). In each case we stipulate the following for the commencement of work: a) The machines and equipment for which the services are to be provided must be available at the work location; b) The structural prerequisites must be provided; c) All necessary authorisations for the commencement and implementation of the services must have been obtained by the customer; d) The necessary resources, support staff and auxiliary materials must be available free of charge to our specialist personnel at the work location; e) The conditions at the work location must preclude any hazard for persons, machines, equipment or tools; f) In the event that the works cannot be completed in one day, a lockable room must be made available to our specialist personnel for the storage of tools and installation material. Our specialist personnel must also have access to hygienic toilets and washing facilities and, if necessary, an appropriate office and telephone. There must be satisfactory lighting at the work location. In the cold season, those rooms where our specialist personnel are required to work should be heated. 6. WORK MATERIAL BROUGHT ONTO SITE BY OUR SPECIALIST PERSONNEL When agreed, our specialist personnel will bring with them the necessary tools and consumable material (welding gas, abrasives, etc.), except where these materials are already available on the work site.

7. CONTACT CONCERNING COMMENCEMENT AND PROGRESS OF WORK On arrival at the work site and when ready to commence work, our specialist personnel will report to the customers nominated representative. In this respect we expect you to immediately make our specialist personnel properly aware of any safety regulations and in the interest of good cooperation to appoint a contact person for our specialist personnel. Our specialist personnel will be required to report to the contact person concerning work progress and any difficulties arising; these will also be recorded in other documents such as installation confirmation. The time of work commencement is recorded in the installation confirmation. The installation confirmation is to be completed for every day on which services are provided or there is entitlement for the claiming of daily or overnight allowances. The installation confirmations are the documentation for the subsequent invoicing to our customers. They are presented weekly by our specialist personnel to the customers authorised representatives for signature. At the end of every week our customers receive a copy of the installation confirmations. If a customer refuses to sign the installation confirmations, we reserve the right to discontinue the service and to immediately submit an invoice for all services rendered to date. We regard the commissioning or recommissioning of machinery, equipment or plant as proof of due implementation of the service order issued by the customer. This also applies if the customer does not advise us immediately and in writing of the occurrence of faults. In the event of a contract including or referring exclusively to the implementation of test runs, the training of operational personnel or the compilation of acceptance reports, then these obligations are regarded as fulfilled as soon as our customer puts the equipment in question into service or at least does not report objections within a reasonable period. 8. TESTING, LIABILITY Our specialist personnel are trained to perform the offered services, have strict instructions to deliver first-class work and possess the necessary skills and experience. We expect our customers to be convinced of the correctness of the services provided at the latest upon completion and to report to us immediately if this does not seem to be the case. We reject all liability for works carried out by our customers or by other agents, even in the event of installation supervision, except where otherwise expressly agreed in an individual case. However we accept liability for the correctness of works carried out and instructions issued by our specialist personnel, insofar as faults in equipment supplied by us or other Wallner & Neubert companies that are the result of improper work or instructions from our specialist personnel will be remedied by our specialist personnel free of charge. We will also supply spare parts and materials required for the repair work free of charge. Any further liability for the correctness of work or instructions is excluded. If the customers specialist personnel are to be trained by our specialist personnel, then the customer will be responsible to selecting sufficiently pretrained personnel for the instruction course. Under no circumstances can we be held liable for a specific level of training success. In respect of liability for any negligence on the part of our specialist personnel, the statutory regulations will apply, with the following constraint: the customer must make use of his property insurance coverage, and it will be assumed that there is adequate fire insurance cover, so that we can never be deemed liable for fire damage. Liability for general financial losses (costs for stoppage, lost production, etc.) is excluded. Liability for compensation in accordance with the Product Liability Act or product liability as regulated by other provisions for property damage to items used by companies for operational purposes is excluded. 9. REMUNERATIONS Except in cases where a fixed, lump-sum payment has been agreed, we will invoice for the services of our specialist personnel according to our hourly and overtime rates, daily and overnight allowances, travelling expenses, homeward travel costs and accommodation allowances valid at the date of conclusion of contract. These can be found on the data sheets attached to the individual agreements. On compiling the invoice, the current rate of value added tax will be applied to the remunerations in question. If the collectively agreed rates that are based on the rates stated in the data sheet have changed since the submission of the offer, then the stated rates will be increased by the same percentage as those in the collective agreement. Duration and scheduling of normal working time are derived from the data sheet, which also includes a ruling regarding overtime hours. Where not otherwise agreed, our specialist personnel will travel to the work site by car. Standby times beyond our responsibility will be invoiced as working time. In the event of standby times lasting more than one week our customers can interrupt the service agreement, send our specialist personnel back to us and submit a new requisition as defined in Point 4. Also, in such a case we are entitled to engage our specialist personnel elsewhere. Should a work interruption of more than a month arise, we reserve the right to withdraw from the service agreement. With the payment of the rates in question, the scheduling of services as defined in Point 4 above, and the provision of tools as defined in Point 6 above are satisfied. However we will invoice our customers for consumable material (welding gas, abrasives, etc.) where this has not been provided by the customer. 10. PAYMENT Invoices will be issued following completion of the works or monthly. Our invoices are payable in full within 10 days of the date of issue. It is not permissible to withhold payments for any reason, unless this has been acknowledged by us in writing. In the event of delay in payment interest will be charged on overdue accounts and we reserve the right to suspend or discontinue ongoing services. The place of payment is Vienna. 11. PROHIBITION OF CASH-IN-HAND WORKING Our specialist personnel are not entitled under any circumstances to perform any services for our customers on their own account or to invoice customers directly. However, if such work should occur, we will regard this as gross violation of the employment contract or the service agreement on the part of our employees or the customer respectively. Without prejudice to other legal sanctions we will invoice the customer for such services at overtime rates.

Terms and Conditions of Sale, Delivery and Payment 2008

1. GENERAL 1.1 These sales, delivery and payment conditions are valid for all sales and other legal transactions with our customers insofar as they are not consumers in the sense of the Austrian Consumer Protection Act (KSchG). In the event that one of our customers does fulfill the characteristics of a consumer in the sense of Austrian Consumer Protect Act those conditions will be modified by the mandatory articles of the currently valid version of the Austrian Consumer Protection Act. Those conditions will also be valid even if contrary conditions of the customer remain unopposed. Such conditions will only be deemed to have been recognized by us if they have been accepted by us in writing prior to the provision of the order confirmation. 1.2 The prices we offer are generally non-binding and only become binding after acceptance of an order. A commitment of any other kind must be specially agreed to. Orders and/or the acceptance of offers generally must take place in writing. Products order via electronic means will be confirmed immediately after the receipt of the customers order. This receipt confirmation does not present any kind of binding acceptance of the order. The receipt confirmation only presents a declaration of acceptance if we expressly declare this. Declarations to our customers are deemed to have been received if they have been given in the event of orders by the customers or if they have been sent to different addresses in writing afterwards. As per these general terms and conditions of trade, declarations that must be provided in writing insofar as nothing to the contrary is declared- may also be provided via fax or email. 1.3 If our order confirmation is not objected to in writing within one week, it is valid as contractual content. 1.4 Prices, if nothing to the contrary has been agreed to, are ex factory plus value-added tax. An increase to the price basis (raw material, collective agreement, energy, other costs) between offer, order and delivery allows us to make a corresponding price adjustment. The conclusion of the contract takes place under the reservation that service will not be provided or provided only in part in the event of incorrect or improper delivery to us of supplies and raw materials. The customer will be informed immediately in the event of unavailability or only partial availability of service. Any service already provided will be refunded immediately. 1.5 Subsequent changes or supplement require our written confirmation in order to be valid. Additional oral agreements are also unenforceable. 2. DELIVERY 2.1 Our business address is deemed to be the place of fulfillment agreed to. Any another place of fulfillment requires written agreement. The products will always be delivered at the cost and risk of the customer insofar as nothing to the contrary is agreed to. Prices in delivery agreements do not include unloading and transportation. 2.2 Agreed upon deliveries assumes that the access road can be drive on by a heavy transportation vehicle. 2.3 The products are deemed to have been delivered even if they are not immediately requested after notification of their readiness to ship; in these cases we are entitled to store the products at the cost of our customers. 2.4 Force Majeure and other unforeseeable events or events not caused by us such as labor disputes, governmental measures, traffic disturbances, interruptions to the energy supply, et cetera as well as traffic accidents not caused by us or our suppliers free us from the obligation of delivery for their duration, even if they have happened to our suppliers or their suppliers, but only insofar, in every event, as we can prove these events as the cause of the disturbance of service to the customer. If delivery is made impossible by these events named, our delivery obligation expires under the same conditions. 2.5 The products will be packed and shipped as is customary. The packaging will be billed at our own wholesale prices. Packaging material will only be taken back or compensated for insofar as this has been agreed to in writing. Loading devices (e.g. palettes, attachment frames, wire boxes, loading lumber, et cetera) will be exchanged for cash against delivery or charged to the buyer wherein we will credit these free of all charges if they are returned within four weeks. The precondition for exchange and return is the proper condition of the loading device. 2.6 The products will only be insured against damage, loss or break during transport upon the written request of the customer and at their expense to their account. Externally recognizable transportation damages must be immediately registered after receipt of the goods to the exclusion of other guarantees and the nature and scope of the damage must be immediately provided in writing. 2.7 In the event that the products ordered are sent in the form of data via the internet and/or acquired by the customer via a download, the risk of destroying or changing the data transfers to the customer upon accessing the network interface. 3. NOTIFICATION OF DEFECTS / GUARANTEE 3.1 We guarantee that the products are in order and posses the standard characteristics; liability for special characteristics is only assumed if this has been confirmed in writing. 3.2 For products that have been designated to be of lower quality, such as second choice, the guarantee is correspondingly limited to those characteristics which can be expected given the special characterization of the product. 3.3 No guarantee can be given for production and material based variations to color nuances. 3.4 Delivered products must be inspected by the customer immediately; defects determined must be immediately registered under a special exclusion of the guarantee prior to processing or installation. 3.5 Returned products will only be accepted by us after prior written agreement and placed in our warehouse free of charge if they are in flawless condition. Our personnel are only allowed to accept products with return certificate created by the company. We are entitled to bill 20% of the amount of the order, as well as any shipping performed, as handling charges but at least 50.00 EUR per occurrence. The return and exchange of custom-made products is generally not possible. 3.6 Our guarantee only applies to defects occurring under compliance with the intended installation, operation and maintenance instructions during normal use. This especially does not apply to defects occurring due to poor assembly by the customer or their agents, poor maintenance, poor repairs or those not conducted with our approval, alterations or normal wear and tear. 3.7 We will then honor our guarantee for defective products via our choice of improvement or exchange. 3.8 If an improvement is not possible or feasible, the customer generally requests their choice of a price reduction or, insofar as this does not merely concern a minor defect, cancellation of the contract. 3.9 The customer bears the entire burden of proof for all claim requirements, particularly those for the defect itself, the time of determination of the defect and the timeliness of the notification of the defect. 3.10 The period of guarantee is six months following the delivery of the product. 3.11 The right of recourse as per 933 b of the Austrian Civil Code (ABGB) in the event that our commercial customer must provide a guarantee to a customer is excluded. 3.12 We do not provide any guarantees to our customers in the legal sense. Manufacturers guarantees are unaffected by this. 4. PRODUCT LIABILITY AND DAMAGE COMPENSATION LIABILITY 4.1 We are liable for damages caused by us in the context of product liability as well as those we are culpable for causing in the context of the valid legal conditions; under consideration of the following fixed conditions: 4.2 We are not liable for the accuracy of information regarding maintenance, use or operation insofar as this is included in prospectuses, technical descriptions or other instructions; these are the responsibility of the manufacturer and/or importer. We are also not obligated to provide any additional information, particularly regarding storage, maintenance, installation or other handling. 4.3 In the event of material or pecuniary damage, we are only liable in the event of deliberate acts or gross negligence by persons accountable to us. The liability is limited to the actual value of the order. Liability for additional damages is expressly prohibited. There is no claim to lost profits in any event. 4.4 Our liability is limited to deliberate misconduct or gross negligence outside of the area of application of the Austrian Product Liability Law. Liability for slight negligence, compensation for consequential and pecuniary damages, unmet savings, loss of interest and damages resulting from the claims of third parties against customers is prohibited. 4.5 The previously listed limitations of liability are not valid for damages to the body or health attributable to us or the loss of life of the customer. 4.6 We are only liable for our own content on our website. Insofar as we enable access to other websites via links, we are not responsible for the external content contained there. The external content is not ours. Insofar as we learn of unlawful content on external websites, we will immediately block access to these pages. 4.7 Claims against us for damage compensation, regardless of what kind, expire insofar as shorter expiration or preclusive periods are not legally valid six months from the time that the customer learned of the damage and the person damage or other event used to make a claim. 5. PAYMENT 5.1 Our bills are due for immediately insofar as no other arrangement has been made. The use of approved discounts requires that all prior bills with the exception of those justifiably objected by our customers have been paid. Incoming payments will be assigned to the oldest respective bills. 5.2 A payment is deemed to have been paid from the day on which we have access to it. 5.3 Our employees are only entitled to accept payments with an express, written, power of collection. 5.4 Checks and bills of exchange will only be accepted as payment with express prior agreement; exchange taxes, discount, objection and collection expenses will be borne by the customer. We make no guarantee for timely billing and objections. 5.5 Offsetting with counterclaims is only permissible insofar as these are recognized by us or have been determined to be legally valid. 5.6 In the event of default in payment, we are entitled, regardless of additional claims, to assess default interest in the amount of 8% above the basic rate. 5.7 All costs associated with dunning, collection and attorneys incurred in the process of the recovery of debt will be borne entirely by the culpable party. 5.8 In the event of default on the part of the customer we are entitled to demand immediate payment of outstanding debts; we are also entitled to this right if we learn of unfavorable circumstances regarding the customers ability to make payment or their economic circumstances after the conclusion of the contract. 5.9 If the customer does not meet our request for payment despite the establishment of an eight-day grace period, we are entitled, regardless of our other rights to take back the products in our possession without simultaneously withdrawing from the contract or to wholly or partial withdraw from the contract to protect our rights, particularly those for damage compensation from non-fulfillment. 5.10 The billed prices agreed upon are valid with the requirement that the agreed upon payment conditions are complied with. If these payments are not made on time, we are entitled to subsequently bill the difference between any discount given and the list prices. 5.11 In the event of aTypeical and unforeseeable price increases in raw materials and/or energy costs underlying our products, we have the right to an extraordinary price adjustment in the sense of correction to the extent of the increase in price for the raw materials for prices already given by us for products subject to damage compensation reduction. In this event, the buyer is entitled to withdraw from the contract using registered mail within a period of 14 days after the announcement of the new sales price. This applies to the agreed upon elimination of possible fulfillment, non-fulfillment and/or breaches of faith. 6. RETENTION OF PROPRIETARY RIGHTS 6.1 Delivered products remain our property until complete payment of all obligations on the part of the customer resulting from the sales contract. The customer is obligated to make the retention of proprietary rights by us on the delivered products known to all. The customer is obligated to treat the products with care during the retention of proprietary rights. Insofar as maintenance and inspection work is necessary, the customer must conduct these regularly at their own expense. 6.2 The customer is entitled to sell products we retain proprietary right over in the course of their daily business. In this case, the customer will cede all possible payments resulting from the sale of our products to third parties to us as payment, which we will accept. The customer is obligated to inform us about the successful cession. After cession, the company is entitled to collect the payment in our name. We reserve the right to collect the payment ourselves as soon as the company has not properly fulfilled their payment obligations and is in default of payment. The customer is obligated to make a corresponding record in their books and invoices. The customer is prohibited from using such products of securities or pawning them as well as any other uses not corresponding to daily business operations. If products that are still our property are pawned or otherwise seized by third parties, the customer must inform us immediately; costs accruing from the enforcement of our rights will be compensated by the customer. 6.3 Manipulation or processing of products that are our property also does not eliminate our reservation of the property; in this event, it is deemed as agreed to that we are entitled to an aliquot share of the joint ownership of the items created by manipulation or processing. 6.4 In the event of elimination of the law enabling the retention of proprietary right, a request for the sales price will take its place. These will then be due to us. 7. PLACE OF FULFILLMENT 7.1 The application of Austrian law has been agreed to. The application of The United Nations Convention on the International Sale of Goods has been mutually excluded. 7.2 The place of jurisdiction is the location of the seller unless the customer is prosecuted elsewhere at the sellers choice. The place of fulfillment is the location of the seller unless the delivery has taken place somewhere as per agreement. 8. CLOSING REMARKS: Should individual conditions of the sales, delivery and payment be wholly or partially unenforceable, the other conditions will remain valid.
