We are pleased to submit herewith our proposal for architectural and engineering design services for the Proposed

______________ project. We have defined below our services based on the following scope of works and conditions: I. SCOPE OF THE PROJECT The Project shall be a ------------ on a lot area of-------------------- square meters. It is understood that the project is located along --------------------------- The preliminary program for the project on which our services shall be based shall consist of : Retail / Anchor and Specialty shops, 3 Cinemas, Food court, 7,103 sq.m. of Covered Parking space and 9,578.50 sq.m. of ------------The total floor area of the entire development is approximately 27,371.50 square meters. II. SERVICES OFFERED _______Architects Engineers Project Development Consultants is prepared to provide full architectural and engineering design services for the project. The scope of services has been outlined to reflect each phase of our design effort. A. CONCEPTUAL/ SCHEMATIC DESIGN PHASE 1the architect will review the Clients program requirements, will inspect the site and shall confer with the Client on how to refine these conditions in order to establish the assumptions and criteria to be used as basis for architectural and engineering design. 2.the architect shall prepare the following submittals based on the established program requirements : Floor Plans Site Development Plan Area Tabulation Probable Construction Cost Perspective

3. Review of schemes with the Owner. B. DESIGN DEVELOPMENT PHASE The architect shall prepare the following Design Development Documents based on the approved Schematic Designs.

At this stage, G&W shall coordinate the Architectural design with various discipline consultants as follows: Structural / Civil Engineering, Electrical Engineering, Plumbing / Sanitary Engineering, Mechanical Engineering (HVAC & Fire Protection Design). C. CONTRACT DOCUMENTS PHASE 1. the architect shall prepare the following Construction Drawing Documents based on the approved Design Development Documents : a. b. c. d. e. f. g. 2. the architect shall check, coordinate and manage all respective construction drawings and documents done by the consultants as to their correctness up to the final architectural drawings prior to bidding and construction.
At this stage, G&W shall coordinate with RLC designated STP , Fountain Supplier and other specialty Consultant, to include their requirements and criteria as part of the Plans.

3. the architect shall provide free of charge (5) five sets of all construction drawings and specifications for permit application and (5) sets for construction use. Extra sets requested by the Owner shall be reimbursed to the Architect. D. PRE-CONSTRUCTION STAGE 1. the architect shall assist the Construction Manager in preparing bid documents( Invitation to bidders, Bid Bulletins, Instruction to bidders, proposal forms, etc.) will make recommendations on appropriate bid packages, lists of prospective bidders/contractors and material suppliers, taking into consideration the scope of work, project schedule, coordination requirements and cost parameters. 2. The architect shall be represented in pre-bid conferences to explain to the bidders the components of the Bid Documents and Drawings, the delineation of contractors respective scope of work and other matters needing clarification. 3. If required he architect will assist in preparation of abstract of bids, evaluation of bids, and preparation of construction contract agreements. E. CONSTRUCTION STAGE

1. the architect shall make available its project manager or his representative, at once a week to perform field inspection and to attend regular meetings to discuss project matters pertaining to procedural requirements, coordination between trades, scheduling, management concerns and technical construction methods for a period of 14 months. Should the project be delayed to more than ----- months due to contractors failure to deliver the project on time, the architect shall charge its direct expenses in performing field inspection duties to the contractor. 2.the architect shall report to the Client any observed non-compliance to the Contract Documents. G&W shall not, however, be held responsible for the contractors failure to carry out construction work in accordance to the Contract Documents. 3. the architect shall check and approve material samples, shop drawings and other items pertaining to the schedules and Contract Documents as required by the Client. Such reviews shall not relieve, however, any contractor, subcontractor, supplier or any other third party from responsibility for any deficiency and for the responsibility to coordinate with other trades work. 4. At the completion and turnover of the project, the architect shall conduct a final inspection, prepare evaluation reports regarding the quality of work of the Contractors and check as-built drawings submitted by the Contractor for approval. 5. The exhaustive and continuous on-site inspection ( 8 hours per day ) to check the quality of the work is not part of this agreement. Such service may be done by a third party or by the Architect's representative base on a separate contract. III. PROBABLE CONSTRUCTION COST Preliminary estimated project construction cost of the Proposed Shopping Center- -------based on the current price per square meter is approximately _______________ ( ------------------------- Pesos). Attached herewith in a separate sheet is the detailed outline of the Probable Construction Cost.

IV. SERVICE FEE For Regular Architectural and Engineering Design Service: The Service Fee shall be lump sum amount of _______________________ Pesos (Php ________________0.00) Only payable to the Architect. The Fee is comprehensive service which includes all Architectural and Engineering discipline as described in Item IIC. Also, the above fee is inclusive of weekly jobsite inspection and coordination meeting, Transportation, board and lodging when necessary, communication and other related expenses incurred during the periodic visits. However, the above fee shall not apply to additional building areas when and if requested by the Owner. V. TERMS OF PAYMENT

Schedule of payments due by the Owner to the Architect for the services rendered shall be as follows : A. First Partial : TEN PERCENT (10%) due us upon signing of the agreement and approval of Schematic Design plans. TEN PERCENT (10%) due us upon approval of Design Criteria. TEN PERCENT (10%) due upon accomplishment of Contract Documents 50%

TWENTY PERCENT (20%) due upon completion and submittal of Contract Documents for Bidding (all trades).
However, should Client decide to temporarily or permanently stop completion of plans and specifications due to no fault of the Architect, thus rendering this phase of professional services incomplete, the Architect shall be entitled to the same compensation as if plans were fully completed.

FIVE PERCENT (5%) due us upon award of contracts to the architectural / structural, mechanical, electrical, sanitary / plumbing and fire protection contractors. FORTY PERCENT (40%) based on service fee shall be divided in monthly partial payments due on the first of each month within the duration of the construction period. FIVE PERCENT (5%) upon turnover of the project to the Owner but not later than sixty (60) days from contractors completion of work.

VI. TAXES No taxes shall be withheld from payments to be made by the Client to ___________. ______________ is a duly registered general professional partnership exempt from withholding tax under BIR Ruling No. 055-79 of July 05, 1979. 12% V.A.T. (Value Added Tax) is not included in the above Service Fee. VII. SUSPENSION OF SERVICES Should the Client decide to temporarily or permanently stop completion of plans and specifications, a written notice should be issued by the Client. In such an event, _____ shall be

entitled to compensation for the phases of service or portions thereof performed prior to the effective date of termination. For the purposes of this section, the amounts shall be based on the percentages of fee allocated to each phase as described in Item V. Terms of Payment. VIII. OTHER CONDITIONS ON SERVICES The following services are not included in the above-quoted Services Fee. They will be included, if authorized / confirmed by the Client in writing, and shall be subject to additional or separate compensation to be agreed upon by both parties. A. Revisions in drawings, specifications or other documents after approval of the Design Development Documents, or when revisions are inconsistent with written approval or instructions previously given, involving changes in program, scope, size or nature of the project, or are required by the enactment or revision of Codes, Laws or Regulations subsequent to the preparation of such documents, or due to other causes not solely within the control of the Architect. [Minor changes in the planning and detailing of the building elements which will not require redesigning and recomputation of engineering system or major modifications in space allocations and positions may be allowed. The Client will be informed by ____ if any instructions for change is considered major and outside the scope of work described in this Agreement. _____ shall advise the Client regarding any adjustments to the Service Fee or completion date due to additional work involved as a result of revisions contemplated by the Client.] B. Detailed Estimates or Construction Cost, detailed quantity services or preparation of bill of materials, equipment and labor, attendance and payrolls, payment and review of suppliers' billings, analyses of managing and operating costs and other related services. Services after turnover of contract or after the final acceptance of the substantial completion of the project by the Client, or providing supervision or inspection service extended more than the provided time allotted for the completion of construction. Environmental impact study for environmental clearance certificate purposes. Designing of Kitchen equipments, Sewage Treatment Plant and equipments, Fountains, landscape elements, signages, Renderings and scale models and other components that requires special trades and consultants. Full Time construction supervision and management ( 8 hours a day)

IX. CLIENT FURNISHED SERVICES AND INFORMATION A. The Client shall provide the Architect with the projects program containing quantification of space requirements, interrelationship of project components, special equipment and systems, preferred materials and construction methodologies (if any), milestone schedules, budgetary limitations and other pertinent data. B. The Client shall furnish, at his expense, certified surveys and other information on the project site showing property boundaries, grades and lines of streets and pavements,

location of existing buildings and other improvements adjacent to the project site, contours of land, available service and utility lines (public and private, above and below grade, including inverts, sizes and capacities), subsoil conditions and soil-bearing capacities. X. OWNERSHIP OF DOCUMENTS All drawings, specifications, computer data and other documents prepared by _____ shall remain its intellectual property. The Client shall obtain the written consent from ____ and its consultants, which will not be withheld unreasonably, in case the Client wishes to use such drawings and documents, in significant parts or in whole, for any other project, for use by a third party, for additions to this project or for the completion of this project should ____ services be terminated under this Agreement. XI. LIABILITIES The architect, its affiliates and subcontractors shall abide by and comply with all applicable laws, rules and regulations of any Philippine governmental or regulatory body having jurisdiction over their professional practice and the services provided in this Agreement.
