WESTERN COVENTRY FIRE DISTRICT Employment Agreement Full Time Captain

This agreement is entered into on the 1st day of_March_ in the year of Two Thousand and Thirteen hy and between the Board of Directors, Western Coventry Fire District hereinafter referred to as "the Employer" and Robert Mann, hereinafter referred to as "the Employee". Whereas, the employer is the duly organized Board of Directors authorized to conduct the business of the Western Coventry Fire District, and Whereas the Employer has the duty and responsibilities of providing the residents of the district, services as mandated by the Charter, By-laws, Standard Administrative Procedures, Standard Operating Procedures, and Whereas the Employer regards the position of the Employee as that of a manager, and Whereas, the Employee desires to be hired by said employer, and BE IT THEREFORE RESOLVED, that the Employer hires the Employee and the Employee accepts employment under the following terms and conditions, 1) LENGTH OF AGREEMENT: Employer hires the employee for a specific term commencing from the "entered into" date indicated above and expiring on the last day of February, in the year Two Thousand and Sixteen. The employer reserves the right to discharge the employee at any time, in the sole discretion of the Employer, for violation of District policies or procedures, poor job performance, fraud or misrepresentation, conviction of a felony or misdemeanor, just cause or engaging in any conduct or activity that tends to harm the reputation of the Employer. 2) RENEWAL: It is further agreed by and between the parties to this agreement, without further action by the parties, that this agreement for services shall be extended for successive periods of one (1) year on the expiration of this agreement, or the expiration of the extension of this agreement, unless notice is sent to the Employee notifying him/her of the Employer's intent to terminate the agreement upon expiration of the aforementioned terras. Such notice shall be sent certified mail, return receipt requested, to the Employee at least thirty (30) days prior to the expiration of this contract, or automatic renewal thereof (as specified herein), as the case may be. 3) SALARY a) The salary paid to the Employee by the Employer for the first year of this agreement shall be $53,280,00. After the employee's successful and satisfactory completion in March of each year of this contract, the employee will be eligible for an annual salary increase based upon COLA1 percentage for that year increased by 1%. The Board of Directors reserves the right to withhold, reduce or delay salary increases due to overall economic conditions and/or economic conditions particular to the District b) The Chief of the Department will evaluate the employee's performance each year on apre-determineddate utilizing the process outlined in WCFD SAP 1610.00 on or at leasts months prior to the anniversary date of the contract The objective performance measures hi WCFD SAP 1610.00, will be communicated to the Board of Directors in advance of the annual contract anniversary by the Chief of the Western Coventry Fire Department for ratification. Once the salary adjustment is approved by the Western Coventry Board of Directors, it will become effective the first pay period following the contract anniversary date. c) It is further agreed that ninety (90) days or sooner prior to the renewal/expiration date of this agreement as set forth above, the Employer and Employee shall enter into good faith negotiations to establish Employee's eligibility based on performance evaluations, salary and fringe benefits for the next agreement period should this agreement not be extended and that the need for this position as described herein continues to exist

d) It is further agreed that if the Employer wishes to revise this agreement or to create a new agreement prior to the expiration of this agreement, the Employee will have the option of continuing his/her employment under the conditions of this agreement or agree to the revised or new agreement and formally releasing the Employer from this agreement. 4) FRINGE BENEFITS: The Employee shall receive from the Employer a fringe benefit package consisting of: a) Family Health and Dental Insurance - SeeSAP 1212.02, Insurance andDeath Benefits Policy, effective date 02/13/2013. b) Death Benefit- See SAP 1212.02, Insurance andDeath Benefits, effective date 02/1372013. c) On the job injuries - See SAP 1212.02, Insurance arid Death Benefits, effective date 02/13/2013, d) Retirement Account Plan-See SAP 1212.03, Simplified Individual Retirement Account Plan for District Employees, effective date 02/13/2013 e) Paid Holidays-See SAP 1212.01 Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. f) Vacation Leave- See SAP 1212.01, Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. The employer and employee agree that of the I "2> total hours of previously earned paid time off by the employee but unused and not bought back by the employer, $Q hours wfll be credited to the employee's vacation leave accrual account under the conditions of this SAP. g) Sick Leave-See SAP 1212.01, Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. The employer and employee agree that of the \2& total hours of previously earned paid time off by the employee but unused and not bought back by the employer, -^c) hours will be credited to the employee's sick leave accrual account under the conditions of this SAP. h) Compensatory Leave- See SAP 1212.01, Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. i) Bereavement Leave-See SAP 1212.01, Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. j) Maternity Leave- See SAP 1212.01 Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. k) Military Leave - See SAP 1212.01 Time Off Personnel Policy for Full Time Employees, effective date 02/13/2013. 1) Uniform Allowance- 600 on an annual basis for approved uniform components for the duration of this agreement will be provided by the employer. Payment will be made to the employee upon the submission to the District of a paid receipt or the District will make payment directly to the vendor upon the receipt of an invoice. 5) JOB DESCRIPTION AND JOB TITLE: Employee's title shall be Captain. The Employee's obligations, duties and responsibilities shall be as follows: a) The position of Captain is a management position with duties consistent with but not limited to approved administrative procedures describing the position. b) Shall work with the Chief and/or Deputy Chief to establish and maintain operational policies, best practices and appropriate training programs. c) Serve as mentor to subordinate Department members. d) Shall keep current his/her EMS Cardiac certification and shall be qualified to respond to both fire and EMS calls. e) Ensure operational readiness of all Fire and Rescue apparatus. f) Ensure that the Fire stations are kept in a neat and orderly condition. g) Ensure that routine maintenance on District apparatus and facilities are conducted. h) Perform data entry into the Station's database and perform other administrative duties as assigned by the Chief and/or Deputy Chief i) Perform other department duties as assigned by the Chief. 6) CONFIDENTIALITY: Except as may be required in the course of the performance of Employee's duties, or unless required by law or specifically authorized in advance and in writing by Employer, Employee shall not use or disclose, either during or after the term of this agreement, any confidential information of any nature. For purposes of this Contract, "Confidential Information" shall mean any and ail information relating to the District, the Department, their finances, their operations, the confidential or closed meetings of District or Department leadership, those to whom rescue or fire services are provided that is governed by the Health Insurance Accountability and Portability Act, District residents, employees of the District or Department,

operations of the District or Department, health-related information of any person associated with tie District or Department or receiving services from either of them or financial information relating to such persons or entities, whether such information is obtained by or furnished to Employee before, during or after the term hereof, and regardless of the manner in which it is obtained or furnished. Any violation of such confidentiality requirement, in addition to applicable civil and/or criminal, penalties, shall be cause for disciplinary action or dismissal. 7) WORK HOURS: a) As a management position, the employee is expected to provide the District with the appropriate number of hours for each pay period required to satisfactorily carry out the responsibilities assigned to the position, b) If necessary, the Chief of the Department shall have the authority to assign the specific hours of work. c) Typically, there shall be a minimum of forty (40) work hours within a seven (7) day period. d) The employee is required to be available for all emergency services when on duty and is expected to make himself/herself available to manage and/or participate in any emergency service that he/she deems that their involvement is necessary to provide a quality service regardless of the time of day of the incident e) Informal and reasonable meal breaks may betaken at the station while on duty providing emergency services are not hindered. f) Any normal work day shall not exceed twelve continuous hours unless dramatic emergency conditions exist g) The Full Time Captain shall assist the Chief and the Deputy Chief in creating the work schedule. This schedule will be subject to change based upon the emergency service needs of the Fire District h) Any provision utilizing hours as set forth in this article or as may be set forth or otherwise applied elsewhere in this agreement shall in no way establish that the Employee is anything other than a salaried manager for purposes of Federal Fair Labor Standards Act" or words to this effect 8) REIMSURSEMENT: Al] Employer approved expenses shall be paid by the Employee and be reimbursed by Employer in a reasonable period of time after Employee provides documentation, verifying said expenditures and in the case of train ing, verification of successful completion of training. 9) SURVTV ABILITY: It Is expressly agreed thatthis agreement shall survive in the case of sale of Employer or merger of Employer with any other organization given that any sale or merger does not terminate this agreement 10) LAW: This agreement shall be interpreted and governed by the laws of the state of Rhode Island. 11) JURISDICTION: Both parties agree that the Rhode Island Courts shall have the executive jurisdiction over any and all controversy arising out of this agreement and the parties by agreement, submit themselves to the jurisdiction of Rhode Island. 12) MUTUAL AUTHORSHIP: It is agreed that both parties acting in concert mutually drafted this document and are responsible for its content IN WITNESS WHEREOF, we have this date affixed our hand and seal. It is understood that should a paid holiday as outlined in the above referenced Employment Agreements fall upon a day that the Employee is not scheduled to be on duty as their normal work schedule dictates, then a day of compensatory time-off will be earned and must be used on a date at the discretion of the Chief within the same WCFD fiscal year of the related holiday. A record is to be made of all earned compensatory time and the use of all compensatory time on the weekly time sheets. Johri Humble
