Article 4. Interpretation of Terms
Terms in this Law (Vietnam’s Law
on procurement) shall be construed
as follows:
1. State funds includes the State
budget, State-guaranteed credit, State
credit for development investment,
development investment capital of
State-owned enterprises, and other
funds managed by the State.
2. Procurement is the process of
selecting a bidder who is responsive to
the Procuring Entity’s requirements to
implement packages of the projects
designated in Article 1 of this Law on
the basis of competition, fairness,
transparency, efficiency and economy.
3. Procurement activities include the
activities of related parties in the
bidder selection process.
4. Bidding process includes
preparation for bidding, organization
of bidding, evaluation of bids,
appraisal and approval of bidding
result, announcement of award,
finalization of contract, and signature
of contract.
5. National bidding is the process of
selecting bidders who are responsive
to the Procuring Entity’s requirements,
with participation by domestic bidders
only.
6. International bidding is the
process of selecting bidders who are
responsive to the Procuring Entity’s
requirements, with participation by
domestic bidders only.
7. Project means a set of proposals for
implementing part or the whole of
work to achieve a particular objective
or requirement in a pre-defined period
Điều 4. Giải thích từ ngữ
Trong Luật này, các từ ngữ dưới đây
được hiểu như sau:
1. Vốn nhà nước bao gồm vốn ngân
sách nhà nước, vốn tín dụng do Nhà
nước bảo lãnh, vốn tín dụng đầu tư
phát triển của Nhà nước, vốn đầu tư
phát triển của doanh nghiệp nhà
nước và các vốn khác do Nhà nước
quản lý.
2. Đấu thầu là quá trình lựa chọn
nhà thầu đáp ứng các yêu cầu của
bên mời thầu để thực hiện gói thầu
thuộc các dự án quy định tại Điều 1
của Luật này trên cơ sở bảo đảm
tính cạnh tranh, công bằng, minh
bạch và hiệu quả kinh tế.
3. Hoạt động đấu thầu bao gồm
các hoạt động của các bên liên quan
trong quá trình lựa chọn nhà thầu.
4. Trình tự thực hiện đấu thầu
gồm các bước chuẩn bị đấu thầu, tổ
chức đấu thầu, đánh giá hồ sơ dự
thầu, thẩm định và phê duyệt kết
quả đấu thầu, thông báo kết quả đấu
thầu, thương thảo, hoàn thiện hợp
đồng và ký kết hợp đồng.
5. Đấu thầu trong nước là quá trình
lựa chọn nhà thầu đáp ứng các yêu
cầu của bên mời thầu với sự tham
gia của các nhà thầu trong nước.
6. Đấu thầu quốc tế là quá trình lựa
chọn nhà thầu đáp ứng các yêu cầu
của bên mời thầu với sự tham gia
của các nhà thầu nước ngoài và nhà
thầu trong nước.
7. Dự án là tập hợp các đề xuất để
thực hiện một phần hay toàn bộ
công việc nhằm đạt được mục tiêu
hay yêu cầu nào đó trong một thời

8. Competent Person is a person who
is authorized to make decisions on
project in accordance with applicable
legislations. For those projects
financed by State funds of State-
owned enterprises of 30% or more,
except for 100% State-funded projects,
the Competent Person is the Board of
Directors or the authorized
representatives of the stakeholders.
9. Investment Owner is the owner of
the funds, or who is authorized to
represent the funds owner, or a
borrower who directly manages and
administers the projects designated in
paragraph 7 of this Article.
10. Procuring Entity means the
Investment Owner or a professional
organization with sufficient capacity
and experience to be used by the
Investment Owner to organize a
procurement in accordance with the
legislations on procurement.
11. Bidder is an organization or
individual eligible in accordance with
Article 7 or Article 8 of this Law.
12. Principal bidder is a bidder who
takes responsibility for participating in
a procurement, signing the bid, and
signing and performing the contract if
selected (hereinafter referred to as the
bidder participating in the
procurement). A bidder that bids by
itself is referred to as an independent
bidder. A bidder who associates with
one or more other bidders to submit
one bid procurement is referred to as a
joint venture.
13. Consultant bidder is a bidder
who participates in the procurement of
products of consulting services that
meet the knowledge and professional
experience requirements set forth in
paragraph 34 of this Article.
14. Supplier bidder is a bidder who
participates in the procurement of
goods as defined in paragraph 35 of
this Article.
15. Contractor bidder is a bidder

8. Người có thẩm quyền là người
được quyền quyết định dự án theo
quy định của pháp luật. Đối với các
dự án có sự tham gia vốn nhà nước
của doanh nghiệp nhà nước từ 30%
trở lên, trừ các dự án sử dụng 100%
vốn nhà nước, thì người có thẩm
quyền là Hội đồng quản trị hoặc đại
diện có thẩm quyền của các bên
tham gia góp vốn.
9. Chủ đầu tư là người sở hữu vốn
hoặc được giao trách nhiệm thay
mặt chủ sở hữu, người vay vốn trực
tiếp quản lý và thực hiện dự án quy
định tại khoản 7 Điều này.
10. Bên mời thầu là chủ đầu tư
hoặc tổ chức chuyên môn có đủ
năng lực và kinh nghiệm được chủ
đầu tư sử dụng để tổ chức đấu thầu
theo các quy định của pháp luật về
đấu thầu.
11. Nhà thầu là tổ chức, cá nhân có
đủ tư cách hợp lệ theo quy định tại
Điều 7, Điều 8 của Luật này.
12. Nhà thầu chính là nhà thầu chịu
trách nhiệm về việc tham gia đấu
thầu, đứng tên dự thầu, ký kết và
thực hiện hợp đồng nếu được lựa
chọn (sau đây gọi là nhà thầu tham
gia đấu thầu). Nhà thầu tham gia
đấu thầu một cách độc lập gọi là nhà
thầu độc lập. Nhà thầu cùng với một
hoặc nhiều nhà thầu khác tham gia
đấu thầu trong một đơn dự thầu thì
gọi là nhà thầu liên danh.
13. Nhà thầu tư vấn là nhà thầu
tham gia đấu thầu cung cấp các sản
phẩm đáp ứng yêu cầu về kiến thức
và kinh nghiệm chuyên môn quy
định tại khoản 34 Điều này.
14. Nhà thầu cung cấp là nhà thầu
tham gia đấu thầu các gói thầu cung
cấp hàng hóa quy định tại khoản 35
Điều này.
15. Nhà thầu xây dựng là nhà thầu
who participates in the procurement of
civil works as defined in paragraph 36
of this Article.
16. EPC bidder is a bidder who
participates in the procurement of an
EPC package as defined in paragraph
21 of this Article.
17. Subcontractor is a bidder who
performs part of a procurement
package under an agreement or
contract signed with a principal bidder.
A subcontractor is not responsible for
participating in the procurement.
18. Domestic bidder is a bidder which
is established and operates in
accordance with Vietnamese laws.
19. Foreign bidder is a bidder which
is established and operates in
accordance with the laws of the
country of its foreign nationality.
20. Procurement package is a part of
a project, or in special cases the entire
project; it may include procurement of
similar items for different projects or
one-time procurement quantity of
items using recurrent expenditures.
21. EPC package is a procurement
package that covers all tasks of
engineering, procurement of
equipment, materials and civil works.
22. Prequalification documents are
all the documents that prescribe
qualification and experience
requirements for bidders, providing
the legal basis for the Procuring Entity
to select the list of bidders to be
invited to bid.
23. Prequalification application is
the set of documents prepared by a
bidder in accordance with the
requirements of the prequalification
documents.
24. Bidding documents are all the
documents used for open bidding or
limited bidding, including the
requirements applicable to the
procurement package. They serve as
the legal basis for bidders to prepare
their bids and for the Procuring Entity

chịu trách nhiệm về việc tham gia
đấu thầu.
18. Nhà thầu trong nước là nhà
thầu được thành lập và hoạt động
theo pháp luật Việt Nam.
19. Nhà thầu nước ngoài là nhà
thầu được thành lập và hoạt động
theo pháp luật của nước mà nhà thầu
mang quốc tịch.
20. Gói thầu là một phần của dự án,
trong một số trường hợp đặc biệt gói
thầu là toàn bộ dự án; gói thầu có
thể gồm những nội dung mua sắm
giống nhau thuộc nhiều dự án hoặc
là khối lượng mua sắm một lần đối
với mua sắm thường xuyên.
21. Gói thầu EPC là gói thầu bao
gồm toàn bộ các công việc thiết kế,
cung cấp thiết bị, vật tư và xây lắp.
22. Hồ sơ mời sơ tuyển là toàn bộ
tài liệu bao gồm các yêu cầu về
năng lực và kinh nghiệm đối với nhà
thầu làm căn cứ pháp lý để bên mời
thầu lựa chọn danh sách nhà thầu
mời tham gia đấu thầu.
23. Hồ sơ dự sơ tuyển là toàn bộ tài
liệu do nhà thầu lập theo yêu cầu
của hồ sơ mời sơ tuyển.
24. Hồ sơ mời thầu là toàn bộ tài
liệu sử dụng cho đấu thầu rộng rãi
hoặc đấu thầu hạn chế bao gồm các
yêu cầu cho một gói thầu làm căn cứ
pháp lý để nhà thầu chuẩn bị hồ sơ
dự thầu và để bên mời thầu đánh giá
hồ sơ dự thầu nhằm lựa chọn nhà

25. Bid is the set of documents
prepared by a bidder in accordance
with requirements of the bidding
documents and submitted to Procuring
Entity in accordance with provisions
of the bidding documents.
26. Estimated price is the value of a
procurement package as specified in
the procurement plan, calculated on
the basis of the approved total
investment, total cost estimate, or cost
estimate in accordance with current
legislations.
27. Bid price is the price offered by
the bidder in the bid form included
within its bid. In case the bidder offers
letter of discount, bid price is the price
after deduction of such discount.
28. Proposed winning price is the
price proposed by the Procuring Entity
based on the bid price submitted by
the selected successful bidder after the
correction of errors and adjustment of
deviations from the requirements of
the bidding documents.
29. Bid winning price is the price
approved in the bidder selection result
that forms the basis for finalizing and
signing the contract.
30. Cost on the same ground is the
bid price offered by the bidder to
implement the procurement package
after the correction of errors and
adjustment of deviations, plus the
necessary fees of operation,
maintenance, and other fees relating to
the schedule, maintenance, and other
fees relating to the schedule, quality
and origin of the goods or civil works
during the whole in-use period. The
cost on the same ground is used to
compare and rank the bids, and is
referred to as the evaluated price.
31. Contract is a document signed
between the Investment Owner and the
selected bidder based on agreement
reached between the parties, in
accordance with the decision on

duyệt và các quy định hiện hành.
27. Giá dự thầu là giá do nhà thầu
nêu trong đơn dự thầu thuộc hồ sơ
dự thầu. Trường hợp nhà thầu có thư
giảm giá thì giá dự thầu là giá sau
giảm giá.
28. Giá đề nghị trúng thầu là giá
do bên mời thầu đề nghị trên cơ sở
giá dự thầu của nhà thầu được lựa
chọn trúng thầu sau sửa lỗi, hiệu
chỉnh các sai lệch theo yêu cầu của
hồ sơ mời thầu.
29. Giá trúng thầu là giá được phê
duyệt trong kết quả lựa chọn nhà
thầu làm cơ sở để thương thảo, hoàn
thiện và ký kết hợp đồng.
30. Chi phí trên cùng một mặt
bằng bao gồm giá dự thầu do nhà
thầu đề xuất để thực hiện gói thầu
sau khi đã sửa lỗi và hiệu chỉnh sai
lệch, cộng với các chi phí cần thiết
để vận hành, bảo dưỡng và các chi
phí khác liên quan đến tiến độ, chất
lượng, nguồn gốc của hàng hóa hoặc
công trình thuộc gói thầu trong suốt
thời gian sử dụng. Chi phí trên cùng
một mặt bằng dùng để so sánh, xếp
hạng hồ sơ dự thầu và được gọi là
giá đánh giá.
31. Hợp đồng là văn bản ký kết
giữa chủ đầu tư và nhà thầu được
lựa chọn trên cơ sở thỏa thuận giữa
các bên nhưng phải phù hợp với
quyết định phê duyệt kết quả lựa
