As a contractor working on the OUTLETS OF MISSISSIPPI Shopping Center property, all contractors must sign the attached acknowledgement form and provide a list of your company contracts and subcontractors working on tenant spaces. You will not be allowed access to the space or given permission to start any mobilization or work until ALL information is provided and signed below: I, as primary contractor for Tenant Space #_______, acknowledge and verify that I have read all the Rules and Regulations provided as attached to this form and agree that I will abide and adhere to same. By violation of any rules and regulations, I agree that I may forfeit any and all of the Contractor Security Deposit and may be required to leave the property upon written notice from the Construction Office by the Tenant Coordinator, the Project Manager for W.G. Yates & Sons Construction Company, or Project Security. I agree that I shall park in areas that are designated for Tenant Contractor Parking and understand the designated areas will change periodically as required to complete site improvements. Tenant Contractors shall use Landlord provided dumpsters as instructed. I shall access common areas of the shopping center for access to tenant premises as instructed. All delivery of materials or tools used in conjunction with building of tenant space shall be made through rear egress doors of the space and by use of corridors provided. All contractors requiring use of lifts, gang boxes, or any equipment to install storefront signs will be required to use equipment that only have pneumatic tires with plywood underlayment on all sidewalks and paver surfaces. Introduction

RULES AND REGULATIONS FOR STORE CONSTRUCTION OUTLETS OF MISSISSIPPI

Construction of Tenant's premises shall be in complete conformance with Lease Exhibit "D", then the Tenant Handbook, and then by Tenant plans and specifications approved by Landlord. Tenant s h a l l provide a copy of these Rules and Regulations and The Tenant Handbook to his contractor(s). Tenant's general contractor shall employ a competent f u l l time s uperi nte nde nt on site at all times during construction and shall observe safety practices established by Landlord and any applicable regulations. All contractors and subcontractors shall be properly licensed by the State of Mississippi holding a Certificate of Responsibility and they must be licensed and bonded by the City of Pearl and obtain a plumbing, electrical mechanical, etc. permits. All General Contractors must provide a $5,000 General Contractors Bond with the City of Pearl, MS. Tenants seeking qualified contractors may contact Landlord's Tenant Coordinators for assistance. Contractors and subcontractors shall not discriminate against any person or group of persons due to race, age, sex, color, creed, religion, marital status, handicap, national origin, or ancestry. All contractors shall be capable of performing quality work, shall have good labor relations, and shall work in harmony with Landlord's contractor(s), other contractors on the job, and any other labor entity at or servicing Outlets of Mississippi. Tenant shall immediately terminate the services of any contractor or subcontractor whose labor relations or actions may cause a work stoppage and/or interference with the construction schedule, Grand Opening, or o p e r a t i o n of T h e Outlets of Mississippi. Subsequent to Grand Opening, Tenant's contractor shall cooperate with Landlord's representatives and other contractors to coordinate their work, so as not to interfere with the operations of existing stores and to not impede or endanger the safety of the public. Tenant's contractor shall require that each of his subcontractors, to the extent of their work, be bound to the complete terms of the agreement between Landlord and Tenant, to these Rules and Regulations, a n d to The Tenant Handbook. Additional Tenant Construction Guidelines shall be binding and made pm1 of these Rules and Regulations, by reference only, upon distribution at or before the preconstruction meeting. Tenant Contractor shall acknowledge receipt of the Construction Guidelines, and their acceptance, by signing for them prior to the start of construction. Before starting construction, Tenant's contractor shall comply with the following: A. A preconstruction meeting must be held with Landlord's Tenant Coordinators to define proper access routes to the premises, designated contractor parking, designated loading, unloading and storage areas, working hours, utilities, safety precautions and procedures, rubbish and trash removal, the schedule of Tenant's construction, any Tenantspecific construction concerns, any additional Construction Guidelines, and any other rules and regulations governing construction, and any other such matters. B. The contractor shall provide a refundable security deposit to cover any damage not addressed while on site. There are no exceptions. Contractors doing more than one build out are expected to provide said deposit per each location. The deposit will be in the form of a check made payable to Bloomfield Holdings, LLC for the amount of $2,000.00. This will not be kept in an interestbearing account. The deposit will be returned upon application by the tenant contractor at the end of the construction assuming no damage claims against it. C. The Landlord will be providing dumpsters for the project. Tenant Contractor shall pay $1.00 per sq. ft. of tenant space for this service. A separate check, made payable to Bloomfield Holdings, LLC, should be delivered at the time of the preconstruction conference D. Tenant's contractor shall verify that Final Construction Documents have been approved for construction by Landlord and that such Documents incorporate all Landlord comments. E. Building Permit(s) shall be obtained; original(s) shall be posted at the jobsite and copies shall be provided to Landlord's representative, F. Certificates of current inforce insurance meeting Landlord's requirements shall be provided to Landlord's representative. A sample form is attached to these Rules and Regulations and must show the names of the additional insured as shown on the form, G. A list of all contractors and subcontractors to be working on the premises (including any contractors designated by Landlord), with contact information as shown on attached form. H. Tenant's contractor shall verify onsite dimensions and existing conditions of the premises. I. Tenant's contractor shall provide Landlord's representative a construction schedule showing the work progress and anticipated completion of the premises. J. Contractor shall pay Landlord $300.00 per occurrence for each sprinkler shutdown as required.

Prerequisites to Tenant Construction

Permits

Insurance Requirements

Contractor's Liability Insurance. The Contractor shall maintain such insurance as will protect the Owner and operations under the Contract, as follows: 1. Workers' Compensation Insurance.

Building permits are required for any work to be performed at Outlets of Mississippi. Permits are also required for electrical, plumbing, and HV AC work. Prior to the issuance of permits, all associated fees must be paid. See attached process for submitting plans for permitting. All food service Tenants (including any with on-site preparation, or prepackaged food and/or beverages) shall obtain any required approvals and/or food service permit(s) from the State of Mississippi Department of Professional Regulation, Division of Hotels and Restaurants, and the Ra n k i n County Health Department. Tenant's licensed sign contractor shall submit the required documents to the City of Pearl, MS to obtain any sign permits.

Completed Operations Coverage. With respect to completed operations liability, when the entire Work has been determined complete by the Contractor and accepted by the Owner, Contractor agrees to furnish evidence of such insurance coverage for two (2) successive twelve (12) month periods. 2.4 In the event that asbestos or lead abatement comprises any part of the Work, Contractor shall provide asbestos and/or lead abatement coverage in a minimum amount of $2,000,000 per occurrence. Commercial Automobile Liability. Contractor shall carry insurance to insure it for operations of all owned, hired, and non-owned vehicles with limits for each accident of not less than $1,000,000 Combined Single Limit with respect to Bodily Injury, Death, and Property Damage. All insurance policies shall name as additional insured, as their interest may appear, the following: Spectrum Capital, LLC Spectrum Bloomfield, LLC Bloomfield Investments, LLC W. G. Yates & Sons Construction Company 2.3 Tenant's Builder's Risk Insurance - The Lease provides that the Tenant will provide an "All Physical Loss" Builder's Risk Insurance policy on all Tenant's Work to be formed in the premises. The policy will include Tenant, its contractor, subcontractors and the Landlord as named insured, as their interests appear. The amount of insurance to be provided will be one hundred percent (I00%) of the full replacement cost. Certificates of insurance shall provide that no change or cancellation of such insurance will be undet1aken without thirty days written notice to the Landlord. Original certificates of current in force insurance must be filed with the Landlord's representative before the commencement of construction. Renewal certificates must be submitted 10 days prior to the expiration of existing coverage. Insurance must remain in force for one year after completion of the work

Access and Deliveries


Access to the site and the Tenant's premises is restricted to only those employees working on the premises. Children and pets are prohibited from the site and the Tenant's premises during construction. Access to the site and Tenants premises at other than normal construction hours must be scheduled in advance and coordinated with Landlord. Parking is permitted only in designated areas as defined by Landlord's representative at the Preconstruction Meeting. Parking is not permitted at building fronts or in any service/delivery courts or trash handling area. Landlord's representative will designate service/delivery courts and trash handling areas to be used by Tenant contractors and subcontractors... Service/delivery courts are only for immediate loading and unloading. Violators' vehicles will be towed at their expense. Access for and deliveries of material and equipment are restricted to service/delivery courts and the most direct access routes to Tenant's premises. No deliveries are permitted through front entrance to premises. Deliveries to Tenant premises lacking service/delivery courts or rear access doors may be restricted to off hours. The use of any tenant spaces other than Tenant's own premises for deliveries is prohibited. The delivery of any equipment, assembly, appliance, or fixture large enough to test the capacity of the service/delivery court or access way or requiring special handling must be scheduled in advance and coordinated with the Landlord's representative. Tenant contractors and subcontractors shall protect all pavements, curbs, ramps, railing, flooring, building, lighting, and landscaping when making deliveries. Steelwheel carts and equipment are prohibited. All Tenant construction materials, equipment, tools, supplies, etc. shall be stored and secured within Tenant's premises. Landlord is not responsible for loss or theft of any items from Tenant's premises.

Security and Safety


Landlord has adopted all state safety rules and the complete Occupational S a f e t y and H e a l t h Administration (OSHA) Safety Standards Part 1926 and any amendments thereto, to be followed b y all persons and companies employed at Outlets of Mississippi. Appropriate wo rk clothing, shoes, and safety equipment must be worn at all times. No flammable materials, other than those to be consumed during that workday, are to be stored in any Landlord throughout construction. Once Landlord buildings are

enclosed, smoking is prohibited. Tenant's contractor shall use caution in locating, stocking, and moving materials and equipment so as to not overload any floor, ramp, or structure.

Construction Schedule Store Construction

Tenant's contractor shall promptly provide to Landlord's representative a construction schedule showing anticipated work progress, significant deliveries, and completion of the premises.

Construction Utilities Fire alarm system:

Should access to adjacent tenant premises be necessary, it is Tenant's contractor's responsibility to schedule and make arrangements for such access and to protect that tenant's premises, construction, finishes, and/or merchandise. Tenant's contractor is responsible for any damage or loss brought about by his actions. Work on the public side of the storefront after any barricade has been removed is permitted only during off hours. Public side pavements, construction, and finishes shall be protected and the area shall be cleaned after each work period.

Upon turnover by Landlord to Tenant's Contractor, electric utilities meter shall be changed to Tenant's name within 48 hours.

This facility will be equipped with a Central Fire Alarm & Monitoring System that monitors all public access areas including food court area, public access areas, administration areas, storage and utility areas such as electrical, communications and mechanical equipment rooms. This facility is also fully sprinkled with tamper and flow switching monitored by the Central Fire Alarm Panel. Each tenant space is required to have duct mounted smoke detectors in each roof top a/c unit. These detectors are monitored by the Central Fire Alarm Panel. To facilitate the monitoring of these detectors, Landlord will install, wire and connect each detector to the Central Fire Alarm Panel. Cost of this installation and connection is $340 per roof top unit in the space. This cost is to be paid by check at the preconstruction conference and check should be made payable to Bloomfield Holdings, LLC.

Violations

Tenant's contractor's shall schedule inspections by the appropriate Building Department, Health Department, and other inspectors as necessary and shall comply with their requirements, codes, and regulations. Inspections will not be made if permits and approved stamped construction documents are not on-site. A copy of all inspection reports shall be provided to Landlord's representative. Inspections shall be scheduled to allow adequate time for corrections and re-inspections if necessary, prior to the store opening. No Tenant shall open for business without final approvals of the local building Department, Fire Marshall, Health Department, and Landlord's representative. At appropriate intervals and on completion, Landlord's representative may inspect Tenant's premises for compliance with Landlord-approved construction documents. Deviations or unsatisfactory workmanship shall be immediately corrected, regardless of their acceptance by either Tenant or public authorities. Tenant's contractor shall notify Landlord's representative of completion of the space. Landlord's representative shall inspect the premises and issue a punch list if remedial action is required. If remedial work is not completed promptly, it may be completed by Landlord, at Tenant's expense. If Tenant is notified of any violation of codes, ordinances, or regulations or of its obligations under this Handbook either by Landlord or governing authorities, Tenant shall correct such deficiencies within seven calendar days. If Tenant fails to comply, Landlord may, at Tenant's expense, correct such deficiencies at actual cost plus fifteen percent for administration.

Landlord shall provide dumpster to be placed in area designated by Landlord at costs to tenant of $1.00 per SF of tenant space. During construction, Tenant shall daily clean the premises and surrounding area and shall remove all construction debris from the premises to Tenant's designated dumpsters. Public areas, pedestrian walkways, service/delivery courts and corridors, adjacent tenant spaces, and the exterior of Landlord buildings shall be kept clear of Tenant's and Tenant's contractor's equipment, materials, merchandise, fixtures, and trash at all times.

Landlord shall provide standard paving material to the Lease Line only. Tenant's contractor is responsible for providing all other flooring materials and finishes required. All public area finishes and adjacent Tenant spaces shall be protected from damage and dirt. It is Tenant's responsibility to repair all existing Landlord or adjacent Tenant construction and finishes damaged as a result of Tenant's construction. Landlord shall monitor any damages and shall appropriately assign responsibility and costs to Tenant's contractor or any repairs not property completed.

Tenant's contractor shall not deviate from approved construction documents and specifications without prior written permission of Tenant, Landlord's representative, and the Building Department and/or other governmental agency having jurisdiction.

Prior to any concrete coring or saw cutting, Tenant's Contractor shall lay out al1 proposed penetrations, provide pilot holes, and obtain approval f r o m Landlord's representative. Tenant's contractor is responsible for all coordination of the work. Tenant's Contractor is not permitted to modify, attach to, or hang any loads from Landlord's duct work, water lines, sprinkler lines, conduit, bridging, or metal deck. Attachments shall extend to the top chord of structural joists at panel points locations. Conduit maybe attached to the bottom chord. No drilling of or welding to Landlord's structural steel is permitted without prior approval of Landlord's representative. Roof access is restricted to Landlord's personnel and Landlord's designated contractors. No tenant contractor or subcontractor is permitted on any roof without specific prior permission from Landlord's representative. Any roof penetration or installation of flashing for Tenant equipment shall be by Landlord's designated contractor, Hi-Tek Fire Sprinklers Inc, at Tenant's expense.

Certificate of Occupancy Waivers of Lien

In making progress and final payments to contractors, Tenant should obtain valid Waivers of Lien including payment in full for labor, materials, and subcontractors. Landlord may request to see evidence of such Waivers before permitting Tenant to open the premises for business. All payments and liens must be resolved prior to the release of the full Tenant Allowance and the Contractor's security deposit.

Tenant shall obtain a Certificate of Occupancy from the City of P e a r l , M S Building Department and shall provide a copy to Landlord's representative prior to opening the premises to the public. The original shall be posted within the Tenant's premises.
