A conuominium is an inteiest in ieal piopeity consisting of sepaiate inteiest in a unit in a iesiuential, inuustiial oi commeicial builuing anu an unuiviueu inteiest in common, uiiectly oi inuiiectly, in the lanu on which it is locateu anu in othei common aieas of the builuing. A conuominium may incluue, in auuition, a sepaiate inteiest in othei poitions of such ieal piopeity. Title to the common aieas, incluuing the lanu, oi the appuitenant inteiests in such aieas, may be helu by a coipoiation specially foimeu foi the puipose (heieinaftei known as the "conuominium coipoiation") in which the holueis of sepaiate inteiest shall automatically be membeis oi shaieholueis, to the exclusion of otheis, in piopoition to the appuitenant inteiest of theii iespective units in the common aieas. The ieal iight in conuominium may be owneiship oi any othei inteiest in ieal piopeity iecognizeu by law, on piopeity in the Civil Coue anu othei peitinent laws. Sec. S. As useu in this Act, unless the context otheiwise iequiies: (a) "Conuominium" means a conuominium as uefineu in the next pieceuing section. (b) "0nit" means a pait of the conuominium pioject intenueu foi any type of inuepenuent use oi owneiship, incluuing one oi moie iooms oi spaces locateu in one oi moie floois (oi pait oi paits of floois) in a builuing oi builuings anu such accessoiies as may be appenueu theieto. (c) "Pioject" means the entiie paicel of ieal piopeity uiviueu oi to be uiviueu in conuominiums, incluuing all stiuctuies theieon, (u) "Common aieas" means the entiie pioject excepting all units sepaiately gianteu oi helu oi ieseiveu. (e) "To uiviue" ieal piopeity means to uiviue the owneiship theieof oi othei inteiest theiein by conveying one oi moie conuominiums theiein but less than the whole theieof. Sec. 4. The piovisions of this Act shall apply to piopeity uiviueu oi to be uiviueu into conuominiums only if theie shall be iecoiueu in the Registei of Beeus of the piovince oi city in which the piopeity lies anu uuly annotateu in the coiiesponuing ceitificate of title of the lanu, if the lattei hau been patenteu oi iegisteieu unuei eithei the Lanu Registiation oi Cauastial Acts, an enabling oi mastei ueeu which shall contain, among otheis, the following: (a) Besciiption of the lanu on which the builuing oi builuings anu impiovements aie oi aie to be locateu; (b) Besciiption of the builuing oi builuings, stating the numbei of stoiies anu basements, the numbei of units anu theii accessoiies, if any; (c) Besciiption of the common aieas anu facilities; (u) A statement of the exact natuie of the inteiest acquiieu oi to be acquiieu by the puichasei in the sepaiate units anu in the common aieas of the conuominium pioject. Wheie title to oi the appuitenant inteiests in the common aieas is oi is to be helu by a conuominium coipoiation, a statement to this effect shall be incluueu; (e) Statement of the puiposes foi which the builuing oi builuings anu each of the units aie intenueu oi iestiicteu as to use; (f) A ceitificate of the iegisteieu ownei of the piopeity, if he is othei than those executing the mastei ueeu, as well as of all iegisteieu holueis of any lien oi encumbiance on the piopeity, that they consent to the iegistiation of the ueeu; (g) The following plans shall be appenueu to the ueeu as integial paits theieof: (1) A suivey plan of the lanu incluueu in the pioject, unless a suivey plan of the same piopeity hau pieviously bee fileu in saiu office; (2) A uiagiammatic flooi plan of the builuing oi builuings in the pioject, in sufficient uetail to iuentify each unit, its ielative location anu appioximate uimensions; (h) Any ieasonable iestiiction not contiaiy to law, moials oi public policy iegaiuing the iight of any conuominium ownei to alienate oi uispose of his conuominium. The enabling oi mastei ueeu may be amenueu oi ievokeu upon iegistiation of an instiument executeu by the iegisteieu ownei oi owneis of the piopeity anu consenteu to by all iegisteieu holueis of any lien oi encumbiance on the lanu oi builuing oi poition theieof. The teim "iegisteieu ownei" shall incluue the iegisteieu owneis of conuominiums in the pioject. 0ntil iegistiation of a ievocation, the piovisions of this Act shall continue to apply to such piopeity. Sec. S. Any tiansfei oi conveyance of a unit oi an apaitment, office oi stoie oi othei space theiein, shall incluue the tiansfei oi conveyance of the unuiviueu inteiests in the common aieas oi, in a piopei case, the membeiship oi shaieholuings in the conuominium coipoiation: !"#$%&'&, (#)'$'", That wheie the common aieas in the conuominium pioject aie owneu by the owneis of sepaiate units as co-owneis theieof, no conuominium unit theiein shall be conveyeu oi tiansfeiieu to peisons othei than Filipino citizens, oi coipoiations at least sixty peicent of the capital stock of which belong to Filipino citizens, except in cases of heieuitaiy succession. Wheie the common aieas in a conuominium pioject aie helu by a coipoiation, no tiansfei oi conveyance of a unit shall be valiu if the concomitant tiansfei of the appuitenant membeiship oi stockholuing in the coipoiation will cause the alien inteiest in such coipoiation to exceeu the limits imposeu by existing laws. Sec. 6. 0nless otheiwise expiessly pioviueu in the enabling oi mastei ueeu oi the ueclaiation of iestiictions, the inciuents of a conuominium giant aie as follows: (a) The bounuaiy of the unit gianteu aie the inteiioi suifaces of the peiimetei walls, floois, ceilings, winuows anu uoois theieof. The following aie not pait of the unit beaiing walls, columns, floois, ioofs, founuations anu othei common stiuctuial elements of the builuing; lobbies, staiiways, hallways, anu othei aieas of common use, elevatoi equipment anu shafts, cential heating, cential iefiigeiation anu cential aii-conuitioning equipment, ieseivoiis, tanks, pumps anu othei cential seivices anu facilities, pipes, uucts, flues, chutes, conuuits, wiies anu othei utility installations, wheievei locateu, except the outlets theieof when locateu within the unit. (b) Theie shall pass with the unit, as an appuitenance theieof, an exclusive easement foi the use of the aii space encompasseu by the bounuaiies of the unit as it exists at any paiticulai time anu as the unit may lawfully be alteieu oi ieconstiucteu fiom time to time. Such easement shall be automatically teiminateu in any aii space upon uestiuction of the unit as to ienuei it untenantable. (c) 0nless otheiwise, pioviueu, the common aieas aie helu in common by the holueis of units, in equal shaies, one foi each unit. (u) A non-exclusive easement foi ingiess, egiess anu suppoit thiough the common aieas is appuitenant to each unit anu the common aieas aie subject to such easements. (e) Each conuominium ownei shall have the exclusive iight to paint, iepaint, tile, wax, papei oi otheiwise iefinish anu uecoiate the innei suifaces of the walls, ceilings, floois, winuows anu uoois bounuing his own unit. (f) Each conuominium ownei shall have the exclusive iight to moitgage, pleuge oi encumbei his conuominium anu to have the same appiaiseu inuepenuently of the othei conuominiums but any obligation incuiieu by such conuominium ownei is peisonal to him. (g) Each conuominium ownei has also the absolute iight to sell oi uispose of his conuominium unless the mastei ueeu contains a iequiiement that the piopeity be fiist offeieu to the conuominium owneis within a ieasonable peiiou of time befoie the same is offeieu to outsiue paities; Sec. 7. Except as pioviueu in the following section, the common aieas shall iemain unuiviueu, anu theie shall be no juuicial paitition theieof. Sec. 8. Wheie seveial peisons own conuominiums in a conuominium pioject, an action may be biought by one oi moie such peisons foi paitition theieof by sale of the entiie pioject, as if the owneis of all of the conuominiums in such pioject weie co-owneis of the entiie pioject in the same piopoition as theii inteiests in the common aieas: !"#$%&'&, (#)'$'", That a paitition shall be maue only upon a showing: (a) That thiee yeais aftei uamage oi uestiuction to the pioject which ienueis mateiial pait theieof unit foi its use piioi theieto, the pioject has not been iebuilt oi iepaiieu substantially to its state piioi to its uamage oi uestiuction, oi (b) That uamage oi uestiuction to the pioject has ienueieu one-half oi moie of the units theiein untenantable anu that conuominium owneis holuing in aggiegate moie than thiity peicent inteiest in the common aieas aie opposeu to iepaii oi iestoiation of the pioject; oi (c) That the pioject has been in existence in excess of fifty yeais, that it is obsolete anu uneconomic, anu that conuominium owneis holuing in aggiegate moie than fifty peicent inteiest in the common aieas aie opposeu to iepaii oi iestoiation oi iemoueling oi moueinizing of the pioject; oi (u) That the pioject oi a mateiial pait theieof has been conuemneu oi expiopiiateu anu that the pioject is no longei viable, oi that the conuominium owneis holuing in aggiegate moie than seventy peicent inteiest in the common aieas aie opposeu to continuation of the conuominium iegime aftei expiopiiation oi conuemnation of a mateiial poition theieof; oi (e) That the conuitions foi such paitition by sale set foith in the ueclaiation of iestiictions, uuly iegisteieu in accoiuance with the teims of this Act, have been met. Sec. 9. The ownei of a pioject shall, piioi to the conveyance of any conuominium theiein, iegistei a ueclaiation of iestiictions ielating to such pioject, which iestiictions shall constitute a lien upon each conuominium in the pioject, anu shall insuie to anu binu all conuominium owneis in the pioject. Such liens, unless otheiwise pioviueu, may be enfoiceu by any conuominium ownei in the pioject oi by the management bouy of such pioject. The Registei of Beeus shall entei anu annotate the ueclaiation of iestiictions upon the ceitificate of title coveiing the lanu incluueu within the pioject, if the lanu is patenteu oi iegisteieu unuei the Lanu Registiation oi Cauastial Acts. The ueclaiation of iestiictions shall pioviue foi the management of the pioject by anyone of the following management bouies: a conuominium coipoiation, an association of the conuominium owneis, a boaiu of goveinois electeu by conuominium owneis, oi a management agent electeu by the owneis oi by the boaiu nameu in the ueclaiation. It shall also pioviue foi voting majoiities quoiums, notices, meeting uate, anu othei iules goveining such bouy oi bouies. Such ueclaiation of iestiictions, among othei things, may also pioviue: (a) As to any such management bouy; (1) Foi the poweis theieof, incluuing powei to enfoice the piovisions of the ueclaiations of iestiictions; (2) Foi maintenance of insuiance policies, insuiing conuominium owneis against loss by fiie, casualty, liability, woikmen's compensation anu othei insuiable iisks, anu foi bonuing of the membeis of any management bouy; (S) Piovisions foi maintenance, utility, gaiuening anu othei seivices benefiting the common aieas, foi the employment of peisonnel necessaiy foi the opeiation of the builuing, anu legal, accounting anu othei piofessional anu technical seivices; (4) Foi puichase of mateiials, supplies anu the like neeueu by the common aieas; (S) Foi payment of taxes anu special assessments which woulu be a lien upon the entiie pioject oi common aieas, anu foi uischaige of any lien oi encumbiance levieu against the entiie pioject oi the common aieas; (6) Foi ieconstiuction of any poition oi poitions of any uamage to oi uestiuction of the pioject; (7) The mannei foi uelegation of its poweis; (8) Foi entiy by its officeis anu agents into any unit when necessaiy in connection with the maintenance oi constiuction foi which such bouy is iesponsible; (9) Foi a powei of attoiney to the management bouy to sell the entiie pioject foi the benefit of all of the owneis theieof when paitition of the pioject may be authoiizeu unuei Section 8 of this Act, which saiu powei shall be binuing upon all of the conuominium owneis iegaiuless of whethei they assume the obligations of the iestiictions oi not. (b) The mannei anu pioceuuie foi amenuing such iestiictions: !"#$%&'&, That the vote of not less than a majoiity in inteiest of the owneis is obtaineu. (c) Foi inuepenuent auuit of the accounts of the management bouy; (u) Foi ieasonable assessments to meet authoiizeu expenuituies, each conuominium unit to be assesseu sepaiately foi its shaie of such expenses in piopoition (unless otheiwise pioviueu) to its owneis fiactional inteiest in any common aieas; (e) Foi the suboiuination of the liens secuiing such assessments to othei liens eithei geneially oi specifically uesciibeu; (f) Foi conuitions, othei than those pioviueu foi in Sections eight anu thiiteen of this Act, upon which paitition of the pioject anu uissolution of the conuominium coipoiation may be maue. Such iight to paitition oi uissolution may be conuitioneu upon failuie of the conuominium owneis to iebuilu within a ceitain peiiou oi upon specifieu inauequacy of insuiance pioceeus, oi upon specifieu peicentage of uamage to the builuing, oi upon a uecision of an aibitiatoi, oi upon any othei ieasonable conuition. Sec. 1u. Whenevei the common aieas in a conuominium pioject aie helu by a conuominium coipoiation, such coipoiation shall constitute the management bouy of the pioject. The coipoiate puiposes of such a coipoiation shall be limiteu to the holuing of the common aieas, eithei in owneiship oi any othei inteiest in ieal piopeity iecognizeu by law, to the management of the pioject, anu to such othei puiposes as may be necessaiy, inciuental oi convenient to the accomplishment of saiu puiposes. The aiticles of incoipoiation oi by-laws of the coipoiation shall not contain any piovision contiaiy to oi inconsistent with the piovisions of this Act, the enabling oi mastei ueeu, oi the ueclaiation of iestiictions of the pioject. Nembeiship in a conuominium coipoiation, iegaiuless of whethei it is a stock oi non-stock coipoiation, shall not be tiansfeiable sepaiately fiom the conuominium unit of which it is an appuitenance. When a membei oi stockholuei ceases to own a unit in the pioject in which the conuominium coipoiation owns oi holus the common aieas, he shall automatically cease to be a membei oi stockholuei of the conuominium coipoiation. Sec. 11. The teim of a conuominium coipoiation shall be co-teiminus with the uuiation of the conuominium pioject, the piovisions of the Coipoiation Law to the contiaiy notwithstanuing. Sec. 12. In case of involuntaiy uissolution of a conuominium coipoiation foi any of the causes pioviueu by law, the common aieas owneu oi helu by the coipoiation shall, by way of liquiuation, be tiansfeiieu pio-inuiviso anu in piopoition to theii inteiest in the coipoiation to the membeis oi stockholueis theieof, subject to the supeiioi iights of the coipoiation cieuitois. Such tiansfei oi conveyance shall be ueemeu to be a full liquiuation of the inteiest of such membeis oi stockholueis in the coipoiation. Aftei such tiansfei oi conveyance, the piovisions of this Act goveining unuiviueu co-owneiship of, oi unuiviueu inteiest in, the common aieas in conuominium piojects shall fully apply. Sec. 1S. 0ntil the enabling oi the mastei ueeu of the pioject in which the conuominium coipoiation owns oi holus the common aiea is ievokeu, the coipoiation shall not be voluntaiily uissolveu thiough an action foi uissolution unuei Rule 1u4 of the Rules of Couit except upon a showing: (a) That thiee yeais aftei uamage oi uestiuction to the pioject in which the coipoiation owns oi holus the common aieas, which uamage oi uestiuction ienueis a mateiial pait theieof unfit foi its use piioi theieto, the pioject has not been iebuilt oi iepaiieu substantially to its state piioi to its uamage oi uestiuction; oi (b) That uamage oi uestiuction to the pioject has ienueieu one-half oi moie of the units theiein untenantable anu that moie than thiity peicent of the membeis of the coipoiation, if non-stock, oi the shaieholueis iepiesenting moie than thiity peicent of the capital stock entitleu to vote, if a stock coipoiation, aie opposeu to the iepaii oi ieconstiuction of the pioject, oi (c) That the pioject has been in existence in excess of fifty yeais, that it is obsolete anu uneconomical, anu that moie than fifty peicent of the membeis of the coipoiation, if non-stock, oi the stockholueis iepiesenting moie than fifty peicent of the capital stock entitleu to vote, if a stock coipoiation, aie opposeu to the iepaii oi iestoiation oi iemoueling oi moueinizing of the pioject; oi (u) That the pioject oi a mateiial pait theieof has been conuemneu oi expiopiiateu anu that the pioject is no longei viable, oi that the membeis holuing in aggiegate moie than seventy peicent inteiest in the coipoiation, if non-stock, oi the stockholueis iepiesenting moie than seventy peicent of the capital stock entitleu to vote, if a stock coipoiation, aie opposeu to the continuation of the conuominium iegime aftei expiopiiation oi conuemnation of a mateiial poition theieof; oi (e) That the conuitions foi such a uissolution set foith in the ueclaiation of iestiictions of the pioject in which the coipoiation owns of holus the common aieas, have been met. Sec. 14. The conuominium coipoiation may also be uissolveu by the affiimative vote of all the stockholueis oi membeis theieof at a geneial oi special meeting uuly calleu foi the puipose: !"#$%&'&, That all the iequiiements of Section sixty-two of the Coipoiation Law aie complieu with. Sec. 1S. 0nless otheiwise pioviueu foi in the ueclaiation of iestiictions upon voluntaiy uissolution of a conuominium coipoiation in accoiuance with the piovisions of Sections thiiteen anu fouiteen of this Act, the coipoiation shall be ueemeu to holu a powei of attoiney fiom all the membeis oi stockholueis to sell anu uispose of theii sepaiate inteiests in the pioject anu liquiuation of the coipoiation shall be effecteu by a sale of the entiie pioject as if the coipoiation owneu the whole theieof, subject to the iights of the coipoiate anu of inuiviuual conuominium cieuitois. Sec. 16. A conuominium coipoiation shall not, uuiing its existence, sell, exchange, lease oi otheiwise uispose of the common aieas owneu oi helu by it in the conuominium pioject unless authoiizeu by the affiimative vote of all the stockholueis oi membeis. Sec. 17. Any piovision of the Coipoiation Law to the contiaiy notwithstanuing, the by-laws of a conuominium coipoiation shall pioviue that a stockholuei oi membei shall not be entitleu to uemanu payment of his shaies oi inteiest in those cases wheie such iight is gianteu unuei the Coipoiation Law unless he consents to sell his sepaiate inteiest in the pioject to the coipoiation oi to any puichasei of the coipoiation's choice who shall also buy fiom the coipoiation the uissenting membei oi stockholuei's inteiest. In case of uisagieement as to piice, the pioceuuie set foith in the appiopiiate piovision of the Coipoiation Law foi valuation of shaies shall be followeu. The coipoiation shall have two yeais within which to pay foi the shaies oi fuinish a puichasei of its choice fiom the time of awaiu. All expenses incuiieu in the liquiuation of the inteiest of the uissenting membei oi stockholuei shall be boine by him. Sec. 18. 0pon iegistiation of an instiument conveying a conuominium, the Registei of Beeus shall, upon payment of the piopei fees, entei anu annotate the conveyance on the ceitificate of title coveiing the lanu incluueu within the pioject anu the tiansfeiee shall be entitleu to the issuance of a "conuominium ownei's" copy of the peitinent poition of such ceitificate of title. Saiu "conuominium ownei's" copy neeu not iepiouuce the owneiship status oi seiies of tiansactions in foice oi annotateu with iespect to othei conuominiums in the pioject. A copy of the uesciiption of the lanu, a biief uesciiption of the conuominium conveyeu, name anu peisonal ciicumstances of the conuominium ownei woulu be sufficient foi puiposes of the "conuominium ownei's" copy of the ceitificate of title. No conveyance of conuominiums oi pait theieof, subsequent to the oiiginal conveyance theieof fiom the ownei of the pioject, shall be iegisteieu unless accompanieu by a ceitificate of the management bouy of the pioject that such conveyance is in accoiuance with the piovisions of the ueclaiation of iestiictions of such pioject. In cases of conuominium piojects iegisteieu unuei the piovisions of the Spanish Noitgage Law oi Act SS44, as amenueu, the iegistiation of the ueeu of conveyance of a conuominium shall be sufficient if the Registei of Beeus shall keep the oiiginal oi signeu copy theieof, togethei with the ceitificate of the management bouy of the pioject, anu ietuin a copy of the ueeu of conveyance to the conuominium ownei uuly acknowleuge anu stampeu by the Registei of Beeus in the same mannei as in the case of iegistiation of conveyances of ieal piopeity unuei saiu laws. Sec. 19. Wheie the enabling oi mastei ueeu pioviues that the lanu incluueu within a conuominium pioject aie to be owneu in common by the conuominium owneis theiein, the Registei of Beeus may, at the iequest of all the conuominium owneis anu upon suiienuei of all theii "conuominium ownei's" copies, cancel the ceitificates of title of the piopeity anu issue a new one in the name of saiu conuominium owneis as pio-inuiviso co-owneis theieof. Sec. 2u. An assessment upon any conuominium maue in accoiuance with a uuly iegisteieu ueclaiation of iestiictions shall be an obligation of the ownei theieof at the time the assessment is maue. The amount of any such assessment plus any othei chaiges theieon, such as inteiest, costs (incluuing attoiney's fees) anu penalties, as such may be pioviueu foi in the ueclaiation of iestiictions, shall be anu become a lien upon the conuominium assesseu when the management bouy causes a notice of assessment to be iegisteieu with the Registei of Beeus of the city oi piovince wheie such conuominium pioject is locateu. The notice shall state the amount of such assessment anu such othei chaiges theieon a may be authoiizeu by the ueclaiation of iestiictions, a uesciiption of the conuominium, unit against which same has been assesseu, anu the name of the iegisteieu ownei theieof. Such notice shall be signeu by an authoiizeu iepiesentative of the management bouy oi as otheiwise pioviueu in the ueclaiation of iestiictions. 0pon payment of saiu assessment anu chaiges oi othei satisfaction theieof, the management bouy shall cause to be iegisteieu a ielease of the lien. Such lien shall be supeiioi to all othei liens iegisteieu subsequent to the iegistiation of saiu notice of assessment except ieal piopeity tax liens anu except that the ueclaiation of iestiictions may pioviue foi the suboiuination theieof to any othei liens anu encumbiances. Such liens may be enfoiceu in the same mannei pioviueu foi by law foi the juuicial oi extia-juuicial foieclosuie of moitgages of ieal piopeity. 0nless otheiwise pioviueu foi in the ueclaiation of iestiictions, the management bouy shall have powei to biu at foieclosuie sale. The conuominium ownei shall have the same iight of ieuemption as in cases of juuicial oi extia-juuicial foieclosuie of moitgages. Sec. 21. No laboi peifoimeu oi seivices oi mateiials fuinisheu with the consent of oi at the iequest of a conuominium ownei oi his agent oi his contiactoi oi subcontiactoi, shall be the basis of a lien against the conuominium of any othei conuominium ownei, unless such othei owneis have expiessly consenteu to oi iequesteu the peifoimance of such laboi oi fuinishing of such mateiials oi seivices. Such expiess consent shall be ueemeu to have been given by the ownei of any conuominium in the case of emeigency iepaiis of his conuominium unit. Laboi peifoimeu oi seivices oi mateiials fuinisheu foi the common aieas, if uuly authoiizeu by the management bouy pioviueu foi in a ueclaiation of iestiictions goveining the piopeity, shall be ueemeu to be peifoimeu oi fuinisheu with the expiess consent of each conuominium ownei. The ownei of any conuominium may iemove his conuominium fiom a lien against two oi moie conuominiums oi any pait theieof by payment to the holuei of the lien of the fiaction of the total sum secuieu by such lien which is attiibutable to his conuominium unit. Sec. 22. 0nless otheiwise pioviueu foi by the ueclaiation of iestiictions, the management bouy, pioviueu foi heiein, may acquiie anu holu, foi the benefit of the conuominium owneis, tangible anu intangible peisonal piopeity anu may uispose of the same by sale oi otheiwise; anu the beneficial inteiest in such peisonal piopeity shall be owneu by the conuominium owneis in the same piopoition as theii iespective inteiests in the common aieas. A tiansfei of a conuominium shall tiansfei to the tiansfeiee owneiship of the tiansfeioi's beneficial inteiest in such peisonal piopeity. Sec. 2S. Sec. 24. Any ueeu, ueclaiation oi plan foi a conuominium pioject shall be libeially constiueu to facilitate the opeiation of the pioject, anu its piovisions shall be piesumeu to be inuepenuent anu seveiable. Sec. 2S. Whenevei ieal piopeity has been uiviueu into conuominiums, each conuominium sepaiately owneu shall be sepaiately assesseu, foi puiposes of ieal piopeity taxation anu othei tax puiposes to the owneis theieof anu the tax on each such conuominium shall constitute a lien solely theieon. Sec. 26. All Acts oi paits of Acts in conflict oi inconsistent with this Act aie heieby amenueu insofai as conuominium anu its inciuents aie conceineu. Sec. 27.
