Ti c cu doanh nghip nh n c
1.01. Song song vi qa trnh t do ho kinh t vo nm 1989, Chnh ph ni
lng cc hn ch i vi vic thnh lp cc doanh nghip Nha nc (DNNN)
mi v trao ton quyn t quyt cho cc DNNN. Vic ny c tin hnh m
khng c quy nh r rng cc trch nhim ca cc DNNN hoc thit lp cc ch
kim sot ti chnh theo d i cc hot ng ca h. Kt qu l s cc DNNN
tng l n v nhng hnh vi v trch nhim ca mt b phn ln cc doanh nghi p
trong khu vc DNNN cng tng l n. Sau , Chnh ph y u cu cc DNNN
phi ng k li v gim s cc doanh nghi p xung cn khong 6.000 t
12.000 tr c khi ban hnh Lut DNNN vo thng 4 nm 19951. Lut mi
trao cho cc DNNN ton quyn t ch, v quy nh cc DNNN phi chu trch
nhim v cc quyt nh v hnh ng ca h, v y u cu cc bo co ti
chnh ca cc DNNN phi c s ph chun ca mt c quan thm quyn
ca Nh n c.
1.02. Khu vc DNNN nhanh chng t ch c li sau khi ban hnh hnh
Lut DNNN, thnh lp cc t ng cng ty Nh n c theo cc quyt nh 90 v
91 ca Th t ng thng 3 nm 1994. Quyt nh s 90 quy nh vi c thnh lp
cc t ng cng ty Nh n c vi thnh vi n t nguyn tham gia t nht l 5 v s
vn php nh ti thiu l 100 t VND. Quyt nh s 91 quy nh vi c thnh
lp ca cc t ng cng ty nh n c ln hn nhiu vi t nht 7 DNNN do Nh
n c ch nh v s vn php nh ti thiu l 1000 t VND. Cc t ng cng ty
thnh lp theo quyt nh 90 trc thuc cc b ch qun hoc U ban nhn
dn (tnh v thnh ph); cc t ng cng ty thnh lp theo quyt nh 91 trc
thuc Th t ng.
1.03. Vo cui nm 1996, Vi t Nam c khong 6.020 DNNN, cc doanh
nghi p ny s dng khong 2 triu lao ng. Cc doanh nghi p ny bao gm
1.140 doanh nghi p l thnh vi n ca cc t ng cng ty nh n c, 500 DNNN
trung ng (khng phi l thnh vi n ca cc t ng cng ty nh n c), v
4.380 DNNN a ph ng. Cc t ng cng ty nh n c v cc thnh vi n trc
thuc chim 42% t ng gi tr sn phm, 47% lao ng v 74% t ng li nhun
ca khu vc DNNN. Trong s cc t ng cng ty nh n c, 154 doanh nghi p
(13,5% t ng s cc doanh nghi p thnh vi n) lm n thua l trong nm 1996;

Cc mc tiu
1.12. Cc mc ti u c n u ra ca ch ng trnh c phn ho l: (a) chuyn i
cc DNNN khng mang tnh chin l c c quy m va v nh thnh cc cng ty
c phn nhm huy ng vn t cn b cng nhn vi n ca doanh nghip v cc
nh u t b n ngoi i mi cng ngh v pht trin doanh nghip; (b) to
iu kin cho cn b cng nhn vi n ca doanh nghip v cc nh u t b n
ngoi tr thnh ch s hu c phn, ng vai tr ca nhng ng i ch thc th v
to ra ng lc mi thc y nng cao hiu qu kinh doanh ca cc doanh nghip.

1.13. Cc quy ch c quy nh nhng iu kin sau y: (a) Tt c cc cng dn t
18 tu i tr l n v cc php nhn Vit Nam t cch mua c phn ca cc doanh
nghip c phn ho; (b) vic th nghim bn c phn cho cc c nhn/ t ch c n c
ngoi s c thc hin theo cc h ng dn c th do Th t ng ban hnh; (c) cc c
phn s c bn rng r i ra cng chng bi cc doanh nghip c phn ho hoc
thng qua cc ngn hng th ng mi v cc t ch c ti chnh; (d) s tin thu c t

Cc iu kin v hnh thc c phn ho
1.14. Gi tr ca doanh nghip vo thi im c phn ho c xc nh theo
cng th c sau: Gi trrng iu chnh +/- gi trli th/bt li + cc chi phc
phn ho. C ba hnh th c c phn ho hoc kt hp gia chng:
c phn ho thng qua tng vn da tr n qu b xung;
c phn ho thng qua vic bn mt s c phn nh n c trong doanh nghip;
tch ri ng v c phn ho mt b phn ca mt doanh nghip p ng nhng
iu kin c phn ho.
Cc u i i vi doanh nghip
1.15. Nhng u i chnh dnh cho cc doanh nghip c phn ho bao gm: (a)
c quyn c gim 50% thu thu nhp trong hai nm u hot ng ca thi k
sau c phn ho; (b) min phng k i vi vic ng k cng ty c phn mi;
(c) c quyn vay vn t cc ngn hng th ng mi nh n c theo cc c ch v l i
sut p dng cho cc DNNN; (d) c quyn phn chia bng tin mt, tu v
tr c khi tin hnh c phn ho, s qu th ng v phc li x hi cho cn b
cng nhn vi n ang lm vic ca doanh nghip mua c phn; (e) chuyn cc
dch v x hi cho tp th ng i lao ng v vic qun l nhng ti sn ny do
cng on ca cng ty c phn m nhim.

Cc u i i vi ng i lao ng
1.16. Ng i lao ng ca cc doanh nghip c phn ho s c h ng c t c t
mt phn cc c phn Nh n c, khng v t qu 10% gi tr doanh nghip chia
cho ng i lao ng trong thi gian sng ca h. Gi trca s c t c tr cho mi
ng i lao ng v mc ch ny s khng v t qu su thng tin l ng hin ti
theo quy nh trong thang l ng ca Nh n c. Nh n c vn l ch s hu ca
cc c phiu ny.
1.17. Ng i lao ng s c quyn mua chu (thi hn 5 nm vi m c l i sut 4%
mi nm) cc c phiu cng ty c phn. Gi trca nhng c phiu ny s khng
v t qu 15% gi trdoanh nghip (hoc 20% trong cc tr ng hp c bit). Hn
na, cc c phiu bn chu s khng v t qu s c phiu m ng i lao ng
mua bng tin mt. Cc iu kin chi tit cho vic mua chu c phiu c quy
nh.
1.18. Cui cng, tt c ng i lao ng s c m bo quyn tip tc c lm
vi c trong mt cng ty c phn sau khi c phn ho. Nu 12 thng sau ngy ng
k cng ty c phn c ng i lao ng b d di do ti c cu cng ty, ng i lao
ng ny s c h ng nhng quyn li theo cc chnh sch quy nh trong
iu 17, Lut Lao ng v Nghnh 72-CP ngy 31 thng 12 nm 1995.
Ph chun cc k hoch c phn ho
1.19. B chuy n trch v cc ngnh kinh t, k thut hoc U ban nhn dn
thnh ph/tnh trc thuc trung ng s: (a) ph chun cc k hoch c phn ho
ca cc doanh nghip c vn Nh n c (k c ngun phn b ngn sch v cc
khon c ngun gc t ngn sch) v vn t huy ng l 10 t VND hoc t hn;
(b) bo co l n Ban C phn ho trung ng v B Ti chnh cc k hoch c
phn ho ca cc doanh nghip c vn 10 t VND hoc nhiu hn, cc c quan
ny trnh l n Th t ng xin ph chun.
1.20. Hi ng qun tr ca cc t ng cng ty nh n c s bo co k hoch c
phn ho ca cc doanh nghip thnh vi n l n Ban C phn ho trung ng v B
Ti chnh, cc c quan ny trnh l n Th t ng xin ph chun.

Gii thiu
phn ho, cc cng ty c phn tip tc lm ra li nhun. Thc cht, nhng cng ty
tin hnh c phn ho trong nhng nm u ti n c c s tng tr ng v
doanh s v li nhun ng k.
2.04. Chn doanh nghip c phn ho ng ti thnh ph H Ch Minh,v tm
a ph ng khc mi ni ch c mt doanh nghip. Cc doanh nghip c cc hot
ng kinh t khc nhau, trong c 5 doanh nghip ch to, 4 cng ty ch bin
nng sn, 4 cng ty dch v, v 1 cng ty khai khong. C 5 cng ty tin hnh
xut khu thc s; 3 cng ty tr c kia l DNNN ca trung ng v 11 cng ty l
cc DNNN a ph ng10. Mt tp hp a dng cc doanh nghip c phn ho
phn nh s thiu cc hn ch v khu vc i l, ngnh ngh v hn ch php l
trong c phn ho, tr cc doanh nghip Nh n c thuc ngnh chin l c v quy
m ln theo tinh thn Nghnh 28-CP.
Thi gian c phn ho
2.05. Thi gian c phn ho ca cc doanh nghip nm trong khong t 9 n
79 thng, vi thi gian c phn ho trung bnh l 27 thng. Dao ng ln v
khong thi gian c phn ho ca cc doanh nghip c l gii mt cch r nht
khi chia cc doanh nghip lm ba nhm: (a) nhng doanh nghip trong ch ng
trnh c phn ho th nghim hon thnh qu trnh c phn ho tr c thng 5
nm 1996, thi im Ngh nh 28-CP c ban hnh; (b) cc doanh nghip
bt u c phn ho trong ch ng trnh c phn ho th nghim nh ng hon
thnh qu trnh c phn ho sau thng 5 nm 1996 theo Ngh nh 28-CP; v (c)
cc doanh nghip bt u thc hin v hon thnh qu trnh c phn ho sau thng
5 nm 1996. Thi gian c phn ho trung bnh ca cc doanh nghip thuc nhm
th nht l 19 thng, nhm th hai l 39 thng v nhm th ba l 13 thng. Nhng
kt qu ny cho thy rng Ngh inh 28-CP c tc dng ti vic rt ngn thi
gian c phn ho ca cc doanh nghip bt u thc hin v hon thnh qu trnh
sau thng 5 nm 1996. R rng, thi gian c phn ho cn phi c rt ngn hn
na, nu mun hon thnh k hoch ca Chnh ph nhm c phn ho 150-200
doanh nghip trong nm 1998, 400- 500 doanh nghip trong nm 1999, v 1000
doanh nghip trong nm 2000.

2.09. Hi ng qun tr ca cc cng ty c hnh thnh bi t 5 n 9 thnh
vi n c rt ra t ba nhm c ng chnh. Trong s 13 cng ty thnh lp Hi
ng qun trvo thi gian kho st, c 9 cng ty c ng i nm vtrCh tch
hi ng qun tr ng thi lm gim c iu hnh (CEO) (su ng i i din
cho Nh n c, ba ng i i din cho ng i lao ng). Trong s 4 cng ty cn li,

2.10. Nhm iu tra c bit c n t ng trin vng, s nng ng v kh nng

Cc c nhn ny d ng nh nhn th c y v cc mc ti u ca c phn ho;
h hiu kh r v h thng thtr ng; v h sn sng iu chnh phong cch
lm vic ca cc doanh nghip theo tnh hnh mi.

2.11. Nh trnh by trong Ph lc 1, lc l ng lao ng ca cc doanh nghip ny
tng 39% k t khi c phn ho, ch yu l do vic m rng kinh doanh ca cc
doanh nghip c phn ho trong thi k 1993-1996. Mc d Nghnh 28-CP cho
php sa thi lao ng d tha, nh ng khng doanh nghip no phi p dng n bin
php ny. Thay vo , cc doanh nghip ny p dng ph ng chm hn ch dn
lao ng, cng vi vic thu ht lao ng d tha v iu chnh k nng thng qua vic

2.16. Tt c cc cng ty c ghi nhn l c ngun cc u vo. Tuy nhi n,
mt s cng ty c hot ng da tr n cc u vo nhp khu u cho rng th tc
hi quan nhi u kh v ph c tp gy l ng phthi gian v lm tng chi ph. Cc
sn phm/dch v ca cc cng ty ny c bn tr n th tr ng a ph ng (4
cng ty), thtr ng ton quc (6 cng ty) v thtr ng quc t (4 cng ty). Ngoi
tr hai doanh nghip c khch hng chnh l cc DNNN, cn tt c cc cng ty
khc ch yu cung cp hng ho/dch v cho cc khch hng t nhn v cc
khch hng n c ngoi.

2.17. Hu ht 14 cng ty u trong trng thi ti chnh tt. Vo thi gian c
phn ha, hai doanh nghip c cc khon n di hn trong n c, v mt doanh
nghi p ang c mt khon n di hn n c ngoi. Cc khon n trong n c
c chnh quyn a ph ng thanh ton v khon nn c ngoi c chuyn
thnh ti sn nca doanh nghip c phn ho. Theo bo co, 12 cng ty c
lung tin mt trang tri cc chi ph hot ng v hai cng ty cn li cng c
gn lung tin mt cho cc hot ng. Ba cng ty c cc khon phi thu qu
hn, cn 11 cng ty cn li thkhng. K t khi c phn ho, c 7 cng ty c
phn nhn c cc khon vay vn l u ng t cc ngn hng th ng mi quc
doanh. Tuy vy, hu ht cc gim c iu hnh u xem vn to ngun vn
l u ng l mt tr ngi ln trong hot ng ca cc cng ty. Hcho rng tr

2.18. Tt c cc cng ty u kinh doanh c l i trong nm 1997. Trong cc nh
gi v 4 cng ty c phn ho giai on 1993-1995 trnh by c th cc thnh
tu ln. Cc cng ty ny m rng kinh doanh, tng ng k v lc l ng lao
ng, doanh thu v li nhun. Cho d thiu cc khon tn dng u t di hn,

2.19. Hai trong s ba cng ty c phn ho vo nm 1996 tng tr ng t ng t

3.02. Nh cp trong cc phn tr c, gi trca mt doanh nghip vo thi

3.09. Nhng quy nh hin hnh y u cu thng bo vi cng chng v vic c
phn ho mt doanh nghip c la chn, cng b cc thng tin v doanh nghip
v cho bn cng khai c phn ca doanh nghip. Hin cn thiu cc cng c
tng nhn th c ca cng chng v qu trnh v cc li ch ca c phn ho. Vd
khi cng chng thnh ph H ChMnh c c mt s nhn th c nht nh v
c phn ho th c nhng phn ng tch cc ng ghi nhn i vi cc t cho
bn c phiu ra cng chng.
Khuyn ngh: Mt chin dch quc gia nhm tuy n truyn v khuyn khch c
phn ho s gp phn thc y v hon thin qu trnh c phn ho. Nhm nghi n
c u ngh cn kim ton v cng b bo co ti chnh ca cc cng ty sau c
phn ho. Hin nay, vic cng b cc bo co ti chnh ca cng ty phi thc hin
vo thi gian c phn ho, nh ng trong lut cng ty li khng y u cu cng b
thng tin trong thi k sau c phn ho. Nim tin ca cng chng s c cng c
nhiu hn nu cc bo co ti chnh c kim ton ca cc cng c cng b
tr n c s th ng ni n.
C phn ho cc doanh nghip nh ca Vit Nam
3.10. Mt cng ty c phn ho duy nht H Ni n i bt vi s vn ch c 356
triu ng (27.500 USD) v lc l ng lao ng 36 ng i. Cng ty nh b ny
phi hon tt y mi quy trnh c phn ho.
Khuyn ngh: Vi nhng th tc c phn ho ko di v nhiu phin ph c nh
vy, nhm nghi n c u khuyn ngh rng cc doanh nghi p nh n n c tin
hnh c phn ho theo mt qu trnh c phn ho khc n gin hn so vi
qu trnh hin ang p dng. Qu trnh ny c th da vo c s u gi, vi
mt c ch u i ri ng cho nhn vi n ca cc doanh nghi p. Trong giai on
u, ch thc hin c phn ho vi s tham gia ca cn b cng nhn vi n ca
doanh nghi p v s dng gi tr rng ca cng ty c kim ton v cc chi
ph c phn ho lm cc tham s chnh. Trong giai on th hai, t ch c bn
u gi cc c phn Nh n c nm gi cho cng chng v th tr ng quyt
nh gi tr doanh nghi p. Qu trnh ny em li mt ch ng trnh a dng

3.11. Trong s 14 cng ty c hi th 9 cng ty xem cc kh khn trong vic
to vn l u ng l nhng tr ngi ln nht trong hot ng. khuyn khch cc
doanh nghip c phn ho, iu 10-3 ca Nghnh 28-CP quy nh rng cc
doanh nghip ny s c quyn tip tc vay vn t cc ngn hng th ng mi
quc doanh theo cc c ch v m c l i sut c p dng i vi cc DNNN .
Tuy vy, tr n thc t cho n nay cc quy nh ny vn khng c thc thi i
vi cc doanh nghip c phn ho. V d cc DNNN khng phi th chp vi
ngn hng c vay vn, nh ng cc ngn hng th ng mi quc doanh vn
nht nh i hi cc doanh nghip phi c cc ti sn c nh lm vt th
chp. Th m vo , Vit Nam ch a c thng l dng hng tn kho th chp.
V vn ny, cc cng ty c phn ho bi x ging nh cc cng ty khu
vc t nhn. Nh ng mt iu c l ch thy cc cng ty c phn ho l ngn
hng y u cu ngoi ti sn th chp cn phi c u quyn ca cc c quan ch
qun c ca mt s cng ty.
3.12. Cc cng ty c phn gp phi nhng vn nghi m trng trong vic
duy tr ngun vn l u ng. Nhn chung, vcng ngh s dng nhiu lao ng
n n gi trti sn c nh ca cc cng ty kh c th p ng cc y u cu
th chp thun tu ca cc ngn hng nhm vay vn. Vn ny c bit kh
khn i vi cc cng ty trong cc ngnh nng-lm nghip, sn xut hng ti u
dng da vo nhp khu v sn xut hng xut khu. Vn li cng nghi m
trng hn trong tr ng hp c tr ho n chuyn giao cc quyn s hu ti sn t
Nh n c sang doanh nghip c phn ho.
Khuyn ngh: Nhm nghi n c u khng khuyn nghthc hin iu khon n u tr n
ca Nghnh 28-CP tr n v tn dng u i i vi cc doanh nghip c phn
ho. Cc vn cc doanh nghip gp phi trong khi tip cn ngun tn dng l
cc vn chung m ton b khu vc t nhn gp phi. Gii php cho cc vn
ny nm trong vic gii quyt nhng bt cp trong mi tr ng tn dng cho ton
b khu vc t nhn, ch khng phi nm trong vic ti to mt sn chi khng
cng bng vn l mt nguy n nhn chnh gy ra tnh trng km hiu qu trong
nn kinh t Vit Nam. Ni nh vy ngha l, chng ti nghlm sng t nhng
