Procedures for Purchasing

1. Suites will be sold on a first come first serve basis. 2. Registration for priority numbers will begin at 12:00pm at the Emerald Park Presentation Centre. At the time of registering, each Agent will be given a priority number (business card must be given). 3. Number Cards will be issued to all registered agents at 5:30pm. In order to keep their priority number, Agents and their clients must be present by 6:00pm to receive their Number Cards. Each Agent will be limited to sell one suite per client (maximum two clients) and one suite for themselves. 4. Please have your choice of suite form and worksheet filled out. This will help speed up the sale.

AGREEMENT TO COOPERATEEmerald Park E / W (please circle appropriate)

1. This agreement is made between Emerald Park Inc. (the Vendor) and _______________________________________________ (the Broker), with regards to the purchase of the Residential Unit together with _____ parking unit and _____ bicycle/storage unit (collectively, the Units) from the Vendor by the Purchaser pursuant to an agreement of purchase and sale dated _______________________________ (the Sales Agreement). 2. The Vendor covenants to pay to the Broker a referral fee of four percent (4%) of the Purchase Price (net of G.S.T.) (the Fee) in consideration for the first physical introduction of the Purchaser to the Vendor and the successful completion of the purchase of the Units. Notwithstanding any of the provisions contained herein and any payments made to the Broker, the Fee shall not be earned until the successful completion of the purchase of the Units. The Fee shall be paid as follows: (a) One percent (1%) ninety (90) days after the expiry of the rescission period provided any Purchasers conditions have been satisfied and the Vendor is in receipt of all of the following: A fully executed copy of the Agreement of Purchase and Sale together with all post-dated cheques, purchasers mortgage approval and all purchasers information. Deposits totaling not less than ten per cent (10%) of the Purchase Price, (cheques to have cleared Vendors Bank); (b) One and one half percent (1.5%) upon commencement of construction (c ) One and one half percent (1.5%) upon final closing 3. No portion of the Fee shall be paid unless: (a) the Vendor is in receipt of a fully executed copy of the Sales Agreement, together with all post-dated cheques owing thereunder; and (b) those deposit cheques owing under the Sales Agreements of the Purchase Price is (are) deposited and cleared by the Vendors bank, it being understood that the deposits cleared by the Vendors bank must exceed or be equal to that portion of the Fee being paid to the Broker at the time of payment. 4. The Purchase Price is the purchase price (net of G.S.T.) of the Units, as described in the Sales Agreement. The Purchase Price excludes, without limitation: the cost of any additional residential units, parking units, bicycle/storage units or other units purchased by the Purchaser; the cost of any extras, upgrades and/or customizations purchased by the Purchaser; and the value of any promotions, incentives, or credits offered by the Vendor with regards to the purchase of the Units. 5. The Broker shall mail his invoice for payment of the Fee, together with a copy of this agreement to: Emerald Park Inc, 151 Spinnaker Way, Suite 8, Concord, Ontario L4K 4C3. Only original invoices will be accepted by the Vendor. 6. This agreement is conditional upon: (a) the Sales Agreement being executed at the Vendors full asking price, without any negotiations of the terms described therein or amendments of such terms during the Rescission Period; and (b) the closing of the purchase of the Units, as described in the Sales Agreement, without any delays or defaults by the Purchaser. 7. This Agreement shall terminate automatically upon the Purchasers default under the terms of the Sales Agreement and upon the termination or cancellation of the Sales Agreement for any reason whatsoever. Upon the termination of this Agreement, the Broker shall be deemed to forfeit any fee to which the Broker may have otherwise been entitled under this Agreement and any portion of the Fee paid to the Broker shall be re-paid to the Vendor within five (5) days of demand.
