1. INTENT OF INVITING BIDS The Nanded Waghala City Municipal Corporation has received in-principle approval vide Letter No. 40/8/2008/UICA(SE), dated 11/08/2010 from Ministry of New and Renewable Energy (MNRE), Government of India for the developing Nanded City as a Solar City. Nanded Waghala City Municipal Corporation (NWCMC) intends to develop Nanded as Solar City, as per the guidelines laid down by the Ministry of New & Renewable Energy (MNRE). NWCMC, therefore, invites sealed Technical & Financial Proposals from the experienced Consultants/ Firms/ Organization who are empanelled with MNRE, for Preparation of Solar City Master Plan & Project Management Support Services, as per the MNRE specifications & guidelines, for the Nanded City. 2. SUBMISSION OF BIDS The bid shall be submitted with supporting documents as directed below 2.1. Technical Bid The Technical Bid shall contain the following a) Demand Draft towards Cost of the RFP Document; b) Earnest Money Deposit (EMD); c) Company Profile, d) Related Experience / Capability Statements; e) Documents & Records proving Eligibility Criteria; f) Bio-data (CVs) of Key Experts,

g) Details of Empanelment with related (relevant) Government Organizations / Agencies; h) Approach & Methodology Document and Work Plan The Technical Bid should be appropriately indexed. 2.2. Financial Bid This Part consists of the Price Offer. The Financial Offers shall be opened only after acceptance of Bidding Firms satisfactory compliance of the Technical Eligibility Criteria, as mentioned in the RFP document. The Financial Offer Bid shall only be opened of those bidders who meet the Qualifying Requirement. Refer Schedule 1. 3. INFORMATION ON RFP ANF TENDERING PROCESS The details of the offer shall be as under: i. ii. The RFP documents can be downloaded from http://www.nwmcnanded.org on any working day from 31 December 2011 till 31 December 2011, 15 Hrs. The Tender Document Fees, amounting Rs. 1000/- (Rupees One Thousand only), and the Earnest Money Deposit (EMD) amounting to Rs. 10, 000/- (Rupees Five Thousand Only) should also be furnished in the form of Demand Draft only, drawn in favour of The Municipal

Commissioner, Nanded Waghala City Municipal Corporation, Nanded, payable on any Nationalized Bank at Nanded, along with the Technical & Financial Bid. iii. The Technical & Financial Bid, consisting of support documents, as explained in the RFP Tender must be submitted on or before 31 / 12 /2011 by 15.00 Hrs. Bids submitted after 31/ 12 /2011 will not be accepted. The Technical Bid may be opened on the same day in presence of available Bidders, if possible. Initially only Technical Bids shall be opened. Financial Bids of the Technically Qualified Bidders will be opened on a later, date which will be announced subsequently. If due to any unforeseen reason due date of Bid Submission falls on a holiday, then the date of opening shall be next working day without change in time. NWCMC will not be responsible for any delay in receipt of the bids in the Office of the Municipal Commissioner due to any reason, whatsoever. The enquiry received after due date and time shall not be considered. For the purpose of scrutiny, verification & seeking further clarification, the Municipal Commissioner, Nanded Waghala City Municipal Corporation reserves exclusive right to demand from the Bidder to produce original and or, photocopy of any document, duly certified by Chartered Accountant / statutory Auditor, submitted as a part of Technical and Financial Bid. The Bidder should duly note that failure to comply in this regard shall lead to rejection of the Bid submitted by the concerned Bidder. The Offer shall be kept valid for 120 days from the date of the submission of the Bids. NWCMC reserves the right for rejection of any or all tenders / in part or full thereof, without assigning any reason whatsoever.

4. ELIGIBILITY CRITERIA The Consultants/ Firms/ Organizations who are empanelled with MNRE under the programme of Development of Solar City are eligible to submit their Bids, and should qualify following criteria 1. The Firm shall have similar experience in overall Consultancy Assignments in the field of Energy Efficiency / Renewable Energy / Clean Development Mechanism (CDM)/PPP Projects. Testimonial/ Evidences shall have to be submitted as a part of Technical Bid. The Firm shall have mandate for Preparation of Solar City Master Plans of atleast 2 Cities/Towns, one City out of which shall be preferably located in the State of Maharashtra. The Firm shall be preferably empanelled as CDM Consultant to atleast one State Renewable Energy Nodal Agency.

5. SCOPE OF WORK 5.1. FOR PREPARATION OF SOLAR CITY MASTER PLAN The scope of Service shall comprise of:

A. Project Initiation Review case studies on eco/solar/green cities Appraisal of Nanded stand at nationally in terms of energy supply and consumption Meetings and consultations with stakeholders Study of prevailing schemes related to subsidy and preferential tariffs B. Preparation of Energy Baseline Preparation of detailed checklist for various sectors (Residential, Commercial, Municipal, Industrial) Identifying departments concerned with the development (sectorwise) Preparation of energy baseline report C. Demand Forecasting Study of future growth plans based on , land use plans, power infrastructure plans, business forecast Establishment of growth rate and energy demand for each sector D. Sector-wise Strategies and Renewable Energy Options Identification of projects Techno Economic feasibility study of various projects Prioritization of projects E. Development of Strategic Vision and Master Plan Development of strategic vision Finalization of vision statement with stakeholders Finalization of Strategies in various sectors First Draft - Master Plan Final Draft - Master Plan

5.2. FOR PROGRAMME IMPLEMENTATION SUPPORT SERVICES

The scope of Service shall comprise of: a) Assistance in setting of a Solar City Cell & facilitating its functioning b) Assistance in conducting various workshops on Renewable Energy, Green Building, and Energy Efficiency, including content development & strategies for promotional campaigns c) Preparation of Techno-economic Proposals for availing subsidy from MNRE: d) Techno-economic appraisal of the proposals and structuring of projects:

e) Coordination with MNRE for sanction of subsidy or fund for implementation of project f) Coordination with MEDA for various project related activities. g) Identification of Innovative means of finance & presentation to various Government departments. h) Preparation of Bid Documents and carrying out the Bid Process Management for the PPP and Non-PPP projects identified under the Solar City Scheme. 6. KEY PROFESSIONALS For successful implementation of Solar City Master Plan, it is of utmost importance that the Team of Experts proposed should have experience in all spheres of studies related to Energy Efficiency, Renewable Energy, and Clean Development Mechanism, whereby economic and financial feasibility is ensured for all Projects conceptualized within the Solar City Master Plan Document. Following are the List of Professionals / Experts & Experiences, for which the Bidding Firms should submit CVs / Bio-Data, for the purpose of evaluation of the Technical Strength of the their Bids. These Professionals should be on the payroll of the Firm at the time of Bid submission.

The minimum Technical Score required for eligibility is 75 points. The formula for determining the Financial Score (Sf) is as follows Financial Score (Sf) = 100 x Fm/F In which Sf is the financial score, Fm is the lowest price & F the price of the Proposal under consideration. The weightage to be given to the Technical Score (St) is 75% & Financial Score (Sf) is 25%. Final / Combined Score = St X 0.75 + Sf X 0.25 The evaluation committee has all rights to evaluate the Technical Bids based on the documents furnished by the Bidders. The Consultancy Mandate shall be awarded to the highest final / combined

score as per the above criteria/formula. 8. TIME SCHEDULE Completion period: The scope of services for preparation of Master plan shall be completed within a period of 06 Months, from the date of signing of Consultancy Services Agreement. The consultancy services on retainer-ship basis for Programme Management Support shall be competed in 36 months retainer-ship period, from the date of approval of Solar City Master Plan by MNRE.

9. CONSULTANCY FEE PAYMENT SCHEDULE Schedule shall be communicated to the successful bidder and also the timelines for completion of work. 10. Penalty for delay Any delay in completion of the work assigned for master plan preparation from the specified/agreed time schedule shall attract a penalty @ % per week of the contracted fee subject to the maximum limit of 10% 11. GENERAL TERMS & CONDITIONS 11.1. Confidentiality

The Bidder shall not during the terms of the contract, disclose any proprietary or confidential information relating to the contract without prior express written consent of the NWCMC. 11.2. Ownership Of Material / Documents

The study reports or other material, graphic, software prepared by the Bidder, and also supplied by NWCMC, as input for the Assignment, for the Contract shall belong to and remain the property of NWCMC. The Documents as may be supplied by NWCMC shall be returned in original to NWCMC. The data collected shall be verified and certified by the consultants 11.3. Law Governing The Contract

The Contract shall be governed by the Laws prevailing and subject to jurisdiction in the District Court, Nanded in the State of Maharashtra. 11.4. Dispute Resolution

Any dispute out of the Contract, which cannot be amicably settled between the Parties, shall be referred to adjudication/arbitration in accordance with the Laws prevalent in the District Court of Nanded in the state of Maharashtra, as per Indian Arbitration Act 1996. 11.5. Acceptance Of Tender

NWCMC is not bound to accept the price wise lowest tender or any other tender without assigning any reason, whatsoever for rejection of any or all the tenders. NWCMC also reserves the right to

accept the whole or part of the Tender. Owner reserves the right to reject any incomplete offer and not ask for any clarification/supplementation on original submission. 11.6. Taxes & Duties

Service Tax as applicable during contractual period shall be included in Price Offer 11.7. Letter Of Award

The Bidder shall have to accept the Letter of Award, unconditionally and immediately, and enter into formal Consultancy Services Agreement on Non Judicial Stamp of Rs. 100/- within a period of seven days (7) from the date of issue of Letter of Award. 11.8. Bid Price

The Price must be quoted in figures as well as in words. In case of any difference between these two, the rates quoted in words will be considered for evaluation. However, for award of contract, technically acceptable & the lowest of the rates will be taken into account. The quoted price must be written in both figures and words in capital letters. In no case there shall be overwriting and/cutting. Tenders with such overwriting/cutting shall be liable for rejection. NWCMC reserves the right to accept or reject any/all offers without assigning any reason thereof/decrease the quantum of job. The quoted rates, terms & conditions shall apply and cover for the work to be carried.
