CONFIDENTIALITY/NON-CIRCUMVENT AND FEE PROTECTION AGREEMENT This Agreement is to be signed by you prior to release of detailed information regarding the

operations and operating history of a Flagged 100+ room hotel in Fort Lauderdale, Florida near the executive airport. The materials are intended solely for your limited use in considering whether to pursue negotiations to acquire a resort hotel property (the Property) located in Fort Lauderdale, Florida. The material may contain information pertaining to the business and affairs of the Property as furnished by the owner and other sources. However, it does not purport to be all inclusive or to contain all of the information which a prospective purchaser may desire. Neither Owner nor Broker or any of their officers, employees or agents make any representation or warranty, express or implied, as to the accuracy or completeness of the information or any of its contents and no legal liability is to be implied with respect thereto. You agree to use the information solely for the purpose of evaluating the property for purchased by yourself, your family, or related entities and understand that Premier Hotel Realty, Richard Tobin will be acting as transaction brokers and agree to compensate them and protect a commission in the amount of Four Percent (4.0%) for the sale of the property. This agreement acknowledges that you have been introduced to the property by Premier Hotel Realty. You further agree to include a Four Percent (4.0%) commission in any offer made by you or on your behalf for the subject property and agree that in the event you or your agents purchase the property, that it will be paid at closing . You agree not to attempt to circumvent the agreement, or to assist others in circumventing the agreement. You further agree not to forward such information to others to circumvent such agreement and relationship and agree not to forward such information to any parties who do not agree to this confidentiality and non-circumvent agreement. By acknowledgement of your receipt of the materials, you agree that the offering and its contents are confidential, that you will hold and treat it in the strictest of confidence, that you will not directly or indirectly disclose, or permit anyone else to disclose, the Offering or its contents to any other person, firm, or entity without prior written authorization of Owner and that you will not permit the Offering or its contents to be photocopies or otherwise copied or used in any fashion or manner detrmental to the interest of Owner or Brokers. If you do not wish to pursue negotiations towards acquisition or are unable to comply with this Confidentiality Agreement or other provisions of the Offering, promptly return the materials and other information supplied for the Property. Information provided in the materials has been gathered from sources that are deemed to be reliable; however, the Owner and its agents and representatives do not warrant or represent that the information is true or correct, including information relating to hazardous materials of any kind in, under or on the Property. Prospective offerors are advised to verify information independently and obtain professional assistance such as a consultant, engineer, accountant or attorney prior to taking an interest in the Property or a part thereof. The Offering shall not be deemed to represent that the state of affairs of the Property constitute an indication that there has been no change in the business or affairs of the Property since the date of preparation of the Offering. Owner expressly reserves the right at Owners discretion to reject any and all proposals or expressions of interest in the Property and to terminate discussions with any party at any time with or without notice.
