BY LAWS OF BLIND WOMEN, INC.

Article 1 Meetings Section 1. Annual Meetings- The Annual meetings of the members shall be held at the principal office of the association on the 15th of April of each year. Section 2. Monthly/Special Meetings - Monthly/Special meetings of the members shall be called every end of the month by the president of the association. uring such meetings! the "resident shall render his monthly report to the members regarding the activities of the association. Special meetings may be called as the need thereof arises! by the #oard of Trustees or the "resident or upon petition of 1/$ of the general membership. Section $. %otices - %otices of the date! time and place of annual! monthly and special meetings of the members shall be given either personally or by special delivery mail! at least one &ee' before the date set for such meeting. (n urgent cases! the notice may be communicated at least t&o days before the meeting personally or by telephone! or by telegram! if contact is not possible. The notice of every special meeting shall state briefly the purpose or purposes of the meeting. %o other business shall be considered at such meeting! e)cept &ith the consent of all the members present thereat. Section *.+aiver of %otice - %otice of meeting may be &aived verbally by any member attending it. Section 5.,uorum- A -uorum for any meeting of the members shall consist of a ma.ority of the members and a ma.ority of such -uorum may decide any -uestion at the meeting! e)cept those matters &here the /orporation /ode re-uires the affirmative vote of a greater proportion. Section 0.1rder of #usiness - The order of business at the annual meeting of the members shall be as follo&s2 "roof of service of the re-uired notice of the meeting! e)cept &hen such notice is &aived by the members constituting a -uorum. Proof of the resence of ! "#or#$. 3eading and approval of the minutes of the previous annual meeting! e)cept &hen such reading is dispensed &ith by a ma.ority vote of those present.

The order of business at any meeting may be changed by a vote of a ma.ority of the members present. Section 4. 5oting "ro)y - Members shall be entitled to one vote! and they may vote either in person or by pro)y! &hich shall be in &riting and filed &ith the Secretary of the Association before the scheduled meeting. A()ICLE II )r#stees Section 1. #oard of Trustees - The corporate po&ers of the association shall be e)ercised! its business conducted and its property controlled by the #oard of Trustees. Section 2.,ualifications - %o members shall be eligible for election to the #oard of Trustees unless he has the follo&ing -ualifications2 6e is not delin-uent in the payment of his regular and monthly dues7 6e al&ays adheres to the rules and regulations imposed by the Association7 6e regularly attends the meetings of the Association7 6e actively participates in the pro.ects and activities of the Association. Section $. is-ualification of irectors! Trustees or 1fficers - %o member convicted by final .udgment of an offense punishable by imprisonment for a period e)ceeding si) 809 years! or a violation of this code! committed &ithin five 859 years prior to the date of his election or appointment! shall -ualify as a trustee or officer. A()ICLE III Officers Section 1. 1fficers - The officers of the association shall be a "resident! a 5ice-"resident! a Secretary! a Treasurer and an Auditor. They shall be elected by the #oard of Trustees from among themselves. The #oard may combine compatible offices in a single person.

Section 2. Term of 1ffice of 1fficers - All officers of the association shall hold office for one year and until their successors are duly elected and -ualified. A()ICLE I+ F#nctions !n& Po,ers of Officers Section 1."resident - The "resident shall be the /hief :)ecutive 1fficer of the association.(n addition to duties as such! he shall preside in all meetings of the #oard of Trustees and those of the members of the association./p; 6e shall e)ecute all resolutions and/or decisions of the #oard of Trustees. 6e shall be charged &ith directing and overseeing the activities of the association. 6e shall appoint and have control over all employees of the association! revie& and approve e)pense vouchers. Together &ith the Secretary of the association! he shall present to the #oard of Trustees and the members an annual budget and! from time to time as may be necessary! supplemental budgets. 6e shall submit to the #oard as soon as possible after the close of each fiscal year! and to the members of each annual meeting! a complete report of the activities and operations of the association for the fiscal year under his term. Section 2. 5ice-"resident - The 5ice "resident! if -ualified! shall e)ercise all po&ers and perform all duties of the "resident during the absence or incapacity of the latter and shall perform duties that maybe assigned by the board of directors. Section $.Secretary - The Secretary shall give all the notices re-uired by the by-la&s and 'eep the minutes of all meeting of the members and of the #oard of Trustees and of all meetings of all committees! in a boo' 'ept for the purpose.6e shall 'eep the seal of the association and affi) such seal to any paper or instrument re-uiring the same.6e shall have custody of the correspondence files and all other papers that are to be 'ept by the Treasurer. 6e shall maintain the members< register! have charged of the bulletin board at the principal office of the association. 6e shall also perform all such other duties and &or' as the #oard of Trustees may from time to time assign to him. Section *. Treasurer - The Treasurer shall have charge of the funds! receipt and disbursements of the association.6e shall 'eep all moneys and other valuables of the association in such ban' or ban's as the #oard of Trustees may designate.6e shall 'eep and have charge of the boo's of accounts &hich shall be open to inspection by any member of the #oard of Trustees &henever re-uired! an account of financial condition of the association and of all transactions made by him as Treasurer. 6e shall also perform such other duties and functions as may be assigned to him from time to time by the #oard of Trustees.6e shall post a bond in such amount as may be fi)ed by the #oard of Trustees. Section 5. Auditor - 6e shall e)amine financial records and audit money. 6e shall also perform other functions as may be provided for by the #oard of Trustees. A()ICLE +

Me$'ers Section 1. ,ualifications for Membership - The board shall determine the -ualifications of an applicant for membership. Section 2. 3ights of Members - A member shall have the follo&ing rights2 To e)ercise the rights to vote on all matter relating to the affairs of the association7 To be eligible to any elective for appointive office of the association7 To participate in all deliberations/meetings of the association7 To avail of all the facilities of the association7 To e)amine all the records or boo's of the association during business hours. Section $. uties and 3esponsibilities of the Members - A member shall have the follo&ing duties and responsibilities7 To obey and comply &ith the by-la&s! rules and regulations that may be promulgated by the association from time to time7 To attend all meetings that may be called by the #oard of Trustees7 To pay membership dues and other assessments of the association. A()ICLE +I Suspension! :)pulsion and Termination of Membership Suspension! e)pulsion and termination of membership! shall be in accordance &ith the rules and regulations of the association. Any member of the association may file charges against a member by filing a &ritten complaint &ith the Secretary of the association.The #oard of Trustees shall call a special meeting of the members to consider the charges.The affirmative vote of 1/$ of all the members of the association shall be necessary to suspend a member7"rovided that &here the penalty is e)pulsion! the affirmative vote of 2/$ of all the members shall be necessary to e)pel a member. Section 1.=unds - The funds of the association shall be derived from admission fees! annual dues and special assessments of members! gifts! donations or benefits. Section 2.=ees and ues - every member of the association shall! in addition to the membership fee! pay dues and/or assessments that may be imposed by the association from time to time. Section $. isbursements - +ithdra&al from the funds of the association! &hether by chec' or any other instrument shall be signed by the Treasurer and countersigned by the "resident.(f necessary! the #oard of Trustees may designate other signatories. Section *. =iscal >ear - The fiscal year of the association shall be from ?anuary 1st to ecember $1st of each year. A()ICLE +III Cor or!te Se!l Section 1. =orm - The corporate seal of the association shall be in such form and design as may be determined by the #oard. A()ICLE IA$en&$ents of the B*.L!,s Section 1. Amendments - These by-la&s! or any provision thereof! may be amended or repealed by a ma.ority vote of the members and by a ma.ority vote of the Trustees at any regular or special meeting duly held for the purpose.
