Responsibilities

This position requires substantive experience in M&A, private equity and or venture capital as well as solid secured lending. Demonstrated history of proposing and implementing process improvements is a plus. Prepares and files incorporation and formation documents, typically in Delaware but also other jurisdictions. Prepares basic organization documents, including stock certificates and stock ledger, typically for Delaware but also other jurisdictions. Completes and files Form SS-4s to obtain EINs, as well as other tax related forms. Compiles and maintains minute books and stock ledgers. Conducts research to assist attorneys in determining jurisdictions for qualification. Prepares and files qualification and withdrawal applications. Orders lien searches and summarizes lien search results. Prepares and files statutory filings, including amendments, mergers, and dissolutions. Calculates Delaware franchise tax (both methods); also calculates franchise tax for other jurisdictions. Assist with drafting of secured lending certificates and consents. Interface with lenders counsel regarding delivery of original documents Assists in due diligence matters. Formulates solutions to problems which may arise, such good standing issues. Consults with associates on how to handle basic corporate matters. Provides direct support to clients (using discretion to handle matters directly or involving an attorney). Obtains information from, and provides information to, clients. Formulates solutions to problems which may arise, such good standing issues. Consults with junior associates on how to handle basic corporate matters. Provides direct support to clients (using discretion to handle matters directly or involving an attorney). Pre-closing: Handles signature page distribution. Prepares closing certificates. Prepares closing files. Orders certified copies and good standing certificates: Identifies and resolves problems

that arise. Prepares and files UCC statements, amendments and termination statements. Reviews collateral description. Prepares initial draft of closing checklist. Assists with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support. Prepares closing book index and assembles closing book.

Required Skills

5+ years of Corporate M&A Mergers and Acquisitions experience in a law firm Must have knowledge of corporate governance and entity types and experience with corporations, dissolutions, and various corporate transactions Proficient in MS Office; knowledge of Westlaw or Lexis Nexis preferred Articulate and professional demeanor and detail oriented work manner Strong written and verbal communication skills The ability to multitask, work well under pressure and complete assignments in an accurate and timely manner Maintain confidentiality and exercise a high standard of judgment and discretion Flexibility to work well-paid overtime, as needed Bachelor's degree required A legal professional seeking long-term career stability with a major U.S. law firm

Fund Formation Prepares and files incorporation and formation documents, typically in Delaware but also other jurisdictions Prepares initial short form agreements, board consents and stockholder consents Completes and files Form SS-4s to obtain EINs, as well as other tax related forms Prepares and files qualification and withdrawal applications Prepares and files statutory filings, including amendments, mergers, and dissolutions Maintains closing checklist as necessary Formulates solutions to problems which may arise, such as good standing issues Interfaces with corporate service providers regarding statutory registered agent services Private Funds Tracking and Reporting Subscription Booklet Tracking and Indexing Reviews investor subscription booklets and indexes into Access database; identifies follow up items Contacts investor regarding follow up items relating to their subscription booklet Creates and maintains Access database with revised investor information when updated documents arrive Generates and maintains fund status chart listing investor information including commitments Generates Blue Sky reports after each closing listing states where state filings are required Generates schedule showing the current investors along with their contact information and commitment amounts Generates custom reports as needed per client/attorney request Maintains executed electronic copies of all governing fund agreements, resolutions, opinions, support certificates, fund tax forms, securities filings, etc. Maintains electronic copies of subscription booklets and related side letters on document management server Updates subscription booklet materials with revised documents from investors Updates closing checklist as new fund related documents and agreements are complete Maintains closing files which contain complete original hard copies of fund agreements, resolutions, opinions, opinion support certificates, good standings, fund tax forms, closing notice transmissions, securities filings, etc. Maintains hard copies, as needed, containing investor subscription booklets and fund

transfer agreements Updates subscription booklets with revised documents from investors Closings Handles signature page distribution to client containing documents needed for closing and securities filings Prepares closing notices including General Partner acceptance pages Orders certified copies and good standing certificates Verifies General Partner acceptance pages and distributes closing notices to investors Runs Blue Sky audit and coordinates with fund attorneys regarding required state securities filings Prepares and distributes closing book materials for new investors Prepares final closing book index and assemble final closing book for client and fund team Uploads original closing files to records management database and sends final fund closing documents offsite

Required Skills

5+ years of private equity/funds experience in a law firm Strong coordination and teamwork skills Planning and organization skills, including the ability to manage a number of projects concurrently Excellent communication skills, both written and verbal A proactive approach and the ability to work "hands-on" as required Strong problem-solving skills Proficiency in the use of law office software, Microsoft Access and Microsoft Excel is strongly preferred Flexibility to work overtime, as needed Bachelor's degree a plus, paralegal certificate required

Major U.S. Based Global Media & Entertainment Conglomerate Responsibilities Provide broad range of paralegal support for large volume of mergers and acquisitions transactions, for licensing commercial transactions and other corporate matters. The ideal candidate would have extensive experience with and detailed understanding of M&A transactions, researching companies including SEC filings, form management, and would be able to assist in running an auction (including database management). DUTIES Administer M&A transactions, draft and finalize closing documents, organize and complete closings Research on acquisition targets (both on- and off-line) Prepare due diligence request lists and working group lists Review documents as part of due diligence Obtaining consents Prepare HSR filings Assist with other transactional commercial deals: procurement, sports licensing, digital rights licensing

Required Skills

Minimum five years paralegal experience, preferably with a major corporate law firm or at an in-house corporate law department of a major U.S. corporation. Extensive experience with M&A paralegal support and familiarity with SEC/EDGAR filings is critical. Undergraduate degree; Paralegal Certificate preferred In-depth knowledge and fluid understanding of, and strong ability to anticipate, paralegal support needs of M&A attorneys in a multitude of M&A transactions (e.g., difference in closing needs and documents for stock and asset transactions) Excellent time management and organization skills (including efficient filing capabilities) with ability to manage multiple assignments, including multiple closings, simultaneously and in a timely and efficient manner Excellent drafting and proofreading skills Strong interpersonal and communication (verbal and written) skills, including the ability to communicate effectively with attorneys, senior management and outside third parties Ability to address and solve complex issues in an efficient and timely manner Familiarity with basic corporate formation procedures and functions Familiarity with basic wiring instructions

Familiarity with HSR filing requirements Some prior experience with SEC reporting and filing Efficiency and proficiency with research, both on- and off-line (including EDGAR, LexisNexis, Westlaw, etc) Advanced knowledge of Microsoft Word; EDGAREase, CT Equity Compliance and Bridgeway Secretariat. Excel and PowerPoint a plus. Ability to work independently, and ability to work well with attorneys and other paralegals
