INTRODUCTION
General Introduction about the Sector
The Indian Telecommunications network with 110.01 million connections is the
fifth largest in the world and the second largest among the emerging economies of
Asia. Today, it is the fastest growing market in the world and represents unique
Opportunities for .!. companies in the stagnant glo"al scenario. Indian Telecom
sector, like any other sector in the country, has gone through many phases of
growth and di#ersification. !tarting from telegraphic and telephonic systems in
the 1$th century, the field of telephonic communication has now e%panded to
ad#anced technologies like &!', ()'A, and *++ to the much awaited great
,& -Third &enera.tion/ Technology in mo"ile phones. India is the world0s second
largest mo"ile market "ehind (hina and it has seen e%traordinary le#els of growth
in recent quarters. The first three quarters of 1002 all saw net additions in e%cess
of 13m, and 45 02 went one "etter with a gain of ,1.32m, an all.time Indian and
world record. The num"er of connections in India stood at ,56.77m at the end of
1002 with annual growth of 52.38, compared to 60.28 in 1002.'arket leader
9harti continued to pull its weight with a 45 gain of 2.17m, the second highest
figure e#er recorded in the Indian market. *ith 23.63m customers and 15.78
market share, 9harti is the powerhouse of Indian mo"ile. :owe#er, the strength in
depth of the market is e%traordinary. The second. and third.placed operators,
Reliance -61.,3m customers end.1002/ and ;odafone -60.$,m/, "oth scored their
"est e#er figures for net additions in 45 with figures of 3.,0m for Reliance and
6.,1m for ;odafone. 'oreo#er, the pre#ious records for "oth companies were set
<ust three months earlier. Aircel, the se#enth largest operator with 16.02m
customers end.1002, achie#ed the same feat, recording its "est e#er figure in 45
02 -=1.10m/ and its second "est e#er in 4, 02 -=1.$3m/. 'eanwhile, fifth.placed
I)>A -,5.11m/ also recorded an all.time high in 45 02 with a gain of ,.2,m.
Although 'arch figures are not yet complete, the ?anuary and @e"ruary num"ers
suggest that 41 0$ is almost certain to "reak the record for quarterly growth. The
?anuary gain of 13.,7m smashed the pre#ious record of 10.76m -set in )ecem"er
1002/ while @e"ruary was not far "ehind with 1,.77m. *ith a two.month gain of
1$.17m, and 'arch &!' additions at o#er 11m, a figure in the region of 53m
seems likely. ?anuary0s record was inspired chiefly "y Reliance, which added
5.$3m customers thanks to its launch of &!' in se#eral new markets, and it
topped the market again in @e"ruary with a gain of ,.1$m. 9harti posted a new
record of 1.7,m, maintaining its e%traordinary consistency, while ;odafone and
Tata also recorded new highs of 1.32m and 1.02m reser#ed. Telecom Industry in
India is the fastest growing markets and is second largest mo"ile market in the
world <ust after (hina. India has added around $.3 million new mo"ile su"scri"ers
to the network each month for the year 1002. pcoming ser#ices such as ,& and
*i'a% -*orldwide Interopera"ility for 'icrowa#e Access/ will help for further
growth rate. The ser#ice pro#iders are offering ser#ices at cheap call rates, low.
cost handsets and network e%pansion is fuelling the "oom for the industry.
There e%ists enormous "usiness potential for telecom companies
on account of the countryAs low teledensity, which stand at ,,.1, for
)ecem"er 1002. >#ery day there is an addition in ;alue added !er#ices
-;A!/, technology ad#ancement and reduction in traffic charges. Increase in
pri#ate and pu"lic players in the sector has enhanced the telecommunication
technology to gi#e the ma%imum "enefits to their customers.

;odafone &roup Blc is the world0s leading mo"ile telecommunications
company, with a significant presence in >urope, the 'iddle >ast, Africa,
Asia Bacific and the nited !tates. The group mo"ile su"sidiaries operate
under "rand ;odafone, in .!. the group work as in undertaking of ;eriCon
wireless, in last two years the group has also entered into arrangements with
network operators. (ompany has total market capitaliCation of euro 75
"illion. >arlier in India (ompany o#ertook :T(:.
;odafone was formed in 1$25 as a su"sidiary of Racal >lectronics
Blc. Then known as Racal Telecom +imited, appro%imately 108 of the
company0s capital was offered to the pu"lic in Octo"er 1$22. It was fully
demerged from Racal >lectronics Blc and "ecame an independent company
in !eptem"er 1$$1, at which time it changed its name to ;odafone &roup
Blc. @ollowing its merger with Air Touch (ommunications, Inc. -DAir
TouchA/, the company changed its name to ;odafone Air Touch Blc on 1$

re#erted to its former name, ;odafone &roup Blc, on 12 ?uly 1000.
;odafone &roup plc is a 9ritish multinational mo"ile network
operator headquartered in Eew"ury, 9erkshire, nited Fingdom. ;odafone
is the world0s largest mo"ile telecommunication network company, "ased on
re#enue, and has a market #alue of a"out G71.1 "illion -Eo#em"er 100$/.It
currently has operations in ,1 countries and partner networks in a further 50
countries. 9ased on su"scri"ers, it is the world0s second largest mo"ile
phone operator "ehind (hina 'o"ile, with o#er 517 million su"scri"ers in

;odafone has "adly underperformed in the last few years due to "risk
change in administration. It has slipped from first to third largest telecom

people worldwide.
The name ;odafone comes from #oice data fone, chosen "y the

;odafone owns 538 of ;eriCon *ireless, the largest wireless
telecommunications network in the nited !tates, "ased on num"er of
su"scri"ers.
;odafone has some large minority stakes, which are not included in
its consolidated turno#er. In order to pro#ide additional information on the
o#erall scale and growth trends of its "usiness, it pu"lishes Hproportionate
turno#erH figures, and these are included in the ta"les "elow. @or e%ample, if
a "usiness in which it owns a 538 stake has turno#er of G10 "illion, that
equals G5.3 "illion of proportionate turno#er for ;odafone. Broportionate
turno#er is not an official accounting measure, and ;odafone0s proportionate
turno#er should "e compared with other companies0 statutory turno#er.
;odafone also produces proportionate customer num"er figures on a
similar "asis, eg. if an operator in which it has a ,08 stake has 10 million
customers that equals , million proportionate ;odafone customers. This is a
common practice in the mo"ile telecommunications industry.
Company Profile
Vodafone Essar, formerly known as :utchison >ssar, is a cellular operator
in India that co#ers 1, telecom circles in India. It is "ased in 'um"ai.
;odafone >ssar is the Indian su"sidiary of ;odafone &roup. @ormerly, ,,8
share in the firm was owned "y >ssar &roup. ;odafone &roup "ought out
the ,,8 stake of >ssar &roup for I3 "illion to "ecome the sole owner of the
firm. It is the second largest mo"ile phone operator in terms of re#enue
"ehind 9harti Airtel, and third largest in terms of customers. ;odafone had
a"out 1,5.3 million customers as of @e"ruary 1011.
On @e"ruary 11, 1007, ;odafone agreed to acquire the controlling interest of
678 held "y +i Fa !hang :oldings in :utch.>ssar for !I11.1 "illion,
piping Reliance (ommunications, :indu<a &roup, and >ssar &roup, which
is the owner of the remaining ,,8. The whole company was #alued at !)

The transaction closed on 'ay 2, 1007. )espite the official
name "eing ;odafone >ssar, its products are simply "randed Vodafone. It
offers "oth prepaid and postpaid &!' cellular phone co#erage throughout
India with good presence in the metros.
;odafone >ssar pro#ides 1.73& ser#ices "ased on $00 ':C and 1200 ':C
digital &!' technology. ;odafone >ssar will launch ,& ser#ices in the
country in the ?anuary.'arch quarter of 1011 and plans to spend up to I300
million within two years on its ,& networks
Initially, around 1$$3, the company ser#ices were "randed 'a% TouchK
renamed to Orange in 1000. In )ecem"er 1006, :utchison >ssar re.
launched the H:utchH "rand nationwide, consolidating its ser#ices under a
single identity.
The company used to "e named :utchison >ssar, reflecting the name of its pre#ious
owner, :utchison. :owe#er, the "rand was marketed as Hutch. After getting the
necessary go#ernment appro#als with regards to the acquisition of a ma<ority "y the
;odafone &roup, the company was re "randed as ;odafone >ssar. The marketing
"rand was officially changed to Vodafone on 10 !eptem"er 1007.

esta"lished a company that in 1$$5 was awarded a licensee to pro#ide
mo"ile telecommunications ser#ices in 9om"ay -now 'um"ai/ and
launched commercial ser#ices as :utchison 'a% in Eo#em"er 1$$3. In
)elhi, ttar Bradesh ->ast/, Ra<asthan and :aryana, >ssar &roup was the
ma<or partner. 9ut later :utch took the ma<ority stake.
9y the time of :utchison Telecom0s Initial Bu"lic Offering in 1005,
:utchison *hampoa had acquired interests in si% mo"ile
telecommunications operators pro#iding ser#ice in 1, of India0s 1, licence
areas and following the completion of the acquisition of 9B+ 'o"ile that
num"er increased to 16. In 1006, it announced the acquisition of a company
->ssar !pacetel M A su"sidiary of >ssar &roup/ that held licence
applications for the se#en remaining licence areas.
Initially, the company grew its "usiness in the largest wireless markets in
India M in cities like 'um"ai, )elhi and Folkata. In these densely
populated ur"an areas it was a"le to esta"lish a ro"ust network, well known
"rand and large distri"ution network L all #ital to long.term success in India.
Then it also targeted "usiness users and high.end post.paid customers which
helped :utchison >ssar to consistently generate a higher A#erage Re#enue
Ber ser -ARB/ than its competitors. 9y adopting this focused growth
plan, it was a"le to esta"lish leading positions in India0s largest markets
pro#iding the resources to e%pand its footprint nationwide.
In @e"ruary 1007, :utchison Telecom announced that it had entered into a
"inding agreement with a su"sidiary of ;odafone &roup Blc to sell its 678
direct and indirect equity and loan interests in :utchison >ssar +imited for a
total cash consideration -"efore costs, e%penses and interests/ of
appro%imately I11.1 "illion.

pending operations in 'adhya Bradesh circle, as well as in Orissa, Assam,

Vodafone acquires Essar*s Sta+e
On 'arch ,1, 1011, ;odafone &roup Blc announced that it would "uy an
additional ,,8 stake in its Indian <oint #enture for I3 "illion after partner
>ssar &roup e%ercised an option to sell the holding in the mo"ile.phone
operator. The deal will raise ;odafoneOs stake to 738. >ssar will e%it the
company after it implemented a put option o#er 118 of the #enture.
;odafone e%ercised its call option to "uy an 118 stake.
In 1007, ;odafone granted options to >ssar that would ena"le the
conglomerate to sell its entire stake for I3"n, or to dispose of part of the ,,
per cent shareholding at an independently appraised fair market #alue. In
?anuary 1011, ;odafone o"<ected to >ssarOs plans to place part of its ,,8
stake in India !ecurities, a small pu"lic company. ;odafone feared the mo#e
would gi#e an inflated market #alue to ;odafone >ssar. It had approached
the market regulator !>9I and also filed a petition in the 'adras :igh
(ourt.
The final shareholding pattern post this deal was not pro#ided "y the
company as it was not clear whether ;odafone0s stake would e%ceed the 75
per cent @)I limit. Indian laws don0t allow foreign companies to own more
than 758 in a local mo"ile.phone operator. ;odafone has assured it will
comply with local rules. ;odafone will ha#e to sell that 18 to some Indian
entity, or theyOll ha#e to consider an initial pu"lic offering. ;odafone also
said that final settlement is anticipated to "e completed "y Eo#em"er 1011.
The completion of the deal would "e su"<ect to meeting certain conditions
which include Reser#e 9ank of India s permission as well as #aluation of the
deal.

On 1$ 'ay 1010, the ,& spectrum auction in India ended. ;odafone paid
11617.26 million -the second highest amount in the auctions/ for spectrum
in $ circles. The circles it will pro#ide ,& in are )elhi, &u<arat, :aryana,
Folkata, 'aharashtra P &oa, 'um"ai, Tamil Eadu, ttar Bradesh ->ast/
and *est 9engal.
On 16 'arch, 1011, ;odafone launched ,& ser#ices in ttar Bradesh ->ast/
in the cities of Fanpur and +ucknow.

->ast/ launch counts as its first fully commercial launch. This makes
;odafone the fifth pri#ate operator -se#enth o#erall/ to launch its ,&

year, on 17 Octo"er 1003, ;odafone Bortugal launched a re#ised logo, using
new te%t designed "y )alton 'aag, and a ,) #ersion of the !peechmark
logo, "ut still retaining a red "ackground and white writing -or #ice #ersa/.
Also, #arious operating companies started to drop the use of the !I' card
pattern in the company logo. -The re"randing of Oskar.;odafone and
(onne%.;odafone also does not use the !I' card pattern./ A custom
typeface "y )alton 'aag -"ased on their font family Inter@ace/ formed part
of the new identity.
On 12 Octo"er 1003, (onne% in Romania was re"randed as (onne%.
;odafone, and on ,1 Octo"er 1003, the (ompany reached an agreement to
sell ;odafone !weden to Telenor for appro%imately U1 "illion. After the
sale, ;odafone !weden "ecame a Bartner Eetwork. In )ecem"er 1003,
;odafone won an auction to "uy Turkey0s second.largest mo"ile phone
company, Telsim, for !I5.3 "illion.

"ecame the second mem"er of the &roup to adopt the re#ised logoN it was
phased in o#er the following si% months in other countries.
In 1006, the (ompany re"randed its !toke.on.Trent site as !toke Bremier
(entre, a centre of e%pertise for the company dealing with (ustomer (are
for its higher #alue customers, technical support, sales and credit control. All
cancellations and upgrades started to "e dealt with "y this call centre. On 3
?anuary 1006, ;odafone announced the completion of the sale of ;odafone
