Preamble
TheDirectors,OfficersandstaffmembersoftheCoffeePartyUSA,Inc.(theOrganization)
oweadutyofloyaltytotheOrganization,whichrequiresthatintheirpositions,theyactinthe
interestoftheOrganizationandnotintheirpersonalinterests.Directors,Officersandstaff
membersmaynotusetheirpositionsorinformationtheyhaveabouttheOrganizationorthe
Organizationspropertyorinformationobtainedthroughtheirpositionsinamannerthatallows
themtosecureasignificanteconomicbenefit,eitherdirectlyorindirectly,forthemselvesortheir
relatives.Insum,itisthepolicyoftheOrganizationthatnotransactionbetweenitandits
Directors,Officersorstaffmembersbetaintedwithanactualorperceivedconflictofinterest.

Disclosure
(a)PriortoelectiontotheBoardorasanOfficer,andannuallythereafter,allDirectorsand
Officersshalldiscloseinwriting,tothebestoftheirknowledge,anyInterest(asdefinedbelow)in
anycorporationorotherorganizationwhichprovidesgoodsorprofessionalorotherservicesto
theOrganizationforafeeorothercompensation.Acopyofeachdisclosurestatementshallbe
availabletoanyDirectoroftheOrganizationonrequest.

(b)IfatanytimeduringhisorhertermofserviceaDirectororOfficerhasanyInterestwhich
mayposeaconflictofinterestatanytimeduringthatDirectorsorOfficersservice,heorshe
shallpromptlydisclosethematerialfactsofthatInterestinwritingtothePresidentoftheBoard
andChairoftheboardworkgrouporcommittee,ifany,functioningastheAuditCommittee(the
Committee)oftheBoard.

(c)WhenanymatterinwhichaDirectororOfficerhasanInterestcomesbeforetheBoardor
anyworkgrouporcommitteeoftheBoardfordecisionorapproval,thatInterestshallbe
immediatelydisclosedtotheBoardortheCommitteebythatDirectororOfficer.

DefinitionofInterest
WhetheraDirectororOfficerhasanInterestinamattershallbedeterminedbywhetherthat
DirectororOfficerorarelative(oraconcernwithwhichsuchpersonsareassociated)would
haveasignificanteconomicinterest,eitherdirectlyorindirectly,inadecisiononthematterby
theBoardorCommittee.Apersonisassociatedwithaconcernifheorsheparticipatesin
(includingparticipatingasanowner)orisaffiliatedwithanycorporationorotherorganizationwith
whichtheOrganizationdeals.Aninterestisnotintendedtoincludepositionsonlegislative
mattersofgeneralimpact.

Voting
NoDirectorshallvoteonanymatterinwhichheorshehasanInterest.

NonParticipation
TheBoardormembersofacommitteemay,bymajorityvote,askanyDirectororOfficerwho
hasanInterestinamatternottoparticipate,ortoleavetheroomattheboardmeetingor
committeemeetinginwhichdiscussionregardingthatmatteriscarriedonprovided,however,
thattheinterestedDirectororOfficermayparticipateinanydiscussionregardinghisorher
exclusion.

AttemptstoInfluence
DirectorsandOfficersshallnotattempttoinfluenceotherDirectorsorOfficersregarding
mattersinwhichtheyhaveanInterest,withoutfirstdisclosingthatInterest.

ContractReview
IfacontractisproposedforapprovalbytheBoardinwhichaDirector,Officer,staffmemberor
theirrelativesoranorganizationwithwhichsuchpersonsareassociated(asdefinedabove)isa
potentialcontractor,regardlessofamount(anInterestedPartyContract),theBoardora
committeedesignatedbytheBoardshallreviewthecontractandshallrecommendthatthe
Organizationexecuteornotexecutethecontract.IfaBoardcommitteereviewsanInterested
PartyContractandrecommendsthattheOrganizationnotexecutetheInterestedParty
Contract,theBoardsubsequentlymayreviewtheInterestedPartyContractandmay,bya
majorityvoteofthedisinterestedDirectorsentitledtovoteonthematter,decidethatthe
OrganizationshallorshallnotexecutetheInterestedPartyContract.Inreachingitsdecision,the
BoardorCommitteeshalladheretothelegalrequirementsapplicabletoapprovalofInterested
PartyContracts.Thecruxofthoserequirementsisthattakingintoaccountthetermsofpossible
alternatives,theproposedcontractisfair,reasonableandinthebestinterestofthe
Organization.AllactionregardingInterestedPartyContractsshallberecordedintheminutesof
theBoardortheBoardcommitteethatreviewedthecontract.

Staff
ThePresidentortheExecutiveDirectoroftheOrganizationisdirectedtoapplytothestaffrules
andproceduresconsistentwiththerulesandproceduresoutlinedaboveforDirectorsand
Officers.
