A. The City and Townships
recognize that a stable and reliable
anbulance service is essential to the
health, saIety, and general welIare oI
the residents and visitors within their
respective nunicipalities.
B. Historically, anbulance
service has been provided by the
City oI Last Jordan.
C. The City oI Last Jordan
Lnergency Medical 5ervices, which is
currently providing service within the
Townships and City, is Iacing
Iinancial diIIiculties which, without
Iinancial support, could |eopardize
the continued ability to provide
stable and reliable anbulance
services within the respective
nunicipalities.
D. The naintenance oI an
anbulance authority is authorized by
Act 47 oI the Public Acts oI 1988,
as anended (The Municipal
Lnergency 5ervices Act), being MCL
1Z4.601, et seq (the Act).
L. The lncorporating
Municipalities, thereIore, desire to
enter into this Agreenent,
incorporating an anbulance
authority, to provide the needed
Iinancial assistance to ensure a
stable and reliable anbulance service
within their respective nunicipalities.

NOW, THLRLFORL, in consideration
oI the nutual pronises contained
herein, the lncorporating
Municipalities hereby agree to
incorporate the Iollowing anbulance
authority, under the terns and
conditions provided herein, pursuant
to the provisions oI the Act:

The lncorporating Municipalities
hereby agree to recognize a class oI
nunicipalities that will contract with
the Authority to provide anbulance
services within a portion oI those
nunicipalities, as speciIied in the
contract. This class oI nunicipalities
shall be known as "Approved
Contracting Municipalities." All
Approved Contracting Municipalities
shall possess the rights and
obligations as speciIied in these
Articles oI lncorporation. The
lncorporating Municipalities hereby
agree and approve the Iollowing
nunicipalities as Approved
Contracting Municipalities:
Wilson Township, a Michigan general
law township, whose address is P.O.
Box 447, Boyne City, Michigan
4971Z; and Lveline Township, a
Michigan general law township,
whose address is P.O. Box 454,
Charlevoix, Michigan 497Z0.
Additional nunicipalities nay
becone Approved Contracting
Municipalities by an anendnent to
these Articles oI lncorporation that
is approved by all oI the
lncorporating Municipalities and the
previously recognized Approved
Contracting Municipalities. Nothing
in this Article, however, shall be
construed to linit the power oI the
Authority Board to contract with
other nunicipalities to provide
anbulance services under the terns
and conditions oI agreenents
approved by the Authority Board.
Any such contract will not conIer
upon the contracting nunicipality
recognition as an Approved
Contracting Municipality, unless
these Articles oI lncorporation are
anended as provided in this Article.
l l l . PURPO5L
The Authority shall provide
anbulance services within the total
territory oI the lncorporating
Municipalities and within those
portions oI the Approved
Contracting Municipalities as
speciIied in the written contracts
with the Authority. ln addition, the
Authority shall provide anbulance
services as speciIied in any other
written agreenent Ior anbulance
services with the Authority Board.
As used in these Articles oI
lncorporation, the tern "anbulance
services" includes providing all types
oI energency nedical services,
including but not linited to basic liIe
support, linited advanced liIe
support, and advanced liIe support;
anbulance vehicles; non-transport
pre-hospital liIe support vehicles; and
all equipnent required to carry out
the above purposes.
l V. LLGAL LNTl TY
As provided in 5ection 6 oI the Act,
the Authority shall be a separate,
non-proIit body corporate, with
power to sue or be sued in any court
oI this state. The Authority shall
possess all the powers necessary to
carry out the purposes oI its
incorporation, and those incident to
those purposes. The enuneration oI
the powers in these Articles oI
lncorporation shall not be construed
as a linitation upon the Authority's
general powers.
V. POWLR5
The Authority shall have the
Iollowing powers, which shall be
liberally construed in its Iavor:
A. All powers provided in the
Act, now or in the Iuture, in
connection with the operation or
naintenance oI anbulance services.
B. To acquire real and
personal property by purchase,
lease, giIt, devise, or condennation,
either within or without its corporate
linits.
C. To hold, nanage, control,
sell, exchange, or lease the real and
personal property it has acquired.
D. To condenn private
property under Act No. 149 oI the
Public Acts oI 1911, being sections
Z13.1 to Z13.Z5 oI the Michigan
Conpiled Laws, and the uniIorn
condennation procedures act, Act
No. 87 oI the Public Acts oI 1980,
being sections Z13.1 to Z13.77 oI
the Michigan Conpiled Laws.
L. 5ub|ect to 5ection 10 oI
the Act, to hire and discharge
enployees and/or volunteers as shall
be necessary Ior the proper and
eIIicient operation and naintenance
oI the anbulance services, and
attorneys, accountants, clerical
staII, and consultants as the
authority considers necessary to
carry out the purposes oI the
Authority.
F. To adopt bylaws and rules
oI adninistration to acconplish the
purposes oI the Act, including but
not linited to establishing rules and
regulations Ior the
governance oI the Authority's
enployees and/or volunteers and Ior
the care and nanagenent oI the
Authority's equipnent and property.
G. To apply Ior and accept
grants, loans, or contributions Iron
the Iederal governnent or any oI its
agencies, the state, or other public
or private agencies to be used Ior
any oI the purposes oI the Act and
to do any and all things within its
express or inplied powers necessary
or desirable to secure that Iinancial
or other aid or cooperation in the
carrying out oI any oI the purposes
oI the Act.
H. To enter into any contracts
with other entities not prohibited by
law.
l. To investigate energency
services requirenents, needs, and
prograns and engage, by contract,
consultants as nay be necessary and
cooperate with the Iederal
governnent, state, political
subdivisions, and other authorities in
those investigations.
J. To levy a tax on all oI the
taxable property within the linits oI
the Authority (within the territory oI
the lncorporating Municipalities ) Ior
the purposes oI the Authority.
K. To carry over Iund balances
Iron year to year consistent with
sound Iinancial nanagenent Ior
capital inprovenents , equipnent
purchases, contingencies and other
sinilar purposes Ior which
contingency Iund balances are
custonary.
L. To take any additional
action or nake any policy necessary
to inplenent these powers or carry
out the purposes oI the Authority.

The Authority nay not obligate any
oI the lncorporating Municipalities or
any Approved Contracting
Municipalities to pay any debt oI the
Authority, except as provided in
these Articles oI lncorporation.
Vl l . BOARD OF Dl RLCTOR5
A. The Authority shall be
governed by a Board oI Directors
(the Authority Board). The Authority
Board shall exercise Iinal authority
regarding the powers oI the
Authority. The Authority Board nay
delegate to its staII, volunteers and
connittees such powers as it deens
appropriate, as long as such
delegation does not create a
conIlict oI interest or is otherwise
unlawIul.
B. The initial Authority Board
shall be conprised oI seven (7)
nenbers. The legislative body oI
each lncorporating Municipality and
Approved Contracting Municipality
shall appoint one (1) nenber to the
Authority Board. Lach
nenber oI the Authority Board
appointed shall be a resident oI the
nunicipality naking the
appointnent. Lxcept Ior the Iirst
appointnents, each nenber oI the
Authority Board shall serve Ior a
tern oI three (3) years, or until his
or her successor is appointed and
assunes oIIice. For the Iirst
appointnents, Banks Township,
5outh Arn Township and Wilson
Township shall each appoint one
nenber oI the Authority Board Ior a
tern oI three (3) years; Lcho
Township and Jordan Township shall
each appoint one nenber oI the
Authority Board Ior a tern oI two
(Z) years; and the City oI Last
Jordan and Lveline Township shall
each appoint one nenber oI the
Authority Board Ior a tern oI one
(1) year.
C. Any Authority Board
nenber appointed by a legislative
body nay be renoved Iron the
Authority Board by the legislative
body which nade the appointnent
Iollowing written reasons and a
public hearing. Any vacancy that
occurs on the Authority Board shall
be Iilled by the legislative body
naking the original appointnent Ior
the balance oI the tern being Iilled.
D. A quorun oI the Authority
Board necessary to conduct business
shall be a na|ority oI the entire
board nenbers (i.e., Iour (4) board
nenbers Ior the initial board). All
decisions oI the Authority Board
shall be nade by the vote oI a
na|ority oI the entire board
nenbers (i.e., a vote oI Iour (4)
board nenbers Ior the initial board).

authorized expenses which have
been incurred on behalI oI the
Authority.
H. The Authority Board shall
adopt its own rules oI procedure.
The Authority Board shall also
conply with the Open Meetings Act,
as anended, and the Freedon oI
lnIornation Act, as anended.

The Authority Board shall annually
select Iron its nenbers a President,
Vice President, 5ecretary, and
Treasurer. Lach oIIicer shall serve
Ior a tern oI one (1) year, or until
his or her successor is appointed and
assunes oIIice. The President shall
be the presiding oIIicer oI the
Authority Board. ln the absence oI
the President, the Vice President
shall perIorn the duties oI the
President. The 5ecretary shall be
the recording oIIicer oI the
Authority. The Treasurer shall be
the custodian oI the Authority's
Iunds. At the request oI the
Authority Board, the Treasurer shall
give the Authority a bond in an
anount deternined by the Authority
Board Ior the IaithIul perIornance oI
his or her duties. No Authority Iunds
shall be expended, except by a check
or other bank draIt signed by the
Treasurer and one other Authority
oIIicer to be deternined by the
Authority Board.
l X. DURATl ON
The Authority shall continue
indeIinitely unless it is dissolved as
provided by these Articles oI
lncorporation.
X. Fl NANCL5
The Authority Board shall have
budgetary and Iinancial control over
the Authority. However, the
Authority shall adopt a line iten
budget. A copy oI the Authority
budget nust be given to each
lncorporating Municipality and
Approved Contracting Municipality at
least thirty (30) days beIore the
budget is adopted by the Authority
Board. The Authority shall be
Iinanced prinarily by nillage
requested by the Authority under
5ection 1Z oI the Act and approved
by the electorate within the
Authority district. ln addition, an
shall by written agreenent with the
Authority be required to pay the
Authority the sane nillage rate (as
applied to that portion oI the
Approved Contracting Municipality's
territory being serviced by the
Authority) levied by the Authority
Board within the Authority district.
However, in the event an Authority
nillage is not approved by the
electorate within the Authority
district, then each lncorporating
Municipality and Approved
Contracting Municipality shall pay the
Authority its proportionate share oI
the nunicipal revenue deened
necessary by the Authority Board to
operate the anbulance services Ior
the next Iiscal year. For purposes oI
this Article, the "proportionate
share" required to be paid by each
shall be calculated as Iollows:
The anount oI the nunicipal revenue
needed shall be divided anong the
lncorporating Municipalities and
on a pro rata basis based on the
taxable value oI all real and personal
property within the territory being
provided anbulance services (i.e.,
the total taxable value oI real and
personal property within the
lncorporating Municipalities, plus the
taxable value oI real and personal
property within those portions oI the
Approved Contracting Municipalities'
territory being provided anbulance
services).
Any Iunds obtained by any Authority
nillage nay be supplenented by
charges Ior services or any other
nethod authorized by law, including
such supplenental paynents by the
Approved Contracting Municipalities,
which in their sole discretion they
nay elect. Finally, at its own
expense, the Authority shall have its
Iinancial records audited by an
auditor selected by the Authority
Board as required by law.
Xl . Fl 5CAL YLAR
The Iiscal year oI the Authority shall
begin on April 1 each year.
Xl l . TRAN5FLR OF A55LT5

On April 1, Z015, or such other date
nutually agreed to in writing by the
Authority Board and the City oI Last
Jordan, the City oI Last Jordan shall
transIer to the Authority all assets
and rights oI the existing city
anbulance departnent, including any
and all anbulance vehicles and other
personal property currently used in
connection with the existing city
anbulance departnent. Upon the
eIIective date oI the transIer oI the
assets as provided herein, the
Authority shall assune all existing
debts and liabilities oI the existing
city anbulance departnent.
Xl l l . Wl THDRAWAL
A. An lncorporating
Municipality and an Approved
Contracting Municipality nay not
elect to withdraw as an lncorporating
Municipality Iron the Authority or
cease to be an Approved Contracting
Municipality unless and until all oI the
Iollowing conditions are satisIied:
1. Any bonded indebtedness
oI the Authority, including
indebtedness to the United 5tates as
the result oI bonds purchased
through the authority oI the U.5.
Departnent oI Agriculture, Rural
Developnent, is discharged; and,
Z. All outstanding obligations
each such lncorporating Municipality
or Approved Contracting Municipality
has to the Authority are discharged
and all outstanding obligations the
Authority has to each such
lncorporating Municipality or
are discharged.
B. AIter the conditions oI
paragraph A, above, have been
satisIied, an lncorporating
Municipality or Approved Contracting
Municipality nay withdraw Iron the
Authority or cease to be an
Iollowing the procedures oI this
paragraph.
BeIore an lncorporating Municipality
or Approved Contracting Municipality
nay vote on a resolution concerning
withdrawal Iron the Authority or
concerning ceasing to be an
Approved Contracting Municipality, it
nust publish in a newspaper oI
general circulation within such
Municipality, a public notice that the
Municipality is considering
withdrawing Iron the Authority or
ceasing to be an Approved
Contracting Municipality. The notice
shall be published at least ten (10)
days beIore the neeting.
The eIIective date oI the resolution
to withdraw as an lncorporating
Municipality or to cease to be an
shall be at least two (Z) nonths
aIter the neeting at which the
resolution was passed.

proportion oI the nornal debts and
liabilities oI the Authority up to the
eIIective date oI the withdrawal, but
shall not be liable Ior any capital
expenditures incurred by the
Authority between the date the
resolution to withdraw was adopted
and the eIIective date oI the
withdrawal. The proportion oI the
Authority's debt Ior which an
lncorporating Municipality or an
