DEFINITION
The following expressions shall, where the context so permits, have the meanings
hereby respectively assigned to them. The definitions cover all documents in this
Bidding Document.
Proposals by Tenderer shall serve as starting points for future negotiations between
Parties, if any.
Law on tendering
Law on tendering No. 61/2005/QH11 is approved by National Assembly of Social
Republic of Vietnam on 29/11/2005.
Law No. 38/2009/QH12
Law No. 38/2009/QH12 is approved by National Assembly of Social Republic of
Vietnam on 29/6/2009.
Decree No. 85/2009/ND-CP
Decree No. 85/2009/ND-CP dated 15.10.2009 by the Government regarding
implementation guide Law on tendering.
Decree No. 68/2012/ND-CP
Decree No. 68/2012/ND-CP dated 12.09.2012 by the Government regarding
amendments and supplements to some articles of Decree No. 85/2009/ND-CP.
Closing Date and Time
Means the date and time when each TD shall be submitted to VMS at the below
specified address in order for the TD to be considered and not rejected. TD that is
submitted to VMS at the below specified address after Closing Date and Time, shall
be rejected.
Tender Data Sheet (TDS)
Tender Data Sheet consists of the detailed content for corresponding items in Chapter
I. Whenever there is any conflict with corresponding contents in Chapter I, the
contents in this Chapter shall prevail.
Bidding document (BD)
Means this complete set of document to be sent to the Tenderer.
Tender Document (TD)
Means a document submitted by a Tenderer to VMS compliant with this Bidding
Document
Purchaser
Means Vietnam Mobile Telecom Services Company.
Inviting Party
Means Vietnam Mobile Telecom Services Company.
Tenderer
Means any one of the invited bidders.

PART I. INSTRUCTION TO TENDER
CHAPTER I: REQUIREMENT FOR TENDER
PROCEDURE
A. GENERAL
Article 1. Tender Content
1. Purchaser invites tenderers to tender for providing Consultancy Service (CS) for the
package under project as specified in the Tender Data Sheet (TDS). Name and contents
of the tender package are specified in the TDS.
2. The contract performance duration: as specified in the TDS.
3. The capital source is specified in the TDS
Article 2. Eligible Status of Tenderer
1. Tenderer shall have capacity of civil acting, be financial independent as specified in the
TDS.
2. A Tenderer shall be allowed to submit only a Tender in the status of either independent
or alliance. In case of a alliance, there shall be a written agreement between parties in
accordance with Template 3, Part II clearly stating the leader of that alliance, common
responsibilities and individual responsibilities of each party for the tasks of tender
package.
3. Tenderer shall meet requirements of Purchaser stipulated in the notice of invitation for
tenders.
4. Ensuring the competition in procurement with the details as specified in TDS.
5. A Tenderer shall be ensured not to infringe on the forbidden procurement regulations
prescribed in Article 12 of Law on tendering, and Clause 3, Clause 21, Article 2 of Law
No. 38/2009/QH12.
Article 3. Tender Cost
The Tenderer shall bear all cost associated with tender process from the receipt of BD to
the publication of tender outcome, particularly till to the signing of contract for
successful Tenderer.
Article 4. BD and Clarification of BD
1. BD includes contents listed in the Enclosure to BD sheet. Tenderer should check and
study thoroughly them to avoid any possible risk.

2. In case that any Tenderer wants to get the BD clarified, such Tenderer has to send a
written request to Purchasers address as specified in the TDS (Tenderer can pre-notify
Purchaser via fax, email, etc.).
After receiving such request Purchaser will reply in writing and send to all Tenderers
who have received BD.
In case of necessity, Purchaser may organize pre-tendering conference to discuss contents
of Bidding Document which are not yet clear to Tenderers. The contents of discussion
shall be recorded in minutes and created written clarification document of Bidding
Document to send to all Tenderers that have received Bidding Document.
Article 5. Revision of BD
In necessary case of revising scope of the CS or because of Tenderer's requirement,
Purchaser can revise the BD (including extension of tender submission date, if necessary)
by sending a written revised document which is an incorporate part of BD. This revised
document will be sent to all Tenderers (who have received BD) after a period of time
specified in the TDS before the closing date and time of the tender. Tenderers have to
notify Purchaser in writing or via fax, e-mail that they have received such revised
document.
B. PREPARATION OF THE TD
Article 6. Language of Tender
The TD as well as all correspondence and document relating to the Tender exchanged by
Purchaser and Tenderers shall be written in language specified in the TDS.
Article 7. Content of the TD
The TD shall comprise the following documents:
1. A Technical Proposal as specified in Part II.
2. A Financial Proposal as specified in Part III.
Article 8. Changing eligible status
In case of which Tenderer needs to change its status (the name) to participate in bidding,
in comparison with that at the time of buying bidding documents, registering to bidding,
the Tenderer shall as abide by terms specified in the TDS.
Article 9. Application for Tender
Application for Tender shall consists of one for the Technical Proposal in accordance
with Template No. 1 Part II, and one for the Financial Proposal in accordance with
Template No. 11 Part III. Application for Tender shall be borne the signature of legal
representative of Tenderer (representative by Law on tendering or representative by
mandate enclosed with valid Power of Attorney in accordance with Template 2 Part II).
In case of authorization, Tenderer shall attach other documents as specified in TDS to the

Purchaser to prove eligibility of authorized person. For Tenderer who is in alliance of
different companies, Application for Tender shall be signed by legal representative of
each alliance member. In case that all members in the alliance authorize its leader to
sign the Application for Tender, this authorization must be clearly specified in the
alliance agreement.
Other requirement is specified in the TDS
Article 10. Tender Price and Bill of Quantities
1. Tender Price is quoted by Tenderer in the Application for Tender of Financial Proposal
Part after deducing the discount (if any). Quoted Price shall cover all necessary costs to
implement the Tender on the basic of its conformity with requirements in Part IV.
2. In case Tenderer provides a discount letter, this letter may be submitted with Financial
Proposal or separately but it must be submitted to Purchaser before the tender closing
date and time. In case the discount letter is not submitted with Financial Proposal, the
discount letter shall be placed in sealed envelope, clearly marked DISCOUNT
LETTER, with a warning DO NOT OPEN AT THE TIME OF OPENING
TECHNICAL PROPOSAL. In the discount letter, the discount content and discount
breakdown in Financial Proposal on concrete item basis shall be clarified. In case of
unbreakdown discount, pricing discount means even proportion discount for every item
of Financial Proposal.
Article 11. Currency for Tendering
Tender price shall be quoted in currency specified in the TDS.
Article 12. Document evidencing eligible status, experience and capability of
Tenderers
1. Document evidencing eligible status of Tenderers:
a) For independent Tenderers, the document evidencing eligible status of Tenderers
shall be provided as specified in the TDS.
b) For alliance Tenderer, the following documents must be provided:
- Documents specified at the a) item for each member of the alliance.
- Alliance agreement signed between members in accordance with clause 2 article
2 of this Chapter. This alliance agreement issued by member firms shall include
all names and signatures of participated member firms, agreement signing's
date and venue, work content and corresponding value of every member firm,
common and specific responsibilities of every member in tender execution,
name of head member in the alliance as being key contact person to settle issues
related to tender process. It should be clearly notified in the alliance agreement if
the member firms authorized the head member of their alliance to sign the

- Detail information is specified in the TDS.
2. Document evidencing experience and capability of Tenderers:
a) Tenderer's experience and capability shall be listed according to Template 4 and
Template 8 of PART II. Experience and capability of alliance Tenderer are total
experiences and capabilities of its members; every member shall prove that its
experience and capability meet BD requirements for its assigned work in the alliance.
b) Other documents as specified in the TDS.
3. Using foreign employees as specified in the TDS.
Article 13. Validity of the TD
1. TDs validity period shall remain as specified in the TDS and be calculated from the
Tender Closing Date and Time. A TD validates a shorter period shall be considered
invalid and rejected.
2. In case of necessity, Purchaser can request Tenderer in writing to extend valid term of
Tender but not exceed 30 days. If Tenderer refuses such request of extension, his Tender
is not considered any more.
Article 14. Formula and Signatures of the TD
1. Tenderer shall prepare one original and several copies of the TD as stipulated in TDS,
clearly marking "ORIGINAL" or "COPY" as appropriate. Tenderer shall be responsible
for the accuracy between "original" and "copy". In process of assessment, in case there
are some technical errors of copies documents such as blur or unclear copies or lacking of
package, etc., then the original shall be taken as the legal basis. Depending on seriousness
of differences between original and copy, Purchaser shall deal appropriately, if such
difference is not elementary and does not change nature of the TD, then it is considered
acceptable error; on the contrary, if that error changes nature of the TD, that TD shall be
eliminated and the Tenderer shall be dealt in accordance with Item 34 of this Chapter.
2. The TD shall be typed, printed with undeletable ink, numbered pages consecutively.
Application for Tender, Discount Letter (if any), and additional TD clarifying documents
of Tenderer must be signed by its legal authorized person according to instruction in
PART II and PART III.
3. Insertion, deletion or overwriting on the hard-copy is valid only with signature of person
who signs the Application for Tender, which appears nearby such insertion, deletion or
overwriting and sealed (if any).

C. SUBMISSION OF TENDER DOCUMENT
Article 15. Sealing and marking on the tender package
1. The TD shall include contents as stated in Item 7 of this Chapter. The original and all
copies of the Technical Proposal shall be placed in a sealed envelope clearly marked
TECHNICAL PROPOSAL. Similarly, the original and all copies of the Financial
Proposal shall be placed in a sealed envelope clearly marked FINANCIAL
PROPOSAL, with a warning DO NOT OPEN AT THE TIME OF OPENING
TECHNICAL PROPOSAL. The envelopes containing the Technical and Financial
Proposals shall be placed into an outer envelope and sealed (seal marking done by
Tenderer). Information marking on the envelope shall be made in accordance with TDS
instruction.
2. In case Technical Proposal and Financial Proposal comprises lots of documents, the
Tenderer shall pack all the documents in such way that Purchaser could receive and keep
Technical Proposal, Financial Proposal easily and conveniently, ensuring the integrity of
Technical Proposal, Financial Proposal and avoiding Technical Proposal, Financial
Proposal losses. In case of packing in many different bags for easing the transportation,
the bags shall be numbered in sequence out of the total number in order to ensure the
consistency and each small bag shall be marked as specified in this Article.
3. If the tenderers do not follow the tender instructions in the requirement for tender
preparation, tenderers shall take responsible for such faulty mistakes as: No seal on
delivered tenders package; or incorrected information as instructed in clause 1; clause 2
of this article. The inviting party shall not take responsible for the confidential aspects of
the submission tender as indicated above.
Article 16. Tender Closing Date and Time
1. Tenderer will submit the TD directly or send it to Purchaser's address provided that
Purchaser will receive the TD prior to Tender Closing Date and Time indicated in TDS.
2. Purchaser may extend the Tender Closing Date and Time if needed to increase the
number of TD or to amend BD as stated in Article 5 of this Chapter in the requirement
for tender procedure, or to meet Tenderer's request.
3. If the Tender Closing Date and Time will be extended, Purchaser shall make a written
announcement to send to all Tenderers who bought BD and also publication on extension
of the deadline for submission TD in the Tendering Newspaper at least 01 issue, on the
Tendering website (if necessary) so that the tenderers modify and supplement their
document. Tenderers can receive and modify their submitted document; otherwise
purchaser will store the document in confidential regulations.

Article 17. Lately submitted Tender
Any documents of Tender, including discount letter (if any) submitted after the Tender
Closing Date and Time specified in Requirement for Tender Procedure are considered
invalid and shall be eliminated, except the documents for clarifying Tender Document as
required by Purchaser.
Article 18. Revision or withdrawal of Tender
Any Tenderer wishing to revise or withdraw its submitted TD must provide written
notice to Purchaser and the letter shall only be accepted such notification if it is received
prior to the deadline for submission of the TD. Any request for withdrawal of the TD
must be submitted separately from the TD.
D. OPENING AND EVALUATION OF TD
Article 19. Technical Proposal Opening
1. Technical Proposal opening shall be conducted in public. The Purchaser shall invite
representative of each Tenderer to attend the Technical Proposal opening by
announcement at BD issuance. Purchaser may invite representatives of concerned
management bodies to attend the Technical Proposal opening. Technical Proposal
opening shall be conducted right after the Tender closing on the date, time and at the
location specified in TDS under the witnesses of those present and not depending on the
presence or absence of the Tenderers.
2. Purchaser shall open Technical Proposal of each Tenderer in alphabet order of Tenderer's
name. Purchaser will open Technical Proposals of Tenderers who had names in BD
receiving list and TD's submissions before Tender closing. Tenderer shall be responsible
for the consequence and un-favourableness due to the inconformity with BD such as TD's
seal lacks or seal loss during the transportation to Tender Solicitor, incorrect marking on
TD's bag as prescribed. TD of Tenderer who had written withdrawal notice (received by
Tender Solicitor before Tender closing) and later TD will be returned unopened to
Tenderer.
3. Purchaser shall open Technical Proposal of every Tenderer in the following order:
a. Checking the seal of Technical Proposals;
b. Opening Technical Proposal;
c. Reading and writing vital information into the Technical Proposal opening minutes as:
- Name of Tenderer;
- The quantity of originals and copies of the Technical Proposal;
- The Technical Proposal validity period;

- Written request of Technical Proposals amendment (if any) as specify in Article
18 of this Chapter;
- Other related information.
4. Signing the Technical Proposal-opening minutes by Tenderers' representative (if any) and
representatives of participated management bodies. The copy of Technical Proposal-
opening minutes should send to all participated tenderers.
5. After Technical Proposal opening, Purchaser shall initial on every original page of all
Technical Proposals and keep them in "confidential". Technical Proposal's evaluation
shall be carried out based on the copies.
Article 20. TD Clarification
1. During the Tender Documents evaluation process, Purchaser may ask a Tenderer for
clarification of its Tender Document. If the Tender Document lacks documents such as:
business registration certificate, investment certificate, establishment decision, diploma
and other documents required by the Bidding Document, Tenderer may be requested to
supplement documents in order to evidence eligible status, capability, experience of
Tenderer on condition that does not change the basic contents of the submitted Tender
Document, does not change the tender price, except negotiation as specified in Article 28
of this Chapter.
2. Purchasers request for clarification and the Tenderers responses thereto shall be in
writing and be a part of Tender Document. The Tender clarification may be made directly
(Purchaser invites Tenderer for a face-to-face meeting, exchanged information shall be
made in documents) or indirectly (Purchaser sends written request for clarification and
Tenderer responds in writing). The respond time should clearly state in the clarification
letter. The written clarification shall be formed as integral part of the tender document. In
case, the respond time as indicated above is over or the feedback from the tenderers has
not met the requirements, other procurement regulation will be considered to apply.
Article 21. Preliminary Evaluation of the Technical Proposals
1. Check the Technical Proposals eligibility and completeness, including:
a. Application for Tender as prescribed in Article 9 of this Chapter;
b. Tenderer alliance agreements eligibility as prescribed in Clause 2 Article 2 of this
Chapter (if any);
c. Tenderers eligibility as prescribed in Clause 1 Article 2 of this Chapter;
d. The number of original, copies of the Technical Proposal as specified in the Clause 1
Article 14 this Chapter;
e. Other requirements as specified in the TDS

2. Eliminate Technical Proposals that fail to satisfy prerequisites stated in TDS.
Article 22. Detailed evaluation of the Technical proposals
Technical evaluation criteria are specified in the Bidding Document. Technical Proposal
with technical point not lower than the minimum required point is deemed to be
technically responsive. The Investor shall approve list of technically responsive tenderers
and inform these tenderers in writing about time and venue for financial proposal opening
ceremony. The process of opening and evaluation of the financial proposal is stipulated
in the Article 23 and Article 24 of this Chapter. Financial Proposals from tenderers, who
have failed to be technically responsive, will be unopened.
Article 23. Financial Proposal Opening
1. The Purchaser shall open the Financial Proposals in public, in the presence of Tenderers
designated representatives and not depending on the presence or absence of the
Tenderers, at the address, and at the date and time informed to Tenderers. Participants in
the financial proposal opening ceremony include: Tenderers approved to be technically
responsive and representatives of concerned management bodies (if necessary).
2. In the Financial proposal opening ceremony, Purchaser shall publish decision on approval
list of technically responsive Tenderers, and open Financial proposals of Tenderers who
meet requirements in technical (in alphabet order of Tenderers' name);
3. Purchaser shall open Financial Proposal of every Tenderer in the following order:
a. Checking the seal of Financial Proposals;
b. Opening Financial Proposal;
c. Reading and writing vital information into the Financial Proposal opening minutes
as:
- Name of Tenderer;
- The quantity of originals and copies of the Financial Proposal;
- The Financial Proposal validity period;
- Tender price in the Application for Tender;
- Discount offered price (if any);
- Other related information.
4. Signing the Financial Proposal-opening minutes by Tenderers' representative (if any) and
representatives of participated management bodies. The copy of Financial Proposal-
opening minutes should send to all participated tenderers.

5. After Financial Proposal opening, Purchaser shall initial on every original page of all
Financial Proposals and keep them in "confidential". Financial Proposal's evaluation shall
be carried out based on the copies.
Article 24. Evaluation of Financial Proposals and combined evaluation
1. Evaluation of Financial Proposals
The evaluation of Financial Proposals shall be conducted on the copy versions. The
Purchaser shall correct errors and adjust discrepancies as specified in Article 25, 26 this
Chapter and financial evaluation criteria specified in Article 2 Chapter III.
2. Combined evaluation
The Purchaser shall conduct combined evaluation including technical and financial
criteria as follows criteria specified in Article 3 Chapter III and the Purchaser shall rank
and submit for approval of the Investor. Based on the list of Tenderers approved by the
Investor after combined evaluation, the Purchaser shall invite the first ranking Tenderer
(Tenderer has the highest score after combined evaluation) for contract negotiation as
specified in Article 28 this Chapter.
Article 25. Error Correction
1. Error correction means the correction of errors in TDs, including arithmetic errors and
other errors and will be made according to following principles:
a) For arithmetic errors :
- If there is any inconsistency between unit price and total price, unit price shall
serve as legal basis; if unit price is wrong but quantity and total price are true,
total price shall serve as legal basis;
- If there is any inconsistency between general price table and price breakdown
table detailed for every item, the price breakdown table shall be used as legal
basis for error correction.
b) For other errors:
- If there is a total price column but a vacant column of corresponding unit price,
the unit price shall be added by dividing total price by quantity.
- If there is a unit price column, but a vacant total price column, total price shall
be added by multiplying quantity by unit price.
- If there is unit price and total price available but quantity is left empty, the
quantity shall be added by dividing total price to unit price.
- Unit error: if any error of marks , (comma), . (stop), it must be re-
corrected.

- In case there is discrepancy between the technical proposal and the financial
proposal, the technical proposal shall be legal basis for re-correction;
- In case there is inconsistence between the number and wording, the wording
shall be legal basis for correction. If the wordings wrong, the number shall be
legal basis and perform arithmetic correction (if any) according to the
circumstances provided in Point a of this Clause;
2. After correcting errors in accordance with above principles, Purchaser shall notify the
Tenderer thereof in writing. Tenderer shall inform the Purchaser his acceptance of such
error correction in writing. If Tenderer refuses to accept the error correction, his TD shall
be eliminated.
Article 26. Adjustment of discrepancies
Adjustment of discrepancy means the adjustment of insufficient or redundant contents in
Tender Document as compared to BDs requirements. The adjustment shall be
implemented base on the principle of fairness, transparency and economic efficiency.
Article 27. Contacting with Purchaser
In exception of opening technical proposal as specified in the Article 19, opening
financial proposal as specified in the Article 23, requesting to clarify Tender as stipulated
in Article 20 and negotiating contract as specified in the Article 28 of this Chapter, no
Tenderer is permitted to contact with Purchaser regarding any issues related to his TD as
well as to the tender package from the opening time to the time of tendering result
announcement.
Article 28. Contract negotiation
1. Based on the list of Tenderers approved by the Investor after combined evaluation, the
Purchaser shall invite the first ranking Tenderer for contract negotiation. In case of
authorization, Tenderer shall provide the Power of Attorney as specified in Template No.
2 Part II
2. In negotiation process, Tenderer shall determine arrangement all specialists to fulfill
work as proposed in his TD, if not the Purchaser can select the next ranking Tenderer for
contract negotiation, unless the Purchaser and Tenderer both agree that delay on selecting
tenderer causes unavoidable changes or due to expert loosing civil acting or other force
majeure. If any replacement of the specialists, Tenderer shall replace with another
specialist who possesses the same or better qualifications proposed at first on the TD and
this replacement has to be submitted to the Purchaser within time mentioned in invitation
letter of contract negotiation.
It is compulsory to take a contract negotiation process minutes which is signed by both
parties.

3. Contents of contract negotiation
a. Technical negotiations including:
- Duties and detailed scope of work of the Consultant;
- Technology transfer and training (if any);
- Working Schedule and personnel planning;
- Progress;
- Handling personnel changes (if any);
- Working conditions arrangement;
- Others (if necessary).
b. Financial negotiation:
Financial negotiation includes negotiating on costs of consultancy service, as well as
defining all taxes paid by consultant tenderer in compliance with Vietnam tax
regulations (if any), tax paying method, tax value and tax related matters which have
to be listed in details in contract
4. If the Tenderer does not join contract negotiation on time specified in TDS or fails to
negotiate contract, the Purchaser has to report to the Investor to decide to invite the next
ranking Tenderer for contract negotiation.
E. TENDER WINNING
Article 29. Successful Tenderer
Tenderer, who satisfies criteria below, will be recommended for Tender winning:
1. Having a valid TD;
2. Having Technical proposal which has been assessed as satisfying the requirements
specified in the Article 1 Chapter III
3. Having the highest combined technical and financial score;
4. Proposed winning price not exceeds the approved Tender price.
Article 30. Acceptance and Rejection of Tenders
Purchaser has the right to accept or reject any Tender Document, or annul Tender at any
time of tender process pursuant to Law on Tendering, Law No. 38/2009/QH12 and
guidance regulations for implementation.

Article 31. Announcement of Tender result
1. Right after getting the approval of tender result from the competent person, Purchaser
will notify tender result in writing to all participated Tenderers (including successful
Tenderer and unsuccessful Tenderers). In the announcement of Tender result, Purchaser
do not explain any reason for unsuccessful Tenderers.
2. Purchaser will sent notification award in writing to successful Tenderer and the form of
contract (Package Contract Templates in Chapter VI), where possible information of
tender package has been filled. Notification shall constitute contract issues to be
negotiated and finalized, time and date for negotiation and finalization.
Article 32. Contract Negotiation, finalization and signing
1. Finalization of the contract for signature with the successful tenderer shall be based on
the following:
- An approved tenderer selection results;
- Sample contract;
- The requirements in the bidding documents;
- The contents of the bids and clarifications thereto (if any) by the successful
tenderer;
- Contract negotiation minutes
- Contractual items which require be negotiating and finalizing as between the
Purchaser and the successful tenderer.
2. After receiving notification of result of tendering, within limit time stipulated in TDS, the
winning Tenderer shall send letter of acceptance on negotiation and finalization of
contract to Purchaser. After deadline said above, if Purchaser has not received letter of
acceptance from winning Tenderer or winning Tenderer has refused to negotiate and
finalize contract, the Purchaser shall report to the Investor to abrogate result of tendering
and consider inviting the next ranking Tenderer for contract negotiation and finalization
as specified in Article 28 of this Chapter. In this case, Purchaser may ask Tenderer to
extend validity period of its Tender Document (if necessary).
3. After successful negotiation, contract will be signed by both parties. In case of Alliance
Tenderer, contract shall be signed by all members of that Alliance.
Article 33. Settlement of procurement complaints, instruction for address of the
Advisory Board of settlement
1. Tenderers participating in tendering shall have right to make complaint on results of
tender and relevant issues during the tender process if they believe that their legal rights
and interests are affected.

2. Complaint on relevant issues during the tender process, not on tender results, shall be
handled as follow:
a) Tenderers shall submit written complaint from the time an incident occurs till the
notification of results of tendering;
b) The complaint application shall be sent to address of Purchaser stipulated in TDS.
Purchaser shall have to handle in written within 05 working days since the date of
receiving protest application;
c) In case Purchaser cannot handle such protest or Tenderers disagree with that
resolution, Tenderers may lodge application to investors for consideration and
handling. Investor shall have to handle in written within 07 working days since the
date of receiving complaint application;
d) In case Investor cannot handle such complaint or Tenderers disagree with that
resolution, Tenderers may lodge application to authority person stipulated in TDS for
consideration and handling. Authority person shall have to handle in written within 10
working days since the date of receiving protest application.
3. Complaint in tendering result shall be handled as follow:
a) Tenderers shall submit written complaint within at most 10 days since the date of
notification of tendering result;
b) The process of handling protest shall be abide by regulations in sub-clause (b) and (c)
of clause 2 of this item;
c) In case Investor cannot handle such complaint or tenderers disagree with that
resolution, tenderers may lodge their complaint concurrently to Authority person and
Chairman of Consulting Council on resolution of protests for consideration and
handling. Tenderers must pay a fee of 0.01% of the tender price, but shall be a
minimum of two million (2.000.000) dong and a maximum of fifty million
(50.000.000) dong to standing committee of the Consulting Council stipulated in TDS.
If the conclusion is that the protest was correct, then this fee shall be refunded to the
Tenderer by the individual or organization found to be liable.
d) The Consulting Council shall have to send report on conclusion to Authority person
within at most 20 working days since the date of receiving protest application. Within
at most 05 working days since the date of receiving report of Consulting Council,
Authority person shall have to release it decision on resolution.
4. If there is a complaint, Tenderers shall have right to start legal proceeding. If Tenderers
do not bring to trial, they may make complaint in accordance with process stipulated in
this Item.

5. The complaint application in accordance with Template No. 15 Part V. The complaint
application shall be signed by legal representative of Tenderer, and sealed (if any).
Article 34. Dealing with violations of procurement legislations
1. Tenderers who act in breach of the Law on Tendering shall, depending on the seriousness
of the breach, be dealt with in accordance with the Law on Tendering, Law No.
38/2009/QH12, Decree No. 85/2009/ND-CP and other relevant regulations.
2. A decision imposing a penalty must be sent to the organization or individual subject to
the penalty; to the relevant bodies and organizations and to the Ministry of Planning and
Investment for publication of information on the Tendering Newsletter and the tendering
website to monitor, collect according to the circumstances of law.
3. A penalty decision to be implemented in any one locality or within any one industry shall
be of full force and effect throughout the entire country and within all industries.
4. Any tenderers subject to a penalty for a breach of the Law on tendering shall have the
right to institute court proceedings.
5. In accordance with other regulations stipulated in TDS.

Tender Data Sheet (TDS) consists of detailed contents of corresponding articles in the
Chapter I (Requirement for Tender Procedure). If there are any discrepancies between the
contents in this Chapter and their corresponding ones in Chapter I, the contents in this Chapter
shall prevail.

o Knowledge transfer must be carried out during the project
deployment

Civil legal capacity of the Tenderer:

documents to prove their independent legal person status: Business
Registration Certificate, Investment Certificate granted in accordance

Document Evidencing legal status of the authorized person is legitimated
copy of:
- The charter of company.
- Decision to establish the branch.
Other requirement:
- In case, foreign tenderer does not have legal seal, it shall provide
acknowledgment by authorized organization evidencing the legal
representatives signature in the Application for tender and other
papers of Tender Document.

Tender currency: Tender price shall be in United State Dollar and/or
Vietnamese Dong (VN). Other currency will not be accepted.
- All of consultancy services provided from Purchasers country shall be
quoted by Vietnamese Dong (VND). That means all of consultancy
services originated from Purchasers country shall be quoted by
Vietnamese Dong (VND).
- All of consultancy services provided from abroad shall be quoted by
United States Dollar (USD).
(In order to get basis for evaluation and comparison among Tender
Documents, VMS will convert Tender price to a common currency at
Vietcombanks selling exchange rate on the date which is 07 days prior
to the date of tender opening)

1 Document evidencing eligible status of Tenderers:
a) For independent Tenderers, the document evidencing eligible status of
Tenderers is the business registration. Tenderer shall submit the
notarized and legalized business registration.
b) For alliance Tenderer, the following documents shall be provided:
- Documents specified at the a) item for each member of the alliance.
- Alliance agreement signed between members in accordance with clause 2
Article 2 of Chapter I. This alliance agreement issued by member firms
shall include all names and signatures of participated member firms,
agreement signing's date and venue, common and specific
responsibilities of every member in tender execution, name of head
member in the alliance as being key contact person to settle issues related
to tender process. It should be clearly notified in the alliance agreement if
the member firms authorized the head member of their alliance to sign
the Application for Tender.
- Other requirements: alliance agreement shall include work content and
corresponding value of every member firm.

2 Other documents evidencing experience and capacity of Tenderer:
- Tenderer shall provide list of reference (operator, country, contact
person) who is consulted by Tenderer. The reference list shall include
contact persons for each system with address and telephone/fax
numbers. These contact persons shall be informed that the Purchaser
may contact them.
- The similar consultancy contract which tenderer has executed.
- The employment contracts or other document for proving the validity in
employing specialists for this project. These employment contracts
shall be signed before Closing Date and Time and valid for a period of
at least 01 (one) year from the Closing Date and Time.
- The profiles and Curriculum Vitaes (CVs) (Template 9) shall be signed
by individual consultant and certified by competent
representative/authorized proxy of the Tenderer.
- The Tenderer shall include the Audited Financial Report (or Tax Report
certified by tax authorizes) of the Tenderers Company in 03 latest
consecutive fiscal years. Tenderer shall submit Audited Financial
Report (or Tax Report certified by tax authorizes) which is
notarized.
3 - In case, tender package needs to use foreign employees that have
specialist in accordance with the requirement of tender package, list of
quantity, education background, qualification, experience of foreign
employees to deploy this tender package must be declared in the tender
document by the tenderer.
- Tenderers are not allowed to use foreign employees perform the jobs that
domestic employees are able to perform and satisfy with the
requirements of tender package, especially universal employees,
employees without skills and professional training.

1 Validity of tender document:
- All Tender Document (include Technical Proposal and Financial
Proposal) submitted to VMS shall be valid for a period of 180 days from
the Closing Date and Time. During this time the Tender Document shall
remain binding.
- In case of necessity, VMS can request Tenderer in writing to extend valid
term of Tender. If Tenderer refuses such request of extension, his Tender
is not considered any more.

- All parts of the Tender Document shall be submitted in one (01) original
and two (02) copies and also be submitted on a CD-ROM (one CD-ROM
shall be supplied with each original and copy of the Tender Document).

- Technical Proposals shall be opened in public. VMS invites Tenderers
representatives to attend the Technical Proposals opening ceremony.
Technical Proposals opening is carried out right after the closing date
and time specified above at VMS premise in the witness of present
persons and not dependent on whether any Tenderer is present or absent.

2 Tender Documents of the Tenderer shall be rejected if violate one of the
following prerequisites:
a) There is no name in the tender list that bought Bidding Document,
except for changing eligible status (the name) to participate in tender
as stipulated in Article 8 of this Chapter;
b) The Tenderer is not affordable with regularity as required at Clause 1

B.1. Scope of Work
- Providing the optimization service for the 3G radio network and the inter-working
between 2G and 3G at Center VI of VMS, including:
o Verifying the KPIs and hidden KPIs and problems relating to QoE: Analyze and
evaluate the accuracy of KPIs based on OSS.
Verify formulas and definitions of the KPIs based on OSS to evaluate the
accuracy of them in order to accurately reflect the network performance

The optimization implementation mainly focuses on improving coverage,
capacity, and the performance of the network. Specific tasks include (but
not limited to):
Improve the accessibility of voice and data;
Improve the retainability of voice and data;

- The scope of work is divided into phases as follows:
Phase 1 Evaluating network performance:
o Verify input data to minimize errors in the network database
o Install necessary testing tools for project implementation.
o Freeze network parameters during the data collection.
o Data Collection (Note: Need to collect data for NSN and Ericsson).
o Tracking and monitoring network performance data, including: KPIs, data from
network elements, customer complaints about the quality of service, VIP areas.
Identify and carry out drive test in poor quality areas where necessary.
o Build up an information exchange process to ensure any change relating to
frozen parameters are recorded
o Collect the data of the 3G radio network and the current interworking between 2G
and 3G at Center VI of VMS.
o Analyze and evaluate the 3G network performance from the following sources:
KPIs from OSS, results from protocol testers.
o Analyze KPIs and evaluate the accuracy of KPIs from the OSS system
o Analyze and verify hidden KPIs, Timers, and Counters through the protocol
testing system and modify these KPIs accordingly
o After modifying the OSS KPIs or OSS Counters in order to represent customer
QoE appropriately, these OSS KPI values are recorded and are averaged for 05
consecutive working days, called KPI Baseline. These are KPI values before
optimization (KPI

difference between the KPIs and actual customer QoE. These recommendations
must be analyzed and specify changes of the KPIs to clearly reflect current
network performance.
o Recommendations on building an efficient and safe network performance
management process to VMS
Technology and knowledge transfer:
o Organize one (01) training course at Center VI of VMS on basic and advanced
knowledge relating to 2G/3G radio network optimization
o Knowledge transfer must be carried out during the project deployment
B.2. Details of Technical requirements
1. General requirements
- Tenderer shall optimize and improve radio network performance in Center VI area of
VMS through protocol testers including:
o Improvement in voice accessibility and call setup rate
o Improvement in voice mobility
o Improvement in voice retainability
o Improvement in data accessibility
o Improvement in data throughput
- Tenderer shall specify features and tools of the VMSs OSS system that need for
implementing optimization solution. Tenderers tools must be able to collect and analyze
data and information extracted from Ericsson OSS system (via GPEH/MRR) and Nokia
Siemens Network OSS system (via Megamon), or from protocol testers.
- The protocol testers must support automatic configuration for UTRAN interfaces: IuB,
IuCS, and IuPS. Both control plane and user plane must be automatically detected and
configured by the protocol testers for testing. The protocol testers must automatically
discover the topology of the monitored network and display it graphically.
- Network evaluation report must include at least following contents:

o Report for Multi-RAB calls includes: RRC failure cause for Multi-RAB Calls;
Top 10 handsets used in Multi-RAB mode; Top handsets used with PS calls
initiated immediately after CS calls, and Delay distribution of Multi-RAB calls
with PS calls initiated after CS calls;
o Report for handsets which are set on mode 3G only;
o Report for top cells with the worst UL BER for both voice calls and data calls;
o Report for Soft Handover matrix that shows the relationship of source cells with
their neighbours, the percentage of soft handover calls with neighbour cells, the
CS and PS traffic in Erlang for each cell and the Soft Handover relationship on
map.
- Tenderer shall provide network radio optimization service for NodeB 3G sites and the
interworking between 3G and 2G at Center VI including 1200 NodeBs per 04 RNCs.
- Tenderer shall evaluate existing radio network capacity and traffic development, propose
solutions for network expansion with minimum CAPEX and OPEX costs.
- Tenderer shall have experience and proficient personnel in working with OSS system of
Ericsson and Nokia Siemens Network.
- To convince VMS on the successful deployment of this project, Tenderer shall clearly
write down the organization plan and resource of its own allocating to the project in
details. The content must be persuadable and highly feasible. The minimum content
required including:
o Methodology and optimization plan.
o Personnel allocation for analysis, optimization tuning and drive test:
Technical personnel allocating for the project.
Expertly radio engineers (copies of certified paper of engineers are
required to be attached)
Tools and Equipment used in the project. Tenderer shall list and specify
the quantity of all equipment and tools that will be used for this project.
Technical team organization and working process
- Tenderer shall not be equipment vendors (or a consultant company which is dependent on
the equipment vendors) who supplied BTS/NodeB equipment for the BSS network of
VMS.
- Tenderer shall undertake to complete the 2G/3G network optimization implementation
within 16 weeks after the effective date of contract.
2. Experience requirements
- Tenderer signed and implemented at least 01 contract related optimization of cellular
network UMTS/3G in European countries or America countries.
- Tenderer signed and implemented at least 01 contract related to optimization of cellular
network UMTS/3G in South East Asia countries
- Tenderer shall provide the following information to VMS in order to verify the
Tenderers capacity:

The contact information of the Director or the Technical Deputy Director or
equivalent of a mobile operator, who used the 3G radio network optimization
service of Tenderer. The optimization service contract must be in 2011, 2012 and
in South East Asian countries.
The confirmation information of Operators Director, Technical Deputy Director,
or equivalent about optimization contracts, in which there are improvements in
mobility, retainability, and data throughput KPIs at least 10% after Tenderers
optimization implementation.
The confirmation information of Operators Director, Technical Deputy Director,
or equivalent about optimization contracts, in which there is the improvement to
at least 03 hidden problems after Tenderers optimization implementation,
including:
Hidden parameters, hidden counters or hidden timers in retainability;
Hidden parameters, hidden counters or hidden timers in mobility;
Inactive features need to be activated to improve customer QoE.
3. Personnel requirements
3.1. Expert leader (project director)
Tenderer shall submit a CV that has signature of the expert leader. In addition, the
Tenderer shall have a Confirmation letter for full time presence of the expert leader
for this project while performing contract.
The expert leader shall have at least 05 years experience in radio network
optimization work for GSM/UMTS networks worldwide.
The expert leader shall have experience in consulting for 3G radio network
optimization of GSM/UMTS networks in many countries all over the world (at least
02 countries)
Language: The expert leader shall be fluent in English, with priority for the expert
comes from countries which use English as national language.
The expert leader shall at least have a university degree related to one of the
following sectors: telecommunications, mobile communication, wireline or radio
technologies.
The expert leader shall have the ability to work with the cellular planning
tools/software and performance management tools/software which are being used by
VMS.
The Tenderer shall provide the information of at least 02 other expert leaders to VMS
for a better selection, or to reserve in case of the expert leader appointed by the
Tenderer not available in time for this project immediately after signing contract.
3.2. Other foreign experts
Tenderer shall submit CVs that have signatures of at least 04 other foreign experts. In
addition, the Tenderer shall have a Confirmation letter for full time presence of these
experts for this project while performing the contract.
These experts shall have at least 03 years experience in radio network optimization
work for GSM/UMTS networks worldwide.

better selection, or to reserve in case of the experts appointed by the Tenderer not
available in time for this project immediately after signing contract.
3.3. Vietnamese experts/engineers
Tenderer shall submit CVs that have signatures of at least 05 Vietnamese experts who
support for this project.
These experts shall have at least 05 years working experience in the field of
telecommunications in Vietnam and shall be fluent in English (having C level
certificate or equivalent).
These experts shall have experience and knowledge in optimizing GSM/UMTS
networks. Training certificates of the experts will be attached (if any).
These experts shall have the ability to work with the cellular planning tools/software
and performance management tools/software which are being used by VMS.
These experts shall at least have a university degree related to one of the following
sectors: telecommunications, mobile communication or radio technologies.
3.4. On-site technicians
Tenderer shall submit CVs that have signatures of all on-site technicians who perform
on-site technical survey, hardware equipment changing and testing for this project.
These technicians shall have certificate of ability on high working site, issued by
official authority in Vietnam.
These technicians shall have certificate in planning, optimizing cellular network.

6. Methodology
Tenderer shall provide efficient optimization solution which help to shorten the
project implementation duration.
The solution maximizes the usage of VMSs planning & optimising tools to save cost
and improves tool usage skills for VMSs staff.
Tenderer shall maximize vendor OSS features to limit drive test. Tenderer shall
declare clearly the system features and its application for this project.
Subscriber in big city such as Center VI normally experience low quality of indoor
call. Thus, Tenderer shall provide a solution that improves the actual subscriber
experience for both indoor and outdoor call.
Tenderer shall provide a solution that can check the accuracy of the current KPIs of
VMSs network
7. Requirements for Equipment and Tools at Site
Tenderer shall equip tools, equipment and Planning & Optimization tool licenses of
its own for its experts, including:
o Tools, protocol testers on interfaces: Iub, IuCS, and IuPS.
o Software to analyze KPI reports from protocol testers
o Network Performance Management Statistics Tool (PMS)
o Tools to analyze network optimization and process data from driving test
o Tools to analyze Mobile Measurement Reports, allowing collection and analysis
of information extracted from OSS system of Ericsson (via GPEH/MRR) and
Nokia Siemens Network (via Megamon) or equivalent data from protocol testers
8. Requirements for Project Capacity
The tender price is all inclusive which includes the costs of experts' accommodation,
transportation, working tools and equipment, business income taxes under Vietnam
law system.
The tender price is all inclusive which includes: technical survey, current radio
network optimization, new site optimization, analysis and evaluation of the
measurement results of coverage drive test (if any), and radio network planning.
Human resources and the scope of work based on the assumption that optimization
implementation for 3G sites and interworking with 2G sites at the same place.
Tenderer shall undertake to support the 3G radio network optimization for VMS
within 04 months after FAC (Final Acceptance Certificate).
Tenderer shall undertake not claiming for compensation if there is any injury,
industrial accident to the experts/workers (both foreigner and Vietnamese) of the
Tenderer while working for VMS in this project.

10. Training and Knowledge Transfer
Tenderer shall provide a 02-day training course in working days for at least 08
VMSs engineers on 2G/3G Radio Network Optimization subject.
The training course shall be taken in one place, Tenderer shall pay for all the costs of
transportation, accommodation, meals, documents, computers, tools/software for
this training course.
11. Other Requirements
Tenderer shall be a professional organization which has provided technical consulting
services for cellular network or shall be an equipment supplier, an operator with at
least 10 years in operating experience in GSM/UMTS network since its foundation
(but have never supplied BTS equipment for the BSS network of VMS).
Tenderer shall provide information about its customers which are the GSM/UMTS
operators have used Tenderers services for planning and designing cellular network.
Tenderer shall prove the high level technical consulting capacity for GSM/UMTS
network by providing a list of customers which have used the technical consulting
services of the Tenderer all over the world, specify the name of the operators,
country, technology, and the scope of work.
Tenderer shall prove the high level technical consulting capacity for 2G/3G radio
network equipment of operators by providing the agreements with equipment
suppliers in network optimization consulting projects which cover the equipments are
being used in VMS network (if any). Or mention the name, profile, passport number,
place of passport issued of the Tenderers experts who worked for two equipment
suppliers which are Ericsson and Nokia Siemens Network.
Tenderer shall show the list of its staffs and technical experts (attached with resumes,
passport number, place of passport issued) who participated in providing consulting
or technical services in South East Asia for GSM/UMST mobile operators for at least
01 month.

Tenderer, who have provided similar technical services for VMS before, shall show
the list of staffs and technical experts (attached with resumes, passport number, place
of passport issued) who have participated in providing technical or consulting
services for VMS, show the contract, duration of working for VMS.
Tenderer who havent provided similar technical services for VMS before shall have
experience in providing similar technical services for other GSM/UMTS mobile
networks in Vietnam or South East Asia. Tenderer shall show the list of staffs and
technical experts (attached with resumes, passport number, place of passport issued)
who have participated in providing technical or consulting services for other
GSM/UMTS networks, show the contract, duration of working for other GSM/UMTS
networks in Vietnam or South East Asia.
C. REPORT REQUIREMENTS
Tenderer shall provide sample reports that meet VMSs requirements of work as
specified in section B.
D. PURCHASERS RESPONSIBILITIES:
1. During the effective duration of the Contract, the Purchaser shall give the Consultant
access to files, necessary information and other documents relating to the Project
when requested by the Consultant for the purpose of implementing the works under
this Contract.
2. In case the Consultant requires meetings with the Purchasers staff, its units, the
Consultant shall request in writing and the Purchaser shall have the responsibility to
arrange working space and facilities at suitable time during business hours for the
Consultant to do so.
3. The Purchaser shall set up a project management team to work on a regular basis with
consulting specialists during the project performance duration. Consulting specialists
shall be invited to attend meetings of the project management team during the project
performance duration. The project management team shall ensure regular
communications and organize regular official meetings to review the project
performance progress.
4. The Purchaser shall ensure the most favorable conditions within its ability for the
Consultant to carry out its tasks under this Contract.
5. Corresponding to the progress of providing services by the Consultant under this
Contract, the Purchaser shall pay the Consultant in accordance with the payment
schedule provided in the Contract.
6. The Purchaser shall not be responsible for any insurance whether professional, body,
health, accident, travelling or any other types of insurance which may be considered
necessary or recommendable for the Consultant and/or sub consultants and/or
specialists of the Consultant and sub consultants and/or for people accompanying the
Consultant for the implementation of the tasks under this Contract.

7. No advice, valuation or opinion rendered by the Consultant, whether formal or
informal, may be disclosed, in whole or in part, or summarized, excerpted from or
otherwise referred to without the Consultants prior written consent except that the
Purchaser may provide the advice, valuation or opinion to the relevant Vietnamese
authorities as required by such authorities provided that the Purchaser shall notify the
Consultant in writing promptly in advance to the extent possible.

PART V. REQUIREMENTS OF CONTRACT
CHAPTER IV: GENERAL CONDITIONS OF CONTRACT
Article 1. Interpretation:
In the Contract the following words and expressions shall have the meanings stated
below:
1. Contract is an agreement made between Purchaser and Contractor in writing, signed by
both partied. It includes annexes and attached document.
2. Contract Price is total money which Purchaser shall pay for Tenderer as follows the
contract.
3. Purchaser is an organization as specified in the Specific Conditions.
4. Consultant is an organization supplying consultancy service as follows the contract and
specified in the Specific Conditions.
5. Sub-contractor means the contractor that have an agreement or contract with main-
contractor to perform some proposed work in TD
6. Effective Date has the meaning given in Specific Conditions.
7. Day means solar calendar days, is calculated continuously, including holidays and
weekends
8. Other costs is costs without salary for specialists regarding consultancy service.
Article 2. Applicable law and applicable language
This Contract and rights and obligations of the parties under the contract shall be
governed by, and construed in accordance with, the laws of Vietnam in all aspects, unless
having different conditions in Specific Conditions.
The Contract shall be made in English, unless having different conditions in Specific
Conditions.
Article 3. Application of contractual documents and information
1. The consultancy Tenderer, without prior written consent of the Purchaser, shall not
disclose the content of the Contract signed by the Purchaser or Purchasers representative
to any third party who is not in charge of performing the Contract. The disclose of data to
party in charge of contractual performance shall be carried out in the confidential manner
and within scope necessary to fulfil the Contract.
2. The consultant, without prior written consent of the Purchaser, shall not use any data or
document in the item 1 of this Article for any other purpose except otherwise for the
performance of this Contract.

3. All document mentioned in the item 1 of this Article is the ownership of the Purchaser.
Under request, the Consultant shall return those documents (including copies) to the
Purchaser upon the end of contract period.
Article 4. Copyright
The contractor shall take the responsibility of all loss caused by the claims of third party
concerning the violation of copyright of the services supplied to the Purchaser.
Article 5. Contract type

The Consultant shall make payment to the Purchaser as in the Specific Conditions
Article 7. Contract Value
The Contract value is agreed at contractual discussion by the Consultant and the
Purchaser on the base of approved value and detail in the Contract
Article 8. Amendment and Supplementation of the contract
1. During contracts performance, the Purchaser may request for amendment,
supplementation of the contract
2. The above amendment, supplementation may result to the increase or decrease of
contract value or term. Thus, the corresponding of the Contracts shall be changed. Within
the period in the Specific Conditions since the receipt of Purchasers notice for change,
the Consultant is responsible for replying and giving specific requirements to adjust and
add to make the proof for discussing and making contracts annexes
3. Amendment and supplementation of the contract must be in accordance with the contract
type and conditions as specified in the Specific Conditions of the contract
Article 9. Personnel
Unless Purchaser has different agreement, the Consultant shall mobilize all specialists to
perform proposed work as stated in TD. If needed case having replacement of specialist
as specified the Article 28 Chapter I, the Consultant shall replace immediately that
specialist which another specialist who possesses the same or better qualifications
In case of specialist losses civil acting or is incapable of implementing assigned tasks, the
Purchaser shall notify the Consultant in writing and request the Consultant replace the
specialist. Consultant shall replace such specialist with another one with qualification and
experience acceptable to the Purchaser.

Article 10. Sub-contractor
1. Contractor is allowed to sign a contract with sub-contractor, which in the list of sub-
contractor as specified in Specific Conditions, for performing a part of work as stated in
the TD. Using sub-contractor shall not change the obligation of contractor. The
Contractor shall be responsible to Investors in quantity, quality, schedule and other
obligations for the work done by sub-contractor.
Replacing, supplementing sub-contractor, which not in the list of sub-contractor as
specified in Specific Condition, shall be only made when having Investors approval.
2. The value of work done by sub-contractor shall not exceed percentage as specified in
Specific Conditions
3. Contractor shall not use sub-contractor for any work that not in the listed work in TD.
4. Other requirement for sub-contractor as specified in Specific Conditions.
Article 11. Compensation and Amount for Contract Breaches
Except for force majeure under Article 15 General Conditions, if the Consultant does not
totally or partially fulfill items in the Contract within the term in the Contract or the term
extended by the Purchaser then the Purchaser is entitled to make deduction to contract
amount for the loss (if any) or a compensation corresponding to the percent of items for
each delay week or a specific period until the normal performance of the contract under
Specific Conditions. Specific Conditions shall define maximum rate of deduction. If
maximum rate is applied, the Purchaser is entitled to consider for termination of the
Contract under Article 13 of General Conditions.
Article 12. Contract Extension
During Contract performance, if Consultant copes with difficulties which lead to the
delay of the, the Consultant shall notice to the Purchaser with the reason and estimated
delay time. Upon the receipt of Consultants notice, The Purchaser is entitled to examine,
study Consultants proposals. The Purchasers acceptance of contracts extension shall be
the base for the negotiation and making contracts annexes.
Article 13. Contract termination due to Consultants fault
1. The Purchaser shall totally or partially terminate the Contract by giving written notice to
the Consultant if the Consultant fails to perform total or part of the Contract as specified
in the Specific Conditions.
2. The Consultant is dissolved or declared bankrupt. In this case, the Purchaser may send a
notice of termination to the Consultant when it becomes aware of such bankruptcy status
without any liability for compensation. The termination of this Contract shall not affect
the interests of the Purchaser under this Contract and provisions of laws
3. In case the Purchaser ceases to perform part of or total contract under clause 1 of this

Article, the Purchaser shall make contract with other Consultant. The Consultant is
entitled to make payment to the Purchaser compensate for the surplus amount for the
performance of terminated contract. However, the Consultant shall continue to fulfill the
valid contract and is responsible for warranty of the items performed by itself.
Article 14. Contract termination due to Purchasers fault
The Consultant shall totally or partially terminate the Contract by giving written notice to
the Purchaser if the Purchaser fails to perform total or part of the Contract as specified in
the Specific Conditions.
Article 15. Force Majeure
1. In this Contract, force majeure is interpreted as the event which is beyond Consultants
control and anticipation not the Purchasers fault or carelessness such as: war, riot, strike,
fire, flood, plague, restriction due to quarantine, embargo
2. If any force majeure occurred, the affected side shall timely notice in writing to the other
side of the event and reason. At the same time, the affected side shall send the
confirmation of the happening issued by a competent body or Chamber of Commerce at
the local of the event.
In the force majeure period, the Consultant cannot execute service; the Consultant must
continue to perform its contractual obligations as permitted by actual situation and take
all reasonable measures to perform works not being affected by the force majeure event
as follows Purchasers instruction. In this case, Purchaser shall consider reclaiming the
Consultant all additional and reasonable fee and charge that were borne by the
Consultant.
3. If one party fails to fulfill all its commitments, he shall not be fined or required for
compensation or contract termination in case of force majeure
Any disputes between the parties arising caused force majeure or dispute extension must
be settled as specified in Article 16
Article 16. Disputes settlement
1. The Consultant and Purchaser are responsible for disputes settlement through negotiation
and conciliation
2. If a dispute could not be settled through negotiation and conciliation within period as
specified in the Specific Conditions of dispute occurrence, the dispute shall be referred to
and finally resolved in accordance with the Specific Conditions.
Article 17. Notices
1. Any notice given shall be made in writing under the address in the Specific Conditions

2. Any notice shall be deemed to be valid since the date of receipt by other party or the

All expense and charges related to the money transfer shall be

For Local Part:
The Local Consultant shall have the right to invoice the
Purchaser. The payment shall be made in accordance with the
following milestones:

force and the Purchaser has received the advance payment
guarantee in accordance with Template No. 14 of Chapter

All expense and charges related to the money transfer shall be
borne by the beneficiary of such money transfer.

On the occurrence of any of the following events, the Purchaser
may temporarily suspend all or any part of payments (advance)
payable to the Contractor under the Consultant by a prior notice
to the Consultant:
- The Consultant suspends the execution of the Contract;
- On the occurrence of any events which, under the
Purchasers opinion, shall deter or threaten to deter the
success of the Project or other objectives of the Contract.

Any disputes between the parties arising out of or in connection with the
performance of this Contract must be settled through negotiation and
conciliation. If a dispute could not be settled through negotiation and

referred to and finally resolved by arbitration in Vietnam in accordance with
the Arbitration Rules of the Vietnam International Arbitration Centre by
three arbitrators appointed in accordance with the said Rules of Arbitration.

Notices required to be given by one Party to another shall, unless expressly

Parties agree to sign this Contract with following terms and conditions:
Article 1. Objectives of the Contract
Objectives of the Contract are services specified in the Annex A Terms of reference.
Article 2. Components of the Contract
Components of the Contract and the order of their legal priority shall be as follows:

7. Bid and documents clarifying them from the successful Tenderer (if any);
8. Bidding documents and addendum them (if any);
9. Any other enclosed data (if any).
Article 3. Obligations of the Investor
1. The Investor shall commit to pay the Consultant in accordance with the Contract price
and payment schedule provided in Article 5 of this Contract as well as implement fully
other obligations and responsible provided in the Specific conditions and General
conditions of the Contract.
2. The Investment shall assign Mr/Mrs [providing full his/her full name] to be the
supervisor to control all activities under the scope of this Contract.
Article 4. Obligation of Consultant
1. The Consultant shall complete its obligations provided in Article 1 of this Contract;
2. The Consultant shall ensure that services shall be provided by specialists named in
the Annex B Specialists of the Consultant;
3. The Consultant shall be responsible for reporting and providing all information to the
Investor within schedule and forms specified in the Annex C Responsible for
reporting of the Consultant;

4. The Consultant shall be responsible for performing other obligations provided in the
Specific conditions and General conditions of the Contract.
Article 5. Contract price, schedule and method of payment
1. Contract Price
The total contract price is USD, of which
USD is price payable for Foreign Part (the Foreign Part Payable
Amount)
USD excluded Value Added Tax (VAT) is the amount payable for Local
Part (the Local Part Payable Amount)
USD is the Foreign Contractor Tax (The Corporate Income Tax)
Contract Price is a lump sum price (all inclusive) for all the works under the Contract
and the Terms of Reference of the Bidding Document and Foreign Contractor Tax
(The Corporate Income Tax).
The Value Added Tax not included in the Foreign Contractor Tax (FCT) and
imposed on Foreign Consultant in accordance with the applicable laws and
regulations of Vietnam shall be paid by VMS with VMSs own money to
Vietnamese Tax Authorities.
The Corporate Income Tax included in the FCT and imposed on Foreign Consultant
in accordance with the applicable laws and regulations of Vietnam shall be withheld
from the FCT value as specified in the Annex E Pricing Details of this Contract.
VMS shall then pay this amount on Foreign Consultants behalf to Vietnamese Tax
Authorities and provide one (01) copy of Certificate of Corporate Income Tax
payment in Vietnam issued by Vietnamese Tax Authorities to the Consultant within
30 (thirty) days from the date of the tax payment.
The Value Added Tax invoiced by Local Consultant in accordance with the
applicable laws and regulations of Vietnam shall be paid in addition to the prices by
the Purchaser to Local Consultant
2. Method of Payment:
The payment shall be made by wire transfer. All payments shall be made by the
Purchaser to the Consultants bank account.
3. Schedule for payments:
3.1.For Foreign Part:
The Foreign Consultant shall have the right to invoice the Purchaser. The payment
shall be made in accordance with the following milestones

Payment: Advance Payment of USD representing 10% (ten percent)
of the Foreign Part Payable Amount shall be paid only after the contract has
come into force and the Purchaser has received the advance payment guarantee
in accordance with Template No. 14 of Chapter VI.
(ii) The 2

Payment: The amount of USD representing 60% (sixty percent) of
the Foreign Part Payable Amount shall be paid only after the Preliminary
Acceptance Certificate (PAC) has been duly signed by Parties and the Foreign
Consultant has submitted the proper commercial invoice to the Purchaser.
(iii) The 3
rd
Payment: The amount of USD representing 30% (thirty percent) of
the Foreign Part Payable Amount shall be paid only after the Final Acceptance
Certificate (FAC) has been duly signed by Parties, the Foreign Consultant has

submitted the proper commercial invoice to the Purchaser and the Purchaser has
received the Warranty Bond in compliance with Article 9 herein
All expense and charges related to the money transfer shall be borne by the
beneficiary of such money transfer.
3.2.For Local Part:
The Local Consultant shall have the right to invoice the Purchaser. The payment
shall be made in accordance with the following milestones:

of the Local Part Payable Amount shall be paid only after the contract has come
into force and the Purchaser has received the advance payment guarantee in
accordance with Template No. 14 of Chapter VI.

Payment: The amount of VND representing 60% (sixty percent) of
the Local Part Payable Amount shall be paid only after the Preliminary
Acceptance Certificate (PAC) has been duly signed by Parties and the Local
Consultant has submitted the proper commercial invoice to the Purchaser.
(iii) The 3
rd
Payment: The amount of VND representing 30% (thirty percent) of
the Local Part Payable Amount shall be paid only after the Final Acceptance
Certificate (FAC) has been duly signed by Parties, the Local Consultant has
submitted the proper invoice and the Purchaser has received the Warranty Bond
in compliance with Article 9 herein.
All expense and charges related to the money transfer shall be borne by the
beneficiary of such money transfer.
4. Temporary suspension of payment:
On the occurrence of any of the following events, the Purchaser may temporarily
suspend all or any part of payments (advance) payable to the Contractor under the
Consultant by a prior notice to the Consultant:
- The Consultant suspends the execution of the Contract;
- On the occurrence of any events which, under the Purchasers opinion, shall
deter or threaten to deter the success of the Project or other objectives of the
Contract.
Article 6. Form of contract: Lump-sum contract
Article7. The contract performance duration

contract signed between Parties].
Article 8. Acceptance Procedure
1. The Consultancy Service, for which the Purchaser has requested undertaking, shall be
subject to the Acceptance Procedure, The main objective of the Acceptance
Procedure is to assure the Purchaser that the Consultancy Service, for which the
Purchaser has paid to the Consultant, as appropriate, conform to this Contract and its
Annexes.
2. Preliminary Acceptance Certificate (PAC) shall be signed by Parties when the
Consultant submit all the reports, documents, deliverables in compliance with terms
and provisions under this contract as well as its annexes, and accepted by the
Purchaser. PAC is one of the conditions for the Consultant receives the 2nd Payment.
The Purchaser shall make the payment to the Consultant upon terms and provisions of

this contract, working part the Consultant commence in reality, working time of the
specialists in reality, but not exceed 60% (sixty percent) of the Contract Price Net.
3. The Final Acceptance Procedure shall have the objective of assuring Purchaser that
no Punch List items exists in the System, one such System is subject to Final
Acceptance by Purchaser. A Punch List shall be prepared by Purchaser in co-
operation with Consultant.
4. Final Acceptance Certificate shall be signed by Parties when all items on the
respective Punch List have been resolved in the System unless otherwise agreed
between both Parties. Final Acceptance Certificate is also Contract Liquidation
Certificate. The Purchaser shall make the last Payment according to the terms and
provisions of the Contract.
5. Purchaser shall, when all items on the respective Punch List have been resolved in the
System without undue delay issue a Final Acceptance Certificate.
Article 9. Warranty Bond
1. The Consultant has responsibility to give the Warranty and Technical Support to the
Purchaser in compliance with Annex D Scope of Work, requirements in Bidding
Document, and the proposal in the Contractors Tender Document.
2. Warranty and Technical Support must be provided for 04 (four) months from the date
of signing the FAC. In order to guarantee Consultants complete and satisfactory
performance of this Contract in relation to the Warranty and Technical Support, the
Consultant shall submit to VMS right after signing the FAC a Warranty Bond in
favour of VMS in a sum up to USD (and/or VND) representing 5 (five) percent of
the Total Contract Price. Warranty Bond shall indicate VMS as beneficiary and shall
be valid up to 04 (four) months after the date of Final Acceptance Certificate. In the
event the Consultant has not submitted said Warranty Bond to the Purchaser within
aforesaid time period, this shall be considered as a material breach of Consultants
obligations and the Consultant shall not receive the 3rd payment. The Guarantor
(Prime Bank) which guarantees for the Contractor must be reputable/acceptable to the
Purchaser.
3. The failure by the Consultant to perform all or certain parts of its obligations under
this Contract in relation to the Warranty and Technical Support may, in addition to
any other remedy available to Purchaser, result in the forfeiture of said Warranty
Bond in whole or in part
Article 10. Effectiveness of the Contract
1. This contract shall come into effect from _____ [date which is pursuant to Clause 5
Article 1 of Specific conditions of the Contract].
2. This contract shall no longer be effective from all tasks and services under this
Contract have been fully performed by the Consultant.
