Dear Mr. Long:

This letter is to confirm our understanding of the terms and objectives of the accountant
services we will provide.

For the calendar year of 2010, we will provide the following services to your business:

1. On a biweekly basis, process payroll checks for employees and deliver them
timely and accurately to you business’s address.

2. On a monthly basis, pay payroll related taxes.

3. On a quarterly basis, file the related state and federal payroll tax returns.

4. On a quarterly basis, file the state sales tax return.

5. Prepare your 2010 state and federal business income tax returns

6. Prepare your 2010 state and federal personal income tax returns

Our fees are fixed at $4,200 and are payable upon receipt. Please note that you will not
be billed any additional out of pocket costs that we will incur to perform the above
mentioned services.

We reserve the right to suspend our services or to withdraw from this engagement in the
event that any of our invoices are deemed delinquent. In the event that any collection
action is required to collect unpaid balances due us, you agree to reimburse us for our
costs of collection, including attorneys’ fees.

This engagement letter is contractual in nature, and includes all of the

relevant terms that will govern the engagement for which it has been
prepared.

The terms of this letter supersede any prior oral or written representations or
commitments by or between the parties. Any material changes or additions to the terms
set forth in this letter will only become effective if evidenced by a written amendment to
this letter, signed by all of the parties.

If, after full consideration and consultation with counsel if so desired, you agree that the
foregoing terms shall govern this engagement, please sign the copy of this letter in the
space provided and return the original signed letter to me, keeping a fully-executed copy
for your records.

Thank you for your attention to this matter, and please contact me with any questions
that you may have.

To affirm that this letter agrees with your understanding of the terms of our engagement,
please sign the enclosed copy in the space indicated and return it to us.
