AUSTIN COMMUNITY FOUNDATION


DECLARATION AND AGREEMENT OF GRANT

The Austin Community Foundation for the Capital Area (the “Foundation”) hereby
grants to For the Love of Christi (“Grantee”), $10,000.00 (the “Funds”) pursuant
and subject to the terms and conditions set forth in this Declaration and
Agreement of Grant (the “Declaration”). The Grantee, in accepting the Funds
and executing this Declaration, warrants, represents and covenants that the
Funds shall be held, administered and used in strict accordance with the
following terms and conditions.

1. Grant Purposes. The Funds shall be used by Grantee solely in accordance


with the budget set forth in Exhibit A attached hereto and for the following
purpose: For the Love of Christi--Preparing for the Future (the “Project”).
Grantee agrees that all or any portion of the Funds not used as set forth
herein shall be reimbursed to the Foundation, unless Grantee has received
prior written approval from the Foundation to use the Funds otherwise than
as set forth herein.

2. Distribution of Funds. Grantee understands and acknowledges that the


Funds shall be paid upon Grantee’s compliance with the following conditions and
restrictions: Execution and return of this original Declaration to the Foundation.

3. Accounting. Upon written request by the Foundation, Grantee shall from


time to time account for the disposition of all Funds received hereunder (an
“Accounting”). Each Accounting shall be delivered to Foundation within twenty
(20) days after Foundation’s written request is made to Grantee, and shall
include a certification of an officer of the Grantee stating that such information is
true, correct and complete as of the date of the statement. If no specific written
request for an Accounting is made by Grantor, Grantee shall submit an
Accounting and Fund Statement with the “Supporting Documentation” described
below to Grantor no later than December 31, 2008 (the “Final Report Date”), as
part of the Final Report, as described in Section 5, or if an interim report is
submitted, as part of the interim report and again as part of the Final Report. The
Fund Statement shall include a separate line item for each expenditure or
disbursement of Funds, each itemized as to its budget category. Each line item
expenditure or disbursement shall be supported by third-party receipts, vouchers,
canceled checks, or other supporting documentation to enable Grantor to
substantiate, to Grantor’s sole satisfaction, each line item expenditure or
disbursement (the “Supporting Documentation”). The Supporting Documentation
shall accompany the Fund Statement.

4. Use of Funds. Grantee agrees to use the Funds as set forth in this
Agreement and shall not use the Funds for any other purpose.

5. Required Report. No later than the Final Report Date describe in
Paragraph 3 above, Grantee shall furnish to the Foundation a
comprehensive final report of the Project providing, at a minimum, the
information requested in Exhibit B attached hereto (the “Final Report”). If,
due to the nature of the Project, a final report is not possible by the Final
Report Date, then Grantee shall furnish an interim report of the Project to
the Foundation by such and shall include in such interim report a
projection of the date the final report can be completed and submitted to
the Foundation. Grantee understands and acknowledges that failure to
submit a Final Report to the Foundation shall prohibit Grantee from being
eligible to receive any future grants from the Foundation. By execution of
this Agreement, the undersigned representative of the Grantee,
acknowledges that he or she has reviewed the reporting requirements as
set forth in Exhibit B of this Agreement and agrees that all interim or final
reports shall contain the information set forth in Exhibit B attached hereto.

6. Records. The Foundation shall be entitled to a copy of any certified or


uncertified financial statements or budget of Grantee and shall be entitled to
examine the financial records of Grantee during regular business hours upon at
least three (3) days notice.

7. Exempt Status. Grantee represents that it is a tax-exempt organization


under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, and
that it is a duly organized and validly existing non-profit corporation and tax-
exempt under the laws of the State of Texas. If the Foundation determines, in its
sole discretion, that Grantee has ceased to qualify as a tax-exempt organization
under Section 501(c)(3) of the Code or the laws of the State of Texas, Grantor
shall notify Grantee of such determination and Grantee shall immediately return
all remaining portions the Funds to Grantor.

8. Publicity. Grantee agrees to recognize the Foundation in any publicity it


produces, purchases or contracts for, which specifically refers to the Project and
to furnish a copy of all such publicity to the Foundation. Additionally, Grantee
agrees to cooperate with the Foundation in connection with any publicity or
advertising by the Foundation, and Grantee hereby consents to the use of its
name and logo by the Foundation in any such publicity or advertising. Such
cooperation shall include, but shall not be limited to, providing the Foundation
with information about the Project and its status, providing access to Foundation
staff, board or agents to the Project activities, allowing the Foundation to take
and publish photos or other visual depictions of Project activities, providing a
copy of Grantee’s logo (if any), meeting with Foundation staff, board or agents to
discuss the Project. The Foundation understands that in some instances the
Grantee has an obligation to its clients to maintain the client’s confidentiality and
the Foundation does not require a Grantee to violate the trust or confidentiality of
a client or otherwise impinge on a client’s rights in order to comply with this
provision of the Declaration.

9. U.S. Patriot Act. In recognition of I certify that Grantee is not and has
not been identified as a terrorist group. I further certify that as of the date
of this Declaration, as set forth below, Grantee does not appear on any list
of the U.S. government as having links to terrorism or money-laundering,
including without limitation: The Terrorist Exclusion List (available at the
State Department’s website at www.state.gov/s/ct/rls/fs/2004/32678.htm)
and the Office of Foreign Assets Control master list of Specially
Designated Nationals (an integrated list of individuals and organizations)
(www.treas.gov/offices/enforcement/ofac/sdn/). Finally, I certify that
Grantee does not fund terrorism and is in compliance with all the
applicable laws, including the U.S. Patriot Act and Executive Order 13224
(Executive Order Blocking Property and Prohibiting Transactions With
Persons Who Commit, Threaten to Commit, or Support Terrorism).

(1) A financial summary of the Required Accounting as described in Section 3


of the Declaration.

(2) A narrative account of accomplishment and description of the funded


project/program. Report documentation shall include, but not be limited to
information related to the questions below:

(a) What expected and unexpected successes did the project/program


encounter?

(b) What expected and unexpected problems did the project/program


encounter?

(c) What was the range of outreach offered by this project/program (“how
many people were served?” and “what was the impact on them?”)

(d) What are the lasting benefits of the project/program?

(e) If the project/program were to be done again, would it be done


differently? If so, how?

(f) What are the specific plans for continuation of the project/program?
How will it be funded?

(g) Were there other sources of funds used to support the


project/program? If so, please indicate the sources and amounts.

(h) What project/programs are available in the community as alternatives


to the project/program?

(i) How does the project/program compare to the alternative programs


available?
