Legal

Thai Company

The foreigner is allocated 39% of the shares. On the day of company


registration the qualified Thai shareholders transfer all voting rights
to the foreign shareholder. The share transfers are signed but not
dated. The foreigner enjoys complete legal freedom to sell, lease or
rent the property. There are no on-going payments to the Thai
shareholders. Under current Thai law, share transfers are not subject
to Capital Gains Tax (profit on sale).
Costs of setting up a Thai registered company are approximately THB
30 – 35,000.

Annual accounting costs including Company Tax are approximately


THB 15 -20,000

In excess of 60% of all property transactions completed in Thailand


are via Company.

Lease

Under the current Lease laws of Thailand it is possible for a foreigner


to sign a Lease giving exclusive use of land and or, property for a
period of 30 years. This period is renewable for potentially 2 further
periods of 30 years = Total 90 years.

This is currently under International Law the safest approach to


acquisition of property in Thailand. The lease period is currently under
review by the Thai government with commentators expecting either
extended lease periods i.e. 50 years renewable or, even Perpetual
Leasing.

It is important therefore, that purchasers have a “convertible” clause


written into the contract which facilitates transfer into any new
leasing format.
