PLAINTIFFS RESPONSE TO DEFENDANTS MOTION TO
RECONSIDER ORDER DENYING DEFENDANTS MOTION TO
DISMISS

Defendants offer no compelling reason why the Court should reconsider its
Order of October 3, 2014 [Docket No. 27] denying the Defendants Motion to
Dismiss and Motion to Transfer Venue. Instead, they complain that there is no

valid legal basis for the Commissions actions. But the SEC proved its case in
open Court on August 8, 2014. The Defendants were served with notice of that
hearing and given the opportunity to cross-examine the Commissions witnesses
and offer evidence. Rather than take that opportunity, the Defendants and Relief
Defendants chose to skip the hearing. The Court found that the SEC had indeed
proven a prima facie case of violations of the registration and antifraud provisions
of the federal securities laws and that such violations likely would continue absent
a preliminary injunction. Nothing in the Defendants Motion for Reconsideration
justifies revisiting those findings. Indeed, Defendants continued refusal to
acknowledge their duty to comply with the federal securities laws further supports
the relief granted by the Court.
For the foregoing reasons, the SEC asks the Court to deny the Defendants
Motion for Reconsideration.
