The Chief Executive Officer (CEO)'s role and responsibilities

Plan, develop, organize, implement, direct and evaluate the organization's fiscal function
and performance.

Participate in the development of the corporation's plans and programs as a strategic


partner.

Evaluate and advise on the impact of long range planning, introduction of new
programs/strategies and regulatory action.

Develop credibility for the finance group by providing timely and accurate analysis of
budgets, financial reports and financial trends in order to assist the Board and senior
executives in performing their responsibilities.

Enhance and/or develop, implement and enforce policies and procedures of the
organization by way of systems that will improve the overall operation and effectiveness
of the corporation.

Establish credibility throughout the organization and with the Board as an effective
developer of solutions to business challenges.

Provide technical financial advice and knowledge to others within the financial
discipline.

Continual improvement of the budgeting process through education of department


managers on financial issues impacting their budgets.

Provide strategic financial input and leadership on decision making issues affecting the
organization; i.e., evaluation of potential alliances acquisitions and/or mergers and pension
funds and investments.

Optimize the handling of bank and deposit relationships and initiate appropriate strategies
to enhance cash position.

Develop a reliable cash flow projection process and reporting mechanism, which includes
minimum cash threshold to meet operating needs.

Be an advisor from the financial perspective on any contracts into which the Corporation
may enter.

Evaluation of the finance division structure and team plan for continual improvement of
the efficiency and effectiveness of the group as well as providing individuals with
professional and personal growth with emphasis on opportunities (where possible) of
individuals.

The Chief Operation Officer (COO)s role and responsibilities

Directs internal operations to achieve budgeted results and other financial criteria, and to
preserve the capital funds invested in the enterprise.

Participates in the development and preparation of short-term and long-range plans and
budgets based upon broad organization goals and objectives. Recommends their adoption
to the Chief Executive Officer.

Directs the development and installation of procedures and controls, to promote


communication and adequate information flow, and thereby solidify management control
and direction of the enterprise.

Develops and establishes operating policies consistent with the CEOs broad policies and
objectives and insures their adequate execution. Appraises and evaluates the results of
overall operations regularly and systematically, and reports these results to the CEO

Insures that all activities and operations are performed in compliance with local, state,
and federal regulations and laws governing business operations.

Develops and maintains a sound plan of organization. Establishes policies to insure


adequate management development and to provide for capable management succession for
those functions/business units falling under his/her responsibility.

Directs the development and establishment of adequate and equitable personnel policies
throughout the organization, including compensation policies and employee benefit plans.
Insures that the interests and welfare of employees as individuals are preserved and
protected.

The Chief Financial Officer (CFO)s role and responsibilities

Assist in performing all tasks necessary to achieve the organization's mission and help
execute staff succession and growth plans.

Train the Finance Unit and other staff on raising awareness and knowledge of financial
management matters.

Work with the President/CEO on the strategic vision including fostering and cultivating
stakeholder relationships on city, state, and national levels, as well as assisting in the
development and negotiation of contracts.

Participate in developing new business, specifically: assist the CEO and COO in
identifying new funding opportunities, the drafting of prospective programmatic budgets,
and determining cost effectiveness of prospective service delivery.

Assess the benefits of all prospective contracts and advise the Executive Team on
programmatic design and implementation matters.

Ensure adequate controls are installed and that substantiating documentation is approved
and available such that all purchases may pass independent and governmental audits.

Provide the COO with an operating budget. Work with the COO to ensure programmatic
success through cost analysis support, and compliance with all contractual and
programmatic requirements. This includes: 1) interpreting legislative and programmatic
rules and regulations to ensure compliance with all federal, state, local and contractual
guidelines, 2) ensuring that all government regulations and requirements are disseminated
to appropriate personnel, and 3) monitoring compliance.

Oversee the management and coordination of all fiscal reporting activities for the
organization including: organizational revenue/expense and balance sheet reports, reports
to funding agencies, development and monitoring of organizational and contract/grant
budgets.

Oversee all purchasing and payroll activity for staff and participants.

Develop and maintain systems of internal controls to safeguard financial assets of the
organization and oversee federal awards and programs. Oversee the coordination and
activities of independent auditors ensuring all A-133 audit issues are resolved, and all
403(b) compliance issues are met, and the preparation of the annual financial statements is
in accordance with U.S. GAAP and federal, state and other required supplementary
schedules and information.

Attend Board and Subcommittee meetings; including being the lead staff on the
Audit/Finance Committee.

Monitor banking activities of the organization.

Ensure adequate cash flow to meet the organization's needs.

Serve as one of the trustees and oversee administration and financial reporting of the
organization's Savings and Retirement Plan.

Investigate cost-effective benefit plans and other fringe benefits which the organization
may offer employees and potential employees with the goal of attracting and retaining
qualified individuals.

Oversee the production of monthly reports including reconciliations with funders and
pension plan requirements, as well as financial statements and cash flow projections for
use by Executive management, as well as the Audit/Finance Committee and Board of
Directors.

Assist in the design, implementation, and timely calculations of wage incentives,


commissions, and salaries for the staff.

Oversee Accounts Payable and Accounts Receivable and ensure a disaster recovery plan
is in place.

Oversee business insurance plans and health care coverage analysis.


Oversee the maintenance of the inventory of all fixed assets, including assets purchased
with government funds (computers, etc.) assuring all are in accordance with federal
regulations.

Roles of Board of directors in an Organization


In an organization board of directors plays an important role to build new plans and
strategy to make an organization successful. The board of directors includes chief executive
officers CEO or general manager. The general manager or CEO has wide roles and
responsibilities in an organization. The first or initial role of board of director is to make good
strategies and hire the general manager or CEO. It is the duty of CEO or general manager to hire

Responsibilities of Board of Directors in an Organization


The major responsibilities of board of directors are as follows:
1. It is the responsibility of board of directors to retain, evaluate, recruit, supervise and
cooperate with the manager. These are most important functions of board of directors.
The board of directors searches the most value able candidate for the position of CEO or
GM, because this person hiring the other employees of an organization and check the
daily activities.
2. The second responsibility of board of director is to provide a good direction for the
organization. The board of directors has a strategic function to make vision and mission
to achieve desirable goals in the organization.
3. The third responsibility of board of directors is to control and monitor the function and
hire the auditors in auditing process.

4. The fourth responsibility of board of directors is governed the whole organization and
creating good relationship with general manager and chief executive officer. The system
of governance involves how to interact with CEO and GM. This is done monthly with the
meetings of board of directors.
5. The fifth responsibility of board of directors is to protect the investment of members and
assets of the organization. The board of directors has a fiduciary responsibility to protect
and present investors interest in the organization.
6. The sixth responsibility is to make governance based policy. The board of directors has
the responsibility which develops the governance system for Roles, Responsibilities and

Governance system provides a good frame work and refers the board to focus on rules
and how they function.
7. The seventh responsibility of board of directors is maintained the records and other
activities. The board of directors is responsible for written and keeping the record and
making decision.

General Manager Duties and Responsibilities:

The very first responsibility of a general manager is to perform assigned duties and
responsibilities by board of directors.

General Manager should learn companys problems in technological, financial, service


field & develop strategic planning process to encounter them.

General Manager develops strategies and policies to achieve companys future goals.

GM (general manager) organizes regular staff meetings and builds an environment in


which employees willingly produce maximum work.

General Manager develops annual operating budget as well as all project budgets and
oversees them.

Producing marketing & promotion content and implement it in a planned manner to reach
different class of customers.

General Manager also responsible for developing sound relationships with stakeholders,
funders and community in order to gain mutual benefits.

General Manager plans and assigns work to subordinates and monitors them time to time.

Plan & review marketing activities, results and expectations with employees on regular
basis.

General Manager is also responsible for preparing financial report for effective
management & clearly showing operational effectiveness by his efforts.

Supports board of directors in formulating policies and projects and making policies
recommendations.

General Manager takes part in reviewing insurance, banking, auditing and other board
related aspects of the company.
