Entry into a Material Definitive Agreement

OnOctober19,2015,Yahoo!Inc.,aDelawarecorporation(Yahoo),andGoogleInc.,aDelawarecorporation(Google),enteredintoaGoogleServices
Agreement(theServicesAgreement).TheServicesAgreementiseffectiveasofOctober1,2015andexpiresonDecember31,2018.PursuanttotheServices
Agreement,GooglewillprovideYahoowithsearchadvertisementsthroughGooglesAdSenseforSearchservice(AFS),webalgorithmicsearchservices
throughGooglesWebsearchService,andimagesearchservices.TheresultsprovidedbyGooglefortheseserviceswillbeavailabletoYahoofordisplayonboth
desktopandmobileplatforms.YahoomayuseGooglesservicesonYahoosownedandoperatedproperties(YahooProperties)andoncertainsyndication
partnerproperties(AffiliateSites)intheUnitedStates(U.S.),Canada,HongKong,Taiwan,Singapore,Thailand,Vietnam,Philippines,Indonesia,Malaysia,
India,MiddleEast,Africa,Mexico,Argentina,Brazil,Colombia,Chile,Venezuela,Peru,AustraliaandNewZealand.
UndertheServicesAgreement,YahoohasdiscretiontoselectwhichsearchqueriestosendtoGoogleandisnotobligatedtosendanyminimumnumberof
searchqueries.TheServicesAgreementisnon-exclusiveandexpresslypermitsYahootouseanyothersearchadvertisingservices,includingitsownservice,the
servicesofMicrosoftCorporationorotherthirdparties.
GooglewillpayYahooapercentageofthegrossrevenuesfromAFSadsdisplayedonYahooPropertiesorAffiliateSites.Thepercentagewillvary
dependingonwhethertheadsaredisplayedonU.S.desktopsites,non-U.S.desktopsitesoronthetabletormobilephoneversionsoftheYahooPropertiesorits
AffiliateSites.YahoowillpayGooglefeesforrequestsforimagesearchresultsorwebalgorithmicsearchresults.
EitherpartymayterminatetheServicesAgreement(1)uponamaterialbreachsubjecttocertainlimitations;(2)intheeventofachangeincontrol(as
definedintheServicesAgreement);(3)afterfirstdiscussingwiththeotherpartyingoodfaithitsconcernsandpotentialalternativestotermination(a)inits
entiretyorintheU.S.only,ifitreasonablyanticipateslitigationoraregulatoryproceedingbroughtbyanyU.S.federalorstateagencytoenjointhepartiesfrom
consummating,implementingorotherwiseperformingtheServicesAgreement,(b)inpart,inacountryotherthantheU.S.,ifeitherpartyreasonablyanticipates
litigationoraregulatoryproceedingorreasonablyanticipatesthatthecontinuedperformanceundertheServicesAgreementinsuchcountrywouldhaveamaterial
adverseimpactonanyongoingantitrustproceedinginsuchcountry,(c)initsentiretyifeitherpartyreasonablyanticipatesafilingbytheEuropeanCommissionto
enjoinitfromperformingtheServicesAgreementorthatcontinuedperformanceoftheServicesAgreementwouldhaveamaterialadverseimpactonanyongoing
antitrustproceedinginvolvingeitherpartyinEuropeorIndia,or(d)initsentirety,on60daysnoticeiftheotherpartysexerciseoftheseterminationrightsinthis
clause(3)hascollectivelyandmateriallydiminishedtheeconomicvalueoftheServicesAgreement.Eachpartyagreestodefendorsettleanylawsuitsorsimilar
actionsrelatedtotheServicesAgreementunlessdoingsoisnotcommerciallyreasonable(takingallfactorsintoaccount,includingwithoutlimitationeffectsona
partysbrandorbusinessoutsideofthescopeoftheServicesAgreement).
Inaddition,GooglemaysuspendYahoosuseofservicesuponcertaineventsandmayterminatetheServicesAgreementifsucheventsarenotcured.Yahoo
mayterminatetheServicesAgreementifGooglebreachescertainservicelevelandserverlatencyspecifiedintheServicesAgreement.

InconnectionwiththeServicesAgreement,YahooandGooglehaveagreedtocertainprocedureswiththeAntitrustDivisionoftheUnitedStates
DepartmentofJustice(theDOJ)tofacilitatereviewoftheServicesAgreementbytheDOJ,includingdelayingtheimplementationoftheServicesAgreementin
theU.S.inordertoprovidetheDOJwithareasonableperiodofreview.
