BACKGROUND
The CONSULTANT has entered into an agreement with the CLIENT to perform engineering
design and analysis services, the nature of which is detailed in the description section of this
agreement.
The stipulations and conditions of this Business Agreement are as specified herein below:
Terms:
For the purposes of this agreement, the word CLIENT refers to the party authorizing and
requesting the work and the word CONSULTANT refers to the party performing the work.
The phrase timely manner is defined as 72 hours for electronic requests and seven days for
requests that require postal response.
DESCRIPTION:
the aim of this project is to design a device which can be easily installed in
automobiles. this device would be charged via charging cable connected to
obd (which will also transmit data from car to the device)
and have functionalities similar to smartwatch. the app installed on this
device will have capacity to read data from the obd and from the mobile
phone. (mobile phone will be connected to this device via bluetooth).

The solution will be consisting of the following parts
1. android Device (from scratch) installation in car

iii. Internal memory
iv. OBD connection/ Charging
v. Internal rechargeable battery

vii. Processor (yet to be finalized) Samsung etc.
b. Software Features
i. The android device will communicate with the car ECU and
fetch data using OBD Protocols CAN 2.0 bus etc
ii. The OBD data will be fetched by android device / Smart
Phones as the vehicle is turned on
iii. The software in the android device will perform the certain
calculations as per the clients requirements
2. Android app (to be designed from scratch with all agreed features)
a. Customized app as per the requirements
3. IOS app (to be designed from scratch with all agreed features)

*All costs of parts, materials, shipping, etc., required to build test the
prototype shall be paid by the CLIENT either directly to the supplier,
manufacturer, etc., or to the CONSULTANT in advance of purchase by the
CONSULTANT.
The costing include PCB required for the prototyping
Approvals:
Must meet applicable major Safety standards including UL/UR (and Cdn equivalent)
CE/VDE, Australian C-Tick, and EMC standards FCC, IC, CE, C-Tick
Design Costing/ Deliverables:

Each Phase Client has to pay advance deposite. Costing woould
be according to the phase. We should be able to have it
designed, and built within 4 months. Then we have 1 month for
testing, modifications, retesting, if necessary.
The best estimate that I can give you right now is $18,500 plus
parts, materials, shipping. Electronics and SW. . This includes the
initial payment of $5,500.00. The other milestones will be
completed weekly. I can send you an invoice now for the initial
payment. You can pay by VISA, Master Card, etc.? Or we can go
through Elance/ODESK.
These charges constitute the total charges for this agreement (notwithstanding the parts,
materials and shipping costs for the prototype if opted for by the CLIENT). If the hours worked
are expected to exceed the estimated work-hours stated above, then the CONSULTANT must
get approval from the CLIENT prior to performing the work or the CLIENT is not responsible
for the additional hours worked. If approval is given, then the CLIENT shall pay the
CONSULTANT for the scheduled hours and the additional hours (at the same rate as for the
scheduled hours) upon receipt of the final detailed report. If the number of hours actually
worked is less than the work-hours stated above, then the CONSULTANT shall provide the
CLIENT with an itemization of hours worked that reflects this decrease in hours and the
CLIENT is only responsible for the actual hours worked by the CONSULTANT. Irrespective of
the actual hours worked the CONSULTANT is responsible for the stated deliverables for the
project, notwithstanding early termination by the CLIENT

Deliverables (Completion Date):

For each Phase the Deliverables include a Detailed report; All items as listed as
Deliverables in Phase description above, including actual working files, drawings,
spreadsheets, BOMs, PCB layout files, actual hardware prototypes, firmware source files
etc. as described;
All original documents, designs, source files, PCB layout files, firmware etc will be
deposited in an online depository (Bit-bucket, Git or similar). This depositing will need to
be completed as a condition of payment for each Phase. of this agreement.
Working Prototype of system; including all parts, materials and accessories, compliant
with standards for required approvals;
Payment:
Payment should be made on Elance/ODESK without Elance/ODESK fee. Payments should be
made according to the Milestones phases.
Client is prepared to pre-pay 50% of the each Phase cost at the beginning of work on that
Phase.
The balance of that Phase amount will be paid upon successful & satisfactory completion of
that Phase and delivery and approval of the deliverables for that Phase.
If Client has paid the total amount due for a particular Phase and it later turns out that there
were flaws or deficiencies in that Phase previously thought to be completed, the Consultant
shall forthwith attend to correcting the flaws or deficiencies, and payment on the then current
Phase is delayed until the flaws and deficiencies have been corrected and the then current Phase
has been completed successfully.
These charges constitute the total charges for this agreement (notwithstanding the parts,
materials and shipping costs for the prototype if opted for by the CLIENT). If ever CLIENT
adds more features in product, then the CONSULTANT must get approval from the CLIENT
prior to performing the work or the CLIENT is responsible for the additional worked. If
approval is given, then the CLIENT shall pay the CONSULTANT additional payment upon
receipt of the final detailed report.

Confidentiality:
The CONSULTANT agrees to hold in confidence any and all proprietary information
pertaining to this project. This includes all materials, correspondences, etc. that the CLIENT
identifies as proprietary or confidential. However, CONSULTANT is not bound to adhere to
this provision if doing so is in violation of any federal, state or local law or statute.
All engineering drawings and designs will become the property of your company and will be
submitted for government regulatory compliance with the FCC and Underwriting Laboratories.
We will need additional assistance as needed when questions arise from the design and have a
plan in place to mitigate these issues if the designs fall short of the regulatory requirements for
sale in USA, Canada and European markets.
Right of Ownership:
The CONSULTANT agrees to transfer all rights of ownership for the finished project to the
CLIENT. This does not include any usage of the CONSULTANTs name, image, company or
any other information that makes any claims or assertions other than those explicitly made in
communications to the CLIENT during the course of this project or in the detailed report.
Termination of Agreement:
This agreement is for the delivery of Phased Deliverables. The Client may elect not to continue
with the next Phase at the end of any one phase. In addition, this agreement may be terminated
by the CLIENT for the following reasons:

Failure of the CONSULTANT to communicate with or respond to inquiries from the

CLIENT within a timely fashion.
Poor workmanship. Meaning that the deliverables do not meet the guidelines stipulated in
the project description or fail to meet the standard of comparable professional work.
Inability to meet milestones or deadlines.
In the event of early termination of a Phase by the CLIENT for reason(s) other than those
stipulated above, the CLIENT shall be liable for payment to the CONSULTANT for all work
performed to that point on that Phase, as long as that work is a standard of comparable
professional work. This amount will be prorated from the projected Phase cost based upon the
percentage of work completed with respect to the work scheduled for that Phase as outlined
above.

This agreement may be terminated by the CONSULTANT for the following reasons:
1
Failure of the CLIENT to communicate with or respond to inquiries from the

CONSULTANT within a timely fashion.
2 Failure of the CLIENT to pay CONSULTANT fees within a timely fashion.

In the event of early termination by the CONSULTANT, for reason(s) other than those
stipulated above, the CONSULTANT shall forfeit any remaining payments not to include
payments received for any work that has already been completed or the initial payment.
Other Provisions:
The Elance/ODESK Standard Terms and Conditions apply to this Agreement.
In the event of extenuating circumstances; such as severe injury or protracted illness, the
delivery dates may be extended if agreed to by both parties. This agreement may be in the form
of written, electronic or verbal communication.
This Agreement contains the entire understanding of the parties with respect to this project.
