You would further solicit Volunteer support and we would hire contractors to assist as determined by grant and charitabe funding fr the project. Initially the build of the greenhouse was to take ‘only 90 days. We pointed out and you confirmed that there had been several mistakes and decisions on your part which lead tothe extension cf the completion ofthe greenhouse project. At the meeting conducted on July 19%, 2016, you strongly felt that based onthe work that you had performed and the lack thereof by the Kansas City Keys organization, that we should give you the property and project in its entirety. We explained clearly the intentions ofthe project was an investment forthe Keys and the ‘community and it had never been our intention to transfer or gift any ofthe property over Further, we reiterated the comnitment ofthe Keys organization and clarified the risk we took in taking on a greenhouse project Im few of the concems and directions for the future ofthe project we offered you three options: 1. Provide an offer to purchase the property in its entirety, 2. Provide a mutual agreement (lease) as to how we can jointly work together on the project, or . You state the project is 85% complete and cite the following is needed (electrical power, plumbing, and fishin tanks to complete the project) 4, Your anticipated date for opening is September 18 5. Your revenue projections by produce are $52,000 and fish $150,000 annualy You have provided waivers for veunteers as person(s) come to assist in any manner for services or help and liability while providing services a the Aquaponics site, including a waiver for yourseif dated July 14, 2016. We have expended over $100,000 on the project and now with the greenhouse virtually complete believe our investment is worth & minimum cf $850,000. Ths is determined based on the following: ‘Anticipated profits of ever $100,000 year @ 3 years = $300,000 + Goodwill (FMV land) 0,000, Keys Suggested offer price (sag ‘You provided the board with an email stating you took out a loan forthe project and have expended approximately $30,000 for the project. You provided us an analysis of those costs but not any documentation to show the amounis supposedly aimed. We as 8 board and our officers ars not aware ofthe supposed loan of $50,000 by you or your claim for adaltonal items expended. You have not provided invoices or receipt to verify any addtional expenses. We Ihave not received any seconds or requisitions for additional amounts claimed up t9 $50,000. We have not approved of expenses up to $50,000. We are offering you an opportunty to work with us usa tenant-landlord relationship. We agree to provide you a tripe-net lease.
