2.7.A The works shall be measured net, notwithstanding any general or local custom, except otherwise specified or prescribed in the Contract. Unless stated otherwise in the
Contract, all measurements shall be done in accordance with relevant Indian Standards clauses of IS 1200 in Conjunction with IS Codes 3385. In case the same is not available in
the relevant IS Code, the standard procedure adopted in PWD/ CPWD shall be adopted. In case the same is not available in PWD/ CPWD the measurement for the works done will
be based on mutual agreement between CLIENT and the contractor.
2.8 PAYMENT TERMS
2.8.A Payment will be made against progressive &/or final completion of job & submission of Invoices. Joint Measurements shall be taken by the Contractor along with the CLIENT
representative and submitted to the Project Manager along with the invoice (as per pro-forma supplied from site) / reconciliation statement of client supplied materials (if any) & any
other routine test report as the case may be from time to time required by E-I-C for verification.
2.8.B Measurements will be verified and the Project Manager shall issue certificate of payment within 10 days of such receipt of the bill and the certified payment shall be released
after all necessary adjustment(s) within 21 days from the date of submission of Bill (if not separately mentioned).
2.8.C In case it is found that the contractor has not submitted the bill as per the requirement of work order or the measurement given are typical & not as per drawing / work done ,
then the bill will be rejected & contractor has to resubmit fresh bill in the line with the work order terms & conditions with revised submission date.
2.8.D Proof of payment of statutory dues to be submitted along with invoice, i.e. immediate last month for which payment is being claimed.
2.9 CLEARANCE OF SITE
2.9.A The Contractor shall clear away and remove from the site all Plant& Equipments, surplus material, rubbish and temporary works of every kind, leave the whole of the site and
works clean and in a workman like condition to the satisfaction of the Project Manager. In the event of the Contractor's failure to comply with this provision, the Project Manager
shall after giving 7 days notice in writing, get the site cleared as above at the expense and risk of the Contractor and the Contractor shall have no claim whatsoever.
2.10 DEFECT LIABILITY PERIOD:
2.10.A Unless separately specified, the period of maintenance shall be the time period between Work Order end Date (as mentioned in latest Amendment ) & Retention Guaranty
Expiry Date (with respect to latest Amendment )which shall also be treated as the Defect Liability Period. In case of extension of Work Order end Date, the period shall be starting
from Actual Completion Date as certified by E-I-C. To the extent that the Works shall at, or as soon as practicable after the expiration of the Period of Maintenance, be not delivered
up to the Project Manager/Employer in as good as perfect a condition (Fair wear and tear excepted) to the satisfaction of the Project Manager/Employer as that in which they were
at the commencement of the Period of Maintenance, the Contractor shall forthwith execute all such work of repair, amendment, reconstruction, rectification and making good of
defects, imperfections, shrinkage or design failure or any other faults as may be required of the Contractor in writing by the Project Manager during the period of maintenance. All
such work shall be carried out by the Contractor at his own expenses if the necessity thereof is in the opinion of the Project Manager due to the use of materials or workmanship not
in accordance with the Contract or to the neglect or failure on the part of the Contractor to comply with any obligation expressed or implied on the Contractor's part under the
Contract. No material shall be issued on free issue basis for repairing job. If the Contractor shall fail to do any such work as aforesaid required by the Project Manager, the Employer
shall be entitled to carry out such work by his own workmen or by other Contractors and if such work which the Contractor should have carried out at the Contractor's own cost, the
Employer shall be entitled to recover from the Contractor the cost thereof or may deduct the same from any money due or that may become due to the Contractor, under this
Contract.
2.11 RETENTION MONEY:
2.11.A Unless separately specified, Retention money will be deducted @ 5 % from each running bill /bill & will be retained in cash or can be released against Bank Guarantee from
any nationalized bank & will be released if no defect is observed during the D.L. period. The above amount shall not bear any interest.
2.12 SUCCESSORS AND ASSIGNS:
2.12.A This Agreement may not be assigned by either party without the prior written consent of the other party; provided, however, that the Agreement shall be assignable by the
Company withoutContractors consent in the event the Company is acquired by or merged into another corporation or business entity. The benefits and obligations of this Agreement
shall be binding upon and inure to the parties hereto, their successors and assigns.
2.12.B This Agreement constitutes the complete agreement and sets forth the entire understanding and agreement of the parties as to the subject matter of this Agreement and
supersedes all prior discussions and understandings in respect to the subject of this Agreement, whether written or oral.
2.13 ARBITRATION / JURISDICTION:
2.13.A In case of any dispute or difference of opinion, the matter shall be referred to Vice President Project of CLIENT for arbitration, whose decision shall be final and binding on
both the parties.
2.13.B The arbitration proceedings shall be conducted in Kolkata, West Bengal, India and shall be governed by and constructed in accordance with the laws of India and the
jurisdiction of the courts for any of the purposes under the said Act or otherwise & shall exclusively be the original jurisdiction of the Honble Court of Law at Kolkata.
2.14 TERMINATION / SHORT CLOSURE OF CONTRACT:
2.14.A Client reserve the right to terminate the contract wholly or partly (reduce scope of service)any outstanding services hereunder, or reschedule in whole or in part on grounds of
non / dis-satisfactory/ under performance against given work schedule & /or any dis-obeisance of client directive & violation of code of conduct & any other reason leading to such
consequence by serving 07 days prior notice.
2.14.B Client shall have no liability to you beyond payment of any balance owing for services completed hereunder and accepted by client prior to the Vendors receipt of the notice
of termination.
In case of any difference between GGTC & Special terms & condition (if any) , the latter will always supersede the former & shall stand final.
Special Terms & Conditions :
Any difference of opinion related to the financial & contractual terms & conditions are to be reported, discussed , and mutually settled within 07 Seven) days from receipt of this
order by your authorised representative, otherwise this contract shall stand accepted in full by you without any dispute.
M/s RIVERBANK DEVELOPERS PRIVATE LIMITED and M/s FRONT TECH are entering into a Legally binding Agreement by virtue of this Work Order ref.
RDHG1WO/00133/16-17 dt. 10-May-2016 if The General terms & conditions & specific terms & conditions (attached as Annexure) are agreed upon and mutually accepted.
