STATUTORY COMPLIANCES:
1.1 Contractor will fulfill all the Statuary Compliances related to PF, ESI, various Labour Laws, Workmen Insurance and Compensation, Sales Tax and Service Tax, etc. Contractor
will also adhere to all the norms laid down by Central/State/Local Authorities including Management of Local Environment. It is the responsibility of the Contractor to provide all
requisite documents in time. In case of non-compliance and / or post award registration in any category is the sole responsibility of the Contractor to absorb all the Fines, Penalties,
Charges, Taxes and Duties etc.
1.2 Contractor shall be responsible for all taxes arising from compensation and other amounts paid under this Agreement, and shall be responsible for all payroll taxes and fringe
benefits of Contractors employees. Neither Central, nor state, nor local income tax, nor payroll tax of any kind, shall be withheld or paid by the Company on behalf of Contractor or
its employees. Contractor understands that it is responsible to pay, according to law, Contractors taxes and Contractor shall, when requested by the Company, properly document
to the Company that any and all federal and state taxes have been paid.
1.3 Contractor and Contractors employees will not be eligible for, and shall not participate in, any employee pension, health, welfare, or other fringe benefit plan, of the Company.
No workers' compensation insurance shall be obtained by Company covering Contractor or Contractors employees.
1.4 The labour & staff engaged by you shall be in your employment and not in the employment of CLIENT. You shall ensure payment of wages to them as per the prescribed
minimum wages by Government of West Bengal as prevailing presently or as revised from time to time and such other service benefits to your personnel deployed as under:
1.4.a You shall not pay your personnel any wage below the stipulated minimum wages by Government of India or Government of West Bengal from time to time.
1.4.b You shall provide weekly, national & festival holidays to your staff and leave with wages and other benefits as per prevalent rules.
1.4.c You shall observe and abide by all statutory requirement & instructions as mentioned in the following acts & rules & ordinances:
1.4.c.i The Bonded Labour System (Abolition) Ordinance, 1975
1.4.c.ii The Contract Labour (Regulation & Abolition) Act, 1970
1.4.c.iii The West Bengal Contract Labour (Regulation & Abolitions) Act, 1971
1.4.c.iv The Contract Labour (Regulation & Abolitions) Act Central Rules, 1971
1.4.c.v Minimum Wages Act, and Hour Act,1948
1.4.c.vi Payment of Bonus Act, 1965
1.4.c.vii Payment of Gratuity Act, 1972
1.4.c.viii Industrial Disputes Act,
1.4.c.ix Employees Provident Fund and Miscellaneous Provisions Act, 1952
1.4.c.x EmployeesState Insurance Act, 1948
1.4.c.xi Any other relevant acts or rules or ordinances as deemed to be necessary by State or Central Government from time to time.
GENERAL TERMS & CONDITIONS
2.1 SCOPE OF WORK / SERVICE:
1.5 You shall at all times indemnify CLIENT and shall keep it indemnified against all claims including all statutory payments for all statutory enactments for which you shall be wholly
and severally liable.
2.1.A Shall be read in conjugation with the corresponding Schedule of Quantities, rates, specifications as per Indian standard code, & other terms & conditions as agreed, herewith
enclosed along with this rate agreement.
2.1.B All material &/ or consumables necessary to execute this contract are to be kept in contractors custody, client will only accept those unused materials after completion of
work &/or handing over of all deliverables after testing of work / service rendered in all respect with quality assurance. Contractor has to submit (on requirement of E-I-C/ Q.C in
charge)all the MTC, for all the material supplied under this contract in support of invoice.
2.1.C Any work which is subsequently identified for execution / service extension, but not mentioned in the B.O.Q, will require prior permission / approval from E-I-C & the contractor
has to submit fresh quotation supported by detailed cost analysis (attaching necessary document like challan, invoice copy for material, labour engagement record certified by
clients E-I-C ) or submit contract extension request letter.
2.2 FACILITIES TO BE PROVIDED BY CLIENT :
2.2.A Uncovered Space within the project area will be made available to the contractor free of charge for building their stores / go down, camp office etc. The contractor shall make
their own arrangement at their cost for leveling and dressing the ground or developing the land.
2.2.B Unless specifically mentioned client will only provide open space within project premises for their labour accommodation, Contractor has to arrange hutment & proper sanitation
at their cost along with proper maintenance & housekeeping. Power &water at a single near by point will be made available free of cost by client, contractor has to further extend the
service line as per their requirement with proper safety devices.
2.2.C Covered Store shall be provided on availability basis for valuable & weather-shabby goods on submission of application to E-I-C & his discretion in this regards shall be final &
binding on both the parties. Safe Warehousing of Material and Machines at site is in the scope of Contractor.
2.2.D Water / Power if required for the work / service and also for drinking purpose should be arranged by the contractor from his own source and at his cost. If water/ Power from
Clients source is available near the site of the work the CLIENT may supply the same to contractor from one point only Free of charge ( If not separately mentioned)and the
contractor should arrange for extra pipe/ cable as may be required for distribution at his cost.
2.3 CONSIDERATION PRICE :
2.3.A The estimated value of this contract shall be as per the Schedule of Quantities enclosed. The contract shall be operated on item rate basis (unless separately mentioned) as
given in schedule. Actual payment shall be made as per the actual work executed against each item of Schedule of Quantities herewith enclosed. The contract value includes the
completion of the work / service in all respect including but not limited to, supply of material, transportation, shifting and handling labour, consumables, tools and tackles, layout,
repairs, rectifications, maintenance till handing over, establishment, services, contingencies, all temporary & incidental works, scaffoldings,any other activity / facility whether
temporary or permanent in nature required for completion of such work / rendition of such service& all taxes & duties.
2.3.B The contract rates shall remain FIRM and no escalation on price will be allowed unless abnormal price hike upon submission of justifiable document. Works Contract Tax &
T.D.S will be deducted (wherever & whenever applicable) from gross billing amount as per provision of section 40 of the W.B. VAT ACT,2003 with effect from 01,8.2006 at the
prevailing rate.
2.4 QUALITY & STANDARD :
2.4.A All work under this contract shall be carried out in accordance with the technical specification (hereinabove / attached) and the latest issue of the relevant Indian Standard
Specification. If Indian Standards are not available / in effect for any particular work / service, the relevant British Standard / American Standard Specification shall apply. In case of
any confusion or dispute regarding the meaning and interpretation of any specification for the respective works the decision of the Project Manager/Architects shall be final and
binding on the contractor.
2.5 SECURITY & SAFETY MEASURES:
2.5.A The Contractor shall comply with all relevant standard Safety norms/ rules & regulations in force and &/or as recommended & circulated by CLIENT from time to time at site.
2.5.B If the contractor is found not following the safety norms at any time during work/ service tenure,CLIENT may at his discretion provide the safety materials to workers & debit
the same to contractors from subsequent running account bill.
2.6 EXAMINATION OF WORK BEFORE COVERING UP
2.6.A No work shall be covered up or put out of view without the approval of the Project Manager (wherever & whenever applicable).The Contractor shall arrange full opportunity for
the Project Manager to examine and measure any work which is about to be covered up or put out of view and to examine before permanent work is placed thereon. The Contractor
shall give due notice to the Project Manager whenever any such work is or are ready for examination and the Project Manager, shall without unreasonable delay, unless considered
unnecessary, examine and measure such work.
2.7 METHOD OF MEASUREMENT:

2.7.A The works shall be measured net, notwithstanding any general or local custom, except otherwise specified or prescribed in the Contract. Unless stated otherwise in the
Contract, all measurements shall be done in accordance with relevant Indian Standards clauses of IS 1200 in Conjunction with IS Codes 3385. In case the same is not available in
the relevant IS Code, the standard procedure adopted in PWD/ CPWD shall be adopted. In case the same is not available in PWD/ CPWD the measurement for the works done will
be based on mutual agreement between CLIENT and the contractor.
2.8 PAYMENT TERMS
2.8.A Payment will be made against progressive &/or final completion of job & submission of Invoices. Joint Measurements shall be taken by the Contractor along with the CLIENT
representative and submitted to the Project Manager along with the invoice (as per pro-forma supplied from site) / reconciliation statement of client supplied materials (if any) & any
other routine test report as the case may be from time to time required by E-I-C for verification.
2.8.B Measurements will be verified and the Project Manager shall issue certificate of payment within 10 days of such receipt of the bill and the certified payment shall be released
after all necessary adjustment(s) within 21 days from the date of submission of Bill (if not separately mentioned).
2.8.C In case it is found that the contractor has not submitted the bill as per the requirement of work order or the measurement given are typical & not as per drawing / work done ,
then the bill will be rejected & contractor has to resubmit fresh bill in the line with the work order terms & conditions with revised submission date.
2.8.D Proof of payment of statutory dues to be submitted along with invoice, i.e. immediate last month for which payment is being claimed.
2.9 CLEARANCE OF SITE
2.9.A The Contractor shall clear away and remove from the site all Plant& Equipments, surplus material, rubbish and temporary works of every kind, leave the whole of the site and
works clean and in a workman like condition to the satisfaction of the Project Manager. In the event of the Contractor's failure to comply with this provision, the Project Manager
shall after giving 7 days notice in writing, get the site cleared as above at the expense and risk of the Contractor and the Contractor shall have no claim whatsoever.
2.10 DEFECT LIABILITY PERIOD:
2.10.A Unless separately specified, the period of maintenance shall be the time period between Work Order end Date (as mentioned in latest Amendment ) & Retention Guaranty
Expiry Date (with respect to latest Amendment )which shall also be treated as the Defect Liability Period. In case of extension of Work Order end Date, the period shall be starting
from Actual Completion Date as certified by E-I-C. To the extent that the Works shall at, or as soon as practicable after the expiration of the Period of Maintenance, be not delivered
up to the Project Manager/Employer in as good as perfect a condition (Fair wear and tear excepted) to the satisfaction of the Project Manager/Employer as that in which they were
at the commencement of the Period of Maintenance, the Contractor shall forthwith execute all such work of repair, amendment, reconstruction, rectification and making good of
defects, imperfections, shrinkage or design failure or any other faults as may be required of the Contractor in writing by the Project Manager during the period of maintenance. All
such work shall be carried out by the Contractor at his own expenses if the necessity thereof is in the opinion of the Project Manager due to the use of materials or workmanship not
in accordance with the Contract or to the neglect or failure on the part of the Contractor to comply with any obligation expressed or implied on the Contractor's part under the
Contract. No material shall be issued on free issue basis for repairing job. If the Contractor shall fail to do any such work as aforesaid required by the Project Manager, the Employer
shall be entitled to carry out such work by his own workmen or by other Contractors and if such work which the Contractor should have carried out at the Contractor's own cost, the
Employer shall be entitled to recover from the Contractor the cost thereof or may deduct the same from any money due or that may become due to the Contractor, under this
Contract.
2.11 RETENTION MONEY:
2.11.A Unless separately specified, Retention money will be deducted @ 5 % from each running bill /bill & will be retained in cash or can be released against Bank Guarantee from
any nationalized bank & will be released if no defect is observed during the D.L. period. The above amount shall not bear any interest.
2.12 SUCCESSORS AND ASSIGNS:
2.12.A This Agreement may not be assigned by either party without the prior written consent of the other party; provided, however, that the Agreement shall be assignable by the
Company withoutContractors consent in the event the Company is acquired by or merged into another corporation or business entity. The benefits and obligations of this Agreement
shall be binding upon and inure to the parties hereto, their successors and assigns.
2.12.B This Agreement constitutes the complete agreement and sets forth the entire understanding and agreement of the parties as to the subject matter of this Agreement and
supersedes all prior discussions and understandings in respect to the subject of this Agreement, whether written or oral.
2.13 ARBITRATION / JURISDICTION:
2.13.A In case of any dispute or difference of opinion, the matter shall be referred to Vice President Project of CLIENT for arbitration, whose decision shall be final and binding on
both the parties.
2.13.B The arbitration proceedings shall be conducted in Kolkata, West Bengal, India and shall be governed by and constructed in accordance with the laws of India and the
jurisdiction of the courts for any of the purposes under the said Act or otherwise & shall exclusively be the original jurisdiction of the Honble Court of Law at Kolkata.
2.14 TERMINATION / SHORT CLOSURE OF CONTRACT:
2.14.A Client reserve the right to terminate the contract wholly or partly (reduce scope of service)any outstanding services hereunder, or reschedule in whole or in part on grounds of
non / dis-satisfactory/ under performance against given work schedule & /or any dis-obeisance of client directive & violation of code of conduct & any other reason leading to such
consequence by serving 07 days prior notice.
2.14.B Client shall have no liability to you beyond payment of any balance owing for services completed hereunder and accepted by client prior to the Vendors receipt of the notice
of termination.
In case of any difference between GGTC & Special terms & condition (if any) , the latter will always supersede the former & shall stand final.
Special Terms & Conditions :

Any difference of opinion related to the financial & contractual terms & conditions are to be reported, discussed , and mutually settled within 07 Seven) days from receipt of this
order by your authorised representative, otherwise this contract shall stand accepted in full by you without any dispute.
M/s RIVERBANK DEVELOPERS PRIVATE LIMITED and M/s FRONT TECH are entering into a Legally binding Agreement by virtue of this Work Order ref.
RDHG1WO/00133/16-17 dt. 10-May-2016 if The General terms & conditions & specific terms & conditions (attached as Annexure) are agreed upon and mutually accepted.
