ThisSettlementAgreement(the"SettlementAgreement")isenteredintobetween[ABCCORPORATION]
("ABC"),locatedat_____________________________and[XYZ,INC.]("XYZ"),locatedat
____________________________.ABCandXYZarehereinaftercollectivelyreferredtoas"theParties,"
andeitherABCorXYZmaybereferredtoseparatelyhereinasa"Party."

ThisAgreementismadebetweenthePartiesforthesettlementoftheuseofthe[TRADEMARK]mark.

WHEREAS,ABCistheownerofUnitedStatesRegistrationNo.____________andApplicationSerial
No.____________forthemark[TRADEMARK];and

WHEREAS,ABChasusedthe[TRADEMARK]trademarksinceatleastasearlyas____________;and

WHEREAS,XYZhadpreviouslyused[TRADEMARK]inconnectionwithitsbusiness;and

WHEREAS,XYZwishestoformallyabandonanyrightsithadin[TRADEMARK]inexchangeforABC
releasingXYZfromliabilityforitspastusesof[TRADEMARK]andanysimilartradenamesand
trademarks.

NOW,THEREFORE,inconsiderationofalltheprovisionsandagreementssetforthinthisSettlement
Agreement,thepartiesagreeasfollows:

1.XYZ,onbehalfofitselfanditsrepresentatives,affiliates,franchisees,successors,agents,attorneys,
assignees,andanyotherpersonorentityactingonitsbehalf,shallimmediatelydiscontinuealluseand
promotionof[TRADEMARK]andanysimilartradenamesandtrademarksonitswebsiteat[DOMAIN
NAME]oranyotherwebsite,aswellasinalladvertisingorotherpromotionalvenues.

2.XYZ,onbehalfofitselfanditsrepresentatives,affiliates,franchisees,successors,agents,attorneys,
assignees,andanyotherpersonorentityactingonitsbehalf,agreesnottoadopt,applyfor,registeroruse
anyothertrademark,tradename,ordomainnamecontainingorcomprisingthe[TRADEMARK]mark,or
anyvariationofthemarkthatisconfusinglysimilartoit.

3.ABC,onbehalfofitselfanditsrepresentatives,affiliates,franchisees,successors,agents,attorneys,
assignees,andanyotherpersonorentityactingonitsbehalf,releasesXYZanditsrepresentatives,
affiliates,franchisees,successors,agents,attorneys,assignees,andanyotherpersonorentityactingonits
behalf,fromanyandallclaims,demands,debts,contracts,expenses,damagesandliabilities,ofeverykind,
whetherknownorunknown,andwhetherinlaworequityorotherwise,thatiteverhad,nowhas,ormay
haveinthefuture,foritspastusesof[TRADEMARK]andanysimilartradenamesandtrademarks.

4.ABChasreadandunderstoodthefollowingstatutorylanguageofSection1542oftheCaliforniaCivil
Code:

"Ageneralreleasedoesnotextendtoclaimswhichthecreditordoesnotknoworexpecttoexistinhis
favoratthetimeofexecutingtherelease,whichifknownbyhimmusthavemateriallyaffectedhis
settlementwiththedebtor."

Havingbeensoapprised,ABCherebyknowinglyandvoluntarilyelectstoanddoeswaiveanyandall
rightsitmayhaveunderCaliforniaCivilCodeSection1542.
5.EachPartyagreesthattheSettlementAgreementwillbeworldwideineffect.

6.EachPartyheretoshallbesolelyresponsibleforitsownlegalexpensesandcostsinconnectionwith
thisSettlementAgreement,includingthenegotiation,execution,andperformanceofthisSettlement
Agreement.

7.ABC,onbehalfofitselfanditsrepresentatives,affiliates,franchisees,successors,agents,attorneys,
assignees,andanyotherpersonorentityactingonitsbehalf,promisenottosueorproceedinanymanner,
inagencyorotherproceedings,whetheratlaw,inequity,bywayofadministrativehearing,orotherwise,
tosolicitotherstoinstituteanysuchactionsorproceedings,orconsenttobeacomplainantinanycriminal
actionorproceeding,againstanyorallofXYZanditsrepresentatives,affiliates,franchisees,successors,
agents,attorneys,assignees,andanyotherpersonorentityactingonitsbehalf,becauseoforarisingoutof
thesubjectmatterofthisAgreement.

8.ThisAgreementmaybepleadedasafullandcompletedefenseto,andmaybeusedasthebasisforan
injunctionagainst,anyaction,suitorotherproceedingwhichmaybeinstituted,prosecutedorattemptedin
breachofthisAgreement.Further,eachofthepartieswillindemnifyandholdeachotherharmlessagainst
alllosses,damages,costs,andexpenses,includingreasonableattorneyfees,resultingfromthebreachof
anypromise,provision,representation,orcovenantcontainedinthisAgreement.

9.ItisunderstoodandagreedthatthisAgreementdoesnotconstituteanadmissionofliabilityonthepart
ofanyparty.Rather,thisAgreementisagreedtobyallpartiestoterminateanyfurtherexpenseor
controversyaboutclaimswhichcouldbemadeconcerningthemattersdescribedherein.

10.ThisSettlementAgreementconstitutestheentireagreementbetweenthepartiespertainingtothe
subjectmatterhereof.Accordingly,thisSettlementAgreementsupersedesandreplacesallprior
negotiations,agreements,understandingsand/orcontractsbetweentheParties,whetherwrittenororal,on
thatsubject.

11.IfanyprovisionofthisSettlementAgreementortheapplicationthereofisheldinvalid,theinvalidity
shallnotaffectotherprovisionsorapplicationsofthisSettlementAgreementwhichcanbegiveneffect
withouttheinvalidprovisionsorapplications.Tothisend,theprovisionsofthisSettlementAgreementare
declaredtobeseverable.

12.BothpartieshaveparticipatedinthenegotiationandpreparationoftheSettlementAgreement.
ThereforethisSettlementAgreementshallbeconstruedinafairandobjectivemanner,andnotstrictlyfor
oragainsteitherParty.

13.ThisSettlementAgreementmaybeexecutedincounterparts,andeachcounterpart,whenexecuted,
shallhavetheefficacyofasignedoriginal.Trueandcorrectcopiesofsuchsignedcounterpartsmaybe
usedinlieuoftheoriginalsforanypurpose.

14.NowaiverofanybreachofthisSettlementAgreementshallbebindingunlessinwritingandsigned
bythePartywaivingthebreach.NowaiverofanybreachofthisSettlementAgreementshallbe,or
construedtobe,awaiverofanyotherbreachofthisSettlementAgreement.

15.ThisSettlementshallbeinterpreted,andtherightsanddutiesofthePartiesheretoshallbe
determined,inaccordancewiththelawsofthestateof[STATE],asappliedtocontractsenteredintoand
performedby[STATE]residents.ShoulditbecomenecessaryforeitherPartytoenforcethetermsofthis
SettlementAgreementbylegalaction,suchactionshallbefiledinthestateorfederalcourtslocatedinthe
stateof[STATE].
16.InenteringintothisSettlementAgreement,thePartiesrepresentthattheyhaveeachreadthis
SettlementAgreementinfull,andthatthetermsofthisSettlementAgreementandtheirconsequencesare
fullyunderstoodandvoluntarilyacceptedandagreedtobythem.

17.ThePartiesacknowledgethateachhashadthebenefitandadviceofindependentlegalcounselin
connectionwiththisSettlementAgreementandunderstandsthemeaningofeachtermofthisSettlement
AgreementandtheconsequencesofsigningthisSettlementAgreement.

18.BothPartiesfullyunderstandandassumetheriskthatanyfactsrelatingtoanyoftheprovisionsof
thisSettlementAgreementmighthereafterbefoundtobeotherthanordifferentfromthefactsnow
believedbythePartiestobetrue.BothPartiesagreethatthisSettlementAgreementshallbeandwill
remaineffectivenotwithstandinganysuchdifferenceinfacts.

19.EachpersonexecutingthisSettlementAgreementonbehalfofanyPartyrepresentsandwarrantsthat
heorsheisfullyauthorizedandempoweredtoexecutethisSettlementAgreement,andthatallnecessary
actionfortheexecutionofthisSettlementAgreementhasbeentaken.

20.ThisSettlementAgreementmaybemodifiedonlybythemutualwrittenconsentofbothParties.

21.ThisSettlementAgreementshallbebindingupon,andinuretothebenefitof,theaffiliates,
successorsandassignsofthePartieshereto.

22.ThisSettlementAgreementisdeemedtobeeffectiveasofthefirstdateonwhichithasbeenduly
executedbyallofthesignatoriesidentifiedbelow.
