DEED OF ASSIGNMENT

This Deed of Assignment is executed this 4th day of August 2015 in Makati City,
Manila, Philippines, by and between:

AMIEL Z. HERRERA, Filipino, of legal age, with office address at Unit

1401 139 Corporate Center, Valero Street, Salcedo Village, Makati City,
Metro Manila, Philippines ("Assignor");
-and-
GREGORIO ARANETA, INC., a stock corporation organized and existing
under the laws of the Republic of the Philippines, with office address at
21st Floor Citibank Tower, Paseo de Roxas, Makati City, Metro Manila,
Philippines, represented herein by its President, Gregorio Araneta Ill
("Assignee").

(The Assignor and the Assignee are also collectively referred to herein as the
"Parties").

WITNESSETH, That:

For and in consideration of the sum of TWO HUNDRED PESOS (PHP 200.00), the
receipt of which amount is hereby acknowledged by the Assignor, the Assignor
hereby assigns, sells, transfers and conveys, absolutely and irrevocably, unto the
Assignee, free from and clear of any claim, lien and encumbrance, charge, or
restriction whatsoever, the Assignor's rights, title and interests to the following
issued and outstanding shares of ENERGY OIL AND GAS HOLDINGS INC., a
corporation organized and existing under the laws of the Philippines and registered
with the Securities and Exchange Commission under Company Reg. No.
CS201419538 (the "Corporation"):
