Software License Agreement PrismaPro

PrismaPro is Fast & Fluid Management's formula database and dispenser control
software for Fast & Fluid Management (F&FM) manual and automatic Color Dispensers.
The PrismaPro software can be used to drive Harbil, Blendorama Tintmaster (BT),
Tintmaster and Leonardo type of dispensers.
Important-read carefully Be sure to carefully read and understand all of the rights
and restrictions described in this Fast & Fluid Management end-user license
agreement ("Agreement")
PrismaPro is a commercial product of Fast & Fluid Management Europe that can be
purchased from one of the F&FM Sales offices. By clicking the "I agree" button in
the installer and/or using this software you declare that you accept the terms and
conditions of this agreement.
This agreement is a legal agreement between you (either an individual or a single
entity) and Fast & Fluid Management for the software accompanying this agreement,
which includes the accompanying computer software.
By installing the software, you agree to be bound by the terms of this agreement.
If you do not agree to the terms of this agreement, you may not install or use the
software.
The copyright and all other intellectual property rights of whatever nature in the
software (which term shall where appropriate include any new releases of the
Software provided to you) ("the Software") supplied herewith is owned by Fast &
Fluid Management (registered in The Netherlands, H. van Doorneweg 31, Sassenheim
("the Owner").
You may not load the Software into any computer or copy it without the license of
the Owner. The Owner offers you a non-exclusive license on the terms set out
herein.
Your supplier will have provided you with an Authorization Key. If you are not in
possession of a valid key you should obtain one from your supplier or Fast & Fluid
Management within 60 days after the date first installation of the Software on a
PC. You are allowed to test and evaluate the Software driver for a period of
maximum 60 days after the date when you first installed the Software. Use of the
Software after 60 days is not permitted without a valid Authorization Key.
If you do not wish to be bound by the terms in this License you may within 14 days
of delivery return the Software, its packaging and documentation unused to your
supplier together with proof of purchase for a full refund.
1 License Terms
1.1 You are permitted to:
(a) Load the Software and use it only in combination with a manual or automatic
paint dispensing apparatus manufactured by the Fluid Management or Fast & Fluid
Management organizations.
(b) Make copies of the Software for back-up purposes only in support of the
permitted use. The copies must reproduce and include the Owner's copyright notice;
1.2 You are not permitted:
(a) To rent, lease sub-license, loan, copy, modify, adapt, merge, translate,
reverse engineer, decompile, disassemble or create derivative works based on the
whole or any part of the Software or its associated documentation except as
expressly provided herein;
(b) Except as expressly provided herein, to use, reproduce or deal in the
Software in any way;
(c) To transfer the Software or it's associated documentation or this License to
another person, business, entity or Company.
2 Acceptance
By loading the Software on to any computer you are further confirming that you have
accepted the terms of this License.
3 Terms
3.1 Any license granted under this document is effective until it is lawfully
terminated by the Owner pursuant to any contract between you and the Owner and in
addition shall terminate forthwith if you fail to abide by the terms of this
License.
3.2 Upon termination you shall no longer use the Software and shall return to the
Owner or destroy and or delete the Software and all documentation relating to the
Software.
4 Ownership
you own only the media (or authorized replacement) on which the Software is
recorded. You may retain the media on termination provided the Software has been
erased and you can provide reasonable evidence to the Owner to this effect. The
Owner shall at all times retain ownership of the Software and all intellectual
property rights and copyright in the Software, as recorded on the original media
and all subsequent copies thereof regardless of form.
This License applies to the grant of the License only and not to the contract of
sale of the media.
5 Warranties
5.1 The Owner warrants that the media on which the Software is supplied will be
free from defects in materials and workmanship under normal use for a period of 90
days after the date you obtain the Software from the Owner or your supplier ("the
Warranty Period"). If a defect in the media shall occur during the Warranty Period
it may be returned with proof of purchase to the Owner who will replace it free of
charge.
5.2 The Owner warrants that during the Warranty Period the Software will perform
substantially in accordance with the Software Product Description contained in the
Manual provided with the Software (provided that the Software is used on the
computer and with the operating system for which is was designed and is used in the
manner set out in the user manual with the software and hardware equipment
specified in the Software Product Description) and that the Software Product
Description correctly describes the operation of the Software in all material
respects.

If the Owner is notified of significant errors during the Warranty Period it will
correct any such demonstrable errors in the Software or such documentation within a
reasonable time or (at its option) provide or authorize a refund of the price of
the Software (against return of the Software and its documentation).
5.3 The above represent your sole remedy for any breach of the Owner's warranties
and the Owner shall have no liability or obligations under the above warranties
other than to remedy breaches thereof by the provision of materials and services
within a reasonable time and without charge to you. If the Owner shall fail to
comply with such obligations its liability for such failure shall be limited to a
sum equal to the price paid by you to the supplier for the Software.
5.4 The express terms of this License are in lieu of all warranties, conditions,
undertakings, terms and obligations implied by statute, common law, trade usage,
course of dealing or otherwise all of which are hereby excluded to the fullest
extent permitted by law.
5.5 The Owner does not warrant that the Software will meet your requirements or
that the operation of the Software will be uninterrupted or error-free or that
defects in the Software will be corrected. You shall load and use the Software at
your own risk and in no event will the Owner be liable to you for any loss or
damage of any kind (except personal injury or death resulting from the Owner's
negligence) including lost profits or other consequential loss arising from your
use of or inability to use the Software or from errors or deficiencies in it
whether caused by negligence or otherwise except as expressly provided herein.
6 Law
This License shall be governed by Dutch law. No Fast & Fluid Management agent or
employee is authorized to make any amendment to this License.
