SKM Power*Tools Software License Agreement

This is a legal agreement between you and SKM Systems Analysis, Inc. (SKM). By opening the sealed package containing the SKM
Power*Tools Software program CD and software/hardware key and/or by using the Software, you agree to be bound by the terms of this
Agreement. If you do not agree to the terms of the Agreement, promptly return the unopened CD and software/hardware key package to SKM
Systems analysis, Inc., or the distributor through which it was purchased for a full refund.

1. LICENSE. This SKM License Agreement permits you to (a) use one copy of the enclosed version of the Software product at any time; (b)
install the program CD on additional computers as long as the Software is used on only one computer at a time; and (c) make one copy of the
program CDs for backup in support of your use of the program. Software is in use on a computer when it is loaded into temporary memory
(RAM) or the software or hardware key is locked onto the computer enabling the program to run. If this software is LAN Software, you may use
additional copies of the Software up to the number of Licensed Copies, according to the final purchase agreement. The software or hardware key
dongle cannot be replaced if lost, misplaced, or stolen.

2. UPGRADES AND UPDATES. If the Software is upgraded or updated to another version, this License for this copy of the Software is
terminated upon receipt of the upgrade/update. You are expressly prohibited from using two versions of the same Software unless a second
License has been purchased. You may be required to return the software or hardware key in order to receive an upgrade.

3. COPYRIGHT. The Software and accompanying printed materials are owned by SKM Systems Analysis, Inc. and are protected by United
States copyright laws and international treaty provisions. You must treat the Software and printed materials like any other copyrighted materials
(e.g. book or musical recording). You may not copy the printed material accompanying the Software, nor print copies of any documentation
provided in on-line or electronic form, nor print copies of any other supporting material or data found either in the supplied printed materials or
the Software Libraries or elsewhere in the Software without the express written permission of SKM. You acknowledge that the Software and
printed materials are properly considered to be trade secrets in that they involve processes and computations of information that are secret,
confidential and not generally known to the public.

4. TERM. This license is in effect until terminated. You may terminate it at any time by returning the Software (including the program CD and
hardware key) and manuals to SKM Systems Analysis, Inc. It will also terminate if you fail to comply with any term or conditions of the
Agreement. All returns of Software should be delivered to SKM Systems Analysis, Inc., P.O. Box 3376, Manhattan Beach, California 90266,
USA.

5. OTHER RESTRICTIONS. This License is your proof of License to exercise the rights granted herein and must be retained to you. This
Software is non-transferable. You may not rent, lease, sell or give the Software to another party. You may not transfer the Software without the
express written consent of SKM. You may not reverse engineer, decompile, or dissemble the Software.

6 LIMITED WARRANTY AND REMEDIES. SKM warrants that (a) the Software will perform substantially in accordance with the
accompanying printed materials for a period of ninety (90) days from the date of receipt and (b) any hardware accompanying the Software will be
free from defects in materials and workmanship under normal use and service for a period of (1) year from date of receipt. Any implied
warranties on the Software and Hardware are limited to (90) days and (1) year respectively. As some jurisdictions do not allow limitations on
duration of implied warranty, the above limitation may not be applicable to you.

All warranties are immediately null and void if the Software or Hardware has been damaged as a result of accident, abuse, misuse, misapplication
or has been serviced, modified, altered, or changed, except as specifically directed by SKM.

If you discover an error or oversight in the Licensed Software which prevents the Software from performing substantially in accordance with the
accompanying printed materials, you may deliver to SKM your analysis including computer files and output reports of sample studies
demonstrating the problem. SKM will provide an updated version of the materials, or suggest operational changes, or suggest procedures for
avoiding the apparent problem, provided such procedures enable the Software to perform substantially in accordance with the accompanying
printed materials. You may be requested to assist SKM in diagnosing and correcting the problem.

SKMs entire liability and your exclusive remedy shall be, at SKMs option, either (a) return of the price paid for the Software (b) repair or
replacement of the Software of Hardware that does not meet SKMs Limited Warranty.

7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable law, SKM disclaims all other
warranties, either express or implied, including but not limited to, implied warranties of merchantability and fitness for any particular purpose or
use. You agree that SKM Systems Analysis, Inc. shall be held harmless from any claims, obligations or liabilities including but not limited to
special, indirect or consequential damages arising out of or in connection with the use or performance of the Software.

The Software should be used only by a Registered Professional Engineer. Responsibility for reviewing and verifying all calculations and
documents and for application of the program lies with the engineer, and SKM will not be held liable for any errors or oversights that may be
contained in the Software, the accuracy of any calculations or engineering documents prepared through the use of the Software, loss of business
profits, losses, damages, delays, computer costs, or other charges which may result from any calculations made by the Software or any
conclusions drawn from those calculations. SKM shall not be liable for any incidental or consequential damages, whether foreseeable or not and
even if SKM has been advised of the possibility of such damages resulting from or in any way connected with the use of the Software.

8. U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and accompanying materials are provided with restricted and limited rights.
Use, duplication or disclosure by the Government is subject to restrictions as set forth in the Rights and Technical Data and Computer Software
Clause at DFARS 252.227-7013 or subparagraph (c) (1) and (2) of the Commercial Computer Software-Restricted Rights at 48CFR 52.227.19, as

The terms of this License agreement shall pertain to all Power*Tools Software including, but not limited to DAPPER, DAPPER-IEC,
CAPTOR, CABLE, A_FAULT, I*SIM, HI_WAVE and Power*Tools for Windows (PTW).
