SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, ROMEO CABANOS TINDE, of legal age, married and a resident

of Brgy. 2, San Nicolas Ilocos Norte, Philippines, do hereby
appoint, name and constitute my wife, AMY TINDE, of legal age,
married, Filipino citizen, and a resident of Brgy. 2, San
Nicolas, Ilocos Norte, Philippines, to be my true and lawful
Attorney-in-fact to do and execute the following acts in my name
on my behalf to wit:

1. To represent me in the CABANOS COUNCIL MEETING that will be

held on November 25 and 26, 2006 at the residence of Atty.
Pedro C. Dimaya at 269 Halcon Road, Central Park Phase 2,
Bangkal, Davao City;

2. To enter into such compromise agreement which is

beneficial to me and to all members of the CABANOS
COUNCIL;

3. To sign any document in my behalf, in connection hereto;

and

4. To do all acts necessary to be done.

HEREBY GIVING AND GRANTING, unto my said Attorney-in-fact,

full power and authority to do all and every act, requisite or
necessary to be done under the premises in order to carry into
effect the foregoing authority and HEREBY CONFIRMING AND
RATIFYING all and my said Attorney-in-fact, shall lawfully do or
cause to be done by virtue hereof.
