CONSTITUTION AND BY- LAWS

PREAMBLE:

We, the Institute of Electronics Engineers of the Philippines, Holy Angel


University - Student Chapter, implore the guidance of the Divine Providence in order to
establish an organization that will promote the genuine welfare of the student members
in their common pursuit for academic excellence and to enhance one's skill and
knowledge towards the development of the community, in mutual cooperation,
understanding, peace and friendship, do hereby ordain and promulgate this constitution.

ARTICLE I. NAME AND SEAL

Section 1. This organization shall be known as the Institute of Electronics


Engineers of the Philippines, Holy Angel University - Student Chapter (IECEP - HAU).

Section 2. The IECEP - HAU shall be Electronics Engineering Student's organization


and shall exist under and in accordance with the rules and regulations of
the Holy Angel University community, College of Engineering, and the
Institute of Electronics Engineers of the Philippines, National Chapter.

Section 3. The seal of the organization is shaped in a pentagon, denoting the 5 years
of the course of Electronics Engineering. The transmission tower and
globe symbolizes that the organization is technology-based. The gold and
yellow colors symbolize the organization's principles and objectives
binding all the members while the blue color signifies the vast and
continuing support for the education and advancements.
ARTICLE II. DECLARATION OF PRINCIPLES AND OBJECTIVES

Section 1. The following are the principles of the Institute of Electronics Engineers of
the Philippines, Holy Angel University - Student Chapter:

1. Right for knowledge and education in various terms (e.g.


seminars, field trips, etc.) should be made available to all members.

2. Unity, cooperation and understanding among members are the


binding factors for the improvement of the organization.

Section 2. The following are the objectives of the Institute of Electronics Engineers of
the Philippines, Holy Angel University - Student Chapter:

1. To encourage and assist the members in their common quest


towards self-improvement through consecutive and positive activities (e.g.
remedial class).

2. To provide opportunities for members to develop their leadership


skills.

3. To encourage the members to express themselves freely and


properly.

4. To build goodwill to the University by abiding with the rules and


regulations set by the school's administration.

5. To maintain a good relationship with the Institute of Electronics


Engineers of the Philippines - National Chapter, and familiarize the student
members with the association's principles and objectives.

ARTICLE III. MEMBERSHIP

Section 1. The organization's membership is open to all Electronics Engineering


students.

Section 2. During the first semester of the school year, application forms will be
made available to all interested ECE students.

Membership in the organization shall be effective only upon:

a) Completion of all application documents

b) Approval of the application by the Executive Board


c) Induction

Upon effectivity of membership, orientation period immediately


follows, during which time; the new member will be made acquainted with
the provisions set by the Executive Board, the activities of the organization
and the organization's constitution.

Section 3. Any member, who decides to shift to another course or terminate his/her
enrollment with the College of Engineering, automatically terminates
his/her membership with the organization, or if he/she expelled from the
University, he/she shall automatically be expelled from the organization.

Any member found guilty of acts which may be deemed unworthy


of being an IECEP member, or injurious to the organization's name and
interest, may be expelled from the organization by a vote of at least two
thirds (2/3) of all members of the Executive Board.

ARTICLE IV. DUTIES OF MEMBERS

Section 1. To abide by the constitution of the organization and to comply with all the
rules and regulation provided by the Executive Board.

Section 2. To attend all general (or committee) meetings and to actively participate in
all projects and activities of the organization.

Section 3. To willingly perform duties and responsibilities as may be assigned to


them by the Executive Board for the good of the organization.

ARTICLE V. IECEP - HAU STUDENT CHAPTER OFFICERS

Section 1. The Institute of Electronics Engineers of the Philippines, Holy Angel


University - Student Chapter officers shall be composed of:

a) Executive Officers

President (5th year)


Vice-Presidents:
External Affairs (5th year)
Internal Affairs (4th year)
Secretary (5th year)
Assistant Secretary (5th year)
Treasurer (5th year)
Assistant Treasurer (5thyear)
Auditor (4th year)
2 Business Managers:
One (1) from 5th year
One (1) from 4th year
P.R.O.'s:
External Affairs (5th year)
Internal Affairs (4th year)

b) Board of Directors

Three (3) from 5th year


Two (2) from 4th year
Two (2) from 3rd year
Two (2) from 2nd year
Two (2) for 1st year (a 5th year and a 4th year)

Section 2. The Executive Board shall consist of all elected officers determined
through majority vote.

Section 3. Every officer shall hold office for one academic year and can be re-
evaluated, and re-elected if a need to so occur.

Section 4. Vacancies occurring in any office shall be filled in the same manner, which
governs a general election.

Appointments of officers to a vacant position shall be made by the


existing officers in cases, which demand immediate action (e.g. time
constraints in calling a body meeting).

Section 5. The officers shall return all records and properties belonging to the
organization within a month after terms has expired.

ARTICLE VI. DUTIES AND OBLIGATIONS OF THE OFFICERS

Section 1. The President shall hold the highest position of the organization. He shall
automatically be the 12th member and Chairman of the B.O.D.'s. It shall
be his/her duty:

1. To convene and preside over all General, Executive, Board of


Directors and Committee meetings;

2. To authenticate by his signature, when necessary, all acts,


orders and proceedings of the organization;
3. To represent the organization in all official functions in which the
organization may participate or, in case of unavailability must send a
representative particularly a member of the Executive Body;

4. To create special committees for special projects or activity


whenever the need arises provided that the Executive Body approves
such action;

5. To facilitate activities in every way compatible with the rights of


the members, and

Section 2. The Vice-Presidents are to perform the following functions:

1. External Affairs

1.1. To assume all the duties and powers of the


President during the latter's absence, incapacity, resignation, or
impeachment, until a new President shall have been elected;

1.2. To assist the President where his/her assistance


is required;

1.3. To perform other duties as may be assigned to


him/her by the President.

1.4 To represent the IECEP HAU Student Chapter


in the IECEP National Student Chapter.

2. Internal Affairs

2.1. To assume all the duties and powers of the


President during the latter's absence, incapacity, resignation, or
impeachment in case the Vice President for External Affairs fails to
assume the said vacant period until a new President shall have
been elected.

2.2. To assist the President where his/her assistance


is required;

2.3. To be responsible for all the paperworks


regarding approval of activities which are to be held within or
outside the perimeter of the Holy Angel University;

2.4. To perform other duties as may be assigned to


him/her by the President.
Section 3. It shall be the duty of the Secretary and the Assistant Secretary:

1. To keep a record of the proceedings of all general and


Executive Board meetings;

2. To keep a record of all decisions, resolutions, plans and


article of the organization;

3. To sign all certified copies of facts of the organization, unless


otherwise specified by the by-laws;

4. To maintain an up-to-date directory of the organization's


members; and

5. To perform other duties as may be assigned to him/her.

Section 4. It shall be the duty of the Treasurer and Assistant Treasurer:

1. To serve as the official custodian of the organization;

2. To collect all membership dues and necessary fees from the


members;

3. To make a full financial status report of the organization at the


end of any activity during any Executive Board meeting;

4. To report on the financial of the organization during any general


meeting if a need to do so occurs, financial status reports shall be made at
the end of each Semester;

5. To be responsible for the procurement of equipment, article and


supplies that may be authorized by the Executive Board; and

6. To perform such duties as may be assigned to him/her by the


President.
Section 5. It shall be the duty of the Auditor:

1. To review, approve, and prepare audit reports and findings and


sees to it that such financial statements are fairly presented;

2. To make regular recommendations to the President on matters


that directly affects the financial status of the organization vis--vis the
activities undertaken by the organization;

3. To be responsible for the audit activities performed within the


organization; and

4. To perform such duties as may be assigned to him/her by the


President.

Section 6. It shall be the duty of the Public Relation Officers (P.R.O.s):

1. External Affairs:

1.1. To assist the President in the representation of


the organization in all organizational meetings of the Holy Angel
University and the College of Engineering;

1.2. To take charge of all matters pertaining to


relations between the organization and the HAU Administration in
order for the organization to efficiently carry out its objectives;

1.3. To transact business matters with proper


authorities in connection with the activities of the organization that
are to be held outside the school campus; and

1.4. To perform such duties as may be assigned to


him/her by the President.

2. Internal Affairs

2.1. To assist the President or the Vice-President in


all organizational meetings and whenever his/her assistance is
required;

2.2. To transact business matters with proper


authorities in connection with the activities of the organization that
are to be held within the perimeter of the school campus; and
2.3. To perform such duties as may be assigned to
him/her by the President.

Section 7. It shall be the duty of the Business Managers:

1. To be in-charge of all the properties of the organization and keep


an inventory thereof;

2. To plan and supervise all business transactions and fund-raising


activities of the organization; and

3. To perform such duties as may be assigned to him/her by the


President.

Section 8. The Board of Directors shall serve as the legislative and judicial body of
the organization. It shall be their duty:

1. To interpret the constitution of the organization and to act upon


all proposed amendments;

2. To advise the President on all courses of action to be taken;

3. To decide all policies, projects, and activities of the organization;

4. To screen each applicant for membership or for an elective


position and decide his/her qualification;

5. To decide all cases of expulsion, resignation, and re-admission


of regular members; and

6. To choose advisers for the organization with the condition that


the adviser must be a regular member of the Institute of Electronics
Engineers of the Philippines, National Chapter and/or a full time instructor
of the College.

7. To perform other duties as may be assigned to them by the


President.

8. To approve any ratification or amendment to the constitution and


by laws of this organization.
ARTICLE VII. MEETINGS

Section 1. The following are the regular meetings of the organization:

1. General Meeting - it should be held regularly at least once a


month and in case where and when the President deems it necessary.

2. Board of Directors' Meeting - it is held at the discretion of the


President or at the request of any of the members.

3. Executive Board Meetings - it should be held regularly at least


once a month and whenever the President deems it necessary.

4. Committee Meetings - meetings of the members of a special


committee are held at the discretion of the Chairman.

ARTICLE VIII. ELECTIONS

Section 1. The regular elections of the members of the Executive Board shall be held
annually during a general meeting held immediately after the midterm
examinations of the 2nd semester.

The Executive Body composed of twenty-one (21) members of


good standing; The President, Vice-Presidents, Secretary, Treasurer,
Auditor, Business Managers, Public Relations Officers and 11 Board of
Directors shall be decided among the voting members during a regular
election. The Assistant Secretary and the Assistant Treasurer are
appointed by the Executive Officers in their first Executive Board Meeting.

Any qualified regular member desiring to serve in an office must


submit/declaim his candidacy for the desired position beforehand to the
Secretary of the organization. The Board of Directors will intend such
proceeding for evaluation.

In cases of vacant slots or if there is only one person that


declaimed his candidacy for a particular position after a set period,
nomination of candidates for the vacant slots will be held immediately.

The outgoing officers can nominate in the said position but are not
entitled to vote.

In case of vacancy in any elective position except that of the


President, a special election may be held during a general meeting.
Section 2. Before a person shall be elected as an officer of key positions, he must be
a regular member of the Institute of Electronics Engineers of the
Philippines, HAU Student Chapter.

A person/candidate must be a member for at least three (3) months


prior to the election to qualify for an elective position in the organization.

Section 3. Starting the 1st day of March of the school year, the term of office of the
newly elected officers of the organization shall take effect until new set of
officers shall begin their term the following school year.

The tenure of office of each or any appointed officer shall be


dependent upon the discretion of the President.

In any elective position, any member who is elected to fill a vacancy


shall hold such position only for the unexposed term of his predecessor.

Section 4. If an elected officer of the organization fails regularly to attend regular


session, neglect his duties, does other willful violation of this condition, or
abuse his/her power, he/she may be removed from office by a vote of at
least two-thirds (2/3) of all members present during a general meeting.

The President shall take charge of all impeachment proceedings.


However, if he/she is under threat of impeachment, the organization's
adviser(s) shall preside over the proceedings.

ARTICLE IX. FINANCIAL PROVISIONS

Section 1. Every member of the organization shall be charged a membership fee


amounting to 250 pesos for 3rd year members and 200 pesos
membership for 4th and 5th year members and 50 pesos for associate
membership.

Membership to the IECEP-National Student Chapter would only


include 5th year members and officers. This is because privileges given to
members are more applicable and useful to 5th year members, who
seems useless to 3rd year and 4th year members.

Contribution for any social affair or project of the organization shall


be solicited from the member, provided that the general body duly
approves such contributions.

Any other collections as may be deemed necessary, provided that


such collections are presented through an organization resolution duly
approved and concurred by the organization Adviser.
Section 2. The use of the funds, in order to achieve the objectives of the organization
shall be decided upon by the Board of Directors.

External solicitations can be resorted to, provided that such


solicitations are done through legitimate means, and provided further that
such solicitations are approved through an Executive Board Resolution
duly concurred and approved by the IECEP Adviser.

Section 3. The financial balance left by any outgoing set of officers shall be
automatically carried over to the funds of the incoming set of officers
during any term.

ARTICLE X. THE COMMITTEES

Section 1. The committees will be as follows:

Finance Committee
Membership Committee
Publication Committee
Special Committee
Sports Committee
Technical Committee

Section 2. The Committee Heads are appointed by the Executive Officers in their first
Executive Board Meeting.

Section 3. All courses of action to be taken or taken by the committee heads and
members must be presented to the Executive Board for approval and
verification.

Section 4. When the need arises, the Executive Board may form other Committees
for specific purposes.
ARTICLE XI. AMENDMENTS

Section 1. During any general meeting proposed amendment(s) to this constitution


must be read by its author and referred to the Board of Directors for study
and deliberation. The next general meeting, the President shall report on
the action taken by the Board of Directors regarding the proposed
amendments.

Section 2. The Constitution of the Institute of Electronics Engineers of the


Philippines, HAU Student Chapter, may be amended by a vote of all
Board of Directors and at least two-thirds (2/3) of all executive officers
during the executive board meeting for its adoption and promulgation.

ARTICLE XII. EFFECTIVITY

This Constitution and by-laws of the IECEP organization, HAU Chapter, shall
take effect upon its ratification by its officers, the result of which is determined through
the vote of the B.O.D.s and the executive officers. Upon the approval of the B.O.D.s
affixed to CONFORME page of this Constitution shall be a sufficient proof for the
Promulgation and Effectivity of this Constitution.
