Our teleport is located at Greater Noida (NCR), in a pollution free zone and is spread
over twelve hectares of area. The Teleport is just about 30 minutes driving time from
the commercial center of New Delhi. The Teleport is duly authorized & licensed by
various regulatory bodies such as Ministry of Information & Broadcasting and Ministry
of Communications, Government of India. It is a modern, state of the art, multi satellite
uplinking earth station capable of serving all the major broadcast satellites placed in the
Geostationery orbit over the Indian subcontinent.

 Downlink Policy and Guide Lines
Ministry of Information and Broadcasting, Government of India, has formulated
policy guidelines for downlinking all satellite television channels downlinked /
received / transmitted and re-transmitted in India for public viewing. Consequently,
no person/entity shall downlink a channel, which has not been registered by the
Ministry of Information and Broadcasting under these guidelines.

Henceforth, all persons/ entities providing Television Satellite Broadcasting Services

(TV Channels) uplinked from other countries to viewers in India as well as any entity
desirous of providing such a Television Satellite Broadcasting Service (TV Channel),
receivable in India for public viewership, shall be required to obtain permission from
Ministry of Information and Broadcasting, in accordance with the terms and conditions
prescribed under these guidelines.

ELIGIBILITY CRITERIA

1. Applicant Company must be a company registered in India under the Indian

Companies Act, 1956, irrespective of its equity structure, foreign ownership or
management control.

2. The applicant company must have a commercial presence in India with its
principal place of business in India.

3. The applicant company must either own the channel it wants downlinked for
public viewing, or must enjoy, for the territory of India, exclusive marketing/
distribution rights for the same, inclusive of the rights to the advertising and
subscription revenues for the channel and must submit adequate proof at the time
of application.

4. In case the applicant company has exclusive marketing / distribution rights, it

should also have the authority to conclude contracts on behalf of the channel for
advertisements, subscription and programme content.

5. The applicant company should have a minimum net worth as prescribed below:

Dr. J.K. Jain-Founder and Group Chairman

Dr. Jinendra Kumar Jain is a Surgeon, former Member of Parliament and founder
/Chairman of well known media House, the Jain TV Group. Known for pioneering the
Satellite TV era in India, he largely works for the benefit of the people living at the
bottom of the pyramid where he originally comes from. The Groups television
channel, Jain TV, is recognized as the national media network that provides a
platform for Indian minorities, economically repressed and socially backward
communities, to openly debate, discuss and put forth their views.

Dr. Jains leadership, business acumen and entrepreneurial initiatives have led to the
establishment of several successful businesses, including: Video-On-Wheels (VOW),
Indias largest rural marketing company and Medical Communication Network (MCN)
whose publications include the Indian edition of FIGO Journal, IJGO (International
Journal of Gynecology and Obstetrics) and the population reports for John Hopkins
University. He also founded the first private teleport in the country that provides both,
Fixed as well as Mobile Satellite Services (FSS & MSS). Some of his projects in making
are, Digital Content Distribution Network via HITS & DTH and development of High
Tech Innovation Park for IT and Medical applications in the suburbs of New Delhi.
Now, partnering with Inmarsat, to provide mobile broadband & 3G services via
satellite in India.

Mr. Ankur Jain (Managing Director)

Ankur Jain completed his masters of sciences degree from Johns Hopkins University,
Baltimore, USA in 1994. Since then he has been working in various professional
capacities with the group. He has overseen positions such as group financial
management, business development and legal affairs. He has worked with the Group
Chairman and assisted him in all new business startup and strategic issues. Since the
liberalization of Internet and Teleport Policy of Government of India, Ankur has
worked to set-up and manage NSTPL and related telecom, IP and technology
opportunities.

 Ms. Bharti Jain (Whole Time Director)

Bharti Jain, is Whole Time Director of Company and Management professional with
more than 14 years experience in the field of marketing and administration of the
company. Bharti has vast institution, government sales and operational experience.
She has been part of project startup teams of the group.

Mr. Sunil Malhotra (Executive Director - Finance & Accounts)

Sunil Malhotra is a FCA and has over 32 years experience in the field of finance. He has
served as Director (Finance) with Engineering Projects India Ltd. with additional
charge as Chairman & Managing Director of National Industries Development
Corporation. He is in charge of overall finance, planning and fulfillment

Mr. Sanjay Jain (Director -Telecom Solutions)

Sanjay Jain is a science graduate and has more than 26 years of experience in the field
of telecom, broadcast and associated technologies. He has experience in almost all the
facets of business ranging from specialized product & service delivery, business
development, technology development. Pre- sales to big institutional clients like
defence forces and enjoys extensive relationships with global stakeholders

Mr. Naresh Kumar (Chief of Technical Officer)

Naresh Kumar is a highly qualified engineer with a degree in electronics and

telecommunications. He has several years of experience in almost all aspects of
technology ranging from Teleport to Cable industry. He has been working with
NSTPL for nine years providing satellite services to domestic and international
clients.

STAGE -1 - Signing of Agreement

As per MIB guide line international channel is required to sign an agreement with any
company registered under the Indian Companies Act, 1956. NSTPL is registered under
the companies act 1956.

STAGE -2 - Preparation of Downlink Papers

NSTPL has been down linking and providing world class services to International
clients like NHK, NHK Premium, KBS, HOPE TV, press TV etc. We know how to prepare
and put together relevant papers so that clients can get permissions timely.

STAGE -3 - Submission of Documents

NSTPL has a dedicated team to do MIB documentation. They have vast experience
and they are very well aware of what documents need to be submitted in MIB. They
work, rework, and consult NSTPLs own Legal / Financial Advisors and get
Agreements / Amendments / Contracts signed from Government departments for
Domestic and International channels. These officials prepare absolutely accurate
documents with their in depth knowledge of the requirements in ministries so that
procedures are simplified and things can be achieved in good time for each client.
Each time keeping in view the allotted time frame and the laws of the land.

STAGE 4 -Follow Up with MIB

NSTPL team keeps regular follow up with MIB, so that client gets approval in record
time. NSTPL will play a very major role in moving files faster than others. This is
because of its long association and good offices with Government Also, one of the
Group companies being a broadcaster, it is aware of all the procedures in Government
departments; NSTPL is in a strategic position to save time and keep international
Channel informed at every stage.

Technical Details for Downlink

NSTPL will downlink international Channel.
NSTPL will maintain 90 days archive recoding as per Ministry guideline.
NSTPL has 16ft. chicken mesh antenna for D/L.SO we D/L the signal of different
different satellites like ASIASAT-2S, ASIA SAT- 3S, IS10, INSAT 2E, INSAT - 4A,
INSAT - 3A, INSAT - 4B, INSAT - 3C, THAICOM etc.
NSTPL has TANDBERG TT-1260, TT-1290 digital satellite receivers for D/L the
satellite signal. It gives analog video out, analog & digital audio as well as
Embedded O/P.
NSTPL has SONY broadcast monitors for the monitoring of the D/L channel
monitor gives composite audio &video as well as embedded audio video.
NSTPL has off line logger for archive recoding at least 90 days backup. It has 500
GB memory.

NSTPL has been down linking and providing world class services to domestic &
International clients like NHK, NHK Premium, KBS Hope TV.
NSTPL signed and successfully executed Agreements / Amendments / Contracts
with Domestic and International channels within set time frames.
NSTPL gets Permissions sanctioned from MIB (Ministry of Information and
Broadcasting) and Prasar Bharati, in much lesser time than any other company
could achieve, One of its group companies being a leading National Broadcaster,
it is very well aware of a Broadcasters requirements from Government.
NSTPL executed Amendments to Contractual Documents and got permissions
from MIB for the same.
NSTPL negotiated competitive rates with private DTH players for its downlinking
channels.

For a broadcaster there is enough option to choose both from the point of alternate
mediums like, cable TV, IPTV and Terrestrial broadcast and from the point of
increasing DTH Operators, The consumer is at his will to decide.
Customer will continue to have a high bargaining power until DTH platforms try to
differentiate them as superior players with better content and clarity.

Commercial Terms & Conditions

1. All the above prices are exclusive of any statutory taxes, Government levies, if
any. The same shall be charged on actual. The offer is subject to contract and
availability of Transponder at the time of execution of contract.

2. The Payment shall be made monthly in advance. Payment should be made 7

days prior to beginning of the month.

3. All the Permissions required are responsibility of Broadcaster. NSTPL will

provide all necessary documentation and assistance for the same.

4. The above services are subject to availability and to NSTPLs Standard Terms
and Conditions and are subject to contract. This proposal is valid till 31st
December 2011.
