Contract Agreement Between General


Contractor and Supplier
AGREEMENT FOR JOINT PAYMENTS
THIS AGREEMENT made this 10TH Day of August 2017 by and between N.A. Marciano
Construction, Inc., hereinafter called SUBCONTRACTOR;
(subcontractor)
Sapper Construction. Inc., hereinafter called CONTRACTOR and
(general contractor)
Johann Steel Corporation, herein called SUPPLIER,
(supplier)
WHEREAS, CONTRACTOR has engaged SUBCONTRACTOR to furnish labor and materials to be in
the Proposed Five (5) Storey Mixed-Use Building, hereinafter described work of construction; and
Whereas, CONTRACTOR desires SUPPLIER to extend credit and sell materials to
SUBCONTRACTOR to be used in the construction of a work by CONTRACTOR at Gov. D. Reyes St.,
San Miguel, Boac, Marinduque

Generally described as Supplier of Construction Materials Roofing Works
(general description of construction)
WHEREAS, SUPPLIER is willing to extend credit to SUBCONTRACTOR for labors and materials
furnished to the above-described work of construction
NOW, THEREFORE, the parties hereto in consideration of the promises agree;

1. SUPPLIERS shall furnish materials to SUBCONTRACTOR to be used in the construction of the


above described work of improvement

2. CONTRACTOR shall make joint checks payable to SUBCONTRACTOR and SUPPLIER, which shall
not exceed Php 6,000,000.00 in total.

3. SUPPLIER shall provide SUBCONTRACTOR and CONTRACTOR with invoices, other documents
and certificates satisfactory.

4. SUPPLIER is aware that all payments by CONTRACTOR shall be made in accordance with the
terms of the Subcontract Agreement between CONTRACTOR and SUBCONTRACTOR. SUPPLIER is
also aware that the obligation of the CONTRACTOR to make any payment to SUBCONTRACTOR is
subject to the express condition precedent of payment by Owner of project to CONTRACTOR
therefore, except as to payments withheld by the culpable acts or omissions of CONTRACTOR.

5. SUBCONTRACTOR agrees that CONTRACTOR, upon notification to SUBCONTRACTOR, may its


option, issue a check payable directly to SUPPLIER (Direct Check) if SUBCONTRACTOR refuses
to endorse any joint check for the value of materials and/or services rendered the Project
provided to the date of issuance of the joint check. Any direct payments from the CONTRACTOR
to the SUPPLIER shall be charged against the SUBCONTRACTOR'S ACCOUNT.
6. The execution of this Agreement, the issuance of joint check by the CONTRACTOR, or the
issuance of a Direct Check by the CONTRACTOR shall not constitute any undertaking or guaranty
of payment of any sums owed to SUPPLIER.

7. SUBCONTRACTOR and SUPPLIER hereby acknowledge and agree that CONTRACTOR may
terminate this Agreement at any time upon five (5) days notice to SUBCONTRACTOR and
SUPPLIER and hereafter this Agreement shall be null and void without recourse to CONTRACTOR.
