AGENDA
Discussion on important change in organization roles and responsibilities:
1. Release Mr.Parthiban.E from the role of Trustee from India Sudar Educational and
Charitable Trust, based on his personal request.
2. Promote Mr.Balamanikandan.K as Managing Trustee in India Sudar Educational and
Charitable Trust.
3. Promote Mr.Udhayakumar.V as President in India Sudar Educational and Charitable
Trust. Discuss to introduce President role in Trust Board.
RESOLUTION (DECIDED)
1 The Trustee, Parthiban.E, No 74th Street Nehru Colony, Palavanthangal, Chennai 600
114 has submitted his resignation from the role of TRUSTEE of India Sudar Educational &
Charitable trust due to personal reasons.

India Sudar Managing Trustee and Trustees have unanimously decided to accept
Mr.Parthiban.E resignation.

As per the India Sudar TRUST DEED, the Founder/Managing trustee UDHAYA KUMAR V.
has accepted the resignation of Parthiban.E and relieved him from the trustee role with
effect from 29-Oct-2017. It is clearly stated that Parthiban.E will not have POWER to
involve in India Sudar Trustee activities from 29-Oct-2017. Parthiban.E will continue to
be India Sudar member and participate in member/volunteer activities.
2 India Sudar Managing Trustee and India Sudar trustees have unanimously decided to
promote BALAMANIKANDAN.K as Managing Trustee in India Sudar Educational and
Charitable Trust, based on his extended contribution and necessity to India Sudar Trust
at this moment

As per the India Sudar TRUST DEED, current Managing Trustee UDHAYA KUMAR.V has
the power to promote BALAMANIKANDAN.K, residing at East Street, Panchamadevi,
Karur dt-639 004, Tamil Nadu as Managing Trustee in India Sudar Educational and
Charitable trust with immediate effect from 29-Oct-2017 and grants POWER to perform
all the Managing Trustee role and responsibilities.
3 India Sudar Trust board decided to introduce new President roles to strengthen the trust
board in decision-making, governance and to bring independent leadership to the Board.

As per India Sudar Trust Deed, India Sudar Managing Trustee and Trustees have
unanimously decided to promote UDHAYAKUMAR.V as President to India Sudar Trust.
4 The Power of President, Managing Trustee and Trustee role is defined as below:

1.Power of Managing Trustee Role

1.1 Existing Managing Trustee Power will continue as-it-is. NO change in this.
 1.2 During unavailability of the President, Managing Trustee has all the rights to re-
organize (Promote, Add, remove the trustees) the trust board based on the need. On
Availability of President, President and Managing trustee mutually re-organize (Promote,
Add, remove the trustees) the trust board based on the need.

2. Power of President Role

2.1 Managing Trustee power copied to President role as-it-is.
2.2 In case of any conflict in the trust board, President decision will be final.

3. Power of Trustee Role

3.1 There is no change in the Trustee role power.

5 India Sudar Educational and Charitable Trust board has the following role and members
