EXECUTIVE SUMMARY

GE Power Services, hereafter referred to as GE, is pleased to present this proposal to PT


XXX, hereafter referred to as XXX, for the development of a Remote Engineering,
Monitoring and Diagnostics Center in Surabaya, Indonesia.
Included within this project are GEs Asset Performance Management, Operational Excellence
software solutions with GE/Wurldtechs OpShield cyber security platform, for XXX
Generating Units (7 plants) and O&M (27 plants) power plants located in Indonesia.
Through GEs extensive experience in both the Power Generation and Oil & Gas industries, GE
has determined that value derives from maintenance cost reductions, improved revenue
opportunities and improved energy efficiency, benefits of which are achieved through :
Shifting Unplanned Maintenance to planned (improving MTBF)
Reducing maintenance duration (reduction in MTTR)
Increasing maintenance overhaul intervals
Improving energy efficiency
Reducing startup failures
Improving Engineering Analysis Efficiency
Reducing Productions Costs
The objective of this project is to establish an Engineering Centre of Excellence with Central
Monitoring and Diagnostics capabilities within XXX Head Office located in Surabaya. The
proposed GEs Asset Performance Management and Operational Optimization software are
the foundation for broad implementation of a successful performance improvement solution
suite on a subset of XXX power generation fleet.
GE is an industry leader in providing predictive analytics & diagnostics solutions and can help
XXX avoid surprise equipment failures. Our solution will help XXX to detect problems before
they become catastrophic. In doing so, GE will help XXX strengthen its maintenance planning
with focus on improving Equivalent Availability Factor (EAF) and Equivalent Forced Outage
Rate (EFOR). GE shall leverage XXX existing data and infrastructure to provide early and
actionable warnings of impending equipment and process problemsthus allowing XXX
workforce to focus on fixing problems, not looking for them a huge improvement on Mean
Time To Repair (MTTR).
GEs Thermal performance monitoring can provide benefit for XXX by helping to lower
production costs, improve system reliability, and expand plant capability focused on
improving Mean Time Between Failures (MTBF). GEs solution uses a proprietary set of
analytics to analyze power plant efficiency during normal operation and to assess the
operational history of the XXX power plant to determine the average plant start time and
current level of plant turndown. It can also monitor the overall capability of a power plant
to meet its demand signal through ramp rate and output precision.

Predix Developer Packs - Predix is a Platform-as-a-Service (PaaS) that allows an organization to
securely develop, deploy and operate industrial apps in the cloud. GE has years of experience
building software apps for industries, and the design of Predix incorporates those learnings.
Predix developer packs allow development teams to accelerate their delivery of applications so
that mobile staff, field operators, plant managers, business analysts and data scientists can
visualize data in the right context, build their own data models, answer key questions and
deliver on business outcomes.
GE provides total solution from ergonomic infrastructure set-up of the engineering, monitoring
& diagnostic center to powerful analytical tools to drive higher plant performances, availability
& reliability.
GEs powerful Predix platform allows in-house application developments and seamless
convergence / integration of IT/OT and into current Enterprise Asset Management
applications (CMMS, Procurement, Planning & Scheduling apps).

1. SOLUTION OVERVIEW

GEs proposed solution includes the following product components:


Asset Performance Management (APM) GEs asset performance management solution
that leverages existing data and infrastructure to provide early and actionable warnings of
impending equipment and process problems. Includes optional Monitoring and Diagnostics
training for XXX Operations center engineers.
Operations Excellence (OE) GEs software solution that delivers enterprise data visibility
across power plant and fleet-wide footprints, providing a holistic understanding of the
operational decisions that impact plant capability, production costs, and reliability.
OpShield Security Platform GEs propose-built IDS/IPS security solution designed to
protect critical infrastructure, control systems and operational technology (OT) assets.
OpShield monitors and blocks malicious activity and minimizes disruptions to enable highly
available operations and secure productivity.

Predix Developer Packs (optional)- GE will provide application development licenses and
developer training for XXX developers to build apps on the Predix platform. In adopting
Predix, XXX will have access to the same platform that GE uses to build its own
applications.
Ergonomic Command Consoles for Workspace GE offers unrivalled flexibility for
Command & Control Rooms consoles. Providing an efficient and ergonomic workspace that
conforms to the Human Factors requirements set out in the International Standard
ISO11064. Our proposed solutions are manufactured in high quality contemporary
materials of light and contrasting dark grey with aluminum accents. Based on a series of
modular components with a wide range of accessories, which will adapt to future changes
in configuration, equipment and operation.

1.1 WORKSPACE

1.1.1 General Description

Modular design. Each console will consist of a series of standard bays to form
consoles as required and to provide the most ergonomic arrangement for the number
of operators and the specified control equipment.

Corners and corner sections in both standard and custom sizes will provide flexibility
to create both curved and angled consoles (15, 22.5, 30, 45 and 90 degrees as standard
with custom corners available as required).

Each modular bay is based on an independent modular frame complete with, levelling
feet, CPU shelf, hinged rear door, removable front panel and integral cable
management. Cable management shall allow for access from a raised floor to each
bay with horizontal and both vertical routes built into each individual bay. As standard,
each bay shall also have mounting points for the following optional accessories: fixed
and pullout equipment shelves, rack mount inserts, industrial grade power outlets and
low-noise ventilation fans.

Operators work surfaces have a 12mm thick compact laminate surface complying to
EN13986. Work surface edges will be contoured and the corners will carry a radius. The
work surface height will nominally be 735mm high to comply with IS011064 and the
legroom below will be a minimum of 750 mm.

Each console bay shall incorporate a drop down to allow for system displays to be
mounted on purpose designed monitor arms.

Flat screen mounting arms are to be supplied suitable for both 75 and 100 mm Vesa
mounts. Available in single, dual or triple mount options and all to incorporate cable
management. Touch screens shall be mounted within 400 mm of the operator on
articulated mounts capable of being locked in position.

Cable management routes are provided both horizontally and vertically throughout
each console, with the option for the systems integrator to install additional
proprietary cable management solutions if required.

Equipment mounting within each console bay shall be accessible by hinged lockable
doors to the rear and lockable panels to the front of each bay.

Ventilation shall be provided to allow natural airflow through the console with optional
low noise ventilation fans being available in both 110 and 220 volts.

Optional rack mount inserts shall be available and comply with Electronic Industry
Association specifications.

1.1.2 Console Frame & Finishes

Console modular frame will be fabricated from 1.6 mm and 2.00 mm mild steel powder
coated in standard RAL 7012.

Prior to manufacture each set of approved drawings will also be provided with color
rendered 3D images.

Optional steel components will be 1.6 mm and 2.00 mm mild steel powder coated in
standard RAL 7012.

contrasting aluminum accents

1.1.3 Assembly

The console system shall be suitable for assembly by local semi-skilled labor using our assembly
video & illustrated instructions printed in the English language. Alternately GE can provide
personnel for full installation services or supervised assembly as well.

1.2 ASSET PERFORMANCE MANAGEMENT (APM)

GE Asset Performance Management (APM) Solution is a category of technology that comprises


capabilities for industrial companies to maximize the value of their production assets for
business benefit.

These capabilities come in the form of connected machines and equipment with data sensors,
collecting vast volumes of information into a centralized and secured data platform and
performing analysis for better operations decision making.

providing very early warning of emerging mechanical and performance problems on both
rotating and process equipment.
Reliability Management (RM) utilizes the industrys best-in-class Predictive Analytics &
Diagnostics technology, SmartSignal, to manage, control, and optimize industry maintenance
and operations. RM detects equipment problems with enough advanced timing to shift
unplanned maintenance to planned, optimize maintenance resources and reduce operational
risks and improve production for many of the key assets at site.

GEs will align this solution around XXX business process and use-case to achieve value. Bi-
Weekly telephone meetings with GE engineers and analysts allow understanding to be shared
about how all parties can gain benefits from more efficient use of the data it is already

predictively identifies apparent cause, and localizes these cause(s) to specific machinery

APM is a consolidated management solution providing event management for alerts, alarms,
advisors, and resource assignments to aid in impact assessments and investigations, case &
collaboration management for actions from assignment through resolution and supporting
collaboration between analysts, engineers, plant personnel, and knowledge management by
leveraging historical asset conditions and case data to enhance future analysis, while enabling
machine and operator learning.

cost and downtime. Operations Optimization isnt just about expanding current plant capacity
its about redefining the future.
Now power generation leaders can align operation priorities to business strategy at scale
across their fleet, regardless of generation source. Whether the fleet has a portfolio of steam
plants like coal, biomass, nuclear or plants that run gas, liquid fuel or renewable sources such
as wind or hydro, Operations Optimization delivers results regardless of Original Equipment
Manufacturer (OEM).
Operations Optimization delivers proactive recommendations by analyzing internal plant data,
historical operational data, or external information in order to inform key resources, reduce
production costs, and enhance plant flexibility.

Operations Optimization is an Industrial Internet-based suite that provides Key Performance

down to the block and unit level details.

GE delivers a comprehensive data management, analytics, and diagnostics solution that will
help PJBs manage their power generation assets more effectively. This solution will consist of
a data acquisition infrastructure that is customized to match each XXX demanding
requirements for cyber security, a vast set of analytics designed to provide detailed and
actionable information, and a portfolio of complementary services that will support the XXX
technologists with GEs own staff.

Operations Evaluation will offer the XXX Visibility, Insight, & Actions for these KPIs, enabling
them to quickly assess their plant assets for operational issues and minimize the cost of
addressing any issues that arise. Specifically, PJBs can minimize cost of deploying resources
to find the problem, minimize downtime by pointing to the source of the issue, and
prioritizing where to deploy the right resources. This results in better sustained thermal
performance, improved reliability, and a pathway to improved overall plant capability.

the companys return on assets with more accurate offerings that account for operating costs
including cycle efficiency, uptime, flexibility and start costs.

Thermal Performance helps central operations increase production, improve heat rate
and manage operating margins across the fleet. Plant Managers can prioritize
workflows and maintenance plans to help them meet or exceed production goals and
costs, such as fuel consumption.

configuration, process, or operational settings of each major component within the
plant to provide better ramping and dispatch options, reduce fuel burn and improve
efficiency, especially when the plant is operating at less than full load.

1.3.2.1 Thermal Performance

Operations Optimization provides analytics on both the stable and transitional activities that
occur in a power plant. This enables the plant manager to review and analyze any non-optimal
processes, and determine the appropriate time to take action to improve performance.

One of the largest production costs for most power plants is the cost of the fuel consumed
during normal generation. To analyze power plant efficiency during this process, GE uses a
proprietary set of analytics from its time-tested EfficiencyMap performance management
system. OE has the power to analyze thermal systems, whether they are using GE or other OEM
equipment. With centralized execution of these analytics, PJBs can be assured that they are
using the most current version, and can benefit from the additional analytic power that comes
from cloud-based execution, including better diagnostic precision and sustained model
accuracy.

Unwanted production costs can also come from longer plant start times and the inability of the
plant to turn down to the lowest possible load. GEs OE solution uses a proprietary set of
analytics to assess the operational history of the XXX power plant to determine the average
plant start time and current level of plant turndown, and compare this to the larger GE fleet.
OE can also monitor the overall capability of a power plant to meet its demand signal through
ramp rate and output precision.

1.4 OPSHIELD CYBER SECURITY SOLUTION

The complex demands of todays power business are driving leaders to invest substantial
resources into business planning with directed attention to risk mitigation. Over 90% of power
executives believe top line growth can only be achieved through enhanced management of risk
with the strategic adoption of technology.

Traditional risk management is focused on factors like fluctuation in renewables dispatch


priority and dynamic fuel costs. Today, the threats of cyber-attack and security breaches are
equally prominent issues. They can cause trips, break operating limits, and quickly cascade into
serious financial damage or impact on human safety.

GE Cyber Security Solutions work at any stage of security maturity to bring greater control, less
risk and increased reliability to a power business. Depending on the situation, there are
impactful people, process and technology actions that can be instituted.

GEs Cyber Solutions include OpShield, a purpose-built IDS/IPS security solution designed to
protect critical infrastructure, control systems and operational technology (OT) assets. OpShield
monitors and blocks malicious activity and minimizes disruptions to enable highly available
operations and secure productivity.

1.4.1 OpShield

OpShield is designed to help PJBs identify and


prevent risks to OT networks, protect valuable
information and preserve the benefits that
implementing ICS and SCADA systems. The solution
fulfills the dual purpose needs of OT network security
by monitoring and blocking malicious traffic while
segmenting the network to limit the impact of a
potential breach.
Data collected from the initial baseline also allows Wurldtech to optimize protocols and improve
policy enforcement across deployments. OpShield is able to address the latest threats by
virtually deploying regular signature and maintenance updates, without any downtime.
Ultimately the OpShield Security Platform assists PJBs with cyber security and audit concerns
through increased visibility, efficient security and effective protection.

1.4.1.1 Increased Visibility

When a network is compromised, revenue, reputation and company information are all in
jeopardy. With sources for a breach ranging from cyber espionage to phishing and malware,
finding the sourcing of a problem is vital. According to analysts at Forester, the largest time
consumer in fixing network issues is the mean time to know (MTTK) or the time it takes to find
the source of the problem. This activity can take over 50% the overall mean time to resolve

(MTTR) an issue. OpShield cuts down significantly on downtime due to MTTK by allowing network
operators to constantly monitor and record network traffic up to the application layer.

When whitelist policies are established, all traffic that does not match the established policies
and rules can be blocked. The units can be configured at deployment to generate an alert that
is shown in the User Interface and sent to an external server to influence future OpShield
signatures.
OpShield cuts down on the time to identify the source a network issues by constantly monitoring
network traffic and allowing network operators to adapt to new system threats. This means
less revenue lost to network downtime, unplanned labor and machine inefficiencies.

1.4.1.2 Efficient Security

Implementing ICS and SCADA systems is ultimately about efficiency. It combines machines with
advanced monitoring and control systems for improved visibility, production and revenue. OT
cyber-security should be implemented in the same vein.
OpShield combines elements such as packet capture, Protocol Inspection Engine, and Intrusion
Prevention /Intrusion Detection Systems (IPS/IDS) functionality that can only be found in distinct
devices. Essentially, GE Power Systems would have to purchase multiple devices to match the
needed functionality contained in OpShield. Given the complete set of features in OpShield
compared to competitive offerings, it could cost roughly triple to equip a facility with equivalent
distributed Firewall, IPS/IDS, and robust packet capture capabilities.
Ultimately, OpShield helps reduce the cost of overall cyber security by:
Eliminating the need for multiple security devices/subscriptions to protect the network.
Removing the need for integration of these multiple products cutting both cost and
the time to implementation; a costly exercise which on average could add months to
the implementation schedule.
Cutting down on implementation time as IT specialists are not required to learn the OT
language and develop protocols to support multiple vendors.

1.4.1.3 Effective Protection

Traditional IT security vendors focus on protecting against the growing threat of information
breach. Wurldtech specializes in protecting OT from operational threats that pose significant
risk to people, assets and the environment.
OpShield security researchers are OT cyber-security experts who focus on monitoring threat
intelligence and device vulnerability information. This expertise enables Wurldtech to deliver
extensive threat and vulnerability data that can be distributed to OpShield deployments,
providing immediate protection from threats. We deliver vulnerability signaturesrather than
threat signatureswhich have a long life and defend against exploit variants. Wurldtechs

2.1.1 Asset List

GE will develop asset models for the following assets for each unit, subject to the availability of
sensors to build a reliable model. Changes or substitutions to the asset list may result in a
change to the fees charged. The GE Project Manager will propose Change Orders for the XXX
acceptance as necessary. Specific models will be determined during the design phase of the
implementation.

2.1.2 Data Connection

All data will be hosted on GEs Predix. The GE solution will acquire data from the GE hosted
Proficy Historian which leverages data connectivity to XXX sites via the provided GE OSM
Equipment. See Attachment C for details on the connectivity equipment to be provided.

2.2 TYPICAL HIGH-LEVEL ARCHITECTURE

2.3 DESCRIPTION OF SERVICES

GEs implementation experience has led to the development of a defined series of activities
necessary for a successful implementation including deployment, initial operations, and
management and maintenance of the system.

2.3.1 Implementation

GE will build and deploy appropriate models for the assets defined in Section 2 of the proposal.
A summary description of the key deployment activities is included in Attachment B. GE will
provide and install hardware, software, and diagnostic technology, which provide the
foundation for GEs solution. A list of provided equipment and installation activities is included
in Attachment C.

2.3.1.1. Project Management

GE understands the value of strong project management and will work closely with XXX to
resolve commercial and technical issues, manage GE resources assigned to the project, and
manage GE deliverables and timing commitments. The GE Project Manager is responsible for
the overall leadership, impact, and direction of the project. Specifically, he/she is responsible
for establishing the strategic direction of the project, leading the team in establishing and
maintaining value-add functions and services and delivery of the activities within the project.

The GE Project Manager is responsible execution of the entire project, including the following
activities:

Providing mechanisms for monitoring and tracking progress regarding schedule,


budget, resources and technical performance, and benefits tracking
Creating infrastructure for managing the project teams and project interdependencies
Scheduling meeting resources
The shared responsibilities of GE Project Manager and the designated XXX focal point for
OE implementation consist of:
Organizing and focusing resources for successful project delivery
Enabling communication among senior management and project teams
The following project responsibilities must be fulfilled by XXX:
Provide an Executive Sponsor, who must have the authority to ensure that the
necessary attention can be focused on the Project, and to ensure that the critical
decisions that affect the Project can be made on a timely basis. The specific
responsibilities of the Executive Sponsor consist of:
- Taking overall responsibility for the Project, including benefits realization, Project
plan approval, and major issue resolution

Provide a Project Manager who will be the focal point for day-to-day GE
communications relative to this Project and will have the power and authority to
make decisions with respect to actions to be taken by XXX in the ordinary course of
day to day management of the Project. The specific responsibilities of the Project
Manager consist of:
- Ensuring alignment with XXX, stakeholders and site projects/programs
- Identifying and coordinating XXX personnel to participate in scheduled workshops,
meetings and other relevant sessions as required
- Setting up and providing access to business and technical documents and other
relevant information
- Working with business stakeholders as part of change control
- Supporting deliverable management processes and facilitate timely deliverable
acceptance
Collaborate with GE to identify, review, assess, and fill in any gaps to requirements and
design documentation
Actively participate in sessions to document process gaps, define requirement gaps,
scenario reviews, functional flow reviews and document design gaps within defined
timeframe
Provide approved application interface functional requirements, architectural
documents and technical design documents
Provide contact information for XXX subject matter experts, as needed
Provide access to Plant site and other systems as necessary for the Services

2.3.1.2 Project Change Control

The GE Project Manager will work with XXX to manage modifications to the project scope
and schedule. Project change control is critical to both GE and XXX to manage timing, costs
and scope containment. The management of changes will be governed by a change control
team, which is made up of GE and XXX project managers. A Project Change Request (PCR)
must be signed by authorized representatives from XXX and GE to approve implementation
of any agreed changes to the scope of this Proposal. A PCR which has been signed by
authorized

representatives from both parties constitutes a change authorization for purposes of this
contract.
Changes in services provided may result in an overall project cost increase or decrease
for XXX, depending on the nature of the changes.

2.3.1.3 Project Adoption Services

In GEs experience, software exposure alone will not allow PJBs to fully realize the softwares
value. A period of additional hands-on knowledge transfer and coaching will be provided by
GEs Power Expert Services (PES) team. Adoption Services will be administered by a Power
Generation Leader, typically possessing 20 years of power plant operations domain
expertise, and will last for a mutually agreed period depending upon XXX requirements,
software technical involvement and desired XXX outcomes. GEs PES will be involved
throughout the deployment process and will culminate with a period of intense coaching
following site acceptance testing. In addition to an evaluation of business processes
impacted by the software implementation, GEs PES team will work closely with appropriate
levels of the organization to integrate the software into the sites operational processes. GEs
Power Generation Leader will be readily available throughout the adoption process to
address questions as they arise.

2.3.2 Software-as-a-Service (SaaS) Subscription

2.3.2.1 Monitoring Services

GE maintains XXX assets to allow focus on integration of the GE solution into XXX business
process. This maximizes the speed-to-value of the system. The Monitoring Service phase will
be provided remotely by GEs Operations Center.
During the Quality Assurance phase of Monitoring Service monitoring and immediately after
the data connection to the historian is established, the GE monitoring Center will validate the
tag data quality and begin monitoring the XXX assets using fixed thresholds. Additionally,
GE will provide:
Applications engineering & maintenance GE will manage the creation and
maintenance of models on the hosted servers at our facilities to meet the preferences
of XXX staff
Software updates GE will manage the software updates so XXX monitoring system
will always be up to date on the latest available version of GE software. Our PJB
Support team is available to diagnose and address any software related issue

they are running reliably and that issues are identified and resolved quickly.

2.3.2.3 XXX Success Manager
g
GE will appoint a XXX Success Manager (CSM) to work directly with the XXX contact(s) who
are responsible for managing and tracking activities to meet the objectives of a mutually
agreed Outcomes Attainment Plan around the usage and adoption of GEs software
solutions. The XXX success manager will fulfill the following roles, where appropriate:
Be the single point of contact and advocate for XXX, post deployment.
Coordinate ongoing services to be delivered on behalf of XXX across GE teams
Be a conduit for bi-directional communication and feedback
Conduct timely business reviews with key account stakeholders
Manage and track activities against an account specific Outcomes Attainment Plan
Monitor and report on Overall Account Health to internal and external leadership
teams
Prepare and execute account specific Onboarding Process (when applicable)
Develop and deliver an Adoption Readiness assessment, plan, and ongoing tracking
(when applicable)
Provide Upgrade and Release readiness communications and coaching
Services delivered by the XXX Success Manager are provided as part of the on-going
software subscription services. All efforts will be given to keep the assigned XXX success
manager aligned to this account throughout the terms of the contract for the software
solutions. GE will notify XXX of any changes in XXX success manager assignment, and the
appropriate steps will be taken to ensure a successful and timely transition.

2.3.2.5 OpShield Services Scope

The OpShield Subscription Services - There are two subscriptions associated with this
platform:
Maintenance Subscription. This subscription includes routine operating firmware
updates and bug fixes, access to technical support and hardware advanced
replacement. GE/Wurldtech reserves the right to charge for additional value-added
features in future software releases. Any bug fixes pertaining to OpShield Security
Platform system security will be made available to all PJBs, regardless of whether they
have an active Maintenance Subscription. Technical support performed at a XXX site
would be subject to additional charges and T&L fees.
Signature Subscription. This subscription provides the OpShield Security Platform user
with access to all the latest signatures from the GE/Wurldtech threat intelligence team,
addressing new vulnerabilities announced by ICS-CERT and other organizations. A
current Maintenance Subscription is required in order to participate in the Signature
Subscription.

3. PROPOSAL BASIS and ASSUMPTIONS

3.1. TECHNICAL ASSUMPTIONS

GEs estimate is based on the following technical assumptions in addition to the general
assumptions and responsibilities outlined below. Changes to these may result in changes to the
GE estimate.
The project schedule and project resources assume that the assets/models undergo one
design review. Any requested additional design changes that occur after completion of
the design review will result in a Project Change Order Request following the standard
change order process defined herein.
To support equipment model development, XXX will provide a tag list to GE. This tag list
must contain the tag name, description, engineering units, and alarm limits and normal
process operations limits/range as required. As this tag list will be used as the main design
input, it is crucial that the tag list is complete and that the tag naming convention
accurately reflects the tag names that will be polled from the historian when assets are
active. If tag list is found to be incomplete or the tag naming convention changes after
design development has begun, additional services will be managed via Project Change
Order Request following the standard change order process defined herein.
Collect and send to GE any historical data required to build asset models if historical data
is required to support the development of equipment models. GE will provide standard
templates for the monitored equipment to guide XXX in collecting this data. If XXX
requests services from GE to pull the data, the result will be a Project Change Order
Request following the standard change order process defined herein.
It is assumed that one or multiple OPC Server(s) will be available at each plant to facilitate
the data collection with OPC Collectors.
To support the equipment model development, XXX will provide information as
requested by GE. Such information may include but is not limited to P&ID and PFD
drawings, DCS screenshots, Equipment Data Sheets, and Operations or Maintenance
Manuals.
Provide stable, continuous, remote access to XXX Historian and the GE solution
computers, via IPSEC VPN tunnel or other agreement, is required to facilitate remote
implementation and support.

3.2 GE GENERAL ASSUMPTIONS

The offer does not include any Civil & Structural works. Assumption is made that the facility
including power & internet broadband connection are provided by XXX.
The proposal is made on GEs best estimation based on available data from public domain,
a thorough site assessment would be required prior to Basis of Design submission.
All communication and documentation will be done in English language.

Any drawings or documentation deemed to be approved will constitute acceptance of sole
responsibility by client thus, no responsibility shall be accepted for omissions or losses in
any material respect brought about in consequence of such errors or omissions.
Complete Cause - Effect Matrix, P&ID and approved control philosophy shall be made
available to GE.
No service personnel will be sent out without prior order entry and acceptance.
New PJBs may be required to supply credit references prior to order entry.
GE Engineer(s) will work within the rules and guidelines set by GE safety policy and the
policy active at the site. GE Engineers are provided with standard Personal Protective
Equipment (PPE) including safety shoes, high visibility jacket, overalls, hardhat, safety
glasses and ear defenders. If there are any special hazards or additional PPE requirements,
then GE must be informed of these prior to commencement of the contract. Also, if any
special permit to work or safety training is required then GE Engineer(s) will be expected to
attend these prior to commencement of any work. GE reserves the right to remove
personnel from site if it is considered to be unsafe.
All services will be billed at a minimum of four (4) hours and all hourly rates will be rounded
up to the half hour.
Meal and rest breaks will be expected to be taken and appropriate facilities provided.
Some of the tasks may be performed off site, prior and post to the Consultancy Services
Engineer arriving at the dispatched site, this time will be billed at the posted rates.
Additional Exclusions:
o All installation works including civil, mechanical or electrical works to install the system.
o Instrumentation, cabling, wiring, loop drawing and loop checks, network and IT
infrastructure.
o Transportation & Shipment.
o All Transportation expenses of GE material for conducting IFAT (if required) at any other
vendor location are excluded.

3.3 XXX ROLES AND RESPONSIBILITIES

To ensure a successful and expedient installation of GE solution, certain XXX responsibilities


will be required, including, but not limited to:
Assign a Project Manager to be the central point of contact for the GE Project Manager
and to provide co-ordination with other 3rd party software and hardware vendors and
other contractors.
Provide a team experienced with XXX processes, control architecture and systems to
work with the GE engineering team during all phases of the project.

Provision of access to any relevant the project documentation.

Ensure that all data or other signals, as required for interfacing with the solution, are
delivered in an accurate and timely fashion to avoid delays during the project.
XXX responsible for correct installation and working of all IT and network
infrastructure, prior to GE services, for all Servers, PC, Panels and controls equipment.
Provide continuous network connectivity between the servers and the user clients. Ensure
sites and Head Office has internet connectivity with a minimum of 512kbps speed.
Provide security passes and free access to all facilities to afford a successful completion
of the project.
Provide at no-charge all required infrastructure for on-site GE personnel (i.e. office space,
telephone, network access, etc.) including the required infrastructure to connect to
Internet and via VPN to the GE network.
Provide high-speed VPN access for remote personnel needing access to development /
test systems.
Provision of XXX supplied equipment in due course. This includes all third party software
and hardware not explicitly outlined in this proposal like, computers for development
software, printer, cabinetry, wiring, operating systems, databases, office applications, etc.
Provide all required safety/environmental training. Any labor or expenses incurred by GE
personnel as a result of such training will be billed on a Time and Materials basis in
accordance with the attached Terms and Conditions.
Provision of a safe working environment for our engineer, which includes that safe and
secure procedures are in-place and all testing and quality assurance procedures are
completed prior to any system modifications are attempted.
Make backups of all application code before intervention of our engineer(s) to enable a
fallback solution.
To be able to handle product issues within this contract a valid Global Care contract is
required.
Sign Milestone Acceptance Forms and/or Timesheets as required
For services that require expense receipts, PJBs must specify this requirement, prior to
services booked, on the purchase order.

4.5 Pricing Basis

If Buyer deducts withholding tax as required by local law, Buyer shall provide to GE,

4.6 Proposal Validity

This Proposal is valid for 60 days from the proposal date and it serves as budgetary purposes
and not for contracting. This Proposal is subject to prior sale or change upon notice prior to

ATTACHMENT A TERMS AND CONDITIONS

PRODUCTS AND/OR SERVICES TERMS AND CONDITIONS (PSTC)

NOTICE: Sale of any Products and/or Services is expressly conditioned on Buyer's assent to these Terms and Conditions. Any
acceptance of Sellers offer is expressly limited to acceptance of these Terms and Conditions and Seller expressly objects to
any additional or different terms proposed by Buyer. No facility entry form shall modify these Terms and Conditions even if
signed by Sellers representative. Any order to perform work and Seller's performance of work shall constitute Buyers assent
to these Terms and Conditions. Unless otherwise specified in the quotation, Sellers quotation shall expire 30 days from its date
and may be modified or withdrawn by Seller before receipt of Buyers conforming acceptance.

1. Definitions
"Buyer" means the entity to which Seller is providing Products and/or Services under the Contract.
"Contract" means either the contract agreement signed by both parties, or the purchase order signed
by Buyer and accepted by Seller in writing, for the sale of Products and/or Services, together with these
Terms and Conditions, Sellers final quotation, the agreed scope(s) of work, and Sellers order
acknowledgement. In the event of any conflict, the Terms and Conditions shall take precedence over
other documents included in the Contract.
Contract Price means the agreed price stated in the Contract for the sale of Products and/or Services,
including adjustments (if any) in accordance with the Contract.
Hazardous Materials means any toxic or hazardous substance, hazardous material, dangerous or
hazardous waste, dangerous good, radioactive material, petroleum or petroleum-derived products or
by-products, or any other chemical, substance, material or emission, that is regulated, listed or
controlled pursuant to any national, state, provincial, or local law, statute, ordinance, directive,
regulation or other legal requirement of the United States (U.S.) or the country of the Site.
Insolvent/Bankrupt means that a party is insolvent, makes an assignment for the benefit of its
creditors, has an administrator, receiver, liquidator or trustee appointed for it or any of its assets, or files
or has filed against it a proceeding under any bankruptcy, insolvency dissolution or liquidation laws.
Products means the equipment, parts, materials, supplies, software, and other goods Seller has
agreed to supply to Buyer under the Contract.
"Seller" means the entity providing Products or performing Services under the Contract.
Services means the services Seller has agreed to perform for Buyer under the Contract.
"Site" means the premises where Products are used or Services are performed, not including Sellers
premises from which it performs Services.
Terms and Conditions means these Products and/or Services Terms and Conditions, including any
relevant addenda pursuant to Article 18, together with any modifications or additional provisions
specifically stated in Sellers final quotation or specifically agreed upon by Seller in writing.
USD means United States Dollars.

2. Payment
2.1 Buyer shall pay Seller for the Products and/or Services by paying all invoiced amounts by direct bank
transfer in the currency specified by Seller in the Contract, without deduction, withholding or set-off for
any payment or claim, within thirty (30) days from the invoice date. If the Contract Price is less than two
hundred fifty thousand USD ($250,000), Seller shall issue invoices upon shipment of Products and as
Services are performed. If the Contract Price is two hundred fifty thousand USD ($250,000) or more,
progress payments shall be invoiced starting with twenty-five percent (25%) of the Contract Price for

Products and/or Services upon the earlier of Contract signature or issuance of Sellers order
g
acknowledgement and continuing such that ninety percent (90%) of the Contract Price for Products
and/or Services is received before the earliest scheduled Product shipment and Services are invoiced as
performed (Progress Payments). For each calendar month, or fraction thereof, that payment is late,
Buyer shall pay a late payment charge computed at the rate of 1.5% per month on the overdue balance,
or the maximum rate permitted by law if it is less. If the price is set by the Contract in a currency other
than USD, references to USD in this Section 2.1 shall mean the equivalent amount in the applicable
currency.
2.2 As and if requested by Seller, Buyer shall at its expense establish and keep in force payment security
in the form of an irrevocable, unconditional, sight letter of credit or bank guarantee allowing for pro-
rata payments as Products are shipped and Services are performed, plus payment of cancellation and
termination charges, and all other amounts due from Buyer under the Contract (Payment Security).
The Payment Security shall be (a) in a form, and issued or confirmed by a bank acceptable to Seller, (b)
payable at the counters of such acceptable bank or negotiating bank, (c) opened at least sixty (60) days
prior to both the earliest scheduled shipment of Products and commencement of Services, and (d)
remain in effect until the latest of ninety (90) days after the last scheduled Product shipment, completion
of all Services and Sellers receipt of the final payment required under the Contract. Buyer shall, at its
expense, increase the amount(s), extend the validity period(s) and make other appropriate modifications
to any Payment Security within ten (10) days of Sellers notification that such adjustment is necessary
in connection with Buyers obligations under the Contract.
2.3 Seller is not required to commence or continue its performance unless and until any required
Payment Security is received, operative and in effect and all applicable Progress Payments have been
received. For each day of delay in receiving any Progress Payments or acceptable Payment Security,
Seller shall be entitled to an equitable extension of time to durations or periods of time (if any) expressly
agreed to by the Parties in the written schedule for performance and/or completion of the Services or
any parts thereof. If at any time Seller reasonably determines that Buyers financial condition or
payment history does not justify continuation of Sellers performance, Seller shall be entitled to require
full or partial payment in advance or otherwise restructure payments, request additional forms of
Payment Security, suspend its performance or terminate the Contract.

3. Taxes and Duties


Seller shall be responsible for all corporate taxes measured by net income due to performance of or
payment for work under this Contract (Seller Taxes). Buyer shall be responsible for all taxes, duties,
fees, or other charges of any nature (including, but not limited to, consumption, gross receipts, import,
property, sales, stamp, turnover, use, or value-added taxes, and all items of withholding, deficiency,
penalty, addition to tax, interest, or assessment related thereto, imposed by any governmental authority
on Buyer or Seller or its subcontractors) in relation to the Contract or the performance of or payment
for work under the Contract other than Seller Taxes ("Buyer Taxes"). The Contract Price does not include
the amount of any Buyer Taxes. If Buyer deducts or withholds Buyer Taxes, Buyer shall pay additional
amounts so that Seller receives the full Contract Price without reduction for Buyer Taxes. Buyer shall
provide to Seller, within one month of payment, official receipts from the applicable governmental
authority for deducted or withheld taxes.

4. Deliveries; Title Transfer; Risk of Loss; Storage


4.1 For shipments that do not involve export, including shipments from one European Union (EU)
country to another EU country, Seller shall deliver Products to Buyer FCA Sellers facility or warehouse

(Incoterms 2010). For export shipments, Seller shall deliver Products to Buyer FCA Port of Export
(Incoterms 2010). Buyer shall pay all delivery costs and charges or pay Sellers standard shipping
charges plus up to twenty-five (25%) percent. Partial deliveries are permitted. Seller may deliver
Products in advance of the delivery schedule. If Products delivered do not correspond in quantity, type
or price to those itemized in the shipping invoice or documentation, Buyer shall so notify Seller within
ten (10) days after receipt.
4.2 For shipments that do not involve export, title to Products shall pass to Buyer upon delivery in
accordance with Section 4.1. For export shipments from a Seller facility or warehouse outside the U.S.,
title shall pass to Buyer upon delivery in accordance with Section 4.1. For shipments from the U.S. to
another country, title shall pass to Buyer immediately after each item departs from the territorial land,
seas and overlying airspace of the U.S. The 1982 United Nations Convention of the law of the Sea shall
apply to determine the U.S. territorial seas. For all other shipments, title to Products shall pass to Buyer
the earlier of (i) the port of export immediately upon clearance of Products for export or (ii) immediately
after each item departs from the territorial land, seas and overlying airspace of the sending country.
When Buyer arranges the export or intercommunity shipment, Buyer will provide Seller evidence of
exportation or intercommunity shipment acceptable to the relevant tax and custom authorities. Buyer
may not use any third party vendor for providing customs clearance services until Seller has approved
such party prior to shipment of the Parts. Notwithstanding the foregoing, Seller grants only a non-
exclusive license, and does not pass title, for any software provided by Seller under this Contract, and
title to any leased equipment remains with Seller.
4.3 Risk of loss shall pass to Buyer upon delivery pursuant to Section 4.1, except that for export
shipments from the U.S., risk of loss shall transfer to Buyer upon title passage.
4.4 If any Products to be delivered under this Contract or if any Buyer equipment repaired at Sellers
facilities cannot be shipped to or received by Buyer when ready due to any cause attributable to Buyer
or its other contractors, Seller may ship the Products and equipment to a storage facility, including
storage at the place of manufacture or repair, or to an agreed freight forwarder. If Seller places
Products or equipment into storage, the following apply: (i) title and risk of loss immediately pass to
Buyer, if they have not already passed, and delivery shall be deemed to have occurred; (ii) any amounts
otherwise payable to Seller upon delivery or shipment shall be due; (iii) all expenses and charges
incurred by Seller related to the storage shall be payable by Buyer upon submission of Sellers invoices;
and (iv) when conditions permit and upon payment of all amounts due, Seller shall make Products and
repaired equipment available to Buyer for delivery.
4.5 If repair Services are to be performed on Buyers equipment at Sellers facility, Buyer shall be
responsible for, and shall retain risk of loss of, such equipment at all times, except that Seller shall be
responsible for damage to the equipment while at Sellers facility to the extent such damage is caused
by Sellers negligence.
4.6 Except as otherwise expressly agreed to by the Parties in writing, acceptance of Products shall be
deemed to occur upon delivery and acceptance of Services, upon performance.

5. Warranty
5.1 Seller warrants that Products shall be delivered free from defects in material, workmanship and
title and that Services shall be performed in a competent, diligent manner in accordance with any
mutually agreed specifications incorporated into the Contract.
5.2 The warranty for Products shall expire one (1) year from first use or eighteen (18) months from
delivery, whichever occurs first, except that software is warranted for ninety (90) days from delivery;

and the warranty for Services shall expire one (1) year after performance of the Service, except that
software-related Services are warranted for ninety (90) days (as applicable, the Warranty Period).
5.3 If Products and/or Services do not meet the above warranties, Buyer shall promptly notify Seller in
writing prior to expiration of the applicable Warranty Period. Seller shall (i) at its option, repair or replace
defective Products and (ii) re-perform defective Services. If despite Sellers reasonable efforts, a non-
conforming Product cannot be repaired or replaced, or non-conforming Services cannot be re-
performed, Seller shall refund or credit monies paid by Buyer for such non-conforming Products and/or
Services. Warranty repair, replacement or re-performance by Seller shall not extend or renew the
applicable Warranty Period. Buyer shall obtain Sellers agreement on the specifications of any tests it
plans to conduct to determine whether a non-conformance exists.
5.4 Buyer shall bear the costs of access for Sellers remedial warranty efforts (including removal and
replacement of systems, structures or other parts of Buyers facility), de-installation, decontamination,
re-installation and transportation of defective Products to Seller and back to Buyer.
5.5 The warranties and remedies are conditioned upon (a) proper storage, installation, use, operation,
and maintenance of Products, (b) Buyer keeping accurate and complete records of operation and
maintenance during the warranty period and providing Seller access to those records, and (c)
modification or repair of Products and/or Services only as authorized by Seller in writing. Failure to meet
any such conditions renders the warranty null and void. Seller is not responsible for normal wear and
tear.
5.6 This Article 5 provides the exclusive remedies for all claims based upon the failure of or defect in
Products or Services, whether the claim is based in contract, negligence, statute, or any tortious/extra-
contractual liability theory, strict liability or otherwise. The foregoing warranties in this Article 5 are
exclusive and are in lieu of all other warranties, conditions and guarantees whether written, oral, implied
or statutory. NO IMPLIED OR STATUTORY WARRANTY, OR WARRANTY OR CONDITION OF
MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE APPLIES.

6. Confidentiality
6.1 Seller and Buyer (as to information disclosed, the Disclosing Party) may each provide the other
party (as to information received, the Receiving Party) with Confidential Information in connection with
this Contract. Confidential Information means information that is designated in writing as
confidential or proprietary by Disclosing Party at the time of written disclosure. In addition, prices
for Products and/or Services shall be considered Sellers Confidential Information.
6.2 Receiving Party agrees: (i) to use the Confidential Information only in connection with the Contract
and use of Products and/or Services, (ii) to take reasonable measures to prevent disclosure of the
Confidential Information to third parties, and (iii) not to disclose the Confidential Information to a
competitor of Disclosing Party. Notwithstanding these restrictions, (a) Seller may disclose Confidential
Information to its affiliates and subcontractors in connection with performance of the Contract, (b) a
Receiving Party may disclose Confidential Information to its auditors, (c) Buyer may disclose Confidential
Information to lenders as necessary for Buyer to secure or retain financing needed to perform its
obligations under the Contract, and (d) a Receiving Party may disclose Confidential Information to any
other third party with the prior written permission of Disclosing Party, and in each case, only so long as
the Receiving Party obtains a non-disclosure commitment from any such subcontractors, auditors,
lenders or other permitted third party that prohibits disclosure of the Confidential Information and
provided further that the Receiving Party remains responsible for any unauthorized use or disclosure of
the Confidential Information. Receiving Party shall upon request return to Disclosing Party or destroy
all copies of Confidential Information except to the extent that a specific provision of the Contract

entitles Receiving Party to retain an item of Confidential Information. Seller may also retain one archive
copy of Buyers Confidential Information.
6.3 The obligations under this Article 6 shall not apply to any portion of the Confidential Information
that: (i) is or becomes generally available to the public other than as a result of disclosure by Receiving
Party, its representatives or its affiliates; (ii) is or becomes available to Receiving Party on a non-
confidential basis from a source other than Disclosing Party when the source is not, to the best of
Receiving Partys knowledge, subject to a confidentiality obligation to Disclosing Party; (iii) is
independently developed by Receiving Party, its representatives or affiliates, without reference to the
Confidential Information; (iv) is required to be disclosed by law or valid legal process provided that the
Receiving Party intending to make disclosure in response to such requirements or process shall
promptly notify the Disclosing Party in advance of such disclosure and reasonably cooperate in
attempts to maintain the confidentiality of the Confidential Information.
6.4 Each Disclosing Party warrants that it has the right to disclose the information that it discloses.
Neither Buyer nor Seller shall make any public announcement about the Contract without prior written
approval of the other party. As to any individual item of Confidential Information, the restrictions under
this Article 6 shall expire five (5) years after the date of disclosure. Article 6 does not supersede any
separate confidentiality or nondisclosure agreement signed by the parties.

7. Intellectual Property
7.1 Seller shall defend and indemnify Buyer against any claim by a non-affiliated third party (a Claim)
alleging that Products and/or Services furnished under this Contract infringe a patent in effect in the
U.S., an EU member state or the country of the Site (provided there is a corresponding patent issued by
the U.S. or an EU member state), or any copyright or trademark registered in the country of the Site,
provided that Buyer (a) promptly notifies Seller in writing of the Claim, (b) makes no admission of liability
and does not take any position adverse to Seller, (c) gives Seller sole authority to control defense and
settlement of the Claim, and (d) provides Seller with full disclosure and reasonable assistance as
required to defend the Claim.
7.2 Section 7.1 shall not apply and Seller shall have no obligation or liability with respect to any Claim
based upon (a) Products and/or Services that have been modified, or revised, (b) the combination of
any Products and/or Services with other products and/or services when such combination is a basis of
the alleged infringement, (c) failure of Buyer to implement any update provided by Seller that would
have prevented the Claim, (d) unauthorized use of Products and/or Services, or (e) Products and/or
Services made or performed to Buyers specifications.
7.3 Should any Product and/or Service, or any portion thereof, become the subject of a Claim, Seller
may at its option (a) procure for Buyer the right to continue using the Product and/or Service, or
applicable portion thereof, (b) modify or replace it in whole or in part to make it non-infringing, or (c)
failing (a) or (b), take back infringing Products and/or discontinue infringing Services and refund the price
received by Seller attributable to the infringing Products and/or Services.
7.4 Article 7 states Sellers exclusive liability for intellectual property infringement by Products and/or
Services.
7.5 Each party shall retain ownership of all Confidential Information and intellectual property it had
prior to the Contract. All rights in and to software not expressly granted to Buyer are reserved by Seller.
All new intellectual property conceived or created by Seller in the performance of this Contract, whether
alone or with any contribution from Buyer, shall be owned exclusively by Seller. Buyer agrees to deliver
assignment documentation as necessary to achieve that result.

8. Indemnity

Each of Buyer and Seller (as an Indemnifying Party) shall indemnify the other party (as an Indemnified
Party) from and against claims brought by a third party, on account of personal injury or damage to
the third partys tangible property, to the extent caused by the negligence of the Indemnifying Party in
connection with this Contract. In the event the injury or damage is caused by joint or concurrent
negligence of Buyer and Seller, the loss or expense shall be borne by each party in proportion to its
degree of negligence. For purposes of Sellers indemnity obligation, no part of the Products or Site is
considered third party property.

9. Insurance
During the term of the Contract, Seller shall maintain for its protection the following insurance coverage:
(i) Workers Compensation, Employers Liability and other statutory insurance required by law with
respect to work related injuries or disease of employees of Seller in such form(s) and amount(s) as
required by applicable laws; (ii) Automobile Liability insurance with a combined single limit of
$2,500,000.00; and (iii) Commercial General Liability or Public Liability insurance for bodily injury and
property damage with a combined single limit of $2,500,000.00. If required in the Contract, Seller shall
provide a certificate of insurance reflecting such coverage.

10. Schedule and Excusable Events


10.1 Any durations or periods of time quoted on the schedule or otherwise agreed for performance,
delivery and/or completion of the Services or delivery of Products shall be regarded as estimated only.
In addition, delivery times are dependent upon prompt receipt by Seller of all information necessary to
proceed with the work without interruption. In the event Seller agrees in writing to guaranteed
performance, delivery and/or completion times and specific sums as liquidated damages for late
performance, delivery or completion, any such liability for damages shall only commence when the
period of delay exceeds the guaranteed date or time by 14 (fourteen) calendar days and liquidated
damages may be applied and be levied only from that 14th day onwards. Payment of liquidated
damages shall be in full and final settlement of any and all liability of the Seller for delays under the
Contract and shall be Buyers sole and exclusive remedy for failing to achieve the performance, delivery
and/or completion guarantee. The Sellers maximum aggregate liability for liquidated damages for
delay shall in no circumstances exceed 5% (five per cent) of the total amount of the Contract Price paid
to the Seller.
10.2 Seller shall not be liable and shall not be considered in breach of any obligations to supply
manpower, deliver Products or to perform, deliver or complete the Services or any parts thereof within
specified durations or periods or by a specified time) if it is delayed or prevented, directly or indirectly,
by any cause beyond its reasonable control, or by armed conflict, acts or threats of terrorism, epidemics,
strikes or other labor disturbances, or acts or omissions of any governmental authority or of the Buyer
or Buyers contractors or suppliers or for any period of suspension under Section 11.3. If any such cause
or excusable event occurs, the schedule for Sellers performance shall be adjusted accordingly and
dates or times stated in the schedule for performance and/or completion of the Services shall be
extended by the amount of time lost by reason of the event plus such additional time as may be needed
to overcome the effect of the event. If acts or omissions of the Buyer or its contractors or suppliers
cause the delay, Seller shall also be entitled to an equitable price adjustment.

11. Termination and Suspension


11.1 Buyer may terminate the Contract (or the portion affected) for cause if Seller (i) becomes

Insolvent/Bankrupt, or (ii) commits a material breach of the Contract which does not otherwise have a
specified contractual remedy, provided that: (a) Buyer shall first provide Seller with detailed written
notice of the breach and of Buyers intention to terminate the Contract, and (b) Seller shall have failed,
within 30 days after receipt of the notice, to commence and diligently pursue cure of the breach.
11.2 If Buyer terminates the Contract pursuant to Section 11.1, (i) Seller shall reimburse Buyer the
difference between that portion of the Contract Price allocable to the terminated scope and the actual
amounts reasonably incurred by Buyer to complete that scope, and (ii) Buyer shall pay to Seller (a) the
portion of the Contract Price allocable to Products and/or Services completed, (b) lease fees incurred,
and (c) amounts for Services performed before the effective date of termination. The amount due for
Services shall be determined in accordance with the milestone schedule (for completed milestones) and
rates set forth in the Contract (for work toward milestones not yet achieved and where there is no
milestone schedule), as applicable or, where there are no milestones and/or rates in the Contract, at
Sellers then-current standard time and material rates.
11.3 Seller may suspend or terminate the Contract (or any affected portion thereof) immediately for
cause if Buyer (i) becomes Insolvent/Bankrupt, or (ii) materially breaches the Contract, including, but not
limited to, failure or delay in Buyer providing Payment Security, making any payment when due, or
fulfilling any payment conditions.
11.4 If the Contract (or any portion thereof) is terminated for any reason other than Sellers default
under Section 11.1, Buyer shall pay Seller for all Products completed, lease fees incurred and Services
performed before the effective date of termination, plus expenses reasonably incurred by Seller in
connection with the termination. The amount due for Services shall be determined in accordance with
the milestone schedule (for completed milestones) and rates set forth in the Contract (for work toward
milestones not yet achieved and where there is no milestone schedule), as applicable or, where there
are no milestones and/or rates in the Contract, at Sellers then-current standard time and material rates.
In addition, Buyer shall pay Seller a cancellation charge equal to 80% of the Contract Price applicable
to uncompleted made-to-order Products and/or Services and 15% of the Contract Price applicable to
all other uncompleted Products and/or Services.
11.5 Either Buyer or Seller may terminate the Contract (or the portion affected) upon twenty (20) days
advance notice if there is an excusable event (as described in Article 10) lasting longer than one
hundred and twenty (120) days. In such case, Buyer shall pay to Seller amounts payable under Section
11.4, excluding the cancellation charge for uncompleted Products and/or Services.
11.6 Buyer shall pay all reasonable expenses incurred by Seller in connection with a suspension,
including, but not limited to, expenses for repossession, fee collection, demobilization/remobilization,
and costs of storage during suspension. The schedule for Sellers obligations shall be extended for a
period of time reasonably necessary to overcome the effects of any suspension.
12. Compliance with Laws, Codes and Standards
12.1 Seller shall comply with laws applicable to the manufacture of Products and its performance of
Services. Buyer shall comply with laws applicable to the application, operation, use and disposal of the
Products and Services.
12.2 Sellers obligations are conditioned upon Buyers compliance with all U.S., EU and other applicable
trade control laws and regulations. Buyer shall not trans-ship, re-export, divert or direct or otherwise
make or allow any disposition of Products other than in and to the ultimate country of destination
declared by Buyer and specified as the country of ultimate destination on Sellers invoice. Buyer hereby
certifies that the equipment, materials, services, technical data, software or other information or
assistance furnished by Seller under this Contract will not be used in the design, development,

production, stockpiling or use of chemical, biological, or nuclear weapons either by Buyer or by any
entity acting on Buyers behalf.
12.3 Notwithstanding any other provision, Buyer shall timely obtain, effectuate and maintain in force
any required permit, license, exemption, filing, registration and other authorization, including, but not
limited to, building and environmental permits, import licenses, environmental impact assessments, and
foreign exchange authorizations, required for the lawful performance of Services at the Site or
fulfillment of Buyers obligations, except that Seller shall obtain any license or registration necessary for
Seller to generally conduct business and visas or work permits, if any, necessary for Sellers personnel.
Buyer shall provide reasonable assistance to Seller in obtaining such visas and work permits.
13. Environmental, Health and Safety Matters
13.1 Buyer shall maintain safe working conditions at the Site, including, without limitation,
implementing appropriate procedures regarding Hazardous Materials, confined space entry, and
energization and de-energization of power systems (electrical, mechanical and hydraulic) using safe
and effective lock-out/tag-out (LOTO) procedures including physical LOTO or a mutually agreed upon
alternative method.
13.2 Buyer shall timely advise Seller in writing of all applicable Site-specific health, safety, security and
environmental requirements and procedures. Without limiting Buyers responsibilities under Article 13,
Seller has the right but not the obligation to, from time to time, review and inspect applicable health,
safety, security and environmental documentation, procedures and conditions at the Site.
13.3 If, in Sellers reasonable opinion, the health, safety, or security of personnel or the Site is, or is apt
to be, imperiled by security risks, terrorist acts or threats, the presence of or threat of exposure to
Hazardous Materials, or unsafe working conditions, Seller may, in addition to other rights or remedies
available to it, evacuate some or all of its personnel from Site, suspend performance of all or any part
of the Contract, and/or remotely perform or supervise work. Any such occurrence shall be considered
an excusable event. Buyer shall reasonably assist in any such evacuation.
13.4 Operation of Buyers equipment is the responsibility of Buyer. Buyer shall not require or permit
Sellers personnel to operate Buyers equipment at Site.
13.5 Buyer will make its Site medical facilities and resources available to Seller personnel who need
medical attention.
13.6 Seller has no responsibility or liability for the pre-existing condition of Buyers equipment or the
Site. Prior to Seller starting any work at Site, Buyer will provide documentation that identifies the
presence and condition of any Hazardous Materials existing in or about Buyers equipment or the Site
that Seller may encounter while performing under this Contract. Buyer shall disclose to Seller industrial
hygiene and environmental monitoring data regarding conditions that may affect Sellers work or
personnel at the Site. Buyer shall keep Seller informed of changes in any such conditions.
13.7 Seller shall notify Buyer if Seller becomes aware of: (i) conditions at the Site differing materially
from those disclosed by Buyer, or (ii) previously unknown physical conditions at Site differing materially
from those ordinarily encountered and generally recognized as inherent in work of the character
provided for in the Contract. If any such conditions cause an increase in Seller's cost of, or the time
required for, performance of any part of the work under the Contract, an equitable adjustment in price
and schedule shall be made.
13.8 If Seller encounters Hazardous Materials in Buyers equipment or at the Site that require special
handling or disposal, Seller is not obligated to continue work affected by the hazardous conditions. In
such an event, Buyer shall eliminate the hazardous conditions in accordance with applicable laws and
regulations so that Sellers work under the Contract may safely proceed, and Seller shall be entitled to
an equitable adjustment of the price and schedule to compensate for any increase in Sellers cost of, or

time required for, performance of any part of the work. Buyer shall properly store, transport and dispose
of all Hazardous Materials introduced, produced or generated in the course of Sellers work at the Site.
13.9 Buyer shall indemnify Seller for any and all claims, damages, losses, and expenses arising out of
or relating to any Hazardous Materials which are or were (i) present in or about Buyers equipment or
the Site prior to the commencement of Sellers work, (ii) improperly handled or disposed of by Buyer or
Buyers employees, agents, contractors or subcontractors, or (iii) brought, generated, produced or
released on Site by parties other than Seller.

14. Changes
14.1 Each party may at any time propose changes in the schedule or scope of Products and/or Services.
Seller is not obligated to proceed with any change until both parties agree upon such change in writing.
The written change documentation will describe the changes in scope and schedule, and the resulting
changes in price and other provisions, as agreed.
14.2 The scope, Contract Price, schedule, and other provisions will be equitably adjusted to reflect
additional costs or obligations incurred by Seller resulting from a change, after Sellers proposal date, in
Buyers Site-specific requirements or procedures, or in industry specifications, codes, standards,
applicable laws or regulations. Unless otherwise agreed by the parties, pricing for additional work
arising from such changes shall be at Sellers time and material rates.
14.3 It shall be acceptable and not considered a change if Seller delivers a Product that bears a
different, superseding or new part or version number compared to the part or version number listed in
the Contract.

15. Limitations of Liability


15.1 To the maximum extent permitted by applicable law, the total liability of Seller for all claims arising
from or related to the formation, performance or breach of this Contract, or provision of any Products
and/or Services, shall not exceed the (i) Contract Price, or (ii) if Buyer places multiple order(s) under the
Contract, the price of each particular order for all claims arising from or related to that order and ten
thousand USD (US $10,000) for all claims not part of any particular order.
15.2 Seller shall not be liable for loss of profit or revenues, loss of use of equipment or systems,
interruption of business, cost of replacement power, cost of capital, downtime costs, increased
operating costs, any special, consequential, incidental, indirect, or punitive damages, or claims of
Buyers customers for any of the foregoing types of damages.
15.3 All Seller liability shall end upon expiration of the applicable warranty period, provided that Buyer
may continue to enforce a claim for which it has given notice prior to that date by commencing an
action or arbitration, as applicable under this Contract, before expiration of any statute of limitations or
other legal time limitation but in no event later than one year after expiration of such warranty period.
15.4 Seller shall not be liable for advice or assistance that is not required for the work scope under this
Contract.
15.5 If Buyer is supplying Products and/or Services to a third party, or using Products and/or Services
at a facility owned by a third party, Buyer shall either (i) indemnify and defend Seller from and against
any and all claims by, and liability to, any such third party in excess of the limitations set forth in this
Article 15, or (ii) require that the third party agree, for the benefit of and enforceable by Seller, to be
bound by all the limitations included in this Article 15.
15.6 For purposes of this Article 15, the term Seller means Seller, its affiliates, subcontractors and

suppliers of any tier, and their respective employees. The limitations in this Article 15 shall apply
regardless of whether a claim is based in contract, negligence, statute, indemnity, tortious/extra-
contractual liability theory, strict liability or otherwise.

16. Governing Law and Dispute Resolution


16.1 This Contract shall be governed by and construed in accordance with the laws of (i) the State of
New York if Buyers place of business is in the U.S. or (ii) England and Wales, if the Buyers place of
business is outside the U.S., in either case without giving effect to any choice of law rules that would
cause the application of laws of any other jurisdiction (the Governing Law).
16.2 All disputes and, to the maximum extent permitted by applicable law, all non-contractual
obligations arising in any way whatsoever out of or in connection with this Contract arising in
connection with this Contract, including any question regarding its existence or validity, shall be
resolved in accordance with this Article 16. If a dispute is not resolved by negotiations, either party may,
by giving written notice, refer the dispute to a meeting of appropriate higher management, to be held
within twenty (20) business days after the giving of notice. If the dispute is not resolved within thirty (30)
business days after the giving of notice, or such later date as may be mutually agreed, either party may
commence arbitration or court proceedings, depending upon the location of the Buyer, in accordance
with one of the following:
(a) if the Buyers pertinent place of business is in the U.S., legal action shall be commenced in federal
court with jurisdiction applicable to, or state court located in, either New York, New York (and Buyer
hereby consents to be subject to such New York federal and state jurisdiction) or the location of Buyers
principal place of business; or
(b) if the Buyers pertinent place of business is outside the U.S., the dispute shall be submitted to and
finally resolved under the Rules of Arbitration of the International Chamber of Commerce by one or
more arbitrators appointed in accordance with the said Rules (the Rules). The seat of arbitration shall
be in London, England. The arbitration shall be conducted in English. The decision of the arbitrators
shall be final and binding upon the parties.
16.3 Notwithstanding the foregoing, each party shall have the right at any time, at its option and where
legally available, to commence an action or proceeding in a court of competent jurisdiction, subject to
the terms of this Contract, to seek a restraining order, injunction, or similar order (but not monetary
damages), or to seek interim or conservatory measures.

17. Inspection and Factory Tests


Seller will apply its normal quality control procedures in manufacturing Products. Seller shall attempt
to accommodate requests by Buyer to witness Sellers factory tests of Products, subject to appropriate
access restrictions, if such witnessing can be arranged without delaying the work.

18. Software, Leased Equipment, Remote Diagnostic Services, PCB Services


If Seller provides any software to Buyer, the Software License Addendum shall apply. If Seller leases
any of Sellers equipment or provides related Services to Buyer, including placing Sellers equipment at
Buyers site to provide remote Services, the Lease Addendum shall apply. If Seller provides remote
diagnostic services to Buyer, the Remote Diagnostic Services Addendum shall apply. If Seller provides
PCB Services to Buyer, the PCB Services Addendum shall apply. If there is any conflict between these
Products and/or Services Terms and Conditions and the terms of any addendum incorporated
pursuant to this Article 18, the terms of the addendum shall take precedence with respect to the
applicable scope.

19. General Clauses
19.1 Products and Services sold by Seller are not intended, in whole or in part, for application (and will
not be used) in connection with or nearby any nuclear facility or activity, and Buyer warrants that it shall
not use or permit others to use Products and/or Services for any such purposes, without the advance
written consent of Seller.
19.2 Seller may assign or novate its rights and obligations under the Contract, in whole or in part, to
any of its affiliates or may assign any of its accounts receivable under this Contract to any party without
Buyers consent. Buyer agrees to execute any documents that may be necessary to complete Sellers
assignment or novation. Seller may subcontract portions of the work, so long as Seller remains
responsible for it. The delegation or assignment by Buyer of any or all of its rights or obligations under
the Contract without Sellers prior written consent (which consent shall not be unreasonably withheld)
shall be void.
19.3 Buyer shall notify Seller immediately upon any change in ownership of more than fifty percent
(50%) of Buyer's voting rights or of any controlling interest in Buyer. If Buyer fails to do so or Seller
objects to the change, Seller may (a) terminate the Contract, (b) require Buyer to provide adequate
assurance of performance (including but not limited to payment), and/or (c) put in place special controls
regarding Sellers Confidential Information.
19.4 If any Contract provision is found to be void or unenforceable, the remainder of the Contract shall
not be affected. The parties will endeavor to replace any such void or unenforceable provision with a
new provision that achieves substantially the same practical and economic effect and is valid and
enforceable.
19.5 The following Articles shall survive termination or cancellation of the Contract: 2, 3, 4, 5, 6, 7, 8, 10,
11, 12, 13, 15, 16, 18, 19 and 20.
19.6 The Contract represents the entire agreement between the parties. No oral or written
representation or warranty not contained in this Contract shall be binding on either party. Buyers and
Sellers rights, remedies and obligations arising from or related to Products and/or Services sold under
this Contract are limited to the rights, remedies and obligations stated in this Contract. No modification,
amendment, rescission or waiver shall be binding on either party unless agreed in writing.
19.7 Except as provided in Article 15 (Limitations of Liability), this Contract is only for the benefit of the
parties and not for any third parties.
19.8 This Contract may be signed in multiple counterparts that together shall constitute one agreement.

20. U.S. Government Contracts


20.1 This Article 20 applies only if the Contract is for the direct or indirect sale to any agency of the U.S.
government and/or is funded in whole or in part by any agency of the U.S. government.
20.2 Buyer agrees that all Products and/or Services provided by Seller meet the definition of
commercial-off-the-shelf (COTS) or commercial item as those terms are defined in Federal
Acquisition Regulation (FAR) 2.101. To the extent the Buy American Act, Trade Agreements Act, or
other domestic preference requirements are applicable to this Contract, the country of origin of
Products is unknown unless otherwise specifically stated by Seller in this Contract. Buyer agrees any
Services offered by Seller are exempt from the Service Contract Act of 1965 (FAR 52.222-41). Buyer
represents and agrees that this Contract is not funded in whole or in part by American Recovery
Reinvestment Act funds unless otherwise specifically stated in the Contract. The version of any
applicable FAR clause listed in this Article 20 shall be the one in effect on the effective date of this

20.3 If Buyer is an agency of the U.S. Government, then as permitted by FAR 12.302, Buyer agrees that
all paragraphs of FAR 52.212-4 (except those listed in 12.302(b)) are replaced with these Terms and
Conditions. Buyer further agrees the subparagraphs of FAR 52.212-5 apply only to the extent applicable
for sale of COTS and/or commercial items and as appropriate for the Contract Price.
20.4 If Buyer is procuring the Products and/or Services as a contractor, or subcontractor at any tier, on
behalf of any agency of the U.S. Government, then Buyer agrees that FAR 52.212-5(e) or 52.244-6
(whichever is applicable) applies only to the extent applicable for sale of COTS and/or commercial items
and as appropriate for the Contract Price.

NOTICE: This Addendum incorporates by reference the PRODUCTS AND/OR SERVICES TERMS AND CONDITIONS (PSTC), and
includes the following additional provisions. In the event of any conflict between this Addendum and the PRODUCTS
AND/OR SERVICES TERMS AND CONDITIONS (PSTC), the Addendum shall take precedence

1. Definitions.
Derivative Works includes: (a) any work based upon one or more pre-existing works, such as a
revision, enhancement, modification, translation, abridgement, condensation, expansion, extension or
any other form in which such pre-existing works may be published, recast, transformed, or adapted, and
that, if prepared without the authorization of the owner of the copyright or other intellectual property
right to such pre-existing works, would constitute an infringement of such copyright or other intellectual
property right, and/or (b) any compilation that incorporates such pre-existing works. For Software,
Documentation, and Third- Party Software (as defined below), Derivative Works also includes any and
all corrections, bug fixes, and updates to the Software, Documentation, Third-Party Software, and
Derivative Works, but does not include any Licensee or Licensee-funded third party developments,
provided such developments only make calls of the Software, Third- Party Software or Derivative
Works thereof or object requests that reference or cause execution of the base Software, Third-Party
Software, and/or Derivative Works thereof.
Documentation means all material, including all printed material and on-line or electronic
documentation (excluding training materials), referencing the Software and/or Third-Party Software
provided under this License.
License means this Software License Addendum to Terms and Conditions together with any
modifications or additional provisions specifically stated in Licensors final quotation or specifically
agreed upon by Licensor in writing.
Licensee means Buyer as that term is defined in the Terms and Conditions.
Licensor means Seller as that term is defined in the Terms and Conditions.
"Site" means the Licensee premises for which Licensor is providing Software, Documentation and/or
Third-Party Software.
Software means Licensors proprietary computer software and software security devices owned and
provided by Licensor under this License.
Terms and Conditions means Licensors Products and/or Services Terms and Conditions to which this
License is attached.
Third-Party Software means any proprietary computer software owned by a third party that Licensor
may provide to Licensee under this License.

2. License Grant.
2.1 Subject to the terms of this License, Licensor hereby grants to Licensee a limited, personal non-
transferrable and non-exclusive license to use Software (in object code) and Documentation, including
upgraded, modified or enhanced versions provided by Licensor, and to use Third-Party Software (in
object code), all for Licensees internal business purposes only.

2.2 Licensee has no right to (i) lease, rent, transfer, distribute, sublicense, timeshare, or allow third parties
to access Software, Documentation, or Third-Party Software, nor assign any rights hereunder to a third
party without Licensors prior written agreement; (ii) prepare Derivative Works from, alter, modify,
disassemble, decompile, reverse engineer, or otherwise attempt to reconstruct or discover the object
or source code of the Software or Third-Party Software; (iii) pledge Software, Documentation or Third-
Party Software either as a stand-alone product or embedded in any hardware, software, equipment,
machines or the like, as collateral or otherwise, or encumber such Software, Documentation or Third-
Party Software with any lien or security interest; or (iv) remove any product identification, copyright,
trademark, or other notice from Software, Documentation or Third-Party Software. If Licensee believes
that it is entitled to reverse engineer Software as a matter of local law (e.g., the Council Directive of May
14, 1991, of the Council of the European Communities, as amended), Licensee agrees that it shall first
inform Licensor about such intent and request technical information from Licensor. Licensee shall use
any technical information delivered by Licensor only for purposes of ensuring interoperability and
compatibility and shall treat such technical information as Proprietary Information (defined below). Any
reverse engineering of Software shall void any warranties or indemnification obligations of Licensor
and shall automatically release Licensor from any obligation to provide support services under this
License or any separate agreement.

2.3 Certain components of the Software Licensor provides to Licensee may contain Third-Party Software,
including open source software. Use of Third-Party Software and its source code may be governed by
separate copyright notices and license provisions, which may be found or identified in Documentation
or on the media delivered with Software and which are incorporated by reference into this License.
Licensee shall not modify or combine Software and/or any Third-Party Software in any manner that
could cause, or could be interpreted or asserted to cause, Software or any such combination or
modifications thereto to become subject to the terms of any license applicable to software of third
parties (including Third-Party Software). Licensee agrees that it is solely responsible for ensuring and
confirming that any of its Software combinations and/or modifications are not subject to the terms of
any Third-Party Software licenses. All Third-Party Software provided hereunder is bundled with Products
and licensed for use with Products only.

2.4 Unless otherwise agreed to by Licensor in writing or specified in an Exhibit attached hereto, Licensee
may only install and use/run a single copy of Software and Third-Party Software on a single computer
workstation for use by a single user.

2.5 Licensee may make one (1) copy of Software, Documentation, and Third-Party Software for backup
purposes only. Licensee must reproduce and include all proprietary rights and copyright notices on any
backup copies. Except as authorized under this License, no copies of Software, Documentation, or Third-
Party Software may be made by Licensee or any third party; provided, however, Licensee may print on-
line Software Documentation for its own internal use, provided the maximum number of copies printed
may not exceed the number of users licensed hereunder (if the License is provided based on number of
users).

3. Support Services; Upgrades.


This License does not obligate Licensor to provide maintenance or support on any Software or Third-
Party Software licensed hereunder. Support services are available under separate agreement. If

Software is an upgrade of a previous version (provided such upgrade was obtained under a separate

support services agreement with Licensor or a Licensor authorized distributor), Licensee may use the
upgraded Software only in accordance with this License.

4. Verification.
During the term of this License and for three years thereafter, Licensor may upon reasonable notice
require that an independent audit of the use of Software and Third-Party Software be conducted during
Licensees normal business hours. Upon such notice, Licensee shall provide Licensors independent
auditor site access and the right to inspect relevant portions of Licensees computer system on which
Software and Third-Party Software resides. Licensee agrees to pay promptly: (a) all underpaid license
fees and (b) if the underpayment is more than 5% of the license fees paid before audit, all audit costs
and expenses.

5. Term and Termination.


5.1 Software, Documentation, and Third-Party Software shall be considered accepted by Licensee upon
receipt.
5.2 This License is effective until terminated. Licensor may terminate this License immediately if Licensee
fails to comply with any of the terms and conditions herein. The license for any Software or Third-Party
Software provided with leased equipment shall terminate concurrently with termination of the lease.
Upon termination, Licensee shall (a) cease using Software, Documentation, and Third-Party Software
and (b) certify to Licensor within 14 days of the termination that Licensee has destroyed or returned to
Licensor Software, Documentation, and Third-Party Software, and all copies thereof.

6. Ownership.
6.1 All Software, Documentation, and Third-Party Software are licensed and not sold. Licensee agrees
that Licensor and/or its suppliers own or have rights to all proprietary rights, including any patent,
copyright, trade secret, trademark, and other proprietary rights, in and to Software, Documentation, and
Third-Party Software, including any Derivative Works thereof regardless of the source of development,
including cases where Licensee engages a third party to perform such development, and any
corrections, bug fixes, and updates to such Software, Documentation, Third-Party Software, or
Derivative Works.

6.2 To the extent that any Derivative Works of Licensors proprietary Software or of Third-Party Software
supplied by Licensor are developed, Licensee hereby (a) agrees that the intellectual property rights to
such Derivative Works are automatically vested in Licensor (or its affiliates, in Licensors sole discretion)
or in the owner of Third-Party Software, as applicable, and may be used by Licensor (or the owner of any
Third-Party Software Derivative Works) without limitation and without any obligation to Licensee on
behalf of Licensor and/or such other relevant owner; (b) irrevocably transfers and assigns to Licensor (or
its affiliates) or to the owner of Third-Party Software, as applicable, all intellectual property rights, moral
rights, title, and interest throughout the world in and to any such Derivative Works, including all rights in
and to any inventions and designs embodied in such Derivative Works or its associated technology and
to those Derivative Works described in subparagraph 6.2(a) that are not automatically vested in Licensor
(or its affiliates) or the owner of Third-Party Software, as applicable, for the entire duration of protection

of such intellectual property rights; (c) agrees and forever waives any right to assert any claim contrary
to (a) and (b) in this Article 6.2; and (d) agrees to take all steps necessary to fulfil the requirements as set
forth in this Article 6.2 for any such Derivative Works whether developed by Licensee or by any third
party under Licensees direction. If, by operation of law, such rights are not automatically transferred
and assigned as provided above, Licensee shall timely execute and deliver such instruments and take
such other action as may be requested by Licensor to perfect and protect Licensors (or Third-Party
Software owners) rights in any Derivative Works and to carry out, at no cost to GE, the assignments
effected by this Article 6 to the maximum extent permitted by applicable law.

6.3 Notwithstanding the foregoing, Licensor grants Licensee a limited right to use license to any
Derivative Works for Licensees internal business purposes only subject to the same terms and
conditions that apply to Software, Documentation, or Third-Party Software under Article 2 herein.
6.4 For the purposes of Article 6, the term Licensor shall mean Licensor, its affiliates, and their
successors or assigns.

7. Warranties.
7.1 Licensor warrants, for Licensees benefit alone, that under normal use, the media in which Software
is embedded shall be free from defects in material and workmanship, for a period of ninety (90) days
from the date of delivery of the original Software (Warranty Period). Licensor also warrants, for
Licensees benefit alone, that during the Warranty Period, Software will perform substantially in
accordance with its Documentation.

7.2 If, during the Warranty Period, an Error occurs (where Error is defined as a problem caused by an
incorrect operation of the unmodified computer code in Software or an incorrect statement or diagram
in Documentation that produces incorrect results), Licensor will use commercially reasonable efforts to
correct such Error, provided Licensee furnishes Licensor with the following: (a) written notice of the Error,
including a description of the failure to perform in accordance with Documentation and a specific
description of the operating conditions (including the specific software/hardware configuration) under
which the Error occurred, and (b) to the extent feasible, a representative sample of inputs for repeating
and analyzing the Error. Licensor will correct the Error or if, after commercially reasonable efforts,
Licensor is unable to correct the Error, Licensees sole remedy shall be termination of this License and a
refund of the license fees allocable to the specific non-conforming Software that have been paid by
Licensee to Licensor hereunder.

7.3 Article 7 provides the exclusive remedies for all claims based upon any failure of, or error or defect
in, Software and Documentation, whether the claim is based in contract, negligence, statute, or any
tortious/extra-contractual liability theory, strict liability, or otherwise. The warranties provided in this
Article 7 are exclusive and are in lieu of all other warranties, conditions, and guarantees whether written,
oral, implied or statutory. NO IMPLIED OR STATUTORY WARRANTY, OR WARRANTY OR CONDITION OF
MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE APPLIES. WITHOUT LIMITING THE
FOREGOING, LICENSOR DOES NOT WARRANT THAT THE SOFTWARE OR DOCUMENTATION (OR LICENSEES
USE THEREOF) WILL BE FREE FROM ALL ERRORS OR ITS USE WILL BE UNINTERRUPTED.

7.4 Any remedial steps taken by Licensor hereunder shall not extend or renew the applicable Warranty
Period.

7.5 Except as expressly authorized by Licensor in writing, all Third-Party Software shall carry only the
warranties provided by the owners thereof and Licensor gives no warranties for such Third-Party
Software.

8. Proprietary Information; Equitable Relief.


8.1 All information concerning or embedded in Software (including source code, object code and training
materials), Documentation, and Third-Party Software is the property of Licensor (or its suppliers) and will
constitute Licensors (or its suppliers) proprietary information (Proprietary Information) without any
additional designation. Proprietary Information includes commercially valuable, substantial trade
secrets, the design and development of which reflect the effort of skilled development experts and
investment of considerable amounts of time and money.

8.2 Licensee acknowledges: (a) any use of Software, Documentation, or Third-Party Software in a manner
inconsistent with this License or (b) any other misuse of Proprietary Information of Licensor (or its
suppliers), will cause immediate irreparable harm to Licensor (or its suppliers) for which there is no
adequate remedy at law. Licensee agrees that Licensor (or its suppliers) shall be entitled to immediate
and permanent injunctive relief from a court of competent jurisdiction for any such misuse or threatened
misuse by Licensee. The parties agree and stipulate that Licensor shall be entitled to such injunctive
relief without posting of a bond or other security.

8.3 The confidentiality obligations set forth in the Terms and Conditions with respect to items of
Confidential Information shall expire, with respect to Software and Documentation, five years after
termination of this License.

8.4 Notwithstanding anything to the contrary, Licensee hereby grants to Licensor a non-terminable,
non-exclusive, perpetual, royalty-free, worldwide right and license to access, collect, store and use all
data and information concerning parts, power generation and balance of plant equipment and Site
operation and performance (the Data) so long as Licensor does not disclose to any party not a Licensor
affiliate the identification of Licensee in connection with a particular item of Data. For purposes of clarity,
such use may be for research and development purposes, in the aggregate, for statistical and other
analysis for commercial use, or for other lawful purposes. Licensor's rights under this Section 8.4 include
the right to interface directly to the Licensees facility distributed control system and to utilize a
dedicated network or internet connection or telephone line.

8.5. Upon request, Licensee agrees to provide Licensor with a signed copy of this License.

ATTACHMENT C SOLUTION EXECUTION

GE will build and deploy appropriate models for each of the units and assets defined in Section
2 herein. Below is a summary of the key deployment phases.

Phase 1 - ITO Pre-Project contains all the activities leading up to a signed contract.

Phase 2 - Project Initiation encompasses all the internal activities to get the GE team and
partners prepared and ready for XXX Kick-Off activity in the Project Planning phase. In this
phase, the GE project team will walk through the XXX project scope, and get any necessary
logistics and requisitions in motion. GE will initiate any lengthy lead-time activities to facilitate
a timely execution of the project.

Phase 3 - Project Planning


The GE Project Team will hold a Project Kick-Off meeting with XXX. The primary attendees
should include the corporate level stakeholders, along with some upper level management
from each of the sites in scope, and as much site information as possible should be gathered
during the Project Kick-off. The main objective of the meeting is to provide the key decision
makers with an agreed-upon high-level XXX Master Plan with a skeletal structure of the site
implementation plan.

Project Planning activities:


Establish process for risk management and contingency planning;
Establish Project reporting structure;
Establish Program Progress Report Design.
Develop Communication Plan
Develop Project Schedule

Phase 4 Site Execution


Once the XXX has approved the management master plan, the focus of the GE
implementation team is to make the site available to the XXX. Site execution represents the
bulk of the deployment time, and much of this activity focuses on establishing site
connectivity, ingesting data, verifying the data, ensuring software environments are available
to the users, and validating that the system performs as expected.

4.1 Site Initiation & Planning


Site Initiation & Planning is the initial phase of the site level execution. Site Initiation, like the
Project Initiation, is an internal activity to get the GE team prepared and ready for the overall
Site project. Any requisitions or system readiness activities are initiated during this phase with
all available XXX information. In addition to the Site Project readiness, the GE software
environments will be validated, and ready for software installation at the end of this phase.

4.2 Data Preparation and Integration


After the XXX site kick-off, the Data Preparation and Integration will follow, and include
assessment of site-to-GE connectivity readiness and installation of necessary hardware and
software for data acquisition and ingestion into the Predix platform. A majority of the work in
this phase is executed in parallel with development of the Engineering Tag List (4.3.1) activity -
in the SW Config & Release phase. This will facilitate the use of the Engineering Tag List (ETL)
during the configuration and commissioning activity (4.2.3).

GE will ensure that any site-specific hardware needs (e.g. OSM (Edge) devices, BOP data
integration) are in place, and that the necessary software is installed in the XXX environment.
GE will configure the tags between XXX data/sensor interfaces and the GE edge device, utilizing
GE Power g
a working draft of the Engineering Tag List. The list defines the XXX data to be ingested into
the GE Predix Platform, and the tag name where to assign the XXX data in the GE Central
Historian.
4.3 Software Configuration and Release
The Software Configuration activities include the definition of the site Engineering Tag List,
configuration of all in-scope site-specific and fleet-level analytics.

After receipt of the Engineering Tag List, analytic engineers will create draft ETL and
subsequently finalize the ETL', through subsequent reviews with the XXX. This activity is a
pre-requisite to initiate 'Configuration & Commission' (4.2.3) and will be executed in parallel
with the Data Prep and Integration phase (4.2). Once configured, the Analytic is validated and
reviewed, both analytic engineers and software engineers ensure that software product is
configured per XXX requirements and all in-scope analytics are released into the QA
environment, validated, and then released to the production environment so that deployment
and adoption team can commence '4.4 Validation and Verification'.
The GE team will clearly communicate the release plan & timing, to ensure XXX interaction
in upcoming phases.

This diagram represents a summary of the solution provisioning process through step 4.3:

4.4 Validation & Verification & SAT

The GE team will deploy and validate the analytics and conduct a System Acceptance Test
followed by a Site Acceptance Test (SAT). Prior to Site Acceptance test with XXX, deployment
team will prepare standard verification and validation documentation to ensure software
product is operating per XXX requirements. The GE team will ensure to align the overall
deployment-adoption plan with XXX timeline before moving to next phase.
4.5 Site Transition to Service:
This is the final stage of the site provisioning; the GE team will commence support services to
the XXX, as defined in the contract. The Adoption Services Team will present the final plans
for the adoption activities.

5.1 Site Adoption Prep

During the Site Adoption Prep phase the Power Expert Services team will work with the XXX to

impact the XXX desired outcomes. This phase of adoption will occur throughout the
deployment process and launched with a formal kickoff meeting to review the adoption plan.

5.2 Knowledge Transfer


Once adoption prep is complete the project will move into the knowledge transfer phase. During

understand how to extract relevant information from the software. In addition, XXX feedback
will be channeled directly to GEs product development team based on user experience.

5.3 Coaching
Once the knowledge transfer phase is complete a period of user coaching commences. In this
phase the Power Generation Leader will continue working with core users to match knowledge
gleaned from software usage to real world business processes. Through the use of on- site
and remote coaching case studies and other documentation will be developed to ensure
lasting XXX value.

At the completion of the coaching phase, the Principal Adoption Services are complete and the
project will enter the XXX support/sustaining phase.

CONNECTIVITY EQUIPMENT
GE will provide and install quantity 1 OSM packages for each site (total 33 OSMs) to enable data
transfer to GEs Operations Center. Each package will include 1 OSM Server, lockbox, and
cabinet. Provided equipment assumes that all listed serial numbers are accessible on the same
network. GE will provide and install OPC collector software on the OSM and establish a secure
connection to the BOP data source (i.e. DCS or PI historian) through the XXX firewall. If
required, GE will provide OPC server software for XXX to install on the BOP data source.
Upon execution of contract, GE will conduct a site survey to determine detailed XXX supply
scope in accordance with the general requirements stated in this proposal. Should additional
equipment be required, additional charges may apply.
Site Requirements
XXX must provide and install a firewall (including all necessary cabling) to support the
connectivity between OSM and the BOP data source. If required, XXX must install GE-
provided OPC server software on the BOP data source.
XXX must provide electrical support to install a standard power outlet if not available
nearby for the GE supplied equipment, and must provide IT support if connectivity
requirements per GEK 120850 have not already been met.

CYBER SECURITY EQUIPMENT


Basis of Design Initial
The OpShield Security Platform Scope of Equipment and Services includes one or more 3000
(Perimeter) model and multiple 300 (Field) models as applicable to the PJBs control system.
Based on the preliminary review of asset configurations and the OpShield budgetary design
criteria, segmentation can be achieved by bisecting the Automation Bus interfaces to the
Turbine and DCS control equipment. Further, bisecting any external access to the Application
Bus is also desirable.

Application Notes:
In locations where multiple OpShield devices are present, cross connection of redundant
device cores and OpShield devices will be done such that core connections are through
different Field devices to support redundancy.

Per preliminary review of the DCS network drawing, sufficient spare Application Bus ports exist
in the required locations to allow OpShield Security Platform management interfaces to be
connected for the above equipment. Note: In-line Automation Bus implementations on control

equipment will interrupt communications during installation of the OpShield products. It is
recommended that plant operations be in standby or offline mode for installation.

Basis of proposed design


Primary goal is monitoring/protection of turbine controls, Where applicable, excitation,
starters, PLCs and DCSs may also be monitored/protected.
HMIs and other PC based devices may also be monitored/protected; however it is
recommended that IPS and virus protection packages be applied to these platforms.
Where possible, minimize changes to the current network, and provide the ability to
implement blocking by using in-line mode. This allows installation of the OpShield Security
Platform with fewer modifications to switch configurations. Where Tap-Mode is required to
provide additional visibility, switch configurations may require modification to add SPAN or
mirror ports if none are already available.
Using in-line mode allows immediate monitoring, and supports blocking mode enablement
once the system is fully configured without any physical device reconfiguration.
The existing Application Bus network will be used for the OpShield Security Platform
management interfaces.
Each Ethernet interface requires one port pair on a Perimeter or Field Device.
For Controls/PLCs, Simplex requires 1 port pair, Duplex 2 port pairs, TMR 3 port pairs.
For devices with redundant Ethernet interfaces, 2 port pairs are required.

Equipment Installation Services


GE will supply Project management services including procurement, installation, and
commissioning schedule, and may complete a site survey to confirm a Basis of Design
(BOD) document to finalize GE and XXX installation scope. The BOD will track all
modifications and amendments from the original scope of supply. This is required to
account for deviations from the original assumptions, validity of scoping documents (such
as network drawings), or features requested by the XXX and the ultimate system that is
delivered.
GE will provide updated control network documentation (ML 4108) impacted by the changes
required for the commissioning services. GE will provide support for backing up managed
switch configurations or provide replacement procedures as applicable to the XXX policy
for these devices as needed.
GE will provide Installation Services for the 3000 (Perimeter) model and multiple 300
(Field) models at each site, and verify connectivity between the supplied devices.

The Perimeter device provides Syslog output of alarms and events that can be integrated
onto the PJBs existing Syslog server. GE will provide support to enable this function. All
cabling and any other interface equipment needed to support supplying Syslog information
to the PJBs existing Syslog server will be the PJBs responsibility.
In the absence of an existing Syslog server GE recommends monitoring from a Chrome
Browser on an HMI or a separate computer platform with Application Bus access. The
browser allows monitoring of alerts and anomalies captured by the OpShield Security
Platform.
