Issue: Whether the Guarantee was unenforceable against the defendants because there
was no privity of contract of guarantee between the plaintiff and the defendants.
Held: Strictly, it matters not that the defendants are shareholders or directors of the two
companies, for their liability as guarantor arises from the terms of the joint and several
guarantee as written in the Letters of Intent agreed to by the parties, where the
defendants agreed to be the guarantors for the return of the Advance should the intended
sale and purchase of the Subject Shares not materialise.
