补偿协议

INDEMNIFICATION AGREEMENT

1. 在常熟世联学校秉诚信原则行事并履行“监护责任”的前提下，对于常熟世联学
校实际且合理支付给境内监护人或其他任何人的“补偿”或其他支出，补偿人应予以补偿并使
常熟世联学校免于受到损害。无论在依据本协议应提供补偿的相关责任或费用发生时补偿人
是否仍然承担“监护责任”。为本协议之目的，（1）“监护责任”指常熟世联学校在补偿人子女
于中国学习期间履行实际监护的职责，包括但不限于为该学生安排在常熟世联学校学习期间
的住所和校、内外生活，并保证该学生的安全；（2）“境内监护人”指由于补偿人子女在中国
学习期间，补偿人不在中国常住，因而正式委托担任其子女监护人的在中国常住的外国人或
中国人；（3）“补偿”应包括常熟世联学校依据其与境内监护人签署的协议，而先行向其支付
的，因其监护人身份而产生的任何责任、义务、损害、索赔、损失、成本和费用。“补偿”还
应包括常熟世联学校因实际履行“监护责任”而产生的其他责任、义务、损害、索赔、损失、
成本和费用；
1. The Indemnitor shall indemnify the United World College of Changshu China (“the
School”) against any and all claims for compensation and against any other sums of money paid to
the Domestic Guardian or anyone else, through expenses that are actually and reasonably incurred
by reason of the Guardian Duty, if and when the School acted in good faith and performed the
Guardian Duty carefully and with due diligence, whether or not the Indemnitor has or had Guardian
Duty at the time such expenses or liability were or are incurred for which indemnification is
provided under this agreement. For purposes of this Agreement, (i) “Guardian Duty” means the
School’s duty as the guardian of the Indemnitor’s child, including, without limitation, making
arrangements for the child’s living and safety inside and outside the School’s premises when he/she
studies in the School; (ii) “Domestic Guardian” means the foreign or Chinese citizen with residence
in China who is authorized by the Indemnitor who does not reside in China to act as the guardian of
the Indemnitor’s child; (iii) “Compensation” includes any amounts the School has paid in advance
to the Domestic Guardian in accordance with the agreement between the two parties due to any
obligation, liability, damage, claim, loss, cost and expense arise from the Domestic Guardian’s role
of guardian for the aforesaid child, and expenses also including any obligation, liability, damage,
claim, loss, cost and expense arise from the School’s performance of Guardian Duty.

2. 本协议的任何规定均非意于，或被解释为，或豁免、放弃或减损常熟世联学校
或代表补偿人子女的境内监护人在任何已存在的保险诉求项下的任何权利。各方理解并同意
本协议规定的赔偿并非意于优先于或替代任何此等保险项下的任何诉求。
2. Nothing in this Agreement is intended to, shall be construed to, or shall release, waive
or impair any rights to insurance claims under any policy that is or has been in existence with respect
to the School or the Domestic Guardian on behalf of the Indemnitor’s child. It is understood and
agreed that the indemnification provided for in this Agreement is not prior to or in substitution for
any such claims under such insurance policies.

 3. 本协议任何条款的无效或不可强制执行不应以任何方式影响其他条款的有效性
或执行效力。若本协议任何条款与任何应适用法律规定向冲突，则此等条款应以符合前述意
图之原则进行必要修改以解决此等冲突。
3. The invalidity of unenforceability of any provision hereof shall in no way affect the
validity or enforceability of any other provision. In the event any provision hereof conflicts with any
applicable law, such provision shall be deemed modified, consistent with the aforementioned intent,
to the extent necessary to resolve such conflict.

4. 本协议可签署两份或更多副本，每一份均应视为原件，全部副本应构成同一份
协议。本协议亦可以通过传真方式签署两份或更多副本，每一份均应视为原件，全部副本应
构成同一份协议。
4. This Agreement may be executed in two or more counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same Agreement. This
Agreement may also be executed and delivered by facsimile signature and in two or more
counterparts, each of which shall be deemed an original, but all of which together shall constitute
one and the same instrument.

5. 本协议应根据中华人民共和国法律解释。因本协议引起的或者与之有关的任何
争议、争论或诉求仅应在上海国际经济贸易仲裁委员会根据其在申请仲裁当日有效的仲裁规
则以保密和有约束力的仲裁方式解决。
5. This Agreement will be construed and interpreted in accordance with the laws of the
People’s Republic of China. Any dispute, controversy or claim arising out of or in connection with
this Agreement will be resolved solely and exclusively by confidential binding arbitration in
Shanghai International Economic and Trade Arbitration Commission under its arbitration rules in
force at the date of applying for arbitration.
