CONTRACT OF EMPLOYMENT

Deputy Superintendent, Educational Services


Yolanda Mendoza

This Contract (“Contract”) of Employment between the Governing Board (hereinafter


“Board”) of the San Gabriel Unified School District (hereinafter “District”) and
Ms. Yolanda Mendoza (hereinafter “Ms. Mendoza” or “Employee”) is entered into this
25th day of June, 2018 and is subject to the following terms and conditions:

SECTION A. TERM OF CONTRACT

The Board hereby employs Ms. Mendoza and Ms. Mendoza remains in the position of
Deputy Superintendent, Educational Services for the term commencing July 1, 2018 and
expiring on June 30, 2019.

SECTION B. COMPENSATION, VACATION, SICK, HOLIDAYS AND


STIPENDS

Base Salary
Ms. Mendoza’s base annual salary shall be One Hundred and Seventy-five Thousand
Dollars ($175,000). The annual salary shall be paid in equal monthly installments, each
representing one twelfth of the annual salary. Salary shall be prorated for service less than
a full year. Compensation for partial months and daily rates shall be determined using a
per diem rate determined by dividing the current annual base salary by 225.

Vacation and Holiday Leave


Ms. Mendoza shall be required to render twelve (12) months of full and regular service to
the District during each annual period covered by this contract (i.e. July 1 through June 30,
prorated for partial years of service), provided, however, that Ms. Mendoza shall be entitled
to twenty-four (24) days of annual vacation with pay exclusive of holidays* defined in
Sections 37220 and 37221 of the California Education Code, and any additional local
holidays granted by the Board to twelve (12) month Management Level employees of the
District. In no event shall Ms. Mendoza be entitled to accrue more than twenty-four (24)
days of unused vacation at any one time. In the event of termination of this contract, Ms.
Mendoza shall be entitled to compensation for unused vacation at the salary rate in effect
at the time the vacation was accrued. In no case shall more than twenty-four (24) days of
unused vacation be paid at the expiration or termination of this contract.

*Holidays – Thirteen (13) paid holidays or observed days: July 4, Labor Day, Veterans
Day, the day before Thanksgiving Day, Thanksgiving Day, the day following
Thanksgiving Day, December 24, Christmas Day, January 1, Martin Luther King, Jr Day,
Lincoln’s Day, President’s Day, and Memorial Day.

If, during the term of this Contract, other holidays are awarded to management employees,
Ms. Mendoza also shall be entitled to those days without further action of the Board.

Salary and Benefits Revision


The Base Salary provided herein may be changed at any time by mutual agreement of the
parties hereto.

Health and Welfare Benefits


Ms. Mendoza shall be entitled to $640 monthly for Medical Insurance premium and such
dental and vision health plans at District expense as are provided to other District
management employees.

Life Insurance
The District shall purchase a $150,000 term Life Insurance policy for Ms. Mendoza and
shall pay the policy’s annual premium during the term of this contract.

Professional Dues
Ms. Mendoza shall be entitled to have professional dues, not to exceed 1% of her base
salary, to be paid for by the District. This shall not be considered part of her base salary
and is subject to the approval of the Superintendent.

Expense & Mileage Stipend


Ms. Mendoza shall receive a monthly stipend of $300 for incidental expenses and mileage
related to her line of work for all in-county travel. This shall replace reimbursements for
such similar expenses.

Deferred Compensation Match


The District shall provide a 50% match (District will provide $1 for every $2 made by Ms.
Mendoza) for any regular contributions made to an approved deferred compensation
(403(b)) program up to the allowable statutory limits. This shall exclude catch-up
provision amounts.

Reimbursement for Expenses


The District shall reimburse Ms. Mendoza for all reasonable, actual and necessary expenses
incurred and paid by Ms. Mendoza in the conduct of her duties on behalf of the District.
Ms. Mendoza shall provide to the District Superintendent for prior approval and review the
monthly Request for Reimbursement and any other requests for reimbursement, such as
for travel and conference. Following such approval by the District Superintendent, which
shall be done on a timely basis and in accordance with District policies and procedures,
such requests, will be forwarded to the appropriate manager within the District’s

Accounting and Finance Department for review and approval in accordance with District
policies and procedures.

Sick Leave
Sick leave credits to Ms. Mendoza shall be accrued at the rate of one (1) day per calendar
month of service during the term of this Contract. Sick leave may be accumulated without
limitation.

SECTION C. EVALUATION

The services of Ms. Mendoza shall be evaluated in writing annually by the District
Superintendent. The evaluation shall be reviewed by the Board and the written evaluation
shall be provided to Ms. Mendoza.

SECTION D. EXTENSION OF THIS CONTRACT

The term of this Contract may be extended at any time by the mutual agreement of
Ms. Mendoza and the District, but at no time may such agreement be for more than three
(3) years. The Governing Board shall decide no later than March 15 of the final year of
this Contract, whether this Contract shall be renewed for an additional term and, if so, for
what period of time. If the Governing Board does not take action and give written notice
of non-renewal prior to March 15, 2019, Ms. Mendoza shall be deemed re-elected to a
contract for one (1) year and under the same terms, conditions and compensation.
All actions of the Governing Board with respect to modifying, extending, renewing or
terminating this Contract shall be public actions.

SECTION E. TERMINATION OF THIS CONTRACT

In the event the Board desires to terminate this Contract, based upon material breach of
contract, before its full term, the Board shall give written notice to Ms. Mendoza of the
termination of this Contract and the effective date of the termination. The Board shall give
at least a thirty (30) day written notice to Ms. Mendoza of the intended termination, stating
the reasons therefore, and provide Ms. Mendoza with an opportunity to meet with the
Board, in closed session, to respond to the notice and the intended action. If Ms. Mendoza
states, in writing, that she wants such a meeting, no action shall be taken by the Board until
the meeting has been held within a reasonable time after the request to meet has been filed.
If no meeting is requested, in writing by Ms. Mendoza, the Board may terminate this
Contract for such material breach immediately.

If the Board terminates this Contract without cause, pursuant to Government Code section
53260 et. Seq., Ms. Mendoza shall be provided salary equivalent to the number of months
remaining on Ms. Mendoza’s Contract not to exceed six (6) months’ salary if six (6) or
more months remain on Ms. Mendoza’s Contract. For purposes of this calculation, only
the Base Salary as set forth in Section B of this Contract will be applicable. In addition,
Ms. Mendoza may receive paid health and welfare benefits for the same number of months
of paid salary or until Ms. Mendoza obtains other employment, whichever occurs earlier.
Such termination payment shall be paid in either a lump sum or on the same installment
basis as Ms. Mendoza’s salary is currently paid, at Ms. Mendoza’s election.

SECTION F. VALIDITY OF CONTRACT PROVISIONS

If any term or provision of this Contract is held to be invalid or unenforceable, the


remaining portions of this Contract shall continue to be valid and shall be performed,
construed and enforced to the fullest extent permitted by law, and the invalid or
unenforceable term shall be deemed amended and limited in accordance with the intent of
the parties, as determined from the face of the Contract, to the extent necessary to permit
the maximum enforceability or validation of term or provision.

SECTION G. ENTIRE AGREEMENT

This Contract constitutes and contains the entire agreement and understanding between the
parties and supersedes and replaces all prior negotiations and agreement proposed or
otherwise, whether written or oral, concerning the subject matter of this Contract. This is
an integrated document.

SECTION H. MODIFICATION OF CONTRACT

This Contract may only be amended or modified, in writing, signed by both parties under
otherwise stated in this Contract.

SECTION I. APPLICABLE LAWS

This Contract is subject to all applicable laws of the State of California and the relevant
Rules and Regulations of the Governing Board of the District and the State Board of
Education. Those laws, relevant Board Policies and Administrative Regulations are to be
considered a part of the terms of this Contract.
