Liquidated Damages If the Supplier fails to supply the specified services within the time
period(s) stipulated by the contract, the Purchaser shall, without
prejudice to its other remedies under the contract, deduct from the
Contract price, as liquidated damages, a sum equivalent to 0.25

of delay until actual delivery, up to a maximum deduction of 10

(GTC) shall be grounds for disqualification from this procurement
process.

Any delay in UNDP’s response shall be not used as a reason for
extending the deadline for submission, unless UNDP determines that
such an extension is necessary and communicates a new deadline to
the Proposers.

UNDP will open the Quotations in the presence of an ad-hoc committee formed by UNDP of at
least two (2) members and in the presence of duly authorized Offerors’ Representatives who choose to
attend, on July 16, 2013 at 15:30 in UNDP Office Zagreb. The Offerors’ Representatives who will be
present at the opening should provide authorization to participate at the opening and shall sign a
register evidencing their attendance.

The Bidders’ names, modifications, withdrawals, the condition of the envelope labels/seals, the number
of folders/files and all other such other details as UNDP may consider appropriate, will be announced at
the opening. No Bid shall be rejected at the opening stage, except for late submission, for which the Bid
shall be returned unopened to the Bidder.

Services offered shall be reviewed based on completeness and compliance of the quotation with
the minimum specifications described above and any other annexes providing details of UNDP
requirements.

The quotation that complies with all of the specifications, requirements and offers the lowest
price, as well as all other evaluation criteria indicated, shall be selected. Any offer that does not meet
the requirements shall be rejected.

Any discrepancy between the unit price and the total price (obtained by multiplying the unit
price and quantity) shall be re-computed by UNDP. The unit price shall prevail and the total price shall
be corrected. If the supplier does not accept the final price based on UNDP’s re-computation and
correction of errors, its quotation will be rejected.

After UNDP has identified the lowest price offer, UNDP reserves the right to award the contract
based only on the prices of the goods in the event that the transportation cost (freight and insurance) is
found to be higher than UNDP’s own estimated cost if sourced from its own freight forwarder and
insurance provider.

At any time during the validity of the quotation, no price variation due to escalation, inflation,
fluctuation in exchange rates, or any other market factors shall be accepted by UNDP after it has
received the quotation. At the time of award of Contract or Purchase Order, UNDP reserves the right to
vary (increase or decrease) the quantity of services and/or goods, by up to a maximum twenty five per
cent (25%) of the total offer, without any change in the unit price or other terms and conditions.

Any Contract for Professional Services that will be issued as a result of this RFQ shall be subject
to the General Terms and Conditions attached hereto. The mere act of submission of a quotation
implies that the vendor accepts without question the General Terms and Conditions of UNDP herein
attached as Annex 3.

UNDP is not bound to accept any quotation, nor award a contract/Purchase Order, nor be
responsible for any costs associated with a Supplier’s preparation and submission of a quotation,
regardless of the outcome or the manner of conducting the selection process.

Please be advised that UNDP’s vendor protest procedure is intended to afford an opportunity to
appeal for persons or firms not awarded a purchase order or contract in a competitive procurement

Annex 1

TERMS OF REFERENCE AND MINIMUM REQUIREMENT

LOT 1
TERMS OF REFERENCE

for

main project design documentation of the reconstruction of existing boiler room and thermal station
room including connection to the district heating system should be created for the University hospital
for pulmonary disease Jordanovac, location Jordanovac 104 in Zagreb.

PRESENT CONDITION

The complex of buildings in University hospital for pulmonary disease Jordanovac has its own boiler
room and thermal station room for heating and preparation of domestic hot water (DHW). In boiler
room, four gas-fired boilers are placed and supplied with natural gas from municipal gas distribution
network.
Two classic hot water boilers (QH1=1200 kW from y.1996 and QH2=1160 kW from y.1978) supply heat for
the load of hot water heating system, preparation of DHW and heat coils in the air handling unit.
Installed heat power of the equipment connected to the boilers is in total 2190 kW, including heat
exhangers in DHW tanks. Boilers operate at nominal temperature regime 90/70 oC for external design
conditions. Hot water distribution piping is divided in five main circulation branches through distributors
placed in thermal station room.
Two steam generators (each QS1/2=180 kW from y.1978) are placed in boiler room and supply low-
pressure steam for the load of equipment for sterilization and cooking. Installed heat power of the
equipment connected to the boilers is in total 300 kW.
Forced-draught combined gas-oil burners (from y.1978) are installed on all boilers.
Extra light fuel oil is used as back-up fuel and it is stored in four outdoor tanks with total volume of 125
m3.
The DHW is stored in three tanks with total volume of 15 m3 (each tank V1/2/3 = 5.000 litres) placed in
thermal station room.
Equipment and associated system elements mostly date from y.1978 and they are worn-out so they do
not enable reliable energy supply in future, according to the requirements of health-care facilities.
There is medium-pressure steam pipeline in size DN 350, placed on the adjacent parcel of the hospital
KBC Zagreb – Rebro, that comes from the district heating system of power plant TE-TO, managed by the
heat energy distributor HEP Toplinarstvo d.o.o. The neighbouring complex of hospital buildings already
uses steam as energy carrier for heating, cooling, air-conditioning, preparation of DHW and low-
pressure steam production. Steam parameters in the pipeline are pressure of 9 bar and temperature of
200 oC. Distance from the possible connection joint to the boiler room of Jordanovac is about 500 m.

SCOPE OF THE PROJECT

Complete dismantling and substitution of all equipment in the existing boiler room and thermal station
room (reconstruction zone) including ventilation systems is to be done, because the existing equipment
and controls are worn-out and outdated. The existing rooms are to be converted into thermal
substation room with indirect connection to the municipal district heating system which is classified as
an alternative energy source. Energy carrier is medium pressure steam from district heating pipeline of
appropriate dimension which is, for the purposes of this project, brought to the entrance to the room.
The existing equipment is to be dismantled completely up to the entries of secondary hot water
distribution piping, i.e. up to the entries of low pressure steam piping into the reconstruction zone.
Thereby, parts of the equipment and some valves are to be carefully uninstalled and later installed, if
they are good for later use. Distribution piping for the energy supply of the terminal equipment outside
of the reconstruction zone are outside the scope of this project. The connections to the new heat
sources are to be made at the entries to the reconstruction zone.
The existing fuel oil supply systems, including tanks are to be put out of operation. Project design
solution has to include remediation and disposal of the complete systems, according to the existing
regulations.

Project design solution has to predict heat supply via indirect thermal substation steam – water for hot
water systems (central heating, preparation of DHW, heat coils of air handling unit). Design temperature
regime for secondary hot water distribution is to be checked by calculation and, if possible, selected at
80/60 oC. Design has to predict hydraulic balancing of the main hot water circulation branches at the
distributors, by using manually operated balancing valves installed in the return pipes. Design has to
predict hot water pumps with variable speed control on all main circulation branches, for energy
efficient operation after reconstruction. Design has to predict a hot water expansion system with
automatic pressure control. Design has to predict adequate water treatment system for water filling and
supplement for safe operation of hot water heating systems. Design has to predict control energy and
water meters mounted on the main branches and on connections of large consumers. The meters
should be equipped with control units including hardware and software for remote data collection and
processing.
Design has to predict reconstruction in phases, so the undisturbed use of the hospital is provided.
Design has to predict a room in the reconstruction zone for installing one of the existing hot water gas
boilers with all associated equipment and control for automatic operation, that is to be used as back-up
heat source for the safety of energy supply, according to the requirements of health-care facilities. This
room has to comply with the requirements for gas boiler rooms.

Design has to provide the central building energy management system and connection of all energy use
systems and associated control systems to it, for the purpose of rational use of energy.

Design has to provide a technical solution of the dry saturated steam supply with appropriate flow and
pressure for steam equipment (sterilization, kitchen). Reserve steam connection has to be provided for
possible later connections of additional steam equipment. Also, design has to provide the use of heat
from the hot condensate of steam, for example for preparation of DHW. Condensate collection and
drainage has to be matched with the existing drainage system for wastewater in the hospital.
All equipment is to be installed in the existing rooms for boilers and thermal station.

Ventilation
This project design includes complete new solution of ventilation systems for thermal substation room
and boiler room. Ventilation system has to be compliant with the existing duct and piping penetration
corridors.

Steam pipeline
Project design solution of the steam pipeline from connection joint in the KBC Zagreb – Rebro parcel to
entrance to the reconstruction zone has to be created. Project design solution has to predict the use of
pre-insulated steam pipeline directly buried in the ground. Design has to provide technical solution of
placing the pipeline in the ground and penetration into the building through external wall. Project
documentation has to include calculations of:
- pipeline dimensioning,
- strains and elasticity of pipeline,
- static of construction elements,
- cathodic protection,
- earthing.
Project documentation is in one book, including thermal, construction and electrical design.
Documentation has to include geodesic annexes with pipeline route and space positioning.

Interior construction works


Project design solution of architectural and construction works in the interior of the reconstruction zone
has to be created, to provide functional space with all necessary features for thermal substation room
and boiler room. Definition of the interior features is to be cleared with the investor, taking into account
the functionality.

Electrical installations
Project design solution of electrical installations, including new electrical switch board in the thermal
substation with all new equipment, wiring and lighting in all rooms in the reconstruction zone has to be
created. Also, possible reconstruction or adjustment of the main distribution board has to be included.

This project design solution has to be created taking into account optimal and modern technical
solutions and state-of-the-art equipment. Design solution has to comply with the requirements of heat
energy distributor HEP Toplinarstvo d.o.o. and gas distributor Gradska plinara Zagreb d.o.o., which is
confirmed by written connection confirmation from both.

DELIVERABLES

The company or consortium should submit the following deliverables for main project:
1) Project of reconstruction of gas boilers room and steam pipeline from connection joint in the KBC
Zagreb – Rebro (printed on both sides of the paper) – 2 copies
2) Summary of the project in Croatian and English language
3) Power point presentation in Croatian and English language summarizing results of the project
2) CD for report separate containing:
- electronic doc. version of the project,
- photos of the building and building systems¸( existing boiler rooms and kitchen),

LOT 2
TERMS OF REFERENCE

for

Main project design documentation of the reconstruction of two existing boiler rooms including
connection to the municipal gas distribution network should be created for the Centre for education
Dubrava, on location Prilaz T. Špoljara 2 in Zagreb.

PRESENT CONDITION

The buildings in Centre for education Dubrava have two separate boiler rooms with thermal stations for
heating and preparation of domestic hot water (DHW) – the main boiler room and the annex boiler
room. Boilers in both boiler rooms are fired with extra light fuel oil stored in outdoor tanks. Both boiler
rooms are in spaces that are partiallly below ground and the distance between them is about 100 m.
In the main boiler room, two classic hot water boilers (QH1=400 kW from y.2011 and QH2=510 kW) supply
heat for the load of hot water heating system and preparation of DHW. Installed heat power of the
equipment connected to the boilers is in total 890 kW, including heat exhangers in DHW tanks. Boilers
operate at nominal temperature regime 90/70 oC for external design conditions. Hot water distribution
piping is divided in nine main circulation branches through distributors. Hot water circulation for all
braches is provided by one circulation pump (operating + spare).
One steam generator (QS1=500 kW, 800kg/h of dry steam from y.2006) is placed in the main boiler room
and supply low-pressure steam for the load of equipment in the kitchen. Installed heat power of the
equipment connected to the steam boiler is in total 115 kW.
Forced-draught oil burners (from y.1998 to 2006) are installed on all boilers.
The DHW in the main boiler room is stored in one tank with volume of V1 = 4.000 litres.
Heating system control is provided through the automatic control equipment in the boiler room by
changing the water temperature with outdoor conditions.
Some of the equipment and associated system elements are worn-out so they do not enable reliable
energy supply in future, according to the requirements of the buildings. That is obvious especially for the
new boiler QH1 (y. 2011) which is in bad condition although only 2 years old, and for DHW tank and main
hot water pump.
In the annex boiler room, one classic hot water boiler (QH3=510 kW from y.2006) supply heat for the
load of hot water heating system, preparation of DHW and heat coils in the air handling units. Installed
heat power of the equipment connected to the boiler is in total 310 kW, including heat exhangers in
DHW tanks. Boilers operate at nominal temperature regime 90/70 oC for external design conditions. Hot
water distribution piping is divided in four main circulation branches through distributors. Hot water
circulation for all braches is provided by one circulation pump (operating + spare).
Forced-draught oil burner (from y.2002) is installed on the boiler.
The DHW in the annex boiler room is stored in one tank with volume of V2 = 1.000 litres.
Heating system control is provided through the automatic control equipment in the boiler room by
changing the water temperature with outdoor conditions.
Condition of the equipment and associated system elements in the annex boiler room is generally good,
because some of the worn-out equipment were recently replaced through regular maintenance. More
often problems were reported with one three-way mixing control valve with servo motor drive.
Heating systems connected to the boilers in both boiler rooms are not equipped with room controllers.

Water supply and supplement of the hot water systems in the buildings is not implemented through the
water treatment equipment.
Northeast from the Centre parcel, there is placed municipal gas distribution pipeline, managed by the
gas distributor Gradska plinara Zagreb d.o.o. on which the boilers in boiler rooms and eventually other
equipment in the Centre could be connected. Distance from the possible connection joint to the main
boiler room in the Centre is about 150 m.

SCOPE OF THE PROJECT

Partial dismantling and substitution of the equipment in the existing boiler rooms (reconstruction zone)
is to be done, because of substitution of the energy carrier from oil to gas and because some of the
existing equipment and controls are worn-out. The reconstruction has to include all necessary steps in
converting oil-fired boiler rooms into gas-fired boiler rooms with adequte ventilation systems and with
connection to the municipal gas distribution network.

A) THE MAIN BOILER ROOM


The existing equipment is to be dismantled as follows:

Hot water boiler QH1=400 kW is to be dismantled completely, together with the burner, automation,
valves, connections and all associated equipment, because of a bad condition.
Oil burner from hot water boiler QH2=510 kW is to be dismantled, including valves, connections and all
associated equipment.
Steam boiler QS1=500 kW is to be dismantled completely, together with the burner, automation, valves,
connections and all associated equipment.
DHW tank V1 = 4.000 litres is to be dismantled completely, together with valves, connections and all
associated equipment.
The existing hot water and steam piping is to be dismantled completely up to the entries of hot water
distribution pipings, i.e. up to the entries of low pressure steam pipings into the reconstruction zone,
including the existing hot water circulation pumps. Thereby, parts of the equipment and some valves are
to be carefully uninstalled and later installed, if they are good for later use. Distribution pipings for the
energy supply of the terminal equipment outside of the reconstruction zone are outside the scope of
this project. The connections to the heat sources in the boiler room are to be made at the entries to the
reconstruction zone.
All parts of the equipment that are good to be used on other locations are to be carefully uninstalled
and transported to the locations specified by the investor.

Project design solution has to predict one new hot water boiler of adequate heat power for hot water
systems (central heating, preparation of DHW) as replacement for the boiler QH1. Both hot water boilers
are to be equipped with adequate force-draught gas fired burners. Design temperature regime for
secondary hot water distribution is to be checked by calculation and, if possible, selected at 80/60 oC.
Design has to predict complete reconstruction of hot water piping in the boiler room with adequate
hydraulic balancing of the main hot water circulation branches at the distributors, for example by using
manually operated balancing valves installed in the return pipes. Design has to predict hot water pumps
with variable speed control, for energy efficient operation after reconstruction of distribution and
terminal equipment in the later phase (outside the scope of this project). Design has to predict control
energy and water meters mounted on the main branches and on connections of large consumers. The
meters should be equipped with control units including hardware and software for remote data
collection and processing.

Design has to predict one new DHW tank of adequate volume, including hot water heat exchanger,
thermal insulation and all associated equipment. Volume of the tank has to be determined by
calculation and has to comply with the needs of the investor.
All equipment is to be installed in the existing boiler room.
This room has to comply with all requirements for gas boiler rooms from existing regulations and the gas
distribution company, with adequate ventilation system.

Also, design has to provide a technical solution of the gas supply with appropriate flow and pressure for
equipment in the kitchen (cooking equipment, hot air blower) including all necessary reconstructions for
adapting the equipment on gas use. Design has to predict the replacement of the existing steam cooking
equipment with the gas equipment and also replacement of the hot air blower powered by steam with
the adequate hot water or gas driven equipment, depending on possibilities for installation and
connection.

B) THE ANNEX BOILER ROOM


The existing equipment is to be dismantled as follows:

Oil burner from the hot water boiler QH3=510 kW is to be dismantled, including valves, connections and
all associated equipment.
One three-way mixing control valve with servo motor drive is to be dismantled, including all wiring,
because of the numerous malfunctions.

Project design solution has to predict one new force-draught gas fired burner with all associated
equipment for the boiler QH3. Design has to predict one new three-way mixing control valve with servo
motor drive, including all wiring, as replacement for the malfunctioning valve. Design temperature
regime for secondary hot water distribution is to be checked by calculation and, if possible, selected at
80/60 oC. Design has to predict adequate hydraulic balancing of the main hot water circulation branches
at the distributors. Design has to predict control energy and water meters mounted on the main
branches and on connections of large consumers. The meters should be equipped with control units
including hardware and software for remote data collection and processing.
All equipment is to be installed in the existing boiler room.
This room has to comply with all requirements for gas boiler rooms from existing regulations and the gas
distribution company, with adequate ventilation system.

Hot water systems are to be connected to the existing open water expansion tank.
Design has to predict adequate water treatment system for water filling and supplement for safe
operation of hot water heating systems.
The existing fuel oil supply systems, including tanks are to be put out of operation. Project design
solution has to include remediation and disposal of the complete systems, according to the existing
regulations.

Gas
Project design solution of the gas pipeline from connection joint to distribution network to the
connection of equipment in the two boiler rooms and in the kitchen has to be created, including the
house connection, and distribution pipeline of unmeasured and measured gas.

Project design solution of architectural and construction works in the interior of the reconstruction zone
has to be created, to provide functional space with all necessary features for gas boiler rooms. Definition

of the interior features is to be cleared with the gas distributor and investor, taking into accounts both
regulations and functionality.

Electrical installations
Project design solution of electrical installations in the boiler rooms with all new equipment, wiring and
lighting in the reconstruction zone has to be created. Also, possible reconstruction or adjustment of the
main distribution board has to be checked and eventually included.

This project design solution has to be created taking into account optimal and modern technical
solutions and state-of-the-art equipment. Design solution has to comply with the requirements of the
gas distributor Gradska plinara Zagreb d.o.o., which is confirmed by written connection confirmation.

The company or consortium should submit the following deliverables for main project:

LOT 3
TERMS OF REFERENCE

for

Main project design documentation of the reconstruction of boiler room in the main building of Risnjak
National Park, where oil burned boiler should be replaced with biomass chips burned ones.

PRESENT CONDITION

The main building of Risnjak National park was constructed in late seventies of the last century.
Geographic coordinates of the building are: N45o25’06,55’’ and E14o41’08,81’’. Total area of the building
is approximately 950 m2. Access to the building plot is from street in Bijela Vodica, some 14 km NW
direction from Delnice exit on A6 highway. The main building is used as headquarter of the national park
and consists of: basement, ground and first floor. Spaces are heated with central heating system from
the boiler room in the basement. The basement consists of convention space, utility rooms and boiler
room. The ground floor consists of a restaurant, reception and offices, while the upper floor consist
sleeping rooms and offices. All radiators are equipped with manual control valves in the heating flow
and ballasts in the return lines. The heating system is controlled automatically according to ambient

temperature. Heating operation is continuous, without interruption. The outer wall is made up of brick
or concrete and mortar total thickness of 40 cm. Pitched roof is made of wooden structures covered
with domestic shingle (poor condition). The walls are in good condition but, there is no insulation on
them. Windows are wooden with double glazing all of them in poor condition with bad seals. Exterior
doors are wooden with no windows. On the inside of the window, curtains were placed as protection
against solar radiation.

Boiler room

Layout area of the boiler room is approximately 10 m2, a height is 2,7m. Boiler room consists of:
 hot water boiler: manufacturer Centrometal Croatia, type EKO-CUP S3,:boiler capacity is 240 kW
with an oil burner, year of production probably 2005 (there is no label on it), the temperature
regime of the existing heating system is 80/60 oC
 hot water storage tank capacity of 600 dm3, manufacturer Centrometal Croatia, type TB-600
year of production is 2005
 The manifold consists of three main branches, where two of them are aimed for radiator
heating and both are equipped with mixing valves and pumps. Third branch is dedicated to DHW
heating. This branch is without any regulation at all, no mixing valves, nothing. Thus, the average
temperature of DHW up to 75oC.
 There is no daily oil fuel tank in the boiler room, but the main oil tank has been buried in the
backyard since 1980. The tank's capacity is app. 12000 dm3 constructed as one wall steel tank.
The tank was placed in the soil without safety pan.
 chimney is common concrete structure

Central heating system


Central heating system is constructed as double pipe heating system with the different type of
radiators. The temperature regime of the existing heating system is 80/60oC. The heating system
is regulated by automatic regulation according to the outside air temperature. The heating
system is mostly old and there is no data on the actual installed capacity for individual heating
circuits.

Air handling units (AHU)


There is no air handling units installed in the building. The kitchen hood ventilation system has
been installed in the kitchen. System is in good condition, but poorly calculated and because of
that it is rarely used.

Domestic hot water (DHW


Domestic hot water (DHW) is used for personal hygiene in lavatories and showers, and for the
preparation of food in the kitchen sink. There is one DHW accumulator with total volume of 600
dm3. Temperature in the DHW tank is not regulated, thus the average temperature of DHW is up
to 75oC. Existing recycling pump is under dimensioned and piping system is not balanced
(there are no balancing valves). Because of that, there is a permanent problem with DHW
delivery across the building.

SCOPE OF THE PROJECT

Project of reconstruction of boiler room and DHW preparation system should be prepared as a main
project, equipped and consist of all parts necessary to obtain building permit.
Project should start with a site inspection which gives a detailed view of the condition and energy
efficiency of the surveyed building and DHW installations as well as all other important data for all parts
of Project such are:
 Heating, ventilation and DHW preparation
 Electrical Installation
 Construction

HEATING, VENTILATION AND DHW PREPARATION PART OF THE PROJECT


In site survey needs to deliver following results:
- Record the actual state of the installed radiators (all circles) to be able to optimize control
valves sizing, circulation pumps sizing and the required power generators; within this point it is
necessary to measure the flow rate of all circuits before reconstruction to allow real analysis of
capabilities of the maximum initial temperature reduction (of the boiler). It is requested to
measure flow rates of heating water for each single circuit in the boiler room, to be able to set
them up at the same level after reconstruction.
- Record the actual state of other equipment for heating, ventilation and DHW preparation
- Measure consumption of DHW and energy needed to heat DHW for at least 5 days period
(min/max/average/hourly) in order to obtain data for optimal sizing of new storage tank.

The project should:


- Technical evaluation of energy efficiency of current system of heating, domestic hot water
(DHW) system, and kitchen ventilation
- To design a new technical solution of the boiler room, take into account the actual data
obtained by examination and measuring; In order to save energy, reduce greenhouse gas
emissions and rationalization costs of heating and hot water, design new boiler room on the
way to replace type of fuel (oil to biomass chips).
- DHW heating during period out of the heating season should be solved by means of solar
collectors. Since there is a LPG tank on the backyard (for kitchen), design 2nd small boiler which
should be used to heat the DHW when solar energy is not enough to heat DHW. That 2 nd boiler
should be equipped with LPG burner.
- Develop technical solution dismantling of existing equipment from the basement boiler room,
and buried oil tank
- There is a possibility that the restaurant will be leased, therefore project should provide
installation of calorimeters to measure heating and DHW consumption

All the results of the observations, measurements and calculations should be described in the project of
reconstruction.
Guiding values of thermal load
According to architecture blueprints of the building, prepared by the company Projekt 54 from Delnice
from 1978, new calculation of heat loads have been calculated assuming followed heat transfer
coefficients:
 external wall 1,34 W/(m2K)

 internal wall 1,90 W/(m2K)
 window 3,00 W/(m2K)
 floor 1,50 W/(m2K)
 internal door 2,5W/(m2K)
 roof 1,16 W/(m2K)

Winter project temperature for Bijela Voda is -21 oC.


Calculated heat transmition loads are 94,89 kW.

Ventilation lost have been calculated based on fresh volume air exchange, where for all rooms except
toilets, wardrobe, kitchen and restaurant, 0,5 volume exchanges per hour was selected as amount of
fresh air intake. Volume exchanges per hour for the toilets have been selected to 8, for wardrobe to 4,
and for restaurant to 2.
Calculated ventilation loads are 53,2 kW!!!

Total heat load for winter season was calculated according to EN12831 is 148,09 kW, taking into
account with engineers security mistake of 15 % (for calculations done in late seventies of the last
century), total heat load is accepted to 170,3kW.

To calculated value of 170 kW, amount for preheating DHW should be added. Assuming that volume of
600 dm3 should be heated from 10oC to 55 oC in two hours, additional 17kW should be added to total
heat boiler capacity.
New boiler should be dimensioned to at least 170kW+17kW=187kW.

 Warehousing and distribution of Fuel


Oil Fuel economy
Existing buried oil storage of unknown capacity, approximately 12000 dm3is old and in bad shape, as
well as the corresponding manifolds for supplying fuel oil to the boiler. Project design should include the
necessary work of dismantling and disposal of tank, pipeline, and environmental remediation. Existing
oil manifold should be excluded from further use.
Gas installation
Reconstruction of boiler room should cover measured gas installation pipeline and connection to the
existing LPG pipeline.
Calculation of gas installations
Calculation of the gas system comprises:
 determining the necessary volumes of for DHW heating during out of the heating season period
 pipeline sizing
 Boiler room
New hot water boilers should be installed in boiler room, where the total power will be defined after the
recording of necessary consumption. Total power for future boiler does not exceed the maximum
required power. The 1st boiler should cover 100% of energy needs for heating and DHW and should be
burned on biomass chips. 2nd boiler should be used to heat the DHW during out of the heating season,
and when solar energy is not enough to heat DHW. That 2nd boiler should be equipped with LPG burner
and could be facade design with capacity of 30kW.

Heating distribution within the new boiler room
Thermal distribution within the existing boiler room is old and in poor condition. Complete heating
water pipeline, with all the shut-off and control equipment should be replaced. Active and reserve pump
should be provided for each heating circuit. Equipment and pipes should be insulated to reduce heat
loss. Minimum insulation thickness should be conducted in accordance with the requirements of
technical regulations.
Ventilation of boiler room
New boiler room should be ventilated by means of natural ventilation (diagonal slots in the boiler
room). Vents, windows and channels designed according to the conditions stipulated in the Ordinance,
and control calculations show that the minimum technical requirements are met.
DHW system
Distribution and DHW heating should be done in the basement as a part of existing boiler room. DHW
system sizing should be provided based on actual consumption measurements (DHW accumulator
should be over dimensioned for amount of 20% comparing to measured data). The calculation should
take all necessary amount of hot water for kitchen, laundry and hand basins, showers and bathtubs in
the toilets.
Existing DHW manifolds should be equipped by regulating valves, and balanced.
The new flat plate solar collector system should be calculated and predicted to cover DHW consumption
during summer months. Thus, DHW tank should be selected as a bivalent one.
Chimney
Each boiler has to be equipped with its own chimney. Control calculations should be done according to
EN 13 084 / DIN 4133. Calculation of the chimney should be an integral part of the project.
Gas detection system
Infrared sensors for gas detection should be installed above the potential sources of leakage of gas. Gas
detection system should be connected to the control unit of remote monitoring system.
Fire protection equipment
Firefighting equipment includes a stable installation of fire (hydrant network) and mobile devices to
extinguish. The facility has a built-hydrant network and the same is not the subject of this project.
Mobile equipment to extinguish should be included this project ( in accordance with technical
requirements prescribed in the Regulations).
Boiler room
Project of reconstruction should be consisted of calculation of:
 Chimney
 New boiler biomass chips burned selection
 Silo for wood chips with conveyors to the boiler
 LPG burned boiler selection
 The boiler room ventilation
 Sizing the expansion tank
 Hydraulic calculation of heating network
 Pump selection
 Bivalent DHW tank selection
 Sizing the solar collectors system

ELECTRICAL INSTALLATION
In site survey needs to deliver following results:
- Record the actual state of electrical installations in existing boiler room, as well as state of
grounding and equipotential connection.
Electrical part of the project should be developed in accordance with the mechanical part of the project.
Electrical installation should be repaired in scope to meet the requirements of the new equipment. The
project is necessary to predict:
- Making installation of high voltage (detailed design) for the power plug switchboards and
distribution boxes
- Lighting, boiler room, which consists of general and panic lighting. General lighting design in the
middle of luminance 300lx, lighting design with fluorescent tubes TS
- Grounding and equipotential connection of all metal mass in one unit, including solar collector
system
- The combination of electric motors and control stations manually and automatically via a
controller for monitoring and control system of central heating and hot water preparation
- Connecting and managing electric mixing valves automatically via a controller for monitoring
and control system of central heating and DHW preparation - the combination of gas burners
and electric burner and boiler Control
- Emergency stop switch for electricity outside the room boiler room
- The connecting of gas detection system referred
- System management, and local and remote control operation of the heating and hot water
- A system of protection against indirect contact

CONSTRUCTION
In site survey needs to deliver following results:
- Record the actual state of construction of the building
- Record position and state of buried oil tank to be able to finf safe way of dismantling it (with oil
manifolds)

Architectural-building project should be developed in accordance with the mechanical part of the
project. Prior to the development of the project is necessary to find out the existing condition of the
building.
Architectural-building project will include:
- Removal of existing equipment from the boiler room and manifolds and rescue openings of the
building that served for removal and entering old and new equipment in the boiler room
- Removal of existing oil tank (approximately 12000 dm3) and oil pipeline, and remediation of the
environment after removal of this equipment
- Construction of ventilation shafts, interior floors and walls
- The foundations of boilers, hot water storage tank , chimneys and wooden chips storage
- Other works that will be required as part of the project

Project documentation
Complete documentation should be prepared and equipped in accordance with regulations governing
construction and subordinate legislation arising there from, regulations and standards.
- In situ inspection should be provided
- The scope of project and technical documentation is:
- Making engineering, construction and electrical recordings of the current situation

- Obtaining gas vendors requirements
- Making the basic and detailed project, based on that project, distributor permit should be
obtained.

Basic and detailed project should be constructed as one unit. Basic and detailed design should include all
the elements prescribed by current regulations:
- Architectural - building design
- Mechanical design

- A study of occupational safety and fire protection

DELIVERABLES

TERMS OF REFERENCE

Main project design documentation of the reconstruction and replacement of:

1. the three existing machinery room with four old air handling units,

2. the existing central domestic hot water system and

3. the existing system with two electrically-driven heat pumps water/water

Should be created for the complex of Special hospital for medical rehabilitation Krapinske Toplice,
location Gajeva 2. in Krapinske Toplice.

The aims of the project are:


- improving indoor thermal comfort,

- modernization of thermo technical systems with reducing energy consumption and costs by
using energy efficient equipment and by using heat energy otherwise thrown into the
environment (sensible heat of exhaust air in ventilation system, sensible heat of the geothermal
water),
- increasing operational safety,
- accurate and constant adapting of the system operation to the real needs,
- compliance with technical regulations regarding the use of refrigerants.

REMARK: The main project design documentation should be created using the existing designs, own
survey of the existing condition, the report on walk thorough audit titled Previous energy analyzes for
efficiency project in the Special hospital for medical rehabilitation Krapinske Toplice from June 2010. and
consultations with professional service maintenance staff of above mentioned technical systems.

1. Replacement of the following four existing air handling units built in three separate machinery
room:

1A) air handling unit for air conditioning of swimming pool and wardrobe space in the building
Hydrotherapy Children's department
1B) air handling unit for air conditioning of restaurant space in the high ground floor of the building
NBO (Novi bolnički odjel) (due to failure air handling unit is not working anymore)
1C) air handling unit for air conditioning of the basement in the building NBO Novi bolnički odjel) and
air handling unit for air conditioning of ground floor in the building NBO (Novi bolnički odjel)
with new air handling units containing heat recovery system
According to the Article 44. of the Technical regulation on rational use of energy and thermal protection
in buildings (OG 110/08, 98/09) it is necessary to recover heat from the exhaust air where the following
conditions are met cumulatively: mechanical ventilation, number of air exchange is higher than 0,7 h-1
and air flow is higher than 2.500 m3/h.
Above mentioned four air handling units are outdated (age of the existing air handling units is from 22
to 26 years) and do not have heat recovery section.
The reconstruction aim: energy savings (using sensible heat from exhaust air), increasing indoor thermal
comfort in the conditioned space, air dehumidification in the swimming pool space in the building
Hydrotherapy Children's department.

1A) Air handling unit for air conditioning of the swimming pool and wardrobe space in the building
Hydrotherapy Children's department

PRESENT CONDITION

Air conditioning of the swimming pool and wardrobe space in the building Hydrotherapy - Children's
department was performed using air handling unit. The following data on the air handling unit are
known:
Manufacturer: IMP KLIMAT Ljubljana
Type: KND 6,3 d
Year of construction: 1991.
Nominal air flow - supply side: 4.000 m3/h
Nominal air flow - exhaust side: 4.000 m3/h
Heat transfer rate of heater (90/70°C): 73 kW
Electrical power of supply fan: 1,7 / 0,6 kW
Electrical power of exhaust fan: 1,7 / 0,6 kW
The main components of the existing air handling unit are: filter, heater, supply and exhaust fan.
Heat source for the heater is hot water (90/70°C) produced in boilers of the manufacturer TOPLOTA on
natural gas, which are placed in the central boiler room. The existing air handling unit is 22 years old, has
no built-in heat recovery section and is placed inside the basement-ground machinery room surface
area 8,5 m x 11 m = 93,5 m2.
Entrance to the machinery room from the outside is provided directly over the access corridor width of
1,25 m. Outside metal door has opening height of 2,02 m and opening width of 0,97 m, while inside
metal door has opening height of 1,83 m and opening width of 0,695 m.
The space of the machinery room, where the existing air handling unit is placed, is loaded with moisture
due to overflow of the water from the swimming pool through the space of machinery room. Part of the
thermal insulation of the supply and exhaust duct is in extremely poor condition (cracked and
crumbled).

SCOPE OF THE PROJECT


With regard to the age and inefficiency of the existing air handling units main project design
documentation for air conditioning of the swimming pool and wardrobe place in the building
Hydrotherapy Child's department should be created.
The existing air handling unit and distribution channels are need to be completely disassembled and
replaced with new air handling unit containing heat recovery section and new distribution channels with
new air diffusers.
For the purpose of air conditioning of the swimming pool area the main project design solution has to
predict installation of new air handling unit containing equipped with high efficiency recuperator (plate
heat exchanger) with sensible heat recovery efficiency of at least 70 % and electrically driven heat pump
with environmentally friendly refrigerant.
The airflow leaving the swimming pool area (extract air) will be cooled down on the evaporator surface
of the integrated heat pump with the main aim of dehumidifying of air in the swimming pool area.

Beside already mentioned component the new air handling unit should also contain filters, supply and
exhaust fan and additional heater (55/45 °C). Recuperator and all other material, which will be used in
air conditioning system, should be durable and resistant to aggressive compounds that may occur in the
airflow (e.g. recuperator made of polypropylene).
New air handling unit must be connected to a central monitoring and control system where all
important parameters can be controlled and read.
Entering the new air handling unit in the existing machinery room should be predicted in parts over the
access corridor opening width of 1,25 m (Outside metal door has opening height of 2,02 m and opening
width of 0,97 m, while inside metal door has opening height of 1,83 m and opening width of 0,695 m).
Due to old channel distribution the complete existing channel distribution, diffusers and regulation need
to be also disassembled and replaced.
Completely new distribution channel, dimensions according to dimensioning calculation, with all
ductwork and duct connection components, diffusers and duct dumpers need to be performed.
The air conditioning system needs to be dimensioned according to air pollution with moisture in the
swimming pool area (VDI 2089 Part 1 - Building Services in swimming baths - Indoor pools).
Volume of water in the children's pool is 50 m3, and the pool water's temperature is 30 °C (room
temperature of indoor pool range from 2 up to 4 °C above the pool water's temperature).
Ventilation of the machinery room, where the existing air handling unit is placed and where also the
new air handling unit will be placed, should also be solved with the same main design.

1B) Air handling unit for air conditioning of the restaurant space in the high ground floor of the
building NBO (NBO - Novi Bolnički Odjel) (due to failure air handling unit is not working anymore)

PRESENT CONDITION
The restaurant in the high ground floor in the building NBO is conditioned with the one air handling unit.
The main component of the existing air handling unit are: filter, two heaters, supply and exhaust (5,5
kW) fan. Heat source for the two heaters is hot water (90/70°C) produced in boilers of the manufacturer
TOPLOTA on natural gas, which are placed in the central boiler room. The existing air handling unit has
no built-in heat recovery section. Due to age and failure the existing air handling units is no longer in
operation (one heater leaked).
Technical data are not known (there is no technical documentation)!
Since the technical data of existing air handling unit are not known, the external dimensions of air
handling unit are measured (1,245 m x 1,245 m = 1,55 m2), and assuming the air flow speed in the air
handling unit in the amount of 2 m/s, approximated value of the air flow in the amount of 11.000 m3/h
is calculated. Approximately the same value of air flow can be obtained using the cross section of
exhaust channel 1,12 m x 0,55 m = 0,616 m2 and assumed air velocity in the exhaust duct in the amount
of 5 m/s.

The air handling unit is placed inside the basement machinery room surface area 6,1 m x 9,75 m = 59,5
m2 and the height of 1,88 m.

SCOPE OF THE PROJECT


With regard to the failure and inefficiency of the existing air handling units main project design
documentation for air conditioning of the restaurant place in the NBO building should be created.
The existing air handling unit and distribution channels are need to be completely disassembled and
replaced with new air handling containing heat recovery section and new distribution channels with new
air diffusers.
For the purposes of ventilation, heating and cooling of the restaurant on the ground floor of the building
NBO the main project design solution has to predict installation of a new air handling unit equipped with
high efficiency recuperator (plate heat exchanger) with sensible heat recovery efficiency of 70 % at least.
In addition to heat recovery system the new air handling unit should also contain filters, heater (55/45
°C), cooler (7/12 °C) (connection will be made when the source of cooling energy will be available) and
supply / exhaust fan frequently controlled, which will solve the optimal air supply to the normal mode or
in savings mode. Heater need to be connected to the existing supply/return connection of hot water.
New air handling unit must be connected to a central monitoring and control system where all
important parameters can be controlled and read.
Entering the new air handling unit in the existing machinery room should be predicted in parts over the
access corridor and double door with opening width of 1,85 m and opening height of 1,88 m.
Completely new distribution channel, dimensions according to dimensioning calculation, with all
ductwork and duct connection components, diffusers and duct dumpers need to be performed.

1C) Air handling unit for air conditioning of the basement in the building NBO and air handling unit
for air conditioning of ground floor in the building NBO (NBO - Novi Bolnički Odjel)

PRESENT CONDITION
Air conditioning of the basement area in the building NBO was performed using one air handling unit.
The following data on the air handling unit are known:
Manufacturer: IMP KLIMAT Ljubljana
Type: KND 1001B5B6A1A
Year of construction: 1987.
Nominal air flow - supply side: 7.710 m3/h
Nominal air flow - exhaust side: 7.530 m3/h
Heat transfer rate of heater (90/70°C): 53,6 kW
Electrical power of supply fan: 5,5 kW
Electrical power of exhaust fan: 5,5 kW

The cross area of supply / exhaust part of the existing air handling unit is 1 m x 1 m = 1 m2.
The ground floor in the building NBO is conditioned with the one air handling unit also manufactured by
IMP KLIMAT Ljubljana (year of construction 1987). Technical data are not known (there is no technical
documentation) ! Since the technical data of existing air handling unit for air conditioning of the ground
floor are not known, the external dimensions of air handling unit are measured (1,5 m x 1,5 m = 2,25
m2), and assuming the air flow speed in the air handling unit in the amount of 2 m/s, approximated
value of the air flow in the amount of 16.200 m3/h is calculated.
The main components of the two above described existing air handling units are: filter, heater, supply
and exhaust fan. Heat source for the two heaters is hot water (90/70°C) produced in boilers of the
manufacturer TOPLOTA on natural gas, which are placed in the central boiler room. Both air handling
units are placed in the same machinery room of the surface area 3,33 m x 9,73 m = 32,4 m2 and height in
the amount of 3,2 m.
Entrance to the machinery room is provided through the metal double door with opening width of 2,03
m and opening height of 2 m.
The both existing air handling units are 26 years old, have no built-in heat recovery section and need to
be replaced with new air handling units.

SCOPE OF THE PROJECT


With regard to the age and inefficiency of the existing air handling units it is necessary to replace them
with two new air handling units both equipped with heat recovery section. The existing distribution
channels in the ground floor should be also completely disassembled and replaced with the new one.
For the purposes of ventilation, heating and cooling of the basement and ground floor in the building
NBO the main project design solution has to predict installation of two new air handling unit equipped
with high efficiency recuperator (plate heat exchanger) with sensible heat recovery efficiency of 70 % at
least. In addition to heat recovery system the new air handling units should also contain filters, heater
(55/45 °C), cooler (7/12 °C) (connection will be made when the source of cooling energy will be
available) and supply / exhaust fan frequently controlled, which will solve the optimal air supply to the
normal mode or in savings mode. Heaters need to be connected to the existing supply/return
connection of hot water.
New air handling units must be connected to a central monitoring and control system where all
important parameters can be controlled and read.
Due to inaccessibility, dismantling of existing air handling units in the basement must be carried out in
parts, as well as the installation of new air handling units.
Completely new distribution channel, dimensions according to dimensioning calculation, with all
ductwork and duct connection components, diffusers and duct dumpers need to be performed. Air
conditioning system needs to be dimensioned according to required air exchange rate.

New air handling unit for air conditioning of the basement has to be connected to the existing
distribution channels after cleaning of existing distribution channels.

2. RECONSTRUCTION AND REPLACEMENT OF THE EXISTING CENTRAL DOMESTIC HOT WATER SYSTEM

PRESENT CONDITION
Domestic hot water is prepared centrally in 6 indirectly heated hot water vessels of manufacturer
Buderus of total volume 4.500 L horizontally placed in a room of surface area 4,8 m x 15 m = 72 m 2 in
the part of boiler room situated inside the building of Old hospital. Geothermal water temperature of
40 °C enters directly into 6 vessels. Using low-pressure steam, produced in the steam boilers
manufacturer TOPLOTA Zagreb on natural gas (build year 1975.), the geothermal water temperature of
40 °C is heated up to a temperature of 55 °C. Low pressure steam flows through the tube heat
exchanger immersed in vessels. Steam temperature at the entrance of the heat exchanger is
approximately 110 °C. In addition to indirectly heated hot water vessel the tank, which collects the
condensate, is also located in the same boiler room. All equipment of the existing central domestic hot
water system were carried in through one window with opening width of 0,81 m and opening height of
1,8 m.

SCOPE OF THE PROJECT


The main project design solution has to predict the complete reconstruction of existing central domestic
hot water system.
The existing hot water vessel, tank for collecting of condensate, piping which supplies steam to hot
water vessels should be dismantled and replaced with new domestic hot water system (installation of
new equipment and pipe distribution of hot water).
The required parameters for a new domestic hot water system:
- geothermal water temperature of 40 °C enters in the domestic hot water system (existing pipe
connection of geothermal water DN 50)
- heating of domestic hot water from 40 ° to 55 °C in vessels (in order of importance) only with hot
water:
1. waste heat at the condenser of heat pump water/water for cooling of geothermal spring water
2. hot water produced in the existing hot water boilers
- predict new piping distribution of hot water, as a medium for heating domestic hot water to the
required temperature
For proper sizing of central domestic hot water system flow water measurement is required in a
minimum period of 7 days.
New domestic hot water system must be connected to a central monitoring and control system where
all important parameters can be controlled and read.

3. REPLACEMENT OF THE TWO EXISTING HEAT PUMPS WATER/WATER WITH TWO NEW HEAT PUMPS
WATER/WATER using geothermal spring water temperature of  41 °C as a heat source with main
purpose of:
- cooling geothermal spring water for filling swimming pools (Mary's swimming pool, swimming pool
in the building NBO, swimming pool in the building of the Children's department)

- transferring the condenser heat in the central heating system in the heating season
- transferring the condenser heat in central domestic hot water system and for laundries in the cooling
season

PRESENT CONDITION
In the Special hospital for medical rehabilitation Krapinske Toplice following swimming pools are directly
filled with geothermal spring water: Jakob's and Mary's pools in the building of Hydrotherapy of Old
hospital, pool in the building NBO and pool in the Children's department.
Jakob's pool is filled directly with geothermal spring water temperature of 41 ° and the cooling of
geothermal water is not needed. Mary's pool, pool in the building NBO and pool in the Children's
department require geothermal water temperature around 30 °C.
In summer (cooling season), geothermal spring water for filling Mary's pool, pool in the building NBO
and pool in the Children's department is cooled with tap water, which is a big expense with respect to
the current price of tap water (Zagorski vodovod d.o.o.). In winter (heating season) cooling of
geothermal spring water is done using two electrically-driven vapour compression cycle heat pumps
manufacturer GEA HAPPEL type EUWH 240 FSD (build year 1992.) with environmentally unfriendly
refrigerant R22, using geothermal spring water as a heat source.
The following data on the existing two heat pumps are known:
Total heating capacity: 1.440 kW
Coefficient of performance COP: 3,6
Total compressor power to both heat pumps: 400 kW
Total cooling capacity: 1.040 kW
Supply temperature of water in the heating system: 55 °C
Data on geothermal source:
Flow of geothermal spring water source: 180 m3/h = 50 l/s
Temperature of geothermal spring water: 41 °C
Two existing heat pumps were installed in the newer part of the boiler room surface area of 7, 4 m x 15,
5 m = 114,7 m2 along with two hot water boilers on natural gas. Entrance to the newer part of boiler
room is provided through metal door with opening width of 4,6 m and opening height of 2,9 m.

Heat transfer between the refrigerant R22 in the evaporator of heat pumps and geothermal spring
water is derived indirectly via plate heat exchanger manufacturer GEA type VT 40CDL-10, which is
located in a separate building near building of pumping station.
After passing through the existing plate heat exchanger cooled geothermal water flows to the tank of
cooled geothermal water, and then flows to pools. Excess of cooled geothermal water is spilled into
creek. Condensator heat is delivered to the central heating system in the heating season. Waste water
of all pools in Special hospital for medical rehabilitation Krapinske Toplice is spilling to the creek
throughout whole year.
Refrigerant R22 (chlordifluormethane, CHF2Cl) is an environmentally unfriendly refrigerant, which
according to Regulation on substances which deplete the ozone layer and fluorinated greenhouse gases
(OG 92/12) can be placed on the market in Croatia and used for the maintenance or servicing of existing
chillers, air conditioning equipment and heat pumps by 31st December 2014.

SCOPE OF THE PROJECT


With regard to the age and inefficiency (low COP) of two existing heat pumps with environmentally
unfriendly refrigerant R22 it is necessary to dissemble them and replace them with two new heat pumps
water/water. Used oil should be disposed and refrigerant R22 should be recuperated and reused for
another systems still using R22.
The main project design solution has to predict installation of two new energy efficient heat pumps
water/water using as a heat source geothermal spring water of following parameters:
Flow of geothermal spring water source: 180 m3/h = 50 l/s
Temperature of geothermal spring water: 41 °C
The required parameters for new heat pumps water/water:
- coefficient of performance COP = 5 and more
- heat pumps for use with water heat source from 20 to 35 °C
- supply temp. of water in the central heating system, domestic hot water system min. 65 °C
- environmentally friendly refrigerant.
Condensator heat of heat pumps should be stored in tank and used in:
- HEATING SEASON  for central heating system
- COOLING SEASON  for central domestic hot water and for laundries (preheating of water at the
entrance to the washing machines)
The main project design solution has to predict also installation of cooling towers to ensure the eventual
disclosure of excess heat into the environment.
Heat transfer between geothermal spring water and refrigerant in the evaporator of heat pump should
be derived indirectly through heat exchanger.

One heat pump needs to be dimensioned to the needs in heating season (central domestic hot water
and laundry).
To determine the need for laundry the report on conducted walk through audit titled Previous energy
analyzes for efficiency project in the Special hospital for medical rehabilitation Krapinske Toplice from
June 2010 should be used.
New heat pumps must be connected to a central monitoring and control system where all important
parameters can be controlled and read.

Interior construction works


Project design solution of architectural and construction works in the interior of the reconstruction zone
has to be created, to provide functional space with all necessary features for mechanical rooms.
Definition of the interior features is to be cleared with the investor, taking into account the
functionality.

Electrical installations
Project design solution of electrical installations, including all new equipment, wiring and lighting in all
rooms in the reconstruction zone has to be created. Also, possible reconstruction or adjustment of the
main distribution board has to be included.

This project design solution has to be created taking into account optimal and modern technical
solutions and state-of-the-art equipment.

DELIVERABLES

The company or consortium should submit the following deliverables for main project:
1) Project of reconstruction and replacement defined in Project Task, (printed on both sides of the
paper) – 2 copies
2) Summary of the project in Croatian and English language
3) Power point presentation in Croatian and English language summarizing results of the project
2) CD for report separate containing:
- electronic doc. version of the project,
- photos of the building and building systems¸( existing boiler rooms and kitchen),

MINIMUM REQUREMENTS:

installation (for LOT 2,CZOO Dubrava).

software for design protected as intellectual ownership.

UNDP
GENERAL CONDITIONS OF CONTRACT FOR SERVICES

1.0 LEGAL STATUS:

The Contractor shall be considered as having the legal status of an independent contractor vis-à-vis the
United Nations Development Programme (UNDP). The Contractor’s personnel and sub-contractors shall
not be considered in any respect as being the employees or agents of UNDP or the United Nations.

2.0 SOURCE OF INSTRUCTIONS:

The Contractor shall neither seek nor accept instructions from any authority external to UNDP in
connection with the performance of its services under this Contract. The Contractor shall refrain from
any action that may adversely affect UNDP or the United Nations and shall fulfill its commitments with
the fullest regard to the interests of UNDP.

3.0 CONTRACTOR'S RESPONSIBILITY FOR EMPLOYEES:

The Contractor shall be responsible for the professional and technical competence of its employees and
will select, for work under this Contract, reliable individuals who will perform effectively in the
implementation of this Contract, respect the local customs, and conform to a high standard of moral
and ethical conduct.

4.0 ASSIGNMENT:

The Contractor shall not assign, transfer, pledge or make other disposition of this Contract or any part
thereof, or any of the Contractor's rights, claims or obligations under this Contract except with the prior
written consent of UNDP.

5.0 SUB-CONTRACTING:

In the event the Contractor requires the services of sub-contractors, the Contractor shall obtain the
prior written approval and clearance of UNDP for all sub-contractors. The approval of UNDP of a sub-
contractor shall not relieve the Contractor of any of its obligations under this Contract. The terms of any
sub-contract shall be subject to and conform to the provisions of this Contract.

6.0 OFFICIALS NOT TO BENEFIT:

The Contractor warrants that no official of UNDP or the United Nations has received or will be offered
by the Contractor any direct or indirect benefit arising from this Contract or the award thereof. The
Contractor agrees that breach of this provision is a breach of an essential term of this Contract.

7.0 INDEMNIFICATION:

The Contractor shall indemnify, hold and save harmless, and defend, at its own expense, UNDP, its
officials, agents, servants and employees from and against all suits, claims, demands, and liability of any

nature or kind, including their costs and expenses, arising out of acts or omissions of the Contractor, or
the Contractor's employees, officers, agents or sub-contractors, in the performance of this Contract.
This provision shall extend, inter alia, to claims and liability in the nature of workmen's compensation,
products liability and liability arising out of the use of patented inventions or devices, copyrighted
material or other intellectual property by the Contractor, its employees, officers, agents, servants or
sub-contractors. The obligations under this Article do not lapse upon termination of this Contract.

8.0 INSURANCE AND LIABILITIES TO THIRD PARTIES:

8.1 The Contractor shall provide and thereafter maintain insurance against all risks in respect of its
property and any equipment used for the execution of this Contract.

8.2 The Contractor shall provide and thereafter maintain all appropriate workmen's compensation
insurance, or the equivalent, with respect to its employees to cover claims for personal injury or death
in connection with this Contract.

8.3 The Contractor shall also provide and thereafter maintain liability insurance in an adequate
amount to cover third party claims for death or bodily injury, or loss of or damage to property, arising
from or in connection with the provision of services under this Contract or the operation of any vehicles,
boats, airplanes or other equipment owned or leased by the Contractor or its agents, servants,
employees or sub-contractors performing work or services in connection with this Contract.

8.4 Except for the workmen's compensation insurance, the insurance policies under this Article
shall:

8.4.1 Name UNDP as additional insured;

8.4.2 Include a waiver of subrogation of the Contractor's rights to the insurance carrier against the
UNDP;

8.4.3 Provide that the UNDP shall receive thirty (30) days written notice from the insurers prior to any
cancellation or change of coverage.

8.5 The Contractor shall, upon request, provide the UNDP with satisfactory evidence of the
insurance required under this Article.

9.0 ENCUMBRANCES/LIENS:

The Contractor shall not cause or permit any lien, attachment or other encumbrance by any person to
be placed on file or to remain on file in any public office or on file with the UNDP against any monies due
or to become due for any work done or materials furnished under this Contract, or by reason of any
other claim or demand against the Contractor.

10.0 TITLE TO EQUIPMENT: Title to any equipment and supplies that may be furnished by UNDP shall
rest with UNDP and any such equipment shall be returned to UNDP at the conclusion of this Contract or
when no longer needed by the Contractor. Such equipment, when returned to UNDP, shall be in the
same condition as when delivered to the Contractor, subject to normal wear and tear. The Contractor
shall be liable to compensate UNDP for equipment determined to be damaged or degraded beyond

normal wear and tear.

11.0 COPYRIGHT, PATENTS AND OTHER PROPRIETARY RIGHTS:

11.1 Except as is otherwise expressly provided in writing in the Contract, the UNDP shall be entitled
to all intellectual property and other proprietary rights including, but not limited to, patents, copyrights,
and trademarks, with regard to products, processes, inventions, ideas, know-how, or documents and
other materials which the Contractor has developed for the UNDP under the Contract and which bear a
direct relation to or are produced or prepared or collected in consequence of, or during the course of,
the performance of the Contract, and the Contractor acknowledges and agrees that such products,
documents and other materials constitute works made for hire for the UNDP.

11.2 To the extent that any such intellectual property or other proprietary rights consist of any
intellectual property or other proprietary rights of the Contractor: (i) that pre-existed the performance
by the Contractor of its obligations under the Contract, or (ii) that the Contractor may develop or
acquire, or may have developed or acquired, independently of the performance of its obligations under
the Contract, the UNDP does not and shall not claim any ownership interest thereto, and the Contractor
grants to the UNDP a perpetual license to use such intellectual property or other proprietary right solely
for the purposes of and in accordance with the requirements of the Contract.

11.3 At the request of the UNDP; the Contractor shall take all necessary steps, execute all necessary
documents and generally assist in securing such proprietary rights and transferring or licensing them to
the UNDP in compliance with the requirements of the applicable law and of the Contract.

11.4 Subject to the foregoing provisions, all maps, drawings, photographs, mosaics, plans, reports,
estimates, recommendations, documents, and all other data compiled by or received by the Contractor
under the Contract shall be the property of the UNDP, shall be made available for use or inspection by
the UNDP at reasonable times and in reasonable places, shall be treated as confidential, and shall be
delivered only to UNDP authorized officials on completion of work under the Contract.

12.0 USE OF NAME, EMBLEM OR OFFICIAL SEAL OF UNDP OR THE UNITED NATIONS:

The Contractor shall not advertise or otherwise make public the fact that it is a Contractor with UNDP,
nor shall the Contractor, in any manner whatsoever use the name, emblem or official seal of UNDP or
THE United Nations, or any abbreviation of the name of UNDP or United Nations in connection with its
business or otherwise.

13.0 CONFIDENTIAL NATURE OF DOCUMENTS AND INFORMATION:

Information and data that is considered proprietary by either Party and that is delivered or disclosed by
one Party (“Discloser”) to the other Party (“Recipient”) during the course of performance of the
Contract, and that is designated as confidential (“Information”), shall be held in confidence by that Party
and shall be handled as follows:

13.1 The recipient (“Recipient”) of such information shall:

13.1.1 use the same care and discretion to avoid disclosure, publication or dissemination of the
Discloser’s Information as it uses with its own similar information that it does not wish to disclose,
publish or disseminate; and,

13.1.2 use the Discloser’s Information solely for the purpose for which it was disclosed.

13.2 Provided that the Recipient has a written agreement with the following persons or entities
requiring them to treat the Information confidential in accordance with the Contract and this Article 13,
the Recipient may disclose Information to:

13.2.1 any other party with the Discloser’s prior written consent; and,

13.2.2 the Recipient’s employees, officials, representatives and agents who have a need to
know such Information for purposes of performing obligations under the Contract, and employees
officials, representatives and agents of any legal entity that it controls, controls it, or with which it is
under common control, who have a need to know such Information for purposes of performing
obligations under the Contract, provided that, for these purposes a controlled legal entity means:

13.2.2.1 a corporate entity in which the Party owns or otherwise controls, whether directly or
indirectly, over fifty percent (50%) of voting shares thereof; or,

13.2.2.2 any entity over which the Party exercises effective managerial control; or,

13.2.2.3 for the UNDP, an affiliated Fund such as UNCDF, UNIFEM and UNV.

13.3 The Contractor may disclose Information to the extent required by law, provided that, subject to
and without any waiver of the privileges and immunities of the United Nations, the Contractor will give
the UNDP sufficient prior notice of a request for the disclosure of Information in order to allow the
UNDP to have a reasonable opportunity to take protective measures or such other action as may be
appropriate before any such disclosure is made.

13.4 The UNDP may disclose Information to the extent as required pursuant to the Charter of the UN,
resolutions or regulations of the General Assembly, or rules promulgated by the Secretary-General.

13.5 The Recipient shall not be precluded from disclosing Information that is obtained by the
Recipient from a third party without restriction, is disclosed by the Discloser to a third party without any
obligation of confidentiality, is previously known by the Recipient, or at any time is developed by the
Recipient completely independently of any disclosures hereunder.

13.6 These obligations and restrictions of confidentiality shall be effective during the term of the
Contract, including any extension thereof, and, unless otherwise provided in the Contract, shall remain
effective following any termination of the Contract.

14.0 FORCE MAJEURE; OTHER CHANGES IN CONDITIONS

14.1 In the event of and as soon as possible after the occurrence of any cause constituting force
majeure, the Contractor shall give notice and full particulars in writing to the UNDP, of such occurrence
or change if the Contractor is thereby rendered unable, wholly or in part, to perform its obligations and

meet its responsibilities under this Contract. The Contractor shall also notify the UNDP of any other
changes in conditions or the occurrence of any event that interferes or threatens to interfere with its
performance of this Contract. On receipt of the notice required under this Article, the UNDP shall take
such action as, in its sole discretion; it considers to be appropriate or necessary in the circumstances,
including the granting to the Contractor of a reasonable extension of time in which to perform its
obligations under this Contract.

14.2 If the Contractor is rendered permanently unable, wholly, or in part, by reason of force majeure
to perform its obligations and meet its responsibilities under this Contract, the UNDP shall have the right
to suspend or terminate this Contract on the same terms and conditions as are provided for in Article
15, "Termination", except that the period of notice shall be seven (7) days instead of thirty (30) days.

14.3 Force majeure as used in this Article means acts of God, war (whether declared or not), invasion,
revolution, insurrection, or other acts of a similar nature or force.

14.4 The Contractor acknowledges and agrees that, with respect to any obligations under the
Contract that the Contractor must perform in or for any areas in which the UNDP is engaged in,
preparing to engage in, or disengaging from any peacekeeping, humanitarian or similar operations, any
delays or failure to perform such obligations arising from or relating to harsh conditions within such
areas or to any incidents of civil unrest occurring in such areas shall not, in and of itself, constitute force
majeure under the Contract..

15.0 TERMINATION

15.1 Either party may terminate this Contract for cause, in whole or in part, upon thirty (30) days
notice, in writing, to the other party. The initiation of arbitral proceedings in accordance with Article
16.2 (“Arbitration”), below, shall not be deemed a termination of this Contract.

15.2 UNDP reserves the right to terminate without cause this Contract at any time upon 15 days prior
written notice to the Contractor, in which case UNDP shall reimburse the Contractor for all reasonable
costs incurred by the Contractor prior to receipt of the notice of termination.

15.3 In the event of any termination by UNDP under this Article, no payment shall be due from UNDP
to the Contractor except for work and services satisfactorily performed in conformity with the express
terms of this Contract.

15.4 Should the Contractor be adjudged bankrupt, or be liquidated or become insolvent, or should
the Contractor make an assignment for the benefit of its creditors, or should a Receiver be appointed on
account of the insolvency of the Contractor, the UNDP may, without prejudice to any other right or
remedy it may have under the terms of these conditions, terminate this Contract forthwith. The
Contractor shall immediately inform the UNDP of the occurrence of any of the above events.

16.0 SETTLEMENT OF DISPUTES

16.1 Amicable Settlement: The Parties shall use their best efforts to settle amicably any dispute,
controversy or claim arising out of this Contract or the breach, termination or invalidity thereof. Where
the parties wish to seek such an amicable settlement through conciliation, the conciliation shall take

place in accordance with the UNCITRAL Conciliation Rules then obtaining, or according to such other
procedure as may be agreed between the parties.

16.2 Arbitration: Any dispute, controversy, or claim between the Parties arising out of the Contract
or the breach, termination, or invalidity thereof, unless settled amicably under Article 16.1, above,
within sixty (60) days after receipt by one Party of the other Party’s written request for such amicable
settlement, shall be referred by either Party to arbitration in accordance with the UNCITRAL Arbitration
Rules then obtaining. The decisions of the arbitral tribunal shall be based on general principles of
international commercial law. For all evidentiary questions, the arbitral tribunal shall be guided by the
Supplementary Rules Governing the Presentation and Reception of Evidence in International
Commercial Arbitration of the International Bar Association, 28 May 1983 edition. The arbitral tribunal
shall be empowered to order the return or destruction of goods or any property, whether tangible or
intangible, or of any confidential information provided under the Contract, order the termination of the
Contract, or order that any other protective measures be taken with respect to the goods, services or
any other property, whether tangible or intangible, or of any confidential information provided under
the Contract, as appropriate, all in accordance with the authority of the arbitral tribunal pursuant to
Article 26 (“Interim Measures of Protection”) and Article 32 (“Form and Effect of the Award”) of the
UNCITRAL Arbitration Rules. The arbitral tribunal shall have no authority to award punitive damages. In
addition, unless otherwise expressly provided in the Contract, the arbitral tribunal shall have no
authority to award interest in excess of the London Inter-Bank Offered Rate (“LIBOR”) then prevailing,
and any such interest shall be simple interest only. The Parties shall be bound by any arbitration award
rendered as a result of such arbitration as the final adjudication of any such dispute, controversy, or
claim.

17.0 PRIVILEGES AND IMMUNITIES:

Nothing in or relating to this Contract shall be deemed a waiver, express or implied, of any of the
privileges and immunities of the United Nations, including its subsidiary organs.

18.0 TAX EXEMPTION

18.1 Section 7 of the Convention on the Privileges and Immunities of the United Nations provides,
inter-alia that the United Nations, including its subsidiary organs, is exempt from all direct taxes, except
charges for public utility services, and is exempt from customs duties and charges of a similar nature in
respect of articles imported or exported for its official use. In the event any governmental authority
refuses to recognize the United Nations exemption from such taxes, duties or charges, the Contractor
shall immediately consult with the UNDP to determine a mutually acceptable procedure.

18.2 Accordingly, the Contractor authorizes UNDP to deduct from the Contractor's invoice any
amount representing such taxes, duties or charges, unless the Contractor has consulted with the UNDP
before the payment thereof and the UNDP has, in each instance, specifically authorized the Contractor
to pay such taxes, duties or charges under protest. In that event, the Contractor shall provide the UNDP
with written evidence that payment of such taxes, duties or charges has been made and appropriately
authorized.

19.0 CHILD LABOUR

19.1 The Contractor represents and warrants that neither it, nor any of its suppliers is engaged in any
practice inconsistent with the rights set forth in the Convention on the Rights of the Child, including
Article 32 thereof, which, inter alia, requires that a child shall be protected from performing any work
that is likely to be hazardous or to interfere with the child's education, or to be harmful to the child's
health or physical mental, spiritual, moral or social development.

19.2 Any breach of this representation and warranty shall entitle UNDP to terminate this Contract
immediately upon notice to the Contractor, at no cost to UNDP.

20.0 MINES:

20.1 The Contractor represents and warrants that neither it nor any of its suppliers is actively and
directly engaged in patent activities, development, assembly, production, trade or manufacture of mines
or in such activities in respect of components primarily utilized in the manufacture of Mines. The term
"Mines" means those devices defined in Article 2, Paragraphs 1, 4 and 5 of Protocol II annexed to the
Convention on Prohibitions and Restrictions on the Use of Certain Conventional Weapons Which May Be
Deemed to Be Excessively Injurious or to Have Indiscriminate Effects of 1980.

20.2 Any breach of this representation and warranty shall entitle UNDP to terminate this Contract
immediately upon notice to the Contractor, without any liability for termination charges or any other
liability of any kind of UNDP.

21.0 OBSERVANCE OF THE LAW:

The Contractor shall comply with all laws, ordinances, rules, and regulations bearing upon the
performance of its obligations under the terms of this Contract.

22.0 SEXUAL EXPLOITATION:

22.1 The Contractor shall take all appropriate measures to prevent sexual exploitation or abuse of
anyone by it or by any of its employees or any other persons who may be engaged by the Contractor to
perform any services under the Contract. For these purposes, sexual activity with any person less than
eighteen years of age, regardless of any laws relating to consent, shall constitute the sexual exploitation
and abuse of such person. In addition, the Contractor shall refrain from, and shall take all appropriate
measures to prohibit its employees or other persons engaged by it from, exchanging any money, goods,
services, offers of employment or other things of value, for sexual favors or activities, or from engaging
in any sexual activities that are exploitive or degrading to any person. The Contractor acknowledges and
agrees that the provisions hereof constitute an essential term of the Contract and that any breach of
this representation and warranty shall entitle UNDP to terminate the Contract immediately upon notice
to the Contractor, without any liability for termination charges or any other liability of any kind.

22.2 The UNDP shall not apply the foregoing standard relating to age in any case in which the
Contractor’s personnel or any other person who may be engaged by the Contractor to perform any
services under the Contract is married to the person less than the age of eighteen years with whom
sexual activity has occurred and in which such marriage is recognized as valid under the laws of the

country of citizenship of such Contractor’s personnel or such other person who may be engaged by the
Contractor to perform any services under the Contract.

23.0 AUTHORITY TO MODIFY:

Pursuant to the Financial Regulations and Rules of UNDP, only the UNDP Authorized Official possesses
the authority to agree on behalf of UNDP to any modification of or change in this Agreement, to a
waiver of any of its provisions or to any additional contractual relationship of any kind with the
Contractor. Accordingly, no modification or change in this Contract shall be valid and enforceable
against UNDP unless provided by an amendment to this Agreement signed by the Contractor and jointly
by the UNDP Authorized Official.
