after a motion duly made and seconded, the Board has unanimously approved:

“Resolved, as it is hereby resolved that the Cooperative shall cease to operate its
Angel’s Hamburger businesses.”

“Resolved further, as it is hereby resolved, that Nina Abigail Foronda is authorized to

transact with all regulatory bodies, including the local government and the Bureau of
Internal Revenue, and to sign for and in behalf of the Cooperative all the pertinent
papers or documents regarding the closure of such business.”
