Subject: Contract Employment Agreement
Dear Swarnali,
We are pleased to engage your services as Front Office Executive on contractual basis in Befree Business
Resourcing LLP ‘the Firm’. You will be required to work from Gandhinagar office or as may be decided by
the Management from time to time.
You shall provide your services on the following terms & conditions, which shall govern this Contract:
1. Your contract will be effective from 18‐Jun‐2018 to 30‐Jun‐2019.
2. During the period of the Contract, you will be exclusively committed to work for the Firm and
advising only the Firm.
3. As discussed, the extent and nature of the services to be performed will depend on business needs
and are expected to require your involvement with the Firm and/or its Associates, Subsidiaries etc.
as dictated by business needs.
4. For the services provided, you will be paid a fee of Rs. 21,500/‐ (Rupees Twenty One Thousand Five
Hundred) per month on Cost To Company basis. The said amount shall be calculated by taking into
account the number of hours/ days/ months that you have worked during the said tenure which is
inclusive of statutory and mandatory privilege, perks, contribution and for the administrative
convenience it can be segregated at any time. You will, however, not be eligible to paid leaves,
benefits and allowances as applicable to regular employees of the Firm.
5. You will raise proper invoice for the services at the end of each month. The Invoice shall contain the
PAN numbers/ Service Tax registration numbers (if applicable), address of communication,
telephone numbers etc. The Firm shall pay within One week after receiving the invoice.
6. All payments made by the Firm shall be after deduction of tax at source wherever applicable as per
the provisions of the Income Tax Act, 1961. You, being service provider to provide the services under
this agreements shall alone be responsible and liable to pay tax/cess timely to the Indian authority
and responsible to comply with such authority constituted by or under any law.
7. Subject to business requirements, the contractual arrangement may be extended at the conclusion
of the contract period on terms and conditions to be mutually agreed upon between you and the
Firm.

8. Either party may terminate the Contract agreement by giving a prior written notice of 90 days to
the other party or by payment damage equivalent to one month’s service fee at the time by one
way or other. However, the firm shall pay all pending invoices for any undisputed amount for which
the employee has not been paid.
9. Upon separation from the Firm for any reason, you agree to return to the Firm any equipment that
has been provided to you or reimburse the Firm for any cost for such equipment. The Firm reserves
the right to deduct such costs from any final payments to be made to you in accordance with state
and federal laws.
10. In the event that you abscond or leave the services of the Firm without proper notice as provided
herein, the Firm will initiate legal proceedings against you and all costs/damages as a result of this
action will be recovered from you.
11. Any breach of code of conduct or breach of the terms of the agreement would result in termination
of this agreement without any prior notice, and forfeiture of any liability accruing to the Firm.
12. Your appointment is made on the basis of your having furnished to the Firm, information and
documents in support of your age, academic qualifications, previous work experience, relieving
letter from your last employer and other particulars on or before your day of joining. The Firm shall
conduct a background and reference check as per Firm’s policy and this appointment is conditional
upon receiving positive feedback. If, at any time, it is found that you have furnished false
information or withheld or suppressed any material fact or information, the Firm shall be entitled
to forthwith terminate your contract without notice. Your contract is also contingent upon your
ability to work for the Firm without restriction (i.e. you do not have any non‐compete obligations or
other restrictive clauses with any previous employer(s)).
13. You shall not, at any time during or after the discontinuation of your employment, in any manner,
either directly or indirectly, divulge, disclose, or communicate to any person, firm, corporation or
other entity, or use for your own benefit or for the benefit of any other person, firm, corporation or
other entity, and not for the benefit of the Firm, any information acquired from the Firm or its
affiliates, without the express prior written consent of the Firm, as more fully set forth in a certain
Non‐disclosure Agreement between the Firm and you on the day of your joining.
14. Continued absence for 7 working days without legitimate purpose and express permission in writing
of the Management will tantamount to misconduct for which your services will be liable for
termination of contract after proper inquiry in the matter.
15. Notwithstanding the foregoing, your contract shall be liable to be terminated by the Firm at any
time without notice or compensation in lieu thereof:
a. If you commit any serious or persistent breach of any of the terms and conditions of this
agreement or any of the provisions of the Firm’s policies;
b. If you commit any act of misconduct involving moral turpitude or negligence or any act of
insubordination or indiscipline or corruption or breach of trust or disobedience or reveal
trade or the Firm’s secrets.

c. For the purposes of this clause, a continuous decline in your performance would amount to
an ‘act of misconduct’.
16. Your service fee is strictly confidential between you and the Firm. These details shall not be
disclosed, divulged or discussed by you with anybody else, except Firm authorized persons. Your
service fee has been determined based on numerous factors such as your job, skills‐specific
background and professional merit. Non‐compliance of this clause may result in termination of your
contract.
17. In the event of any dispute or controversy, such dispute or controversy shall be submitted under
Ahmedabad Court jurisdiction only.
18. A list of documents to be submitted on the day of your joining is provided in Annexure A.
Please sign and return a copy of this Contract agreement in acceptance of the terms of the Contract. This
Contract is valid subject to the Firm receiving your written acceptance as aforesaid.

well as the photo copies of all the documents. The originals will be returned to you after verification of
the copies.
