1.0 INTRODUCTION

UMICORE has a existing plant facility Shirwal, Dist Satara, for automotive parts
coatings / catalyst production. Umicore has decided to enhance the existing production
capacity and for this Umicore is planning to install new 13 zones furnace. At present
there is one existing 9 zones furnace.

This project has the following major equipments


• Nitrogen gas skid - 01 no.
• Forming gas skid - 01 no.
• Cooling/chilling water skid - 01 no.
• Centrifugal exhaust blowers - 06 nos.
• Coating station -01 no
• Vacuum blowers - 2 nos
• Filters and solution tanks

Umicore is receiving 13 zones furnace with associated equipments like, gas skids,
blowers and other associated equipments and same will be free issued to contractor
from their store. Contractor has to unpack in store and shift these equipments/materials
to installation area. All equipments needs to be installed as per GA and layout drawings.
All three skid and five blowers will be installed on top of furnace and one blower will be
installed on mezzanine floor at 4.00 mtrs elevation.
Contractor scope will be to install and assemble the furnace with other skids/blowers as
per the drawings provided. Furnace installation needs skilled manpower/resources
under supervision of Munstermann with complete tooling list as per Annex - III

Contractor has to supply, fabrication and erection of associated piping for utility, exhaust
ducting and process headers as well as interconnection piping between headers &
equipments. There will be also one coating station which includes major control valves
and instruments.
Contractor has to install it at specified location and complete it's hook-up with the
equipments with necessary piping/exhaust ducting as per piping drawings.
Umicore / Engineering consultant will provide drawing /document required to complete
all scope of work as listed in Annexure I & II
Contractor has to carry out piping fabrication & installation work as per given piping
specifications and layout drawings.
Contractor has to install equipments, equipment support, piping supports as per piping
supports BOM Annex IV and drawings and as directed by Umicore engineer in charge /
engineering consultant at site.

2.0 SCOPE OF WORK

2.1 Furnace Installation, assembly and their alignment :


 Contractor has to do the installation of equipments at required location as per
equipment layout drawings.
 Equipment orientations to be matched with plant layout /equipment GA north
direction.
 Contractor has to complete alignment of all the equipment using appropriate
fixing arrangement with required hardware.

2.2 Piping and fumes ducting work (SS304 & UPVC ):

 Supply, fabrication and erection of piping as per attached piping an exhaust


ducting bill of material. (Annexure - I & II).
 Piping work to be done as per piping layout drawing & Isometric / spool
drawing will be issued once installation completed.
 Contractor has to carry out hydro testing of the piping before commissioning
the system.
 Contractor has to do necessary modification to the existing headers at hook
up point to extend it as required.
 Pre commissioning and Commissioning assistance shall be provided by
contractor with his manpower during pretesting and trials.

2.5 Piping & equipment Insulation :

 Contractor has to do insulation of cooling water UPVC piping and SS 304


exhaust duct piping as well as equipments.

2.6 Piping and equipment supports:

 Piping supports shall be provided as per Annex IV or as required and


additional supports may be provided as per site situation.
 Contractor has to fabricate/use required structural support for installation of
equipments. Blowers, skids etc.
 Piping support and accessories like clamps, angles shall be of Hilti make.
 Surface preparation & painting for the structural supports with 2 coats of
epoxy primer & one coat for the finished epoxy paint shall be applied by
contractor.

2.7 Civil work :

 Small wall chipping and wall cutting work shall be done by contractor during
the entire scope of work as required.
2.8 Contractor is fully responsible for maintaining the house keeping of his area.
 There should be daily cleaning of site after closing of working hours.
 All metal scrap should be stored at a pre identified place.
 Other waste cloth, general scrap should be stored in pre identified area .
 Contractor has to take care of following during work execution -
I. Contractor has to barricade properly entire work area so that work will
not affect operations of existing facility.

II. Contractor has to follow Umicore's approved procedure on protecting


facility.
III. Everyday contractor should take approval on work plan before starting
the work.
IV. Contactor's workmen should use Personal Protective Equipment (PPE)
while in work area.
V. Contractor needs to verify the site with respect to the drawings
provided to understand the quantum & requirement of the work.
It is very essential that contractor has to read the notes provided
on drawings very carefully and execute the work accordingly.
VI. If contractor has any queries or need clarification, he has to
communicate/discuss the same with engineer or in charge at site.
VII. Work execution schedule should be provided by contractor.

CONTRACTORS OBLIGATION -

1) Contractor has to arrange all the tools, and tackle required for installation
including Crain , Hydra or any other material movement tools. (For detailed tool
list please refer Annex III)
2) Contractor has to arrange required scaffolding at his own cost.
3) Contractor has to arrange crane, belts and chains, clamps and chain pulley
blocks for manual erection at his own cost.
4) Contractor has to make provision for the storage for all his tools, tackles &
material such as paints & other consumables safely at space provided by
Umicore.
5) Contractor has to carry out the required cleaning / surface preparation & painting
work for the structure/supports as per given technical specifications to all the new

Structural support work. Painting Touch up work for old structure / support from
where new supports welded, should also be painted by contractor.
6) Approved QAP should be followed for all the work being carried out.
7) Necessary safety precautions to be taken during execution of entire work.
Contractor has to follow rules & regulations as per work permit.
8) Contractor has to offer stage wise inspection to Umicore representative.
9) Contractor has to arrange required consumables -Contractor shall provide, at his
own expenses, all the consumables necessary for the execution of the job such
as electrodes, filler wires, oxygen, acetylene, argon etc. & these should bear the
approval of company’s inspector / representative. The welding electrodes and
filler wires supplied by contractor shall confirm to the class specified in the
welding specification chart as per ANSI standard. The materials shall be of
approved make by Umicore inspector / representative.

10) Welder Qualification - Welder shall qualify in accordance with the ASME
Section–IX or other applicable codes. Company’s inspector shall witness the test
and certify the qualification of each welder separately. Only those welders who
have been approved by company’s inspector shall be employed for welding.

11) Documents to be submitted by contractor after awarding the contract / before


starting the work.

 List of Machines & Tools for this job site execution. (As per Annex III)
 Installation procedure / Method statement should be submitted with
erection scheme / plans for approval to Umicore 3 days in advance before
installation activity.

4.0 SAFETY
This part describes the safe working practice to be followed by all the persons of the
Contractor, while carrying out the work at UMICORE site / premises. These rules and
recommended practices should be followed by each & every person at site.

4.1 Safety, Health and Environment Requirements


These instructions and practices are for protection of the persons during their work at
site. Accidents happen without warning; most are caused by lack of knowledge, in
attention or thoughtlessness. Lack of knowledge of these instructions or practices will
not justify non-compliance.
No workman will be allowed to work more than 16 hours in a day, and workmen should
not be allowed to do continuous 16 hrs on daily basis. However in case of work
pressure to meet time lines contractor should depute extra work force to relieve the day
work crew and continue with the work in night to meet the time lines.
Any employee who carelessly or willfully disregards: these instructions or practices or
other governmental safety, health & environment regulations will be subject to
disciplinary measures, which include expulsion from work / site.

4.2 Personal Protective Equipment


Personal Protective Equipment (PPE) should be available for the use. When PPE has
been specified for certain work assignments or for areas you must use it. Any person, if
found working without proper PPE will be subjected to disciplinary action. In case proper
PPE is not available inform the Supervisor / construction manager. UMICORE expects

at all time with in the premises of company each & every workman will have safety
shoes, jacket and safety glasses wherever required.

4.3 Responsibilities of Contractor


It is the responsibility of contractor that before commencement of any activity /
operations, following points are to be taken care to minimize the risk associated with it-
• Dedicated safety officer needs to appoint at site to take care for safety aspects
during execution.
• Depending upon the nature of activity / operation, category of the job is identified
and accordingly work permits obtained from the concern authorities / Umicore
representative.
• Ensure that work area has been checked by the competent person and cleared for
carrying out activities / operations.
• To inform all the concerned persons from operations / maintenance group about the
activity / operation to be taken up.
• Required permits are to be kept on the site throughout the progress of work.

4.4 Fire Prevention and Protection

a) Handling flammable / combustible liquids & materials


The handling & transport of flammable & combustible liquids must only be done in
(approved) considering safety precautions.

b) Cutting / Burning & Welding


All welding jobs should be done with supervision to ensure safety of the working crew
and surroundings. Hot work should be done only after proper authorization and with

proper work permits only. When it is required to cut / burn or weld near combustible
materials move them or shield them off with steel screens (S) or cover them with fire
resistant fabric or wet them down. When in doubt ask your supervisor about appropriate
precautions.
c) Reporting of Fires
If any fire is noticed, then relevant experts of the fire order to be followed and the matter
be reported to head. Also ensure the safety of personnel and use the appropriate
firefighting equipment until help arrives.

4.5 Housekeeping
Good housekeeping is vital part of safety program. It is the responsibility of contractor to
clean up their (own) work areas. There must be enough trashcans for collection of scrap
material & rubbish in each area of work. Scrap material & rubbish must be collected in
trashcans & disposed regularly. Hand & power tools should not be left on site after work
& should be kept in toolboxes. Wipe up spilled liquids immediately. If you can’t handle
the problem, notify your supervisor so that he can arrange for the necessary help.

5. BIDDING TERMS
5.1. GENERAL

The installation project is to be fulfilled by a Contractor at a fixed date according


to the agreed duration following bidding terms and tender documents.

5.2. QUOTE

The quote should be free of cost and non-binding for the client.
If the Contractor is prepared to provide the tendered performance, then he must
create his quote in all parts and complete it with a legally valid signature.
The Contractor is bound to his quote for a period of 4 weeks which begins on the
stipulated deadline for the submission of bids.
With the submission of a bid, the Contractor declares that no price fixing of any
kind took place.
With the submission of this bid, the Contractor confirms that the enclosed
documentation completely describes and explains the project's execution and
services, to the extent this is necessary for the submission of a complete and
proper quote in his field of endeavor.
The Contractor is not entitled to make claim of uncertainties in the tender
documents after submitting a bid.
The Contractor pledges to submit a bid only after he has clarified, through
consultation with the client or any and all points in the tender documents which
he considers to be uncertain, contradictory or in violation of applicable legal
stipulations.

5.3. EXPLANATION OF BIDDING PROCEDURE

Please observe the following points for this bidding procedure:

1. The legally-binding and signed quote is to be sent only to the specified return
address.
2. Questions of doubt are to be clarified prior to submitting a quote. The plans, other
documentation and execution instructions provided to the Contractor for the
purpose of quote preparation or disclosed for review are deemed to be a part of
the foundation for the quote.
3. Change proposals and ancillary offers are to be presented in separate
documentation, justified and appropriately subdivided.
4. Explanations pertinent to the quote are to be submitted along with the quote as
are any terms associated with the quote. Such explanations and terms are to be
signature signed and submitted with the documentation listed.

5.4 CONTRACTOR DECLARATIONS TO THE QUOTE

The Contractor herewith declares that


1. He has inspected the construction site and familiarized himself with on-site
conditions.
2. He has reviewed the bidding terms conscientiously and made the client aware of
any apparent uncertainties or oversights.
3. He has submitted a complete quote following a review of the individual bidding
documents.
4. No price fixing of any kind took place in the formulation of the bid.

5.5. MAIN QUOTE

The tendered performance as well as the installation rates for more/less services
are to be quoted at fixed unit prices.
Following bid submission, any cost increases for wages or materials will not be
remunerated until the end of the project or until the end of an additionally agreed
period of price maintenance.
All prices are to be stated as net prices. The currently applicable tax (GST) is to
be separately stated for the net end sum and the gross end sum is to be
provided.

5.6. ALTERNATIVE OFFERS

In addition to the main quote, which is always to be submitted, the Contractor


may also submit alternative offers, special proposals or ancillary offers.
However, the purpose and functionality of deviating individual parts or segments
must still meet the original objectives set forth by the client. Deviations from the
tender description are to be described completely in detail.
Note:
If require , the quote is to be further subdivided with technical data details such
that it can be technically evaluated. Unit prices and total prices are to be entered
into the tender specifications enclosed with this request for quote.
All performance (components, services, labor, etc.) necessary for the
establishment of a fully functional system is to be included in the prices quoted.
Pricing shall include the cost of free-destination-delivery to the Umicore India
construction site as well as all expenses for travel, accommodations, per diem
costs and surcharges.

5.7. SUBCONTRACTORS

If subcontractors are named by the client, they are to be taken into consideration
by the contractor for subcontract bidding.
The Contractor's intended subcontractors are to be disclosed to the client in a
timely fashion before the award of a subcontract. This advance notification is to
include the performance to be provided (type and scope). In this manner the
client reserves the right to exercise influence on the selection of subcontractors
such that only those are designated against which the client has no legitimate
misgivings.

5.8. UMICORE PURCHASING TERMS

By virtue of submitting a bid, the Contractor acknowledges the purchasing terms


of the client. These are also applicable for any subsequent or supplementary
bids.

5.9. SECURITY PROVISION

The security for contract fulfillment extends to the fulfillment of all obligations
arising from the contract, in particular for the contractual execution of
performance including the settlement of accounts, satisfying deficiency claims
and damage compensation.
The security for deficiency claims extends to the fulfillment of deficiency claims
including damage compensation and claims arising from the settlement of
accounts.

6. ADDITIONAL CONTRACT CONDITIONS


6.1. CONTRACT TERMS

The terms of the contract arise from the placement of an order. Supplements and
modifications to the contract must be made in writing. In the event individual
contract stipulations are ineffective, this shall not affect the validity of remaining
contract stipulations. In the framework of reasonable corrective action in good
faith, the parties shall replace ineffective stipulations with formulations which
most closely match those being replaced and hold promise of legal and
economic success.

6.2. PRICES AND SETTLEMENT

Unit prices must include the cost of all materials, piping BOM and structural
members etc. Beyond this, also to be accommodated:
Security for the entire construction site facility, including necessary barriers, their
setup, their tear-down and their transport away from the site. There will be no
special remuneration for any period caused by a work stoppage due to adverse
weather, catastrophic event or a shutdown of the construction project. The same
applies to an extension of the construction period beyond the fixed deadline.
The provision of all equipment necessary to carry out the work, unless listed in
the section "Construction site facilities".
The equipment chosen by the contractor for use on the project shall be of types
and sizes which guarantee economical, trouble-free execution of the project with
respect to the necessary scope of performance within the prescribed project
period.

The client may demand the use of certain equipment and special systems or also
deny the use of same if such measures appear necessary in the context of his
general site operations.
Contractor is responsible for the setup, maintenance and tear-down of all work
and safety scaffolding needed to carry out his contract.
The stability of all temporary structures such as supports, false works, etc. are to
have static proofs.
Connections and supply lines for construction water and electricity from the
source to the point of use to be made with all safety precautions. The contractor
shall provide for daily cleanup of the construction site and adjacent streets with
traffic, including the no-charge removal of accumulated construction debris and
trash.
The delivery and proper storage of materials necessary to execute the contract.
The professional execution of all work prescribed by the tender specifications or
needed in addition even though not specifically named as ancillary tasks.
The production of contractor documentation needed to provide and execute his
services.
Work interruptions, caused by construction situations, weather or the disruptions
of other firms do not represent entitlement to additional remuneration.

6.3 CONTRACT EXPANSIONS/REDUCTIONS

Tasks and performances not described in the tender specifications are


considered expansions to the contract. Tasks necessary according to generally
accepted engineering rules or subject to a binding regulation are to be carried out
by the contractor at no additional cost to the client. Billable expansions must be
approved in advance by the project manager.

Procedure:
• Consultation about the tasks with the site and project managers
• Written release for the tasks by the project manager
• Execution
• Tasks carried out prior to approval by the project manager will not be
recognized as a billable expansion.
• Contract reductions are those performances specified by the tender
specifications but not carried out.

6.4 BILLING

All performance will be billed according to the actual tasks executed. Dimensions
and billing documents which are necessary (intermediate states) must be
prepared by the contractor. Dimension documents according to construction
progress are to be kept current and presented in a timely fashion for completed
partial performance increments for review.
All masses / quantities are estimated. The actual quantities are to be determined
by the contractor. The billing of tasks is done according to actual dimensions /
quantity.
The bidder has an obligation to inform himself about on-site conditions, by way of
an inspection of the premises, and other factors of influence on his calculation
before submitting a bid and, if necessary, make appropriate inquiries or
examinations at his own responsibility. Subsequent claims based on a lack of
knowledge about local situations or an incorrect understanding or
misunderstanding about item texts will not be recognized.
The client reserves the right to delete individual items, partially or entirely, without
being subject to justification for price changes as a result of such changes.

6.5 LABOR REGULATIONS


Indian labor law is applicable. Contractor has to comply with all rules and
regulations regarding insurance and other items. Necessary documents and
proof to be submitted before commencement of the work. Contractor has to
follow the Indian maximum work-time limits. Work on Sundays and holidays is
fundamentally not permitted.

6.6 SCHEDULE
The scheduling date 4th Feb 2018 stated in the request for bids are contractually
binding framework dates which resulted from the current installation plan. From
the current stand point, the starting date 4th Feb 2018 stated is the earliest date
which, in the course of construction progress and scheduling plan progression,
could still be delayed. The contractor obligates himself, in cooperation with the
client, to carry out detail scheduling plan and with the approval of the client, this
detail schedule plan becomes a part of the contract.
This detail schedule plan must be subdivided down to a level at which
comprehensive control over installation progress, with respect to schedule and
capacities, is possible at all times during the construction period.

The contractor also obligates himself to adhere to all agreed intermediate


scheduling points during the construction period as demanded by project
management in the context of construction progress.
The contractor is obliged to begin his tasks without delay once respective
precursory work has been done and to complete his tasks within the originally
projected execution time.

The performance obligation is also to be maintained even when the performance


of preceding firms is not entirely complete but the start of work is possible in
sections finished by this preceding firm.
The contractor cannot raise claim to additional costs or any form of damage
claim which may arise from a postponement of schedule, deadlines or execution
periods of less than 6 months. The contractor must immediately notify the client
in writing about any endangered deadline through which he is affected.

6.7 CONSTRUCTION MANAGEMENT AND DEPLOYMENT OF CONTRACTOR’S

PERSONNEL

The contractor shall name his own responsible project manager, who must have
English language skills in conversation and writing.
All professional and support personnel necessary to achieve scheduled
execution of the quoted performance must be provided by the contractor. No
particular language skills are required for these persons.
The quote should indicate the level of personnel envisioned by the contractor.
The contractor obligates himself to engage sufficient personnel such that the
performance to be provided can be achieved within normal weekly working
hours, i.e. without overtime. The contractor specifies his normal work time.
The contractor obligates himself to orient his workforce in all cases according to
the requirements of the project manager.
The client reserves the right, in justifiable cases, to demand replacement of
individual installation and supervisory personnel, including the project manager.

Toilet facilities are available. Sanitary and locker-room facilities are still missing
at the construction site.
There are no first-aid facilities available at the construction site. The contractor
must take precautions for emergency situations.
The installer firm must set up its own materials storage facility. It is deemed as
explicitly agreed that provision of construction facilities by the contractor with all
machines, equipment, tools, etc. needed to carry out all tasks (primary contract
including changes and/or follow-up orders) is applicable for the entire
construction period and that this provision is covered in full by the fixed unit
prices stated in the tender specifications. There is no entitlement to subsequent
claims for remuneration even for an under-run or overrun of the primary contract
value.
The space and energy requirements for construction facilities are to be stated in
the quote.
The client bears no responsibility or liability for safety. All openings in roofs,
ceilings, walls, excavations and stairways etc. are the responsibility of the
contractor. These are to be permanently secured with railings or covers until the
end of the construction project. Such safety measures also include the inspection
of openings already secured and making any necessary repairs.

If work is to be performed outside normal working hours, construction


management is to be informed and the duty of care for the construction site
transfers to the contractor during this period. Compliance with applicable
accident prevention regulations is to be maintained at all times.

6.9 TECHNICAL DOCUMENTATION

A single copy of all technical documentation / drawings will be provided to the


contractor by TransTech on behalf of Umicore. Receipt of the given technical
documentation is to be confirmed by the contractor. If the contractor works with
technical documentation which has not yet been released, he does so at his own
risk and cost.
One complete set of technical planning documentation must be used by the
contractor during the construction period to enter all changes and supplements
with red markings.
The contractor will be given an introduction to the documentation.
Specifically, the contractor will receive the following documentation in electronic
form:
1. Equipment layout.
2. Equipment list and Equipment GA drawings.
3. Piping GA drawings.
4. Piping isometric drawings.
5. Piping Bill of material.
6. Piping support bill of material.
7. Insulation bill of material.
8. Equipment support structure bill of material.

6.10 MEETINGS
Installation meetings will be scheduled as needed. All firms involved with the
installation will participate. Fixed meeting items are:

The meeting report must be appended with:


• Adapted planning in the event of changes
• Ongoing list of contract extras / contract reductions
• "Completion percentage" overview

The installation management of the contractor shall produce a meeting report of


every meeting. For each meeting item, the responsible specialist must be named.
The reports are to be given a running number and distributed within two days.

6.11 LIABILITY
If damage claims are made against the client by third-parties for which the
contractor is responsible, the contractor is obliged to hold the client free from
indemnity for these claims.

6.12 HANDING OVER / ACCEPTANCE

Following completion of the electrical installation, the fully functional system is to


be cleaned by the contractor then turned over to the client. These services are a
part of the overall performance expected of the contractor and are to be included
in unit prices.

Independent of this, area features, in particular floor surfaces, are to be protected


against contamination and damage or kept clean or cleaned such that materials
and structural parts do not incur de-valuating damage.
The costs of repairs for damage caused by the contractor will be billed to the
contractor.
Acceptance of the installation services must be made in writing as a matter of
evidence.

6.13 WARRANTY

The warranty period begins with the day of acceptance by the client. A warranty
period of 2 years is applicable for moving parts. The contractor is to conclude
and maintain adequate liability insurance to cover all incidents arising from
contract execution that involve damage to persons, property, assets and
violations of due care including damage incurred to the construction itself.

7.0 COMMERCIAL

The prices bid to be submitted separately by the contractor considering following -


1) Supply of piping material as per bill of material specifications.
2) Piping fabrication and installation work.
3) Equipment installation & alignment.
4) Installation of manual valves, control valves and flow meters.
5) Supply, fabrication and installation of structural supports for piping & equipments as
per Annex IV
6) Piping and equipment Insulation work.
7) Pre-commissioning & commissioning of the system.- Per man day rate to be
provided with specific categories.

Contractor has to indicate unit item rates for all above cases so that it will help at
later stage to reconciliation of the work based on actual quantity.
Quantity mentioned in bill of materials is approximate quantity & payment will be
made based on actual accepted material supply / actual work executed quantity.

Payment Terms & Conditions-


• All invoices will be jointly certified by contractor & Umicore representative.
• Contractor can submit monthly invoice for the work / supply completed during that
period.
• Payment will be released after 45 days from the date of submission of invoice after
actual measurements.

8.0 PROJECT SCHEDULE / PROJECT MANAGEMENT AND QAP

Contractor has to submit a preliminary schedule showing all activities including supply
items, the duration of lead times for fabrication and completion activities along with
quotation. The estimated time schedule is as follows -
1) Material supply - Material can be supplied before 1st February 2019.
2) Site mobilization for 13 zones furnace installation and assembly - latest by 3rd Feb
2018 with all tools as per annex III and furnace installation will start from 4th Feb
2018 since furnace suppliers installation engineers are scheduled accordingly.

3) Site work completion - Entire scope for furnace installation, piping and ducting work
under this RFQ should be completed within 6-8 weeks approximately.
Contractors has to prepare micro level execution plan after placement of order before
actual site execution work starts. Overall project schedule to be discussed & finalized
with Umicore / their representative. Final execution plan to be monitored & tracked
during execution.

Contractor should submit site activity quality assurance plan along with the techno
commercial offer. This quality assurance plan has to be reviewed and approved by
Umicore/ their representative before commencement of site activities.

Contractor has to provide following documents as a minimum during project execution -

1) Daily & Weekly progress report.


2) Overall Quality Assurance Plan.
3) Inspection reports as per QAP plan.
4) Safety / erection / installation planning for major activities.
5) Test certificates / calibration certificates of the lifting equipments, tools and tackles

8.1 DOCUMENTS TO BE SUBMITED WITH QUOTATION

Contractor has to provide following documents as a minimum along with techno


commercial offer.

1) Master project schedule with major mile stones.


2) Confirmation on list of tools availability as per Annex III and other Tools & Tackles
considered for the site executions.
3) Site Manpower chart
4) Contractors won safety procedures / plan, if any
5) Quality assurance plan for major activities.
6) The space requirement at construction site.
7) Power requirement for construction facilities.
8) Water requirement for construction , if applicable.
