Dear Mayor Cranley and Members of City Council:

The purpose of this letter is to confirm in writing three important commitments made by FC
Cincinnati (“FCC”) at yesterday’s Budget and Finance Committee.

First, per the request made by Mr. Steve Black, Board Chair for the Greater Cincinnati Educational
Television Foundation (“CET”), FCC is committed to entering into a parking agreement with CET
with respect to parking for its employees in the Town Center Garage during FCC-hosted
professional soccer matches. FCC will work with CET to identify the necessary number of parking
spaces needed for CET employees at the published game-day rate.

Mr. Black also indicated in his testimony on Monday that WVXU, as an existing tenant in the CET
building, may have parking needs as well. While it is our understanding that WVXU may relocate
to 9th and Plum at some point in the future, FC Cincinnati will incorporate their game-day parking
needs in the agreement with their landlord, CET.

Second, FC Cincinnati is committed to ongoing engagement with both the West End and Over-
the-Rhine neighborhoods. The team intends to submit its application for Final Development Plan
in late March. FCC will present its draft application to the West End Design Committee and West
End Community Coalition, both of which were created in the historic Community Benefits
Agreement, the West End Community Council and Over-the-Rhine Community Council in March
prior to formally submitting to the City Planning Department. The presentations will provide for
input and feedback from the respective groups on issues related to the stadium development,
including but not limited to stadium design, construction schedule, impacts of light and noise on
the surrounding neighborhoods, and cooperation on traffic, security and parking issues. FC
Cincinnati will participate in the City Planning Public Staff Conference which is targeted for some
time in April. To the extent there are substantive modifications made to the plans, FCC will
present to the respective groups prior to a targeted Planning Commission meeting on May 10.
After a Final Development Plan is approved by the Planning Commission, FCC will provide updates
to the respective neighborhood groups on the above referenced items on at least a quarterly
basis.

Finally, FC Cincinnati has been working in good faith negotiations with the Cincinnati Ballet
regarding its leasehold rights for several months. The Ballet has said that they would be willing
to accept one of two scenarios: remain “as-is” and co-exist throughout the remainder of the lease
or relocate to another site with associated financial terms/support from FC Cincinnati. FC
Cincinnati is 100% committed to honoring the Ballet’s lease where they will continue to operate
their facility north of Wade Street and have surface parking south of Wade Street. In addition,
we have presented a “good neighbor agreement” to them similar to the agreement reached with
Music Hall addressing noise and parking issues.

If the Ballet wishes to pursue a relocation prior to the expiration of its lease, we are committed
to working with them towards an agreement on those financial terms, including possible financial
support from FC Cincinnati.

Thank you, again, for your continued support of FC Cincinnati as we embark on our inaugural
season in Major League Soccer. We are committed to working collaboratively with the City of
Cincinnati and our other public and private partners to make our project and our team a
tremendous success.
