agent of the corporation. After a dlscussion and a vote on the

Ratification of By-Laws

The next order of business was the ratlfication of the

corpgrate by-1aws. After discussion and noting the ratification of

the by-laws by the shareholdeis, it was he:reby resolved and adopted

that the Secretary shalt accept a copy of the ratified by-latJs and

to cer:tify that these by-Iaws are the official by-laws of the

corporation.

Election of a Bank Faciliq for the Corpgration

The next order of business was the designation of a banking

facitit-y Lo serve as a depository for the funds of the corpolabion'

After discussion of lhe matter. it was voted and resolved:

RESOLVED'the Secretary is directed to open a corporate

checking account with a local branch of any financial
institution. The Secretaty is authorized to execute any
docrnnents to facilitate this opening' signatory for this
account shall be discussed at a later neeting'
