Channel Partner Proposal

De-Securite is the leading sales and services provider Company in India for Time & Attendance Access Control,
CCTV Camera, IP Camera, Spy Camera, DVR, and Motion Detector Alarm with Auto Dialer, Scanner, Metal
Detector, EAS and other security products/solutions In India. These products are in much demand due to various
reasons.

We are appointing Distributor / Dealers in India for our imported & outsourced products line. If you are willing to be
our partner in business you may become our Distributor/Dealer for your territory. Some of our conditions for the
Distributorship/dealership are as follows:

• Once a Distributor is appointed no other Distributor will be appointed for that territory subject to the condition that
the appointed Distributor should fulfill the following contractual obligations, else Company will be free to appoint
a new Distributor for that territory.
• Company wishes to sell its products to authorized dealers who can work in accordance to company’s satisfaction
and enhance the valuable reputation and goodwill associated with company products.
• Dealer agrees to use its best efforts to sell company products and to encourage the purchase of company products
by dealer’s customer to the best of the dealer’s ability.
• Dealer shall maintain records of all sales of company products, which records shall include the name and address
of the purchaser the date of purchase, date of installation, and the model and serial numbers of the products sold.
• Company provides company product literature/Catalogue which shall be provided to dealer in reasonable
quantities at no charge to dealer.
• Buy at least Distributor/Dealer (Rs. Four Lac / Rs. One Lac) Product unit (All Range) for a Dealer price of (all
including Tax)
• Distributor should have to show 3 Lac to 4 Lac product sales in a month. If he fails to do so in any consecutive
three months then company has rights to terminate the distributor contract.
• Initial order from the new dealer is to be paid 100% advance by crossed Demand Draft / Cash in favor of "De-
Securite" or Bank Transfer.
• Company will charge one time Documentation and Processing Fee Distributor/Dealer (Rs. 45000/Rs.15000).
• The Processing Fee (Rs. 45000/Rs. 15000) will be returned in the form of product after One Successful business
year.
• Product purchase of Rs 100,000/- for distributors and 40,000 for dealers.
• All orders should be paid 50% advance with purchase order and 50% before the delivery process commences. If
the ordered product is available in stock with us then the dealer is expected to pay 100% in advance and the
delivery will commence immediately.
• The Company will transfer all sales enquiry to distributor/dealer related to that particular territory. The company
will generate sales enquiry for all territory, in which our distributor/dealer exists.
• The Company will provide all sales & technical telephonic support to all distributors/dealers. If the
distributor/dealer required onsite support. The company will provide the same at nominal cost.
• In case customer transfers the amount in the company’s account directly instead of the respective distributor/dealer
then the company will charge TDS & Direct Income Tax as applicable and balance amount will be transferred to
the respective distributor/dealer.
• All disputes subject to jurisdiction in the District court of Delhi only.
