CONTRACT AGREEMENT

This Contract Agreement (the "Contract Agreement") is entered into this _____ day of
________, 2010 by and between Mr. Ran Brook, a company with its principle office at
__________________________________________ (hereinafter ‘Client’) and Pilipinas
I.T. Pro located at 122 Evangelista St, Purok 2, Pavia, Iloilo, Philippines 5001
(hereinafter ‘Pilipinas’).

Services
During the term of this Contract Agreement, Pilipinas agree to provide the Client with
one full-time PHP MySQL Programmer namely Edford Patrick Bedia (hereinafter
‘Subcontractor’ based at Pilipinas office location. Pilipinas is responsible for providing
the Subcontractor a suitable computer connected to the internet and pay.

Pilipinas Subcontractors are not available for work on Public holidays in the Philippines
unless otherwise advised in writing by the Subcontractor. If the Subcontractor is sick or
otherwise absent (above the six days paid leave given), or if time is lost due to power
outages or unavailability of the Internet service, and the lost time is as least 2 days during
a calendar month, the Client’s invoice will be discounted in proportion to the service time
lost.

Warranties
Pilipinas will ensure the subcontractor is at work on time and working only on tasks
assigned by Mr. Ran Brook ensures the Subcontractor will work full-time between the
hours of 8am to 5pm Mon-Fri (GMT+8) will ensure the daily reports are completed at the
end of each day by Subcontractor and emailed daily to Client and Pilipinas will ensure
Subcontractor uses the clients preferring online project management system for task
management will have in place written agreements with Subcontractor prohibiting them
from using or transferring any work to others in a manner inconsistent with Pilipinas
obligations under this Contract Agreement

will train and manage their own employees directly, without intervention from Mr. Ran
Brook unless specifically requested to do so.

Term and Termination

This Contract Agreement is effective upon signature by both parties. This Agreement
remains in effect indefinitely until terminated by either party. After the Client has paid
for a minimum of six months under this Contract Agreement, Client may terminate the
Contract Agreement upon providing Pilipinas with at least one month’s written notice.
Pilipinas agree to replace the Subcontractor without additional charges if Client is
unsatisfied with Subcontractors performance.

Payments and Invoicing

Client agrees to pay Pilipinas for its services as follows:
A monthly fee for ongoing access to the Subcontractor, at US$350 per month. The
monthly fee will be paid every fortnight for the first two months and then revert to
monthly payment.

Six days paid annual or sick leave each year

It is understood that Client will not withhold any amounts for payment of taxes from
Pilipinas and that Pilipinas will be solely responsible to pay any applicable Government
taxes from said payment.

Invoices will be submitted by Pilipinas every second week for the first two months, and
thereafter at the end of each month for payment by Client. Bank details are:

Fees associated with the international transfer shall be paid by Client.

Miscellaneous
In the course of providing services, the parties recognize that Subcontractor may come in
contact with or become familiar with information which Client may consider
confidential. This information may include, but not limited to, information pertaining to
design methods, pricing information, or work methods of Client, as well as information
provided by clients of Client for inclusion in work to be developed, which may be of
value to competitors of Client or its clients. Pilipinas agree to keep all such information
confidential and not to discuss any of what evolved to anyone other than appropriate
Client personnel or their delegates. The parties agree that in the event of a breach of this
Contract Agreement damages may be difficult to ascertain or prove. The parties
therefore agree that if Pilipinas breaches this Contract Agreement, Client shall be entitled
to seek relief from a court of competent jurisdiction, including injunctive relief, and shall
be entitled to an award of liquidated damages in a reasonable amount as the court sees fit.

All plans, ideas, improvements or inventions developed by Subcontractor during the term
of this Agreement shall belong to Client and/or its clients for whom work is being
performed by Subcontractor. Subcontractor shall, however, retain the right to display
works s/he creates for Client in their portfolio, subject to Client's written approval in
advance, said approval not to be unreasonably withheld. Subcontractor does not have the
right to display these works on any web site where they may be selling their services.

This Contract Agreement constitutes the entire agreement of the parties with regard to the
subject matter hereof, and replaces and supersedes all other agreements or understanding,
whether written or oral. No amendment, extension, or change of the Agreement shall be
binding unless it is in writing and signed by all of the parties hereto.

Nothing in this Agreement shall be construed to permit the assignment by Pilipinas of

any of its rights or obligations hereunder to any third party without Clients prior written
consent.
